1.Specifications

2.QuantityandDelivery

2.1TheBuyeragreestopurchaseatotalquantityof[TotalQuantity]metrictonsofcoal,tobedeliveredininstallmentsasagreeduponbybothparties.

2.2TheSellershalldeliverthecoaltotheBuyer'sdesignateddeliverypoint(s)asspecifiedintheDeliveryScheduleattachedheretoasExhibitA.

2.3Thedeliveryscheduleshallincludethequantity,deliverydates,andloadingandunloadingprocedures.

3.PriceandPayment

3.1Thepriceofthecoalshallbe[Price]permetricton,asagreeduponbybothparties.

3.2Thetotalpurchasepriceforeachinstallmentshallbecalculatedbasedontheactualquantitydelivered,asverifiedbyanindependentinspectionagency.

3.3PaymentshallbemadebytheBuyertotheSellerwithin[NumberofDays]daysfromthedateofdelivery,bywiretransfertotheSeller'sdesignatedbankaccount.

4.InspectionandAcceptance

4.1TheBuyerreservestherighttoinspectandtestthecoalupondelivery.Ifthecoalfailstomeettheagreedspecifications,theBuyermayrejectthedeliveryorrequestareplacement.

4.2TheSellershallbearallcostsassociatedwithanyrejecteddeliveryorreplacement.

5.ForceMajeure

5.1NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,labordisputes,andgovernmentactions.

6.GoverningLawandJurisdiction

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

7.EntireAgreement

7.1ThisAgreementconstitutestheentireunderstandingandagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriordiscussions,negotiations,andagreements,whetheroralorwritten.
