Signed commercial invoice in 3 originals indicating the Contract number, shipping mark, total Contract value and value of delivery payment, made out in details as per the relevant Contract.賣方簽字的商業發票正本 3 份，注明合同

11、號、嘜頭、合同總額和發貨后付款金額，以及其它合同相應內容。c. Packing list in 2 originals issued by the Seller.賣方出具的裝箱單正本2 份。d.Certificate of Quality and Quantity in 2 originals issued by the Seller.賣方出具的質量證明和數量證明正本2 份。e. Copy of fax dispatched to the Buyer advising particulars of shipment within 48 hours after shipment is made.

Final Acceptance Certificate signed by th

Shipping Advice/裝運通知：The Seller shall, within 48 hours upon the completion of the dispatch of the goods, advise by fax the Buyer of the Contract No., commodity, quantity, invoice value, gross weight, flight no. and date of arrival etc.賣方應在合同貨物發出后48 小時內，

15、用傳真通知買方合同號、貨物名稱、數量、發票金額、毛重、航班號及預計到達日期等。;.12. Guarantee/質量保證：The Seller guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract. The guarantee peri

16、od is as per the Attachment.賣方保證貨物使用最好的材料，一流的工藝，全新的標牌，并與合同中規定的各方面的質量要求及技術規格相符。質保期詳見合同附件。13. Claims/ 索賠：Within 90 days after the arrival of the goods at the destination, should the quality, specification or quantity be found not in conformity with the stipulations of the Contract except those claims

17、for which the insurance company or the owners of the vessel are liable, the Buyer shall, on the strength of the Inspection Certificate issued by the Entry-Exit Inspection and Quarantine of P. R. China, have the right to claim for replacement with new goods, or for compensation, and all the expenses

18、(such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage, loading and unloading charges etc.) shall be borne by the Seller. As regards quality, the Seller shall guarantee that if, within the guarantee period, damage occur in the course

19、of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyer shall immediately notify the Seller in writing and put forward a claim supported by Inspection Certificate issued by the China Commodity inspection Bureau.在貨物到達目的港口90 天時間內，如發現質量、說明書或數量不符合合同規定，除非那些

20、由保險公司或船只本應負的索賠外，買方憑中華人民共和國出入境檢驗檢疫局簽發的驗收證明，有權提出用新的貨物或零件替換，所有費用( 例如檢驗費，貨物返回和更換發送的運費、保險費、貯存費、裝卸費等等) 由賣方負擔。關于質量問題，賣方應保證貨物在質保期內，如果由于質量低劣、工藝落后或采用低劣的材料而在操作過程中造成事故，應立即以書面形式通知賣方，并以中國商檢局簽發的檢驗證明作為依據，提出索賠。The Certificate so issued shall be accepted as the base of a claim. 21、r s claim, shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s). If the Seller fails to answer the Buyer within 1 Month after receipt of the aforesaid claim, the clai

22、m shall be reckoned as having been accepted by the Seller.中華人民共和國出入境檢驗檢疫局所簽發的證明是索賠依據，賣方應按照買方的索賠要求，立即消除瑕疵，全部或部分地更換商品或按照瑕疵的程度將貨物貶值。此外，有必要提出的是：買方在賣方承擔費用后，自己有責任來消除瑕疵。如果賣方在收到上述索賠證明后一個月內不予答復，則認為賣方已接受該索賠。Unless the law provides otherwise, neither party shall be liable to the other party for indirect losses

23、 (e.g., loss of revenue or profit, loss of goodwill, loss of data) in connection to or arising out of thisContract. The aggregate liability of a Party to the other party shall not exceed the total Contract price.除法律另有規定外，任何一方均不對另一方因本合同而產生的間接損失（如收入或利潤損失、商;.譽損失、數據損失等）承擔責任。買賣雙方在合同項下違約向對方承擔的責任限于合同的總價。Th

Force Majeure/ 不可抗力：The Seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, whi

25、ch might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within 2 weeks thereafter, the Seller shall send by mail express to the Buyer for their acceptance a certificate of the accid

26、ent issued by the Competent Government Authorities where the accident occurs as evidence thereof.任何一方對由于下列原因而導致不能或暫時不能履行全部或部分合同義務的，不負責任：水災、火災、地震、旱災、戰爭或任何在簽約時不能預料、無法控制且不能避免和克服的事件。但受不可抗力影響的一方，應盡快將所發生的事件通知對方，并應在事件發生后2周內將有關機構出具的不可抗力事件的證明寄交對方。Under such circumstances the Seller, however, are still under

27、the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyer shall have the right to cancel the Contract.在上述情況下，賣方仍有責任盡可能保證發貨。如果不可抗力事件持續10周以上，買方有權取消合同。15. Late Delivery and Penalty/推遲交貨和罰款：Should the Seller fail to ma

28、ke delivery on time as stipulated in the Contract, with exception ofForce Majeure causes specified in Clause 14 of this Contract, the Buyer shall agree to postpone the delivery on condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negot

29、iation. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate ofpenalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Seller fail to make delivery 10 weeks later than the

30、 time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyer without delay.除本合同14款中規定的情況外，如果賣方沒有按照合同規定準時交貨，買方同意賣方在承擔罰款、并由開證行從議付款中扣除的條件下延期交貨。在延期交貨中，罰款不得超過遲交部分總貨值的5%

Arbitration/仲裁：;.All disputes in connection with this Contract or the execution thereof shall be settled friendlythrough negotiations.
