COOPERATIONAGREEMENT

ThisCooperationAgreement(“Agreement”)isenteredintoasof[InsertDate](“EffectiveDate”)between[InsertCompanyName](“CompanyA”)and[InsertPartnerCompanyName](“CompanyB”)(collectivelyreferredtoasthe“Parties”).

WHEREAS,thePartieswishtoenterintoacooperativerelationshipforthepurposeofjointlypromotingandselling[InsertProduct/ServiceName](the“Product”)inthe[InsertTargetMarket](the“Market”)andtosharethebenefitsandresponsibilitiesassociatedwithsuchcooperation;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:

1.PurposeoftheAgreement

ThepurposeofthisAgreementistoestablishthetermsandconditionsunderwhichthePartieswillcooperatetomarketandselltheProductintheMarket.

2.TermandTermination

2.1ThisAgreementshallbeeffectiveasoftheEffectiveDateandshallremaininfullforceandeffectforaperiodof[InsertDuration,e.g.,twoyears](the“Term”)unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.2EitherPartymayterminatethisAgreementupon[InsertNoticePeriod,e.g.,thirty(30)days]writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.

3.MarketingandSales

3.1CompanyAshallberesponsiblefortheproduction,qualitycontrol,anddeliveryoftheProducttoCompanyB.

3.2CompanyBshallberesponsibleformarketing,selling,anddistributingtheProductintheMarket.

3.3CompanyBshalluseitsbesteffortstopromotetheProductandachievetheagreeduponsalestargetswithintheTerm.

4.IntellectualPropertyRights

4.1AllintellectualpropertyrightsintheProduct,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallremainthepropertyofCompanyA.

4.2CompanyBshallnotuseanyofCompanyA’sintellectualpropertyrightswithoutthepriorwrittenconsentofCompanyA.

5.FinancialTerms

5.1CompanyBshallpayCompanyAacommissionof[InsertPercentage,e.g.,10%]onallsalesoftheProductmadebyCompanyBintheMarket.

5.2CompanyAshallprovideCompanyBwithdetailedsalesreportsandinvoicesonamonthlybasis.

5.3Allpaymentsshallbemadewithin[InsertNumberofDays,e.g.,30]daysofthereceiptoftheinvoice.

6.Confidentiality

6.1ThePartiesagreetokeepconfidentialallinformationdisclosedbytheotherParty,includingbutnotlimitedtotechnical,business,financial,andcommercialinformation.

6.2TheconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreement.

7.DisputeResolution

7.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledthroughamicablenegotiationsbetweentheParties.

7.2IfthePartiesareunabletoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedto[InsertArbitrationorCourt,e.g.,theInternationalCommercialArbitrationCourt]forresolution.

8.GeneralProvisions

8.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

8.2AnyamendmentormodificationofthisAgreementshallbeeffectiveonlyifitisinwritingandsignedbybothParties.

8.3ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

8.4IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasoftheEffectiveDate.
