ConsultingAdvisorContractTemplate

ThisConsultingAdvisorContract(the“Contract”)isenteredintoasof[Date],byandbetween[Consultant'sFullLegalName](“Consultant”)of[Consultant'sAddress],and[Client'sFullLegalName](“Client”)of[Client'sAddress](collectivelyreferredtoasthe“Parties”).

WHEREAS,theConsultantisanindividualwithexpertisein[fieldofexpertise],andtheClientdesirestoengagetheConsultant’sservicesinordertoprovideconsultingadviceandsupportrelatedto[specificprojectorservice];and

WHEREAS,theClientdesirestoretaintheConsultanttoprovidesuchconsultingservicesunderthetermsandconditionssetforthinthisContract.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:

1.ScopeofServices

1.1TheConsultantshallprovideconsultingservicestotheClientintheformof[descriptionofservices],including,butnotlimitedto,[specifictasksordeliverables].

1.2TheConsultantshallusetheClient’sconfidentialinformation,ifany,solelyforthepurposeofperformingtheservicesunderthisContractandshallnotdiscloseorusesuchinformationforanyotherpurpose.

1.3TheConsultantshalldelivertheservicesinaprofessionalandcompetentmanner,andensurethattheworkproductmeetstheClient’srequirements.

2.Term

2.1ThisContractshallcommenceon[startdate]andshallcontinueforaperiodof[duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

3.Compensation

3.1TheClientshallpaytheConsultantafeeof[amount](the“Fee”)fortheservicesprovidedunderthisContract.

4.IntellectualProperty

4.1TheConsultantretainsallrights,title,andinterestinandtoanyintellectualpropertyrightsthatmayariseinconnectionwiththeperformanceoftheservicesunderthisContract.

4.2TheClientshallobtainanon-exclusive,non-transferable,andperpetuallicensetousetheintellectualpropertyrightscreatedbytheConsultantinconnectionwiththeservicesprovidedunderthisContract.

5.Confidentiality

5.1TheConsultantagreestomaintaintheconfidentialityofallconfidentialinformationoftheClientthatisdisclosedorotherwiseobtainedduringthetermofthisContract.

5.2TheConsultantshallnotdisclose,use,orreproduceanyconfidentialinformationoftheClientwithoutthepriorwrittenconsentoftheClient.

6.Termination

6.1ThisContractmaybeterminatedbyeitherPartyupon[specificcircumstances],includingbutnotlimitedto,abreachofthetermsandconditionsofthisContract.

6.2UponterminationofthisContract,theConsultantshallpromptlyreturnallconfidentialinformationandpropertyoftheClienttotheClient.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[applicablejurisdiction].

7.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationbetweentheParties.IfthePartiesareunabletoreacharesolution,thedisputeshallbesubmittedto[specifiedarbitrationorcourt]forresolution.

5.3TheClienthastherighttoterminatethisContractiftheConsultantortheThirdPartybreachesanymaterialtermofthisContract.

5.4TheClienthastherighttorequestprogressreportsanddeliverablesfromtheConsultantandtheThirdParty.

6.RightsandObligationsoftheConsultant

6.1TheConsultantagreestoperformtheserviceswithduecare,skill,anddiligence.

6.3TheConsultantagreestoprovidetheClientwithregularupdatesontheprogressoftheservices.

7.RightsandObligationsoftheThirdParty

7.1TheThirdPartyagreestoprovidetheClientwiththeagreedsupportandresourcesasoutlinedinthisContract.

7.2TheThirdPartyagreestomaintaintheconfidentialityoftheClient’sinformation.

7.3TheThirdPartyagreestocomplywiththeClient’sinstructionsandrequirementsasdirectedbytheConsultant.

8.1IftheConsultantortheThirdPartyfailstoperformtheservicesinaccordancewiththetermsofthisContract,theClientmayterminatethisContractandseekdamagesforanylossesincurred.

6.RightsandObligationsoftheClient
