TheSuppliermaydirectorindirectlyappointathirdpartyasitssubcontractoronlyafterthepriorwrittenconsentofBBA.ThisshallnotprejudiceanyrightofBBAtoclaimagainsttheSupplierforitsoverallresponsibilitiesandliabilitiesfortheProjectassetoutinClause3.1hereof.TheSuppliershallensurethatthesubcontractoristobeboundbysametermsand3.3僅在經華晨寶馬事先書面同意的情況馬就供應商依據本一般條款第3.1條conditionsassetforthinthePurchaseContractthroughsigningwrittenagreementwiththesubcontractor.3.4IftheSupplierreceivesanybenefitsfromathirdparty,suchasadditionalqualitywarranties,pricediscounts,bonuses,commissionsand/orreductionsetc.withrespecttotheGoods/ServicesandtheProjectthatarenotprovidedunderthePurchaseContract,theSuppliershallnotifyandensureBBAtoenjoyallsuchbenefitsreceivedfromthethirdpartyinatimelymanner.TheSuppliershallalsoensurethatalltheSupplierPersonnelasdefinedinClause3.12hereofcomplywiththeobligationprovidedintheaboveparagraphofthisClause3.4,andshalltaketheresponsibilityasprovidedintheaboveparagraphforanyacceptanceofthebenefitsbytheSupplierPersonnel.3.4如果供應商自第三方就貨物/服務和項目獲得任何未在采購合同中規定的利獎金、傭金和/或減價等，則供應商應供應商亦應當保證本一般條款第3.12條定義的供應商人員遵守上述本第3.4條3.5TheSuppliershallbeliableforensuringthattheGoods/ServicesandtheProjectitoranysubcontractorwhomitusesdirectlyorindirectlysupplies,includingtheuseofsuchGoods/ServicesforthepurposeofsuchProject,donotcontravenetheapplicablelawsandregulationsinforceduringtheexecutionofthePurchaseContract,includingbutnotlimitedtothelawsregardingproduction,security,environmentprotection,commercialcompetitions,monopoly,advertisingactivitiesandlaborrelationship;itshallensuretheforegoing,ifnecessarybymeansoflegaladvicesattheSupplier’scosts,andshalladviseBBAofanyrisksintime.AnycostsandrelatedfeesthatmayariseinthisconnectionbytheSupplierhavebeencoveredbytherespectivelyagreedPrice(asdefinedinClause8.1hereinafter).BBAshallbeentitledtorejecttheprovisionordeliveryofanyGoods/Services,suspendrelatedpaymentorterminatetheMainContractpartiallyorwhollyincaseofanybreachofthisClause3.5bytheSupplier.Inaddition,theSuppliershallindemnifyandholdBBAharmlessfrom,defendedagainstanyclaimsassertedbyanythirdparty,irrespectiveofwhetheritusessubcontractordirectlyorindirectlyaspartofitsexecutionofthePurchase3.5在采購合同執行的過程中，供應商有義何分包商所提供的貨物/服務和實施的貨物/服務的使用，不會違背現行適用的法律法規，包括但不限于有關生產、安及勞動關系等相關的法律。供應商應確自付費用獲取相關法律咨詢意見，并應及時告知華晨寶馬存在的任何風險。雙方約定的價款（見本一般條款第8.1如果供應商違反本第3.5條的規定，則華晨寶馬應有權拒絕任何貨物/服務的3.6UponBBA’srequest,theSuppliershallprovidethecertificates,licensesand/orapprovaldocumentswhicharecompulsoryinthespecificbusinessareaunderrequirementsoftheGovernment.OncetheSupplieracceptsanOrder,itshallbedeemedthattheSupplierhasobtainedandbeendulykeepingallthenecessaryqualificationsforsupplyingtheGoods/ServicesandtheProjectwhentheSupplieracceptstheOrderandduringtheentireperformanceofthePurchase3.6應華晨寶馬要求，供應商應提供根據政照、許可和/或批準文件。一旦供應商接個履行采購合同期間已為提供貨物/服3.7Intheeventofanygovernmentinspection/investigationtoBBAinrelationtothePurchaseContract,theSuppliershallcooperateandsupportactivelyupontherequestbyBBA.3.7如果發生任何針對華晨寶馬的與采購合同相關的政府檢查/調查，供應商應根據華晨寶馬的要求積極提供配合和支3.8TheSuppliermustappointaprojectTheprojectmanagershallplan,coordinateandsupervisealltheaspectsoftheProjectundertheOrder.HeorsheshallbetheresponsiblecontactpersonreportingtoBBA'sprojectTheSupplier'sprojectmanagershalluponrequestinformBBA'sprojectmanagerofthestatusoftheProjectatanytime.Todothis,heorshemustprovideanuptodatereportwiththestartandfinishdates,levelofcompletionandthestatusofeachfunction.IntheeventofanyemergencywhichmayaffecttheperformanceofthePurchaseContract,theSupplier’sprojectmanagershallimmediately(inanyeventnotlaterthantwohoursaftertheemergency)reporttoBBA'sprojectTheprojectmanagermayonlybereplacedbytheSupplierforamaterialreasonandaftergivingpriorwrittennotificationtoBBA.Ifneeded,BBAmaydemandthereplacementoftheSupplier’sprojectmanager.3.8供應商下項目的所有方面。他/她應作為向華晨面通知華晨寶馬的情況下被供應商替3.9UnlessotherwiseprovidedintheRFQ,theSuppliershall,withoutanyadditionalpayment,takeallthemeasuresthatarenecessarytoachievetheunderlyingobjectofthePurchaseContract,eveniftheyarenotexpresslysetoutinthePurchaseContract.Theseincludeinparticularthat:theSuppliershallmarkorlabeltheGoodsordeliverablesofServicesinthemannerrequiredbylawsorregulationsorasprescribedbyBBA;theSuppliershalldocumentalltestscarriedoutinthecourseofexecutingthePurchaseContractandtheirresults,reserveallthedocumentsanddatacarriersconcerningthedeliveries/resultswithrespecttotheGoods/Services,andshallensurethatitiseasilypossibletoassignsaiddeliveries/resultstospecificGoods/Services.TheSuppliershallkeeptheabovedocumentationforaperiodofatleast10yearsafterthecompletionoftheProjectandshall,atthesolecostoftheSupplier,supplyittoBBAonrequest,orofferittoBBAbeforesaiddocumentationisdestroyed,ordestroyitandprovideevidenceacceptabletoBBAregardingthedestructionofsuchitempursuanttothepriorwritteninstructionofBBA;theSuppliershallperformdata-handlinginaccordancewiththeregulationsofBBA,includingthemaintenanceofback-upforalldatarelevanttocollectionoffeewithrespecttotheGoods/Services,e.g.recordsofstaff’sworkingtime,andtheeffectiveprotectionofITsystemagainstlossofdata;ifneededfortheexecutionofthePurchaseContract,BBAmayprovidetools,dies,documents,information,data(e.g.factualstatementsaboutproductsofBBAandBMWCorporateIdentityProgrammeforcorporateidentityanddesignrequirement),die-plates,patterns,samples,drawingsand/orothermaterials(hereinaftercollectivelyreferredtoasthe“Documents/Materials”).Theexpenses,costsetc.forthe3.9除非詢價函中另有規定，供應商應當采一切測試及其結果、保存與貨物/服務相據載體，并且應當確保前述交貨情況結果易于與具體的貨物/服務相對應。少10年，且應根據要求將其提供給華晨理，包括對所有與收取貨物/服務相關費用的數據（例如員工的工作時間記品”）。由華晨寶馬提供的文件/Documents/MaterialsprovidedbyBBAarealreadyincludedinthePricesetoutintheMainContract.TheSuppliershallordersuchDocuments/MaterialsinsufficienttimeadvanceandinthecorrectquantitytoensurethattheGoods/ServicescanbeprovidedbytheSupplieraccordingtothePurchaseContract.TheSuppliermustchecktheseDocuments/Materialswithregardtothelocalconditionsofusing,theircorrectnessandcompletenesswherenecessary.TheSuppliermustnotifyBBAinwritingofanydoubtsorobjectionswhatsoeverwithoutdelay,statingthereasons,andmustreachagreementwithBBA'sprojectmanageronhowtoproceedwiththework.TheaforesaidDocuments/MaterialssuppliedtotheSupplierareprovidedonaloanbasisandshallremainBBA’sproprietaryproperty.UponBBA’srequest,theSuppliershallkeepDocuments/Materialsfreeofchargeonitspremises.TheymustbereturnedtoBBAatBBA’srequestoratthelatestafterthecompletionoftheProject,ortheSuppliermay,uponwritteninstructionfromBBA,destroytheDocuments/MaterialsandprovideevidenceacceptabletoBBAregardingthedestructionofaforementioneditems.TheDocuments/MaterialstemporarilylenttotheSuppliermayonlybereproducedorsold,usedassecurity,pledgedorotherwisepassedontoorusedforthirdpartieswiththepriorwrittenconsentofBBA.Thesameshallapplytothegoodsordeliverablesofservicesproduced/createdbyusingthese等文件/物品，以確保能夠根據采購合同提供貨物/服務。供應商應當于必要時就該等文件/物品是否符合本地使用條存在任何疑問或反對意見，供應商必須提供給供應商的前述文件/物品系借給供應商使用，且為華晨寶馬的專屬財其經營場所免費保管文件/物品。供應商華晨寶馬的書面指示銷毀文件/物品并臨時出借給供應商的文件/物品經華晨于使用該等文件/物品生產/制作的貨物3.10BBAshallbeentitledtoinspectalloftheProjectrelateddocuments,meansofproductionandGoods/ServicesattheSupplier’spremiseswithpriornoticetotheSupplier.3.10華晨寶馬有權事先通知供應商后，在供3.11IfonsiteoutsourcingServiceisrequiredfortheperformanceofthePurchaseContract,theSuppliershallprovideonsitepersonneltoBBA,andshallguaranteethatonsitepersonnelwillcomplywithrelevantprovisionsofthePurchaseContract,inparticulartheSpecialTermsandConditionsforPurchaseofOnsiteOutsourcingServices.IftheSupplieranditsonsitepersonnelfailtocomplywiththeaforementionedprovision,theSuppliershallassumeitsliabilityforbreachofcontractinaccordancewithClause183.11如果采購合同的履行需要駐場外包服3.12TheSuppliershallbeliabletoBBAfortheactions/inactionsofitsemployees,officers,secondees,representatives,agents,sub-contractorsoranyotherindividualsforwhomtheSupplierisinthepositiontoberesponsibleforthepurposeofexecutionofthePurchaseContract(collectivelythe“SupplierPersonnel”).IfanyoftheSupplierPersonnelcausesanylosstoBBAbyhis/hernegligentorintentionalaction/inaction,BBAisentitledtoclaimfordamagesagainsttheSupplier3.12供應商應對其雇員、管理人員、借調人員、代表、代理、分包商及應由供應商何其他人員（以下統稱“供應商人員”）華晨寶馬承擔責任。如果由于任何供應商人員的疏忽或故意的作為/不作為對華晨寶馬造directly.TheSuppliershallkeepBBAharmlessfromandfullyindemnifiedforthedamagessoincurred.商索賠。供應商應使華晨寶馬不受損3.13Ifanyemployee,director,officerorshareholderoftheSupplierhasanyrelativerelationship,commercialinterestrelationshiporotheraffiliaterelationship(the“AffiliateRelationship”)withBBAoranyofitsemployees,officersordirectorsofBBA,oranyemployee,director,officerorshareholderoftheSupplierhasanyAffiliateRelationshipwithBBA’sothersuppliersortheirpersonnel,andtheAffiliateRelationshipmightaffecttheimpartialityofbusinessrelationshipbetweenBBAandtheSupplier,orBBAandothersuppliers,and/ortheinterestofBBA,theSuppliershallpromptlyinformBBAofsuchrelationshipin,providedthatsuchrelationshipisidentifiablewithduecareofgeneralbusinessmen,andBBAshallhavetherighttorequesttheSuppliernottoinvolveorsuspenditsinvolvementintherelatedtransactions.IfBBAraisesspecificrequestsontheformandcontentsforthedisclosureoftheAffiliateRelationshiptotheSupplier,theSuppliershallmeetsuch3.13如果供應商的任何雇員、董事、管理人員或股東與華晨寶馬或其任何雇聯關系），或者供應商的任何雇員、董事、管理人員或股東與華晨寶前述關聯關系，并且該等關聯關系可能會影響華晨寶馬與供應商之間、或是華晨寶馬與其它供應商之間的商業關系的公平性和/或華晨寶馬的利益，則供應商應在通過一般商人的正常商系及時書面通知華晨寶馬，華晨寶馬有權要求供應商不參與或暫緩參與相關交易。如果華晨寶馬對披露前述關聯關系向供應商提出形式和內容方面的特定要求，供應商應按照華晨寶馬3.14ThePurchaseContractenteredintobyandbetweenBBAandtheSupplierdoesnotbyanymeansestablishanyemploymentrelationshipbetweenBBAandtheSupplierPersonnel.TheSupplierPersonnelmaynotworkasamemberofBBAteam.TheymayhoweveractastheconsultantstoaBBAteamiftheirworkwithregardtotheprovisionofGoods/ServicesortheProjectconsistsinguidingtheBBAteam(i.e.,guidingandmanagementfunction).3.14供應商與華晨寶馬之間簽署采購合同不但是如果其與貨物/服務或項目相關的3.15TheSupplierPersonnelarenotentitledtouseorclaimbenefitsorfacilitiesprovidedbyBBA,includingbutnotlimitedto:companydoctorandmedicalservice(withtheexceptionofaccidentcare)useofcompanycarsandsubsidizedworkinggarmentsprovidedfreeofchargeoratareducedparticipationintheBBAAssociateImprovementsSuggestionSchemebusinesscards/personalstationeryAnyandallexceptionstothisruleasspecifiedinthepreviousparagraphofthisClause3.15(e.g.subsidizedcateringandcanteenserviceandshuttleservice)mustbeagreedbypriorwrittenagreements.3.15供應商人員無權使用或主張華晨寶馬提‐公司醫生和醫療服務（事故處理除
