–Shipment/Delivery條款6-裝運6.1shipmentofmaterialshallbeshippedwithin47daysfromthereceiptofL/Ctatseller’sbankcounter賣方銀行收到信用證后47天內裝運Article7 –ContractedPrice條款7－合同價格7.1Incoterm:CIF,ThailandmainportasperICC2000.條款：根據ICC2000CIF,泰國主要港口7.2Price:USD5000/MTCIFShanghai,ChinabasedSn:50%7IfSncontentincrease1%,pricewillbeincreaseusd15/mt.價格：建立在Sn:50%,USD5000/MTCIF 中國上海如果錫含量增加1％，價格將增加USD15/MT7.3ReferencePrice（參考價格）:Quotationperiod （作價期限）:Priceisbasedonfixedprice.價格是建立在固定價格基礎上的Article8 –Destinations條款8－目的港8.1Thedateofthebillofladingshallbeconsideredthedateofshipment.提單日視為裝船日8.2Thetermsandconditionsofthecharterpartyagreementbetweenbuyerandtheseafreightlinermustcomplywiththetermsandconditionscontainedinthiscontract.IfanyofthetermsandconditionsdetailedinTheCharterPartyAgreementconflictswiththoseinthiscontract,thetermsandconditionsinthiscontractwillprevail.租船協議必須按照該合同條款來執行。如果租船協議與該合同條款沖突，應按照該合同條款來執行。8.2AlltaxesanddutiesorimportfeesimposedorleviedincountryoffinaldestinationshallbefortheaccountofBuyer.AlltaxesanddutiesorexportfeesimposedorleviedinsideofcountryofloadingportshallbefortheaccountoftheSeller買方由于進口產生的所有稅費和進口費用由買方來承擔。賣方由于出口產生的所有稅費和出口費用由賣方來承擔。88.3Bysigningthisdocument,buyerguaranteesithasauthoritytoimportthecommodity.簽訂合同時，買方承諾可以進口該商品8.4Destinationport: Shanghai-China目的港口：上海－中國Article9 –Payment條款9－付款9.1 ThebuyershallopenirrevocableLetterofCreditofgoodsvalueof25DMT（+/-10%）infavorofsellerwithin7workingdaysafterexecutionofthiscontractpayableatsightagainstdocumentsasspecifiedinArticle10買方簽訂合同后7個工作日內根據條款 商業發票:9.5.TheSeller’sProvisionalcommercialinvoiceshallbemadeoutforinitial90%ofthevaluebasedonthepriceassetforthinArticle7.3andcalculatedonthebasisofqualityandweightin9AfricaaspercertificatesofqualityandweightissuedbySGS.按照的SGS公司出具的質量和磅碼單賣方開具的暫結90%的商業發票9.6.TheSeller’sFinalcommercialinvoiceforthebalancesettlementshallbebasedonthepriceassetforthinArticle7.3andcalculatedbasisCertificateofQualityandWeightissuedby’sfinalAHK/ASA/CCIC/CIQatdischargeport.ThesellercommercialinvoiceshouldbeissuedbasedonthecertificateresultbySGS.按照目的港口SGS的質量和磅碼單進行賣方的最終發票根據條款7.3開具，最終發票金額需建立在SGS報告上。9.7Allbankingchargesatbuyer 中國)indischargingport（Faxcopies）.目的港開具的SGS(中國)的傳真件Article11:INSURANCE條款11:保險11.1.Thesellershallarrangetheinsurance.賣方應安排保險Article12:WEIGHING條款12：磅碼A.WEIGHINGATLOADINGPORT裝運港磅碼Attheloadingport,theSellerattheSeller'sexpenses,appointSGSto determine the weight ofshipment by scale weighing.11目的港買方付費指派算依據SellershallusethisweightasbasisoftheProvisionalinvoice.SellershalladviseBuyerbyfax/emailwithin5workingdaysaftersailingofthevesselfromloadingportofthecontentsofsuchweightandtheamountoftheprovisionalinvoice.在裝運港口由賣方付費指SGS進行貨物的磅碼。賣方使用這個磅碼結果在船開出后5個工作日用傳真/郵件的方式告知買方重量和暫結發票金額。Buyermayatbuyer’sexpenseshaveitsrepresentativeatthetimeofsuchdeterminationattheloadingport.買方可以自付費用在裝運港進行監磅WEIGHINGATDISCHARGINGPORT目的港磅碼Atthedischargingport,thebuyeratthebuyer'sexpensesshallapplySGS(China)toinspectanddeterminetheweightofshipmentbyscaleweighing,TheSGS(China)weightinspectionresultsatdischargingportwillberegardedasfinal.SGS(中國)進行磅碼，其結果作為貨物的最終結Sellermayatseller’sexpensehaveitsrepresentativepresentatthetimeofsuchdetermination.賣方可以自付費用在目的港進行監磅Article13 –Sampling&Analysis條款13－取樣和化驗13.1Atthetimeofloadingofeachshipment,SGS(Africa)appointedbySellerandapprovedbyBuyer,shalltakerepresentativesamplesinaccordancewiththesubjecttoanyadditionand/oramendmentstobemutuallyagreeduponbySellerandBuyerbeforetheshipmentcommences.TherepresentativesamplesshallbesubdividedintofourportionsinaccordancewiththestandardandoneoftheportionsshallbeanalyzedtodeterminedthepercentagesofTin,(Sn)physicalcompositionandthefreemoisturecontentat105CelsiusdegreesassetforthinArticle2.Theanalysisshall,inprinciple,beconductedinaccordancewiththestandard.Three12portionswillbekeptbySGS(Africa).ThecostofsuchsamplingandanalysisshallbeforSeller'saccount.Ifthebuyerisnotsatisfiedwiththeresult,thenthebuyerhastonominateotherauthorizedentitytoinspectatbuyer ’s13.2Onceatdestination,buyerwillhaveSGS(China)toanalysetheshipmentinordertoconfirmtheSGS(Africa)analysistakenatleavingport.Iftherearesignificantdifferencesbetweenbothcertifications,BuyerandsellerwillsettlethesituationbyhavingAHK/ASAclearingthediscrepanciesout.每一批裝運由賣方經買方同意指派 SGS進行取樣和化驗 Sn,粒度和水份。按照標準進行化驗，樣品一式四份，三份由 SGS保留。賣方支付裝運港口取樣和化驗費用。目的港口買方指派 SGS進行取樣和化驗，買方支付取樣和化驗費。如果雙方化驗結果無重大差距，買賣雙方根據目的港報告進行結算CLAUSE14:TITLEANDRISK條款14：所有權和風險ThetitlewithrespecttoeachshipmentshallpassfromSellertotheBuyerwhenSellerreceivesreimbursementoftheproceedsfromtheopeningbankthroughthenegotiatingbankagainstthepresentationofrelativeshippingdocumentsassetforthinClause9賣方呈交條款9所要求的單據并通過議付行收到從開證行交付的貨款，這表明所有權進行了轉移。CLAUSE15:LOSSOFCARGO條款15：貨物遺失Intheeventofatotalpartiallossofcargoaftercompletionofloadingonboardthevesselandbeforecompletionofdischargeatthedischargingport(s),BuyershallmakepaymenttoSelleronthebasisoftotalvalueoftheBill(s)ofLading.在貨物離開裝船港到達目的港之前，如果貨物沒有整個或者部分遺失，買方應按照提單等單據支付貨款Article16
