外銷合同取消協議英文版?ThisCancellationAgreementforExportSalesContract(the"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[CompanyNameofPartyA]Address:[BusinessAddressofPartyA]ContactPerson:[ContactNameofPartyA]ContactInformation:[PhoneNumber/EmailofPartyA]PartyB:Name:[CompanyNameofPartyB]Address:[BusinessAddressofPartyB]ContactPerson:[ContactNameofPartyB]ContactInformation:[PhoneNumber/EmailofPartyB]I.SubjectMatteroftheOriginalExportSalesContractTheoriginalexportsalescontract(the"OriginalContract")dated[dateoftheoriginalcontract]betweenPartyAandPartyBcontemplatedthesaleandpurchaseof[specificdescriptionofthegoodsorservices].Thegoods/servicesweretobedeliveredfrom[originlocation]to[destinationlocation]onorbefore[deliverydatespecifiedintheOriginalContract].ThedetailsofthegoodsorservicesundertheOriginalContractareasfollows:A.Goods1.Description:[Provideadetaileddescriptionofthegoods,includingproductname,specifications,quantity,qualitystandards,etc.].Forexample,ifthegoodsareelectronicdevices,describethebrand,modelnumber,color,andanyspecialfeatures.2.Quantity:[SpecifytheexactquantityofgoodsagreeduponintheOriginalContract].3.QualityStandards:[Refertotherelevantinternationalorindustrystandardsthatthegoodsmustplywith,oriftherearespecificqualitytermsnegotiatedbetweentheparties,detailthemhere].B.Services1.ServiceDescription:[Ifitisaservicecontract,describethenatureoftheservicestobeprovided.Forexample,ifitisalogisticsservice,explainthescopeofservicessuchastransportation,warehousing,andcustomsclearance].2.ServiceRequirements:[Listanyspecificrequirementsormilestonesrelatedtotheservices,suchastheexpectedlevelofperformance,deliverytimelinesforintermediatesteps,etc.].II.ReasonsforCancellationThepartiesherebymutuallyagreetocanceltheOriginalContractduetothefollowingreasons:[Specifythereasonsforcancellation,suchasunforeseencircumstances,changesinbusinessplans,orfailuretomeetcertainpreconditions].Forexample,"PartyAhasencounteredunexpecteddifficultiesinobtainingthenecessaryexportlicenses,whichhavemadeitimpossibletofulfilltheobligationsundertheOriginalContractwithintheagreedtimeframe."III.RightsandObligationsofthePartiesA.Rights1.PartyAPartyAhastherighttorequestthecancellationoftheOriginalContractbasedonthereasonsstatedabove.PartyAreservestherighttoseekreimbursementorindemnificationforanydirectlossessufferedasaresultofthepreparationfortheperformanceoftheOriginalContract,providedthatsuchlossesaredirectlyattributabletothecancellationandaresupportedbyproperdocumentation.2.PartyBPartyBhastherighttoreviewandverifythereasonspresentedbyPartyAforthecancellation.PartyBhastherighttoclaimanylossesithasincurredduetothecancellation,totheextentthatsuchlossesareadirectconsequenceofthecancellationandareproperlydocumented.B.Obligations1.PartyAPartyAshallpromptlynotifyPartyBinwritingofthecancellationdecisionandthereasonstherefor.PartyAshallcooperatewithPartyBtotakeallnecessarystepstounwindthearrangementsmadeundertheOriginalContract.Thisincludes,butisnotlimitedto,returninganyadvancepaymentsreceivedfromPartyB(ifapplicable),andprovidinganyrelevantdocumentationorinformationrelatedtothegoodsorservicesthatwerethesubjectoftheOriginalContract.PartyAshallensurethatanyintellectualpropertyrightsorconfidentialinformationrelatedtotheOriginalContractarehandledinaccordancewithapplicablelawsandanyprioragreementsbetweentheparties.2.PartyBPartyBshallacknowledgethecancellationinwritingwithin[numberofdays]daysofreceivingPartyA'snotice.PartyBshallcooperatewithPartyAintheprocessofunwindingtheOriginalContract.Thismayinvolveacceptingthereturnofanygoodsalreadydelivered(ifapplicable),andprovidingaccesstorelevantfacilitiesorinformationforthepurposeofwindingdownthearrangements.PartyBshallnotuseordiscloseanyconfidentialinformationobtainedfromPartyAduringthecourseofthenegotiationorperformanceoftheOriginalContractwithoutPartyA'spriorwrittenconsent.IV.FinancialArrangementsA.ReturnofPayments1.IfPartyAhasreceivedanyadvancepaymentsfromPartyBundertheOriginalContract,PartyAshallreturnsuchpaymentstoPartyBwithin[numberofdays]daysoftheeffectivedateofthiscancellationagreement.Thereturnofpaymentsshallbemadeby[specifythemethodofpayment,e.g.,banktransfer].2.IfPartyBhasincurredanyexpensesinconnectionwiththepreparationfortheperformanceoftheOriginalContract,PartyAshallreimbursePartyBforsuchreasonableexpensesuponreceiptofproperdocumentationfromPartyB.Thedocumentationshallincludeinvoices,receipts,andanyotherrelevantevidenceoftheexpensesincurred.B.SettlementofOutstandingAmounts1.IntheeventthatthereareanyoutstandingamountspayablebyeitherpartytotheotherundertheOriginalContractasofthedateofcancellation,thepartiesshallsettlesuchamountsinaccordancewiththetermsoftheOriginalContract,exceptasotherwiseprovidedinthiscancellationagreement.2.Ifthereisadisputeregardingthesettlementofoutstandingamounts,thepartiesshallattempttoresolvethedisputethroughfriendlynegotiation.Ifthenegotiationfails,themattershallberesolvedinaccordancewiththedisputeresolutionprovisionssetforthinSectionVIIofthisagreement.V.IntellectualPropertyRights1.AllintellectualpropertyrightsrelatedtothegoodsorservicesundertheOriginalContract,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallremainthepropertyofthepartythatoriginallyownedsuchrights.2.Neitherpartyshalluse,reproduce,disclose,ortransferanyintellectualpropertyrightsoftheotherpartywithoutthepriorwrittenconsentoftherightowningparty.ThisprovisionshallsurvivethecancellationoftheOriginalContract.VI.Confidentiality1.ThepartiesacknowledgethatduringthenegotiationandperformanceoftheOriginalContract,theymayhaveexchangedconfidentialinformation.Eachpartyshallkeepconfidentialallsuchinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.2.Confidentialinformationincludes,butisnotlimitedto,businessplans,customerlists,productdesigns,pricinginformation,andanyotherinformationthatismarkedasconfidentialorthatshouldreasonablybeconsideredconfidentialunderthecircumstances.3.ThisconfidentialityobligationshallsurvivethecancellationoftheOriginalContractforaperiodof[numberofyears]years.VII.DisputeResolution1.Anydisputesarisingoutoforinconnectionwiththiscancellationagreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Thepartiesshallattempttonegotiateasolutionwithin[numberofdays]daysoftheoccurrenceofthedispute.2.Ifthenegotiationfails,thedisputesshallbesubmittedto[nameofthearbitrationinstitution/court]forarbitration/litigationinaccordancewiththerulesof[rulesofthearbitrationinstitution/court].3.Intheeventofarbitration,thearbitrationawardshallbefinalandbindingonbothparties.Thepartiesshallabidebythearbitrationawardandshallcooperateinitsenforcement.Intheeventoflitigation,thedecisionofthecourtshallbefinalandbindingonbothparties,andthepartiesshallplywiththecourt'sjudgmentandanyrelatedorders.VIII.GoverningLawThiscancellationagreementshallbegovernedbyandconstruedinaccordancewiththelawsof[nameofthejurisdiction].Ix.EntireAgreement1.Thiscancellationagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.2.Nomodification
