?ThisAgreementonContractModification(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

I.Recitals

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

II.ModificationoftheOriginalContract

A.SubjectMatterorService

1.ThesubjectmatterorserviceoriginallydescribedintheOriginalContractshallbemodifiedasfollows:

B.RightsandObligations

1.PartyA'sRightsandObligations

III.Consideration

InconsiderationofthemodificationsmadetotheOriginalContract,PartyAshallpayPartyBanadditional/reducedamountof[amount]within[numberofdays]aftertheexecutionofthisAgreement.ThisconsiderationisinfullsettlementofallclaimsandobligationsarisingfromthemodificationoftheOriginalContract.

IV.GoverningLaw

V.Jurisdiction

VI.AmendmentsandWaivers

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

VIII.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

IX.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

InaccordancewithArticle[specificarticlenumber]oftheCivilCodeofthePeople'sRepublicofChina,thepartieshaveclearlydefinedtheirrightsandobligationsinthisAgreementonContractModification.Themodificationoftheoriginalcontractisbasedontheprincipleofequality,voluntariness,fairness,andgoodfaith.Alltermsandconditionsareformulatedtoensuretheproperperformanceofthecontractandtheprotectionofthelegitimaterightsandinterestsofbothparties.IncaseofanydisputesduringtheperformanceofthisAgreement,thepartiesshallresolvetheminaccordancewiththeagreedupongoverninglawandjurisdictionprovisionstomaintainthestabilityandenforceabilityofthecontractrelationship.
