2025合同模板英文版示例2025ContractTemplateEnglishVersionSampleThisContract(hereinafterreferredtoasthe"Agreement")isenteredintoonthisdayof,2025,byandbetween(the"PartyA"or"Client"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat,and(the"PartyB"or"Vendor"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat.1.DefinitionsandInterpretationsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"Services":Shallmeanthegoods,products,orservicestobeprovidedbyPartyBtoPartyAasdetailedinExhibitAattachedhereto."Term":ShallrefertothedurationofthisAgreementasspecifiedherein,includinganyrenewalsorextensionsagreeduponbybothParties."ConfidentialInformation":Shallincludeallnon-public,proprietary,andconfidentialinformationdisclosedbyonePartytotheother,whetherorally,inwriting,orotherwise,includingbutnotlimitedtobusinessstrategies,financialdata,technicalspecifications,andcustomerlists.2.ScopeofServicesPartyBagreestoprovidetheServicesasdescribedinExhibitA,whichformsanintegralpartofthisAgreement.PartyAshallprovideallnecessaryassistance,resources,andinformationrequiredforPartyBtoperformtheServicesinaccordancewiththeagreedtermsandtimelines.3.PaymentTermsThetotalamountpayablebyPartyAfortheServicesis,asdetailedinExhibitA.Paymentsshallbemadeinaccordancewiththefollowingschedule:Initialpaymentof%ofthetotalamountuponsigningofthisAgreement.SubsequentpaymentsshallbemadewithindaysofreceiptofeachinvoiceissuedbyPartyB,subjecttothetermsandconditionsoutlinedherein.4.TermandTerminationThisAgreementshallcommenceon(the"CommencementDate")andcontinueforaperiodof,unlessterminatedearlierinaccordancewiththeprovisionshereunder.EitherPartymayterminatethisAgreementupondays'writtennoticetotheotherParty,providedthatsuchterminationdoesnotviolateanytermsorobligationsherein.5.IntellectualPropertyAllintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,createdinconnectionwiththeServicesshallbeownedexclusivelyby.PartyBshalltransferallsuchrightstoPartyAuponcompletionoftheServices,providedthatPartyAhaspaidallamountsdueunderthisAgreement.6.ConfidentialityBothPartiesagreetomaintaintheconfidentialityofallConfidentialInformationexchangedduringthecourseofthisAgreement.NeitherPartyshalldisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbyapplicablelawsorregulations.ThisobligationshallsurvivetheterminationofthisAgreement.7.IndemnificationPartyBagreestoindemnifyandholdharmlessPartyA,itsaffiliates,officers,directors,employees,andagentsfromanyclaims,damages,losses,orexpenses(includingreasonablelegalfees)arisingoutoforrelatedtoPartyB'sbreachofthisAgreementornegligenceinperformingtheServices.8.WarrantiesPartyBwarrantsthat:TheServiceswillbeprovidedinaprofessionalandworkmanlikemanner.Allmaterials,products,orservicesdeliveredunderthisAgreementshallcomplywithapplicablelaws,regulations,andstandards.PartyBhasthenecessaryauthorityandcapacitytoenterintoandperformthisAgreement.9.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,strikes,orgovernmentalactions.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaForceMajeureeventandmakereasonableeffortstomitigateitseffects.10.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionof.AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesof,orasdeterminedbymutualagreementbetweentheParties.11.MiscellaneousThisAgreementconstitutestheentireunderstandingbetweenthePartiesregardingthesubjectmatterhereofandsupersedesallprioragreements,understandings,orarrangements,whetheroralorwritten,betweenthem.AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.NeitherPartyshallassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.INWITNESSWHEREOF,theParti
