NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementwhichisduetoanyeventbeyondthereasonablecontrolofsuchparty,includingbutnotlimitedtoactsofGod,war,terrorism,civilcommotion,labordisputes,governmentalregulationsorrestrictions,naturaldisasters,andfailuresorinterruptionsofutilitiesortelecommunicationsservices.

DuringthetermofthisAgreementandthereafter,eachpartyagreestomaintaininconfidenceallConfidentialInformationdisclosedtoitbytheotherparty.

26.Indemnification

Eachpartyagreestoindemnify,defend,andholdharmlesstheotherpartyanditsaffiliates,officers,directors,employees,andagentsfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforrelatedtoanybreachofthisAgreementbysuchindemnifyingparty.

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifygoverningjurisdiction],withoutregardtoitsconflictoflawprinciples.
