10、y Party A1.1.5開工日期Date of the project benning: 1.1.6竣工日期Date of the project pletion: 1.1.7工程質量：質量合格，達到本合同要求和國家質量驗收標準，并確保竣工驗收一次合格。驗收內容包括但不僅限于：隱蔽工程；分項工程；實驗報告；材料檢驗報告。如果由于驗收未能一次通過而導致后續工程開工的延遲，乙方將按照每日工程總款的2金額賠償給甲方作為罰金，但最多不超過工程總價款的5。Quality of Project: The quality should be “Ecellent”, and shall meet the

18、labor cost shall NOT be adjusted in any event.Only the pres stimulated in the bidding documents are accepted at the final audit after pletion.1.3.3 因工程調整而產生的工程洽商，如洽商費用超過人民幣五萬元整，則洽商文件必須在工程中期驗收當日被提交給甲方，所產生的洽商費用在交付中期款時一并核算結清。如洽商費用低于五萬元人民幣整，則洽商文件必須在工程驗收當日內提交給甲方，所產生的費用在交付工程驗收款時一并核算結清。If the cost of chang

20、of the change orders are less than 50,000 Yuan, then all change orders issued because of the construction adjustments shall be submitted to Party A on the same day of the construction pletion check and acceptance, and the roved amount will be paid to Party B with the construction pletion payment.第二條

21、：政府批復Artle 2 Government rovals2.1 乙方負責協助甲方辦理此項施工需要辦理的所有政府報批，包括但不僅限于消防、環保的報批與其他與本工程相關的報批，甲方負責政府行政審批的費用。Party B shall be responsible to process government rovals related to the project, including but not limited to: fire control, environment protection and other rovals related to this Project.Party A

22、is responsible for the costs of these rovals2.2 乙方負責其工程報備Party B shall be responsible for construction lations, rovals and related costs.2.3 乙方應承擔2.2所述報備不全而導致的政府罰金，并且不能順延工期。Party B shall be responsible for any government fines due to inplete roval processes, and should NOT cause delay in the constru

23、ction period.第三條：甲方的權利和義務Artle 3 Rights and Obligations of Party A3.1 向乙方提供經確認的施工圖紙或做法說明五份，并向乙方進行現場交底，向乙方提供施工所需要的水電設備，并說明使用注意事項。Party A shall provide FIVE copies of confirmed construction drags and eplanations of work procedures, and shall conduct technal clarifation.Party A shall provide Party B wi

24、th necessary water and power equipment and the instructions on using the equipment.3.2 指派為甲方駐工地代表，負責合同的履行。對工程質量、進度進行監督檢查，辦理驗收、變更事宜。甲方的工地代表如果認為乙方的某雇員行為不當或散漫不羈，或甲方認為該雇員不能勝任，則乙方應立即進行撤換，并且未經甲方實現書面許可，乙方不得在施工中再行雇傭該等人員。被撤換的任何人員應盡可以能立即由甲方代表所批準的勝任的人員代替。Party A oints as the on-site representative to supervise

25、 the fulfillment of contractobligations, to oversee the quality control and check the project progress, and to handle issues such as acceptance and variations. In the event of the on-site representative of Party A believes that any employee of Party B has improper conduct or misbehaviors, or if Part

26、y A consider such employee is not petent for the relevant work, Party B shall dismiss and replace this employee immediately; and unless having received consent by Party A in writing in advance, Party B shall no longer hire the specified employee in the follog phase of this project. Party B should ma

27、ke every effort to replace the dismissed employee with petent personnel authorized by on-site representative of Party A.3.3 甲方按照付款約定向乙方支付工程款。Party A should make payments to Party B according to the payment terms.3.4 如甲方認為乙方確已無能力繼續履行合同的，則甲方有權解除合同，乙方必須在接到甲方書面通知后兩周內撤離場地以便乙方繼續施工。對乙方完成工程量的結算不作為撤離場地的條件，結算

28、應在竣工一個月之內完成，付款方式按照本合同條款。In the event of Party A consider Party B is indeed unable to further fulfill its contract obligations, then Party A has the right to terminate the contract, and Party B should vacate the project site within two weeks after receiving Party A#;s note, so that Party A can resume

29、 construction as soon as possible. Confirmation of finished quantity shall NOT be regarded as a prerequisite to Party B#;s vacation of the project site, and the confirmation should be processed within one month after the project pletion. Payment shall be made according to the payment terms in this c

30、ontract.3.5 甲方有權要求乙方按照甲方的組織設計和施工工期進行施工，乙方如對甲方的要求和指令不予執行的，則按照乙方違約處理，乙方應承擔違約責任。Party A has the right to instruct Party B to do the construction according to Party A#;s organization and planned construction period; in the event of Party B ignores and refuses to observe Party A#;s instructions, Party B

31、will be deemed as breach of the contract, and Party B shall be held responsible for the liabilities of breaching the contract.3.6 甲方有權要求乙方服從甲方的統一安排和管理，乙方的施工人員必須遵守各項規章制度。對于乙方施工人員違規操作所產生的后果，乙方承擔全部責任。甲方有權從工程總價款中扣除相應的款項。Party A has the right to instruct Party B to observe the general arrangement and man

32、agement by Party A, and the construction staffs of Party B must observe all rules and regulations. Party B shall be fully responsible for the consequences of such violations by the staff of Party B. Party A has the right to directly deduct the corresponding amount from the total contract amount.3.7

33、甲方所有的通知可以以書面或口頭形式發出，乙方接獲甲方的通知后應根據通知規定的內容執行。All notes from Party A can be made both in writing and orally, but the oral instructions are only lable to the representative of Party A. Party B shall, upon receiving notes from Party A, eecute the corresponding matters according to the content of the note

34、s.3.8 未經甲方同意，乙方不得將工程轉讓或分包，對于乙方將工程擅自轉讓或分包的，甲方有權解除合同，乙方必須接受并承擔由此造成的一切后果。Party B shall NOT transfer or subcontract the project to any third party without the consent ofParty A; in the event of Party B transfers or subcontracts the project to any third party without the consent of Party A, Party A has t

35、he right to terminate the contract, and Party B must accept and be responsible for any consequence of such violation.3.9 甲方有權制定專業分包商，并按照乙方在投標文件中承諾的配合管理費率向乙方支付配合管理費。Party A has the right to oint special sub-contractors, and shall pay the management fee toParty B according to the rate of subcontract m

36、anagement and coordination fee stipulated in the bidding documents3.10 按照招標文件中的相關條目，甲方有權自行采購材料供給乙方，并按照乙方在投標文件的相關條目中汲取人工費、機械費、輔助材料費等向乙方支付費用。甲方沒有義務向乙方支付其他費用。Party A has the right to purchase and provide Party B with materials on its own, and shall pay labor cost, machinery cost, and accessory cost to

39、ruction and change-orders.4.2 指派為乙方駐工地代表，負責合同的履行，按照要求組織施工，保質保量、按期完成施工任務。解決由乙方負責的各項事宜。乙方駐工地代表在本公司的工作時間不得少于90工作日。Party B oints as the on-site representative of Party B to take charge of fulfilling the contract obligations.The on-site representative of Party B shall organize the construction according

40、to contract requirements so that the project can be pleted according to the quality and quantity requirements and on a timely manner. The on-site representative of Party B shall work on the project site for no fewer than 90 of the total working days.4.3嚴格執行施工規范、安全操作規程、防火安全規定、環境保護規定。嚴格按照圖紙或做法說明進行施工，做

41、好各項質量檢查記錄，參加竣工驗收，編制竣工資料及工程結算。Party B shall strtly observe construction guidelines, safety requirements, fire safety regulations, environment protection regulations and LEED requirements. Party B shall do the construction by strtly adhering to the construction drags and eplanations of work procedures

42、, and shall effectively record each QA/QC inspection. Party B shall attend the pletion acceptance, and develop at-built submittals and final project audit.4.4 根據甲方和設計方一致通過的設計圖紙進行施工，遵從甲方工地代表和設計方的指示，如乙方發現在工程標準和設計圖之間存在不一致時，應以書面形式通知甲方和設計方。Party B shall carry out the construction according to the design

43、drags agreed upon by bothParty A and the designer, shall observe the instructions of designer and the representative of Party A; in the event of Party B finds inconsistence between project standards and design drags, Party B should inform the designer and Party A in writing.4.5 遵守國家或地方政府及有關部門對施工現場管理

44、的規定及甲方的規章制度，妥善保護好施工現場周圍的建筑物、設備管線等不受損壞。做好施工現場保衛、消防和垃圾消納等工作，處理好由于施工帶來的擾民問題及周圍單位（住戶）的關系；如果由于乙方導致任何設施、設備或管道在工地內外受損。將由乙方賠償損失。乙方負責與甲方的施工協調事項，并獨自完全承擔所有相關責任。Party B shall observe polies of on-site management by the state and local governmentauthorities as well as Party A#;s rules and regulations; Party B sh

45、all pensate for the losses to any facilities, equipment or pipelines both inside and outside of the construction yard caused by party B.Party B shall be responsible for the coordination of construction issues with party A, and shall independently and fully assumes corresponding responsibilities.任何原建

46、筑物結構的拆改或設備管道的挪移，乙方應向甲方申報；在甲方批復前，不得擅自動工。Party B should report to party A of any demolition of or variation to any orinal building structure or re-position of equipment pipes; Party B will refrain from any such work prior to receiving Party As roval4.7 乙方應保護所有設備以及工程成品，并承擔竣工移交前所引起損壞的損失賠償。Party B should

47、 protect all equipment and finished parts, and shall assume pensation responsibilities of any losses prior to pletion hand-over.4.8 乙方負責用擴展保險責任批單為與建筑物相關的工程以及工程所需的材料購買工程一切險，乙方及乙方分包商（以下簡稱“分包商”）應對工程進行中自己或其他方的財產出資購買相應的保險，這些財產包括：工棚，鐵架塔，腳手架，工具及其他的一些材料。Party B shall purchase Construction All Risks Insuranc

49、as temporary construction barracks, iron frames and towers, scaffolding, utensils and other materials. 4.9從工程開始至工程竣工驗收報告上所列明的日期之日止，乙方應全權負責整項工程。不管任何原因導致的工程的損壞，乙方負責修理還原，以使整個工程竣工時能完全依照合同要求以及甲方工地代表的指示，狀況良好。From the benning of construction to the pletion date stipulated by the as-built acceptance report,

51、10除非合同另有規定，乙方應就下列事項獨自完全承擔如下賠償責任，并確保甲方完全免責：與因工程施工及維修而對人身造成的任何傷害或損害或對財產造成任何損害有關的所有損失及權利要求。但在下列情形下的賠償或補償除外：Unless otherwise specified, Party B should independently and fully assume the follog pensation liabilities, and eempt Party A from all liabilities: all injury and rights claims related to any pers

52、onal injuries or property damage or loss as a result of the construction project, ecept for the follog pensation or reimbursement:4.10.1 工程或其任何部分永久性使用或占用工地。Permanent use or occupation of land by the project or any part of the project.4.10.2 甲方享有在任何土地上，下，里或穿越其施工的權利。Party A has the right to traverse t

53、he construction site from above, beneath, or inside the site.4.10.3 根據合同規定對財產的損傷或傷害是工程施工或維修之不可避免的后果時。The property damage or loss is an inevitable loss caused by the construction or repair according to the contra requirements.4.11乙方保證施工現場清潔，符合環境衛生管理的有關規定，交工前清理現場達到甲方要求，如達不到甲方的要求，乙方承擔因自身違反規定造成的損失和罰款。Pa

54、rty B shall keep the construction site clean and meet the regulations of environment sanitation, and make sure the condition of the site meets the requirements of Party A. If the condition of the construction site does NOT meet the requirements of Party A, Party B shall be responsible for any loss o

55、r fine as a result of its own violation of such regulations.4.12 乙方必須要按照施工圖所顯示的設計要求施工，并符合施工規范規定。所有因對施工圖的誤解或疏忽引起的施工錯誤，須返工者，其一切費用均有乙方自負，且不得因此延長完工期限。Party B MUST adhere to the design requirements in the construction drags, and must meet the requirements of construction guidelines. Party B shall be full

56、y responsible for any cost of rework on construction mistakes as a result of misunderstanding of the construction drags or negligence, and shall NOT delay the pletion of the project.4.13 乙方應與每位施工人員訂立務工合同，辦理合法務工證件并承擔費用。Party B should sign labor contract with all its construction staffs, and issue pro
