I.Parties

II.Recitals

1.PartyAandPartyBenteredintoa[typeoforiginalcontract,e.g.,salescontract,serviceagreement](the"OriginalContract")dated[dateoforiginalcontract]regarding[descriptionofthesubjectmatterorservice,e.g.,thesaleof[specificgoods],theprovisionof[detailedservice]].

2.Forvariousreasons,thepartieshavemutuallyagreedtocanceltheOriginalContractandwishtosetforththetermsandconditionsofsuchcancellationinthisAgreement.

III.SubjectMatterorServiceDescription

1.OriginalContractSubjectMatter/Service

TheOriginalContractwasforthe[descriptionofthemainpurposeoftheoriginalcontract].Specifically,itinvolved[detaileddescriptionofthegoodsorservices,includingquantity,qualitystandards,specifications,etc.].Forexample,ifitwasasalescontractforgoods,itcouldstate:"ThegoodstobesoldundertheOriginalContractwere[X]unitsof[productname],witheachunitmeetingthefollowingqualitystandards:[listqualitycriteria,suchasdimensions,materialposition,performanceparameters,etc.]."Ifitwasaserviceagreement,itcouldbe:"PartyBwastoprovide[servicename]toPartyA,whichincluded[detailedbreakdownofservices,e.g.,[number]hoursofconsultingservicesperweekforaperiodof[X]months,coveringaspectssuchasmarketanalysis,strategicplanning,etc.]."

IV.AgreementtoCancel

1.ThepartiesherebymutuallyagreetocanceltheOriginalContractwithimmediateeffectasofthedateofthisAgreement.

2.AllrightsandobligationsarisingundertheOriginalContractshallterminateupontheexecutionofthisAgreement,exceptasotherwiseprovidedherein.

V.RightsandObligationsoftheParties

A.PartyA'sRightsandObligations

1.Rights

PartyAshallbereleasedfromallfurtherobligationsundertheOriginalContract.

PartyAhastherighttorequestthereturnofanyprepaidamountsrelatedtotheOriginalContract,ifapplicable.IntheeventthatPartyAhasprepaid[amount]forgoodsorservicesthathavenotbeenprovidedasofthecancellationdate,PartyBshallrefundsuchamounttoPartyAwithin[numberofdays]daysoftheexecutionofthisAgreement.

2.Obligations

PartyAshallcooperatewithPartyBtotheextentnecessarytoeffectuatethecancellationoftheOriginalContract.Thismayincludeprovidinganynecessarydocumentation,information,orassistanceinconnectionwiththecancellationprocess,suchassigninganyrequiredformsorauthorizations.

PartyAshallnotmakeanyfurtheruseofthegoodsorservicesthatwerethesubjectoftheOriginalContractafterthecancellationdate,andshallnotdiscloseanyconfidentialinformationobtainedduringthecourseoftheOriginalContractrelationship.

B.PartyB'sRightsandObligations

1.Rights

PartyBshallbereleasedfromallfurtherobligationstoprovidethegoodsorservicesundertheOriginalContract.

PartyBhastherighttoretainanyamountsalreadyearnedorreceivedinconnectionwiththeperformanceoftheOriginalContractuptothecancellationdate.However,ifPartyBhasreceivedanyprepaidamountsfromPartyAthatareinexcessofthevalueofthegoodsorservicesactuallyprovidedasofthecancellationdate,PartyBshallrefundtheexcessamounttoPartyAwithin[numberofdays]daysoftheexecutionofthisAgreement.

2.Obligations

PartyBshalltakeallreasonablestepstoensurethatanyworkinprogressrelatedtotheOriginalContractispletedinaprofessionalandtimelymanner,ifnecessary,toavoidanynegativeimpactonPartyA.

PartyBshallreturntoPartyAanymaterials,documents,orintellectualpropertyprovidedbyPartyAinconnectionwiththeOriginalContract.PartyBshallalsodestroyorrenderunusableanycopiesofsuchmaterials,documents,orintellectualpropertyinitspossession,exceptasrequiredbylaw.

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyB'sfailuretoplywithitsobligationsunderthisAgreement.

VI.PaymentandRefunds

1.IfthereareanyoutstandingpaymentsduefromPartyAtoPartyBundertheOriginalContractasofthecancellationdate,PartyAshallpaysuchamountstoPartyBwithin[numberofdays]daysoftheexecutionofthisAgreement.

2.Asmentionedabove,ifPartyBhasreceivedprepaidamountsfromPartyAthatareinexcessofthevalueofthegoodsorservicesactuallyprovidedasofthecancellationdate,PartyBshallrefundtheexcessamounttoPartyAwithin[numberofdays]daysoftheexecutionofthisAgreement.Therefundshallbemadeby[paymentmethod,e.g.,banktransfertoPartyA'sdesignatedbankaccount].

VII.Confidentiality

1.EachpartyacknowledgesthatduringthecourseoftheirrelationshipundertheOriginalContract,theymayhavehadaccesstocertainconfidentialinformationoftheotherparty.

2.BothpartiesshallcontinuetobeboundbyanyconfidentialityobligationsarisingundertheOriginalContractoranyprioragreementsbetweentheparties.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclose,use,orpermittheuseofanyconfidentialinformationoftheotherpartyforanypurposeotherthaninconnectionwiththeperformanceoftheirobligationsunderthisAgreement.

3.ThisconfidentialityobligationshallsurvivethecancellationoftheOriginalContractandtheterminationofthisAgreementforaperiodof[numberofyears]years.

VIII.NonSolicitation

1.Foraperiodof[numberofyears]yearsfollowingthecancellationoftheOriginalContract,neitherpartyshalldirectlyorindirectlysolicit,hire,orengagetheservicesofanyemployees,contractors,oragentsoftheotherpartywhowereinvolvedintheperformanceoftheOriginalContract.

2.Thisnonsolicitationobligationisintendedtoprotectthelegitimatebusinessinterestsofeachpartyandpreventunfairpetitionintherecruitmentofkeypersonnel.

IX.GoverningLaw

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[nameofjurisdiction,e.g.,People'sRepublicofChina].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[nameofjurisdiction,e.g.,therelevantcourtsintheplacewheretheparties'principalplaceofbusinessislocated].

X.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

XI.Severability

1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

2.Thepartiesshallnegotiateingoodfaithtoreplacetheinvalid,illegal,orunenforceableprovisionwithavalidprovisionthatmostcloselyapproximatestheeconomicandlegaleffectoftheoriginalprovision.

XII.Counterparts

1.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

2.Thepartiesmayexchangecounterpartsbyelectronicmeans(suchasemailorelectronicdocumentsharingplatforms),andsuchcounterpartsshallhavethesamelegaleffectasoriginalsignedcopies.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractCancellationAgreementasofthedatefirstabovewritten.
