dthatthe[subjectmatter]doesnotinfringeupontheintellectualpropertyrightsofanythirdparty.2.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithanyinfringementofintellectualpropertyrightsrelatedtothe[subjectmatter].3.AllintellectualpropertyrightsarisingoutoforinconnectionwiththeperformanceofthisAgreement,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallbelongtothepartythatcreatedorownsthem,unlessotherwiseagreedinwriting.VIII.TermandTermination1.ThisAgreementshallbeeffectiveasofthedateofexecutionandshallremaininforceforaperiodof[contractterm]years,unlessearlierterminatedinaccordancewiththetermshereof.2.EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[numberofdays]afterreceiptofwrittennotice.3.IntheeventofterminationofthisAgreementforanyreason,eachpartyshallpromptlyreturntotheotherpartyanyConfidentialInformationinitspossessionorcontrolandshallceaseusinganddisclosingsuchinformation.4.UponterminationofthisAgreement,PartyBshallpayPartyAforany[subjectmatter]thathasbeendeliveredandacceptedbyPartyBpriortotheterminationdateinaccordancewiththepaymenttermsherein.IX.ForceMajeure1.Neitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationshereunderduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,civilunrest,strikes,lockouts,orgovernmentactions.2.Thepartyclaimingforcemajeureshallnotifytheotherpartyinwritingassoonaspracticableandshallprovidedetailedinformationaboutthenatureanddurationoftheforcemajeureevent.3.Theaffectedpartyshalluseitsbesteffortstomitigatetheeffectsoftheforcemajeureeventandresumeperformanceofitsobligationsassoonaspossible.X.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheparties.2.Ifthepartiesareunabletoresolvethedisputethroughconsultationswithin[numberofdays],eitherpartymaysubmitthedisputeto[nameofthearbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.
