a.“coal”shallmeanSteamcoal(noncokingcoal)inbulk.煤指的是散裝動力煤（非焦煤）。

B.“countryoforigin”shallmeanSouthKalimantan,indonesia原產國指印度尼西亞加里曼丹南部。

c.“wetBasis”shallmeancoalinitsnaturalwetstate濕基指的是自然水分狀態下的煤。

d.“airdriedBasis”shallmeancoaldriedatroomtemperature.空干基指的是室溫下干的煤。

E.“SuitableVessel”meansvessel,whichissuitableforenteringandleaving(whenloaded)thedischargingportalwayssafelyafloatandfordischargingatthedischargingport.

合適的船舶，指船舶符合卸貨港要求，始終處于安全漂浮的狀態進入和離開（卸完貨）卸貨港，并能安全地進行卸貨作業。

F.“independentSurveyor”shallmeanSGSindonesiaandciQasmutuallyagreedbetweentheSELLERandtheBUYER.SGSShantouchinaasthirdpartysurveyor.

獨立檢測機構指雙方認可的檢測機構，即印度尼西亞SGS和中國檢驗檢疫局，以及第三方檢測機構，中國汕頭SGS。

G.“L/c”shallmeanirrevocableLetterofcreditmadeavailableatSighttothebeneficiaryissuedbyanyprimeinternationalBankwhichisacceptabletotheSELLER’SBank.

H.“aRB”means“asReceivedBasis”.aRB指的是收到基。

J.“iSo”meansthestandardsprescribedbytheinternationalStandardizationorganizationforTestingand

materials.

iSo指的是國際標準化組織的標準。

K.“Businessday”&“workingday”meansanydayotherthanSaturday,Sundayoranypublicholidays.營業日和工作日指的是除星期六、星期日和法定節假日的任何一天。

L.“demurrage”meansachargepayableintheeventtheBuyerisunabletocompletedischargingtheshipwithinagreedlaytime.

滯期費指的是因買方在規定的卸貨時間內不能完成卸貨而產生所要支付的費用。

m.“dispatch”meansthechargepayableintheeventthetheBuyercompletethedischargebeforetheendofthelaytime.

速遣費指的是因買方在規定的卸貨時間之前完成卸貨而應被支付的費用。n.“Kcal/Kg”meanskilocaloriesofenergyperkilogramofcoal.千卡/千克指每一千克煤所含的能量千卡。

o.“USd”,”$”,“USdollar”,”dollar”means(unlessotherwisespecified)thecurrencyoftheUnitedStatesofamerica.

“USd”,”$”,“USdollar”,”dollar”指的是（除非另外規定）美利堅眾合國的貨幣。P.“Tonne”,“Tons”,“Tonnes”,“mT”meansametrictonof1000kilograms.“Tonne”,“Tons”,“Tonnes”,“mT”指1000千克。

Q.“ncV”meansthenetcalorificValueofthesaidcoal.ncV指煤的低位發熱量。

R.afractionofacentinanycalculationshallberoundeduptothenearestcentifsuchfractionisonehalfofacentormore,andshallberoundeddownwhenotherwise.在計算中，零點幾分應四舍五入到最近的分。

S.“Pratique”meanspermissiontodobusinessataportbyashipthathascompliedwithallapplicablelocal

healthregulations.

無疫入港許可證指船舶符合當地衛生法規，允許在一個港口作業。

T.“BasePrice”shallbethepricecturntimeunlessdischargingoperationssoonercommenceddischargingrate.

基準價指寧波到岸價（運費加成本），港口吃水14.10米，卸率是12,000噸每晴天工作日，包括星期天和假期，除非卸貨操作提前開始。

wHEREaSthepartiesmutuallydesiretoexecutethiscontractwhichshallbebindinguponeachpartyandtheirrespectivesuccessorsandassign,inaccordancewiththelawsofthejurisdictionofchoicetogetherwithtermsandconditionasprovidedhereinandmutuallyagreedupon.

鑒于雙方都有意執行此合同，依照法律和此合同條款，此合同對雙方、雙方的繼承人和雙方債權人都有約束力。

第一條：商品

裝運港：按美國材料與試驗協會的標準

卸貨港：按國際標準化組織的標準

第二條：數量、交貨期&有效期

2.1QUanTiTY數量

Thecontractquantityofthecoaltobesoldandpurchasedunderthiscontractis65.000mT±10%inSeller’soption(Sixty-fiveThousandmetricTonsplusminusTenPercent).

此合同項下將出售和購買的煤合同數量是65,000噸，賣方有權上下調整±10%的幅度。2.2LoadinG裝運

ThelatestshipmentdateonL/cisaugust30,20XX.信用證上的最遲裝運日20XX年8月30日。2.4dURaTion有效期

Thiscontractshallremaininforceandbelegallyvalidtillalltheobligationsarefulfilledbyeitherpartytotheotherparty,commencingfromthedateofsigningthiscontracttotheconclusionofthistrialshipment.本合同從簽約日開始有效直至雙方責任和義務履行結束。

第三條：價格

3.1BaSEPRicE基準價

ThepriceforthecoalwithspecificationaspercLaUSE2(two)isUSd$69.00mT(SixtynineUnitedStatesdollars),oncFR(costandFreight)basis,atningbo,china.ThepriceisinclusiveofGoodsinspectionexpensesandanyotherexpensesrequiredfortheexportofcoalfromindonesia.

中國寧波港到港價格（運費加成本）USd69.00/公噸，本到岸價格已包含印度尼西亞出口煤礦的貨物檢驗和其他費用。

Theabovepriceisbasedondischargingrateof12,000mtperdaySHinc12hturntimeunlessdischargingoperationssoonercommencedand14.10mtrsFwdraft,andnootherprevailingrestrictionsforpanamaxvessels.

以上價格基于卸率12,000噸每晴天工作日，包括星期天和假期，除非卸貨操作提前開始，船舶吃水14.1米，對于巴拿馬型的船舶，沒有其他限制條件。

Buyerguaranteethenominateddischargeportshallhaveminimumdraftallowedof14.10m(freshwater)meters.

買方保證被指定的卸貨港口最小吃水為14.1米

3.2ToTaLSHiPmEnTVaLUE貨物總值

considering-ningbo-------Portasdischargeport,theTotalShipmentvalueof65000mTwillbeUSd$-4,485,000withaplusminusoftenpercentallowedinbothquantityandvalue.Partialshipmentandtranshipmentarenotallowed.

就寧波港作為卸貨港而言，65000噸的貨物價值是USd$4,485,000。允許10%的金額和數量的上下幅度。不允許分批裝運和轉運。

3.3PRicEadJUSTmEnT價格調整

一、交貨時間及數量

交貨時間式量原煤產地

自簽定合同之日起15天供貨完畢

二、交貨地點：甲方貨場三、煤炭運輸時間：按甲方要求時間運輸。四、質量要求(以甲方中心化驗室化驗數據為準)1、收到基低位發熱值：Qnet.ar≥5000Kcal/Kg2、揮發份：Vad22%—28%3、全水份：mt≤8%4、含硫量：St.ad≤0.7%5、焦渣特性：2—56、灰份：aad≤24%7、粒度：粒度小于3mm占30%以下，大于3mm占70%以上

五、價格及金額

乙方煤炭達到第四條要求，在5000Kcal/Kg的基礎上，定價為元/噸(按1票結算)。高于5000Kcal/Kg的價格見本合同第七條第四款。

六、煤炭檢驗

1、煤炭檢驗數據以甲方中心化驗室出具的檢驗報告為準。

2、煤炭到貨后，須先經甲方中心化驗室到乙方存貨點(或車內)取樣化驗。如達到

第四條質量要求，甲方通知乙方進煤200-300噸進行試燒。如煤炭適合甲方爐型則繼續履行合同。如不適合甲方爐型則中止該批合同,乙方損失自負。

3、乙方批量供煤過程(1)汽車運輸甲方每500噸化驗一次，連續二次不合格,中止執行合同,責任乙方自負。(2)火車運輸到站后甲方負責到火車站取樣化驗，確定是否接收,運輸中每500噸化驗一次,連續二次不合格,中止執行合同,責任乙方自負。

4、在取樣化驗過程中，甲方安排中心化驗室、熱源部、物資供應部人員參加，乙方安排人員參加，取樣完畢后，按要求填寫熱電燃氣總公司入場煤炭取樣會簽單。

5、在進煤過程中，發現乙方明顯摻假作弊，立即終止合同。甲方中心化驗室單獨取作弊部分化驗，并將化驗結果作為該批次的結帳依據，由此造成的損失由乙方全部承擔。

七、獎罰措施

1、合同簽定的同時，乙方應向甲方交納5萬元的合同保證金(甲方尚欠煤炭款的除外)。

2、乙方嚴格按甲方進煤計劃和本合同有關質量要求供貨，因供貨不及時或未達到本合同有關質量要求給甲方生產造成的一切損失，由乙方承擔，所交保證金甲方不再退還(或從尚欠煤炭款中扣除)。

3、全水份大于8%的部分，按比例扣除重量。

4、收到基低位發熱值在4901-5000Kcal/Kg之間，扣減10元/噸，在

4801-4900Kcal/Kg，扣減20元/噸，低于4800Kcal/Kg拒收，甲方終止合同，已入庫部分按熱值與噸煤產氣量理論值折算扣款。

5、收到基低位發熱值5000Kcal/Kg---5500Kcal/Kg內,每增加100Kcal/Kg，價格上調10元/噸，在5500Kcal/Kg---5800Kcal/Kg內,發熱量每增加100Kcal/Kg，價格上調5元/噸，大于5800Kcal/Kg不再上調價格。

6、含硫量在指標要求范圍內每高于0.1%,價格下調5元/噸.

7、揮發份在指標要求范圍內每降低1%，價格下調10元/噸。

八、數量計量

以甲方地中衡稱量為準，雙方共同監磅。如需外委稱重，需有甲乙雙方共同監磅，并在過磅單上簽字。

九、付款方式及時間

全部接貨并驗收合格后，乙方按要求出舉發票，甲方在十五個工作日內付清貨款。

十、本合同如有變更，雙方另立供貨合同。

十一、本合同如發生糾紛由雙方協商解決，如協商不成，提交黃島區人民法院仲裁。

十二、本合同一式五份，甲方執四份，乙方執一份。

20.Priceadjustmentandrejectionaccordingtoqualityreceived

Undertheagreementofthetwoparties,therewardsandpenaltiestermsshallbeappliedifthequalityofthecoalshippedislowerorhigherthanstandardspecificationsinthecontract.

20.1ForactualGrosscalorificValue,thepriceadjustmentshallasfollowingterms

21.Forcemajeure:

EventsconstitutingForcemajeure

neitherPartyheretoshallbeliableforanydelayorfailureintheperformanceofitsobligationsunderthecontractifandtotheextentthatsuchdelayorfailureisdirectlycausedbyanyeventofForcemajeure.Theexpression“Forcemajeure”asusedinthecontract,meanscauseneitherunforeseeableinnormalplanning,noravoidableusingreasonablediligence,andnotwithinthecontrolofthepartyorPartiesclaimingForcemajeure.including:

actsofGod(naturalforces),warfare,blockade,riots,revolution,insurrection,civiliancommotions,strikes,plagues,epidemics,fires,floods,storms,typhoons,Earthquakes,landslides,obstructionofnavigationattheportofloading,governmentactsincludingpolicychange,ordersofanybranchorsubdivisionthereof,actsofpublicenemiesetc.;Seller’sinabilitytoobtainexportlicenseorBuyer’sinabilitytoobtainimportlicenseorclearance,shallnotbeconsideredasForcemajeure.

21.1.notice

ThepartywhoseperformanceofanyobligationdirectlyaffectedbyaForcemajeureeventshallnotifytheotherpartybyfaxortelegramwithproofatoncetheoccurrencethereof,andshallmakeeveryeffecttomitigatetheadverseeffectthereofonitsperformanceofthecontract.Failuretosubmitsuchalegalnotificationwillnotwaivetheparty’sexonerationfromcontractualobligationsunderForcemajeureevent.

21.2.compensationdelivery
