第一條

租賃范圍

3.3付款方式:乙方應按月

年預先以人民幣交付租金至甲方指定的人民幣帳戶。首期租金在雙方簽署本合同時交付,以后每期租金到期日按□月/□季/□半年/□年順延,但乙方應在每期租金到期日前的_

4.PropertyManagementFee第四條

物業管理

4.1甲方須按時向物業管理公司繳納管理費。付款方式按管理公司有關規定辦理。物業管理公司保留對管理費調整的權利。該管理費不僅僅對此單元,而是對小區所有業主。

4.1PartyAshallpaythepropertymanagementfeetoBeijingSOHOResidencesPropertyManagementCompanyontime.Thepaymentshallbepaidpursuanttotherelevantregulationsofthepropertymanagementcompany.Thepropertymanagementcompanyhastherighttoadjustthepropertymanagementfee.ThepropertymanagementfeeisappliednotonlytothePremisesbutalsotoallownersofBeijingSOHOResidences.

4.2乙方在簽署本合同后,必須遵守《臨時管理規約》、物業管理公司對所有業主和租戶的有關管理規定。

4.2AftertheexecutionofthisContract,PartyBshallcomplywithTheProvisionalManagementRegulationsandotherregulationsappliedtoallownersandlesseesbythepropertymanagementcompany.

5.Deposit

第五條

租賃保證金

5.1雙方在簽署本合同時同意,乙方在

日前將相當于三個月租金總計人民幣

元整的租賃保證金支付給甲方,作為乙方忠實履行本合同各項條款規定和條件的保證金。以下簡稱“保證金”。甲方須在收到此款項后,向乙方提供收據。5.1ThepartiesagreeuponexecutionofthisContractthat,PartyBshallpaytoPartyAadepositequivalenttothreemonthsrent(totalingRMB[

5.2如乙方違反本合同任何條款規定或條件(其中包括但不限于交付租金的規定)給甲方造成實際損失的(其中對裝修、家具、電器的自然磨損除外),由乙方負責賠償。在合同期內,乙方不得將保證金沖抵租金和本合同規定的各項費用,不得將保證金作為轉讓第三者和用于債務的擔保。5.2IfPartyBbreachesanytermsandconditionshereunder(includingbutnotlimitedtoprovisionsregardingrentalpayment)andconsequentlycausesactuallosstoPartyA(exceptfornormalwearandtearofdecoration,offurnitureandofelectronicapplicances),PartyBshallcompensateforsuchloss.DuringthetermofthisContract,PartyBhasnorighttodeductrentalandotherfeespayableunderthisContractfromtheDeposit,andhasnorighttotransfertheDeposittoathirdpartyortousetheDepositassecurityfordebts.

5.3在乙方全部履行本合同各項條款、規定和條件的情況下,并交還該單元、交清所欠費用后,甲方在十五日內退還保證金(不計利息)。5.3PartyAshallrefundtheDepositwithoutinterestswithinfifteendaysprovidedthatPartyBhasfullyperformedthetermsandconditionsofthisContractandhashandedoverthePremisesandpaidalloutstandingfees.

6.

LatePaymentInterests

第六條

延期利息

如乙方未能按照本合同規定支付應付的保證金和其他款項給甲方,或甲方為乙方墊付應由乙方支付的其他款項,乙方應付遲延支付期間的遲延利息,該遲延利息應按日息為所欠款項的0.5‰計算。

IfPartyBfailstopaytheDepositorotherfeespayableunderthisContract,orPartyAhaspaidforPartyBsuchotherfeespayablebyParty,PartyBshallpaylatepaymentinterestsfortheperiodoflatepaymentattherateof0.5‰oftheoutstandingamountperday.

7.

DamageandRepair

第七條

損壞和維修

7.1甲方應保證房屋的建筑結構和設備設施符合建筑、消防等方面的安全條件,不得危及人身安全;乙方應保證在使用過程中遵守國家、北京市的相關法律法規規定。7.1PartyAshallensurethattheconstructionstructureandtheequipmentandfacilityofthePremisesconformtothesafetyconditionsconcerningconstruction,firepreventionandothers,andthePremiseshasnotanydangertothepersonalsafety.PartyBshallensurethattherelevantlawsandregulationsofnationalorBeijinggovernmentshallbeobservedduringuseofthePremises.

7.2租賃期內,甲乙雙方應共同保障房屋及其附屬物品、設備設施處于適用和安全的狀態:

7.2DuringtheTerm,bothpartiesshallensurethatthePremisesanditscontents,equipmentandfacilitiesareinusableandsafecondition:

7.2.1對于房屋及其附屬物品、設備設施因自然屬性或合理使用而導致的損耗,乙方應及時通知甲方修復。甲方應在接到乙方通知后的7日內進行維修。逾期不維修的,乙方可代為維修,費用由甲方在合理合法范圍內承擔。

7.2.1RegardingnormalwearandtearofthePremisesanditscontents,equipmentandfacilities,PartyBshallpromptlynotifyPartyAforrepairandmaintenance.PartyAshallcommencerepairandmaintenancewithin7daysafterreceiptofPartyB’snotice.IfPartyAfailedtodoso,PartyBcanrepairandmaintainforPartyAand,totheextentlawfulandreasonable,theexpensesshallbebornebyPartyA.

7.2.2因乙方保管不當或不合理使用,致使房屋及其附屬物品、設備設施發生損壞或故障的,乙方應負責維修或承擔賠償責任。

7.2.2IfthePremisesanditscontents,equipmentandfacilitiesaredamagedduetoPartyB’simproperkeepingorunreasonableusage,PartyBshallberesponsibleforrepairandmaintenanceandshallbeliableforcompensation.

8.

RightsandObligationsofPartyA

第八條

甲方權利及義務

8.1甲方保證是項目合法的開發主體,其有權合法出租該單元,否則產生的法律責任均由甲方承擔。8.1PartyAherebyguaranteesthatPartyAisthelegaldeveloperoftheprojectandhastherighttolawfullyleasethePremises.Otherwise,PartyAshallbearthelegalliabilityarisingtherefrominfull.

8.2甲方保證該單元是合法開發建設完成的房屋,本合同簽訂時該單元尚未對外銷售,也不存在影響本合同履行的其它法律障礙。8.2PartyAherebyguaranteesthatthePremisesishousingthathasbeendeveloped,constructedandcompletedlegally.ThePremiseshasnotbeensoldonthesignaturedateofthisContract,anditdoesnotexistotherlegalimpedimentswhichmayaffecttheperformanceofthisContract.

8.3甲方保證在租期內,乙方將有權平靜地占有和享用該單元,不會受到甲方或甲方代理人的干擾,但前提是乙方支付了本合同規定的租金和其它費用,并遵守和履行了本合同規定的應由乙方遵守和履行的條款。

8.3PartyAherebyguaranteesthatPartyBshallhavetherighttooccupyandenjoythePremisespeacefullythroughouttheTermwithoutanyinterruptionbyPartyAoritsagents,providedthatPartyBhaspaidtherentandotherfeeshereunderandcomplieswiththetermsandconditionstobeperformedbyPartyBunderthisContract.

8.4乙方出現下列任何情況時,甲方有權單方解除本合同。

8.4PartyAhastherighttoterminatethisContractunilaterallyuponoccurrenceofanyofthefollowingtoPartyB:

8.4.1違反中華人民共和國的法律/法規,利用該單元進行不法經營活動;

8.4.1violatesthelawsortheregulationsofPRCorusesthePremisesforillegalbusinessoperations;

8.4.2未經甲方同意擅自更改該單元的用途;8.4.2changestheusesofthePremiseswithoutconsentofPartyA;

8.4.3未按本合同的有關條款繳納租金;或8.4.3failstopaytherentpursuanttorelevantprovisionshereunder;or

8.4.4未征得甲方同意,擅自將該單元或該單元的部分轉租、轉讓給第三方或及第三方共同使用。8.4.4sub-letsthePremisesorpartsofthePremisestoothers,transfersthePremisestoothersorusesthePremisesjointlywithathirdpartywithouttheconsentofPartyA.

8.5在租期內,乙方自愿無條件放棄該單元的優先購買權。在租期內,甲方有權自由轉讓該單元予任何第三方,但是該轉讓不得影響乙方根據本合同的條款和條件占有、控制和享用該單元的權利。若甲方將該單元出售予第三方,第三方將繼續享有和承擔甲方在本合同項下的所有權利和義務。乙方承諾充分配合甲方辦理該單元的出售及交接手續;乙方不配合交接的,不影響新業主開始繼受出租方在本合同項下的權利義務,乙方須在接到甲方通知之日起按本合同向新業主支付租金,否則須承擔本合同項下的逾期付款違約責任。8.5PartyBagreestowaiveitsrightoffirstrefusalinrespectofthePremisesvoluntarilyandunconditionallyduringtheTerm.DuringtheTerm,PartyAshallbefreetotransferthePremisestoanythirdparty,providedthatsuchtransfershallnotprejudicePartyB’srightstooccupy,controlandusethePremisesinaccordancewiththetermsandconditionsofthisContract.

IfPartyAtransfersthePremisestoathirdparty,suchthirdpartyshallcontinuetoenjoyandbearallrightsandobligationsofPartyAunderthisContract.

PartyBundertakestocooperateinfullwithPartyAinhandlingtherelevantformalitiestosellandhand-overofthePremises.PartyB’sfailuretocooperateforthehand-overshallnotaffecttheassumptionoftherightsandobligationsofthisContractbythenewowner.PartyBshallpayrenttothenewownerinaccordancewiththisContractafterreceiptofPartyA’snotice,otherwisePartyBshallbeartheliabilityforbreachofcontractandlatepaymentunderthisContract.

9.

RightsandObligationsofPartyB

第九條

乙方權利及義務

9.1如果乙方嚴格遵守本合同的各項條款,則乙方有權在租賃期內合理、合法占用和使用該單元。9.1

PartyBisentitledtooccupyandusethePremisesreasonablyandlegallyduringtheTermprovidedthatitstrictlycomplieswiththetermsandconditionsofthisContract.9.2

9.2乙方有權合理使用的公用設施,并承擔有關費用。9.2PartyBisentitledtoreasonablyusethepublicfacilitiesofBeijingSOHOResidencesandbeartherelevantexpenses.

9.3乙方須按時繳付租金以及該單元的電費、水費、煤氣費、電話費、IP主叫長話費、寬帶網絡使用費,以及供乙方使用的其他專門設施的服務費,(甲、乙雙方另有書面約定除外)。9.3PartyBshallpayrentandtheexpensesofelectricity,water,gas,telephone,IDlongdistancecallandADSLincurredatthePremisesandtheservicefeeofotherspecificfacilitiesprovidedforPartyBontime(otherthanthewrittenagreementbetweentheparties).

9.4乙方應負責該單元內部的整潔完好,防止破壞、污染、火災等事故,并有責任監督來訪的客人及朋友愛護甲方的物品,以及小區的公共設施。如由于乙方的原因,給甲方、其他業主和租戶或的公共設施造成損害時,乙方必須賠償損失。

9.4PartyBshallkeeptheinternalpartofthePremisesincleanandgoodconditionandshallpreventdamage,pollutionandfire,etc.

ItshallhavethedutytosupervisehisvisitorsandfriendstoprotectthepropertyofPartyAorthepublicfacilityofBeijingSOHOResidences.IfthereisanydamagecausedtoPartyA,otherownersorlesseesofBeijingSOHOResidencesorthepublicfacilityofBeijingSOHOResidencesduetoPartyB’sreason,PartyBshallcompensateforthelossesarisingtherefrom.

10.

TerminationofContract

第十條

合同的終止

10.1第8.4條所規定的任何情形發生時,甲方有權單方直接終止本合同而無需發出糾正通知。10.1UponoccurrenceofanyoftheeventprescribedunderArticle8.4,PartyAisentitledtounilaterallyterminatethisContractwithouttheneedtoissueanynoticerequestingforrectificationofthebreach.

10.2甲、乙雙方經協商,可達成書面協議提前終止本合同。

10.2ThepartiesmayterminatethisContractearlybyreachingawrittenagreementthroughconsultation.

10.3因發生地震、暴雨、冰雹、火災等其他不能預見的,其發生和后果不能防止或避免的不可抗力致使任何一方不能履行本合同時,遭受不可抗力的一方可免除未能履行本合同項下相關義務的責任(付款義務除外)。10.3IfeitherpartycannotperformthisContractduetotheoccurrenceofanyforcemajeureevents(suchasearthquake,storm,hailandfire)whichcannotbepredictedortheoccurrenceandconsequenceofwhichcannotbeavoided,thepartywhoexperiencetheforcemajeureeventwillbeexemptedfromliabilityforfailuretoperformrelevantobligationsofthisContract(saveforpaymentobligations).

11.

PenaltyforBreach

第十一條

違約責任

11.1任何一方有違反本合同的行為,應就違約行為給對方造成的經濟損失進行賠償。如果屬于雙方的過失,應根據情況,由雙方分別承擔違約責任。11.1AnypartywhobreachesthisContractshallcompensateforanyeconomiclosscausedtotheotherpartyduetothebreach.Iftheeconomiclossisduetodefaultofbothparties,bothpartiesshallbearrespectiveliabilityforbreachinaccordancewiththecircumstance.

11.2如乙方違反本合同第10.1條約定;或乙方違反本合同其它條款并接到甲方書面糾正通知后十四天內不予糾正時,甲方有權單方解除本合同,合同自解除通知送達之日起自動解除。合同解除時,保證金不予退還乙方;若有其它損失或未付費用,甲方仍有權追索。乙方應在解除通知送達之日起三日內遷出并交回該單元于甲方。11.2IfPartyBfailstoperformtheprovisionsofArticle10.1hereof,orPartyBfailstoperformotherprovisionsofthisContractandfailstorectifythebreachafter14daysofreceivingPartyA’swrittennoticerequestingforrectificationofthebreach,PartyAhastherighttoterminatethisContractunilaterally.ThisContractshallbeautomaticallyterminatedfromthedateonwhichtheterminationnoticeisdelivered.UponterminationofthisContract,theDepositshallnotberefundedtoPartyBandPartyAshallhavetherighttoclaimforfurtherlossesoroutstandingfees(ifany),andPartyBshallvacateandreturnthePremisestoPartyAwithinthreedaysfromthedateofdeliveryoftheterminationnotice.

12.

RenewalofLease

第十二條

續租

在本合同有效期內,乙方全部履行本合同各項條款、規定和條件的情況下,乙方有優先要求將本合同租期延長的權利,但乙方須于不遲于租期期滿前六十天提出書面續租要求,并由雙方在租期期滿前三十天前就續租的條件(包括租金和租賃期)達成條件,簽署續租合同,否則甲方可另行出租。甲方可在租期期滿前三十天內,在給予乙方合理通知后將該單元向未來的租戶展示,乙方應盡量配合甲方。

WherePartyBhasfullyperformedtheterms,provisionsandregulationsofthisContractduringthetermofthisContract,PartyBhasthepriorityrighttoextendtheTermunderthisContractprovidedthatithasgivenwrittenapplicationforextensionnolaterthan60daysbeforeexpiryoftheTermandthatthepartieshaveagreedontheconditionsoftheextension(includingrentandtermoflease)andexecutedthecontractfortheextensionoftheleasebynolaterthanthirtydayspriortotheexpirationoftheTerm,failingwhich,PartyAmayleasethePremisestoothers.

PartyAmayshowthePremisestopotentialtenantsbygivingreasonablenoticetoPartyBwithinthirtydayspriortotheexpirationoftheTermandPartyBshalluseitsbesteffortstocooperatewithPartyA.

13.

EarlyTermination

第十三條

提前解約

雙方除10.3款不可抗力等法定理由外,不得提前解約。本合同所定租期開始后,若甲方單方終止本合同,則甲方需向乙方雙倍返還其根據第5.1條的規定收取的保證金;如乙方要求提前解約,甲方扣留乙方已付保證金后,則本合同自動終止。ThepartiesshallnotterminatethisContractexceptforanylegalreasonsuchasforcemajeureunderArticle10.3.AfterthecommencingdateoftheTermunderthisContract,ifPartyAterminatesthisContractunilaterally,PartyAshallreturndoubleamountoftheDepositinaccordancewithArticle5.1.IfPartyBwishestoterminatethisContractearly,PartyAwillholdtheDepositandthisContractshallbeautomaticallyterminated.

14.

Notice

第十四條

通知

任何一方根據本合同發出的通知或其他聯系應以中文書寫并可通過人工送遞或航空掛號郵寄(預付郵資)、公認的快遞服務或以傳真發送至另一方的合同約定地址。通知視為有效送達的日期按以下方法予以確定:AnynoticessentbyonepartytotheotherpartyunderthisContractshallbemadeinChineseandshallbedeliveredbyhand,byregisteredair-mail(withpostagepre-paid),expressdeliveryservicecommonlyrecognizedorbyfaxtotheaddressstipulatedinthisContract.Anoticeshallbedeemedtohavebeendelivered:
