3.1，總供貨量2000噸，+/-5%由買方?jīng)Q定。

3.2船舶載貨量2000噸，+/-5%由買方選擇，船舶規(guī)范須符合第十條之規(guī)定，并需經(jīng)賣方郵件確認。

10.1.裝運船只由買方安排,并自行承擔相關(guān)費用及風險。

10.2.裝貨港船舶代理由賣方推薦，買方有權(quán)指定并承擔相應費用。

10.3.在同賣方協(xié)商后，買方須于裝船期首日前15天宣布一個展期為5天的裝船期。

10.4.買方須于裝船期首日前5個工作日指定受載船舶，買方可以在征得賣方同意后，在符合指定的裝船期內(nèi)有權(quán)更換受載船舶；買方須于裝船期首日前3個工作日天向賣方提供指定船舶的規(guī)范。

10.5.指定的船舶規(guī)范必須達到賣方的接受要求，賣方應在買方提供船舶規(guī)范后12個工作小時內(nèi)確認是否接受。

CLAUSE10.LAY/CAN&Vesselnomination

10.1.ShipmentstobeperformedbyageneralcargovesselwhichisnominatedbyBuyerathisownriskandcost.

10.2.Vessel’sagentatloadingporttobeproposedbySeller,Buyerhasthefinalauthoritytonominateathisowncost.

10.3.Buyershalldeclarea5dayspreadLAYCANatleast15dayspriortothe1stLAYCANdateafterconsultingwithSeller.

10.4.ThevesselshallbenominatedbyBuyeratleast5workingdaysbeforefirstLAY/CANdate.AftergettingthepermissionofSeller,BuyershallhavetheoptiontosubstitutetheperformingvesselwithinthenominatedLAYCANPeriod.BuyershalladviseSellerthefullparticularsofthenominatedvessel3workingdaysbeforethefirstLAY/CANdate.

10.5.ThenominatedvesselshallbesubjecttotheacceptanceofSeller;andSellershallconfirmwhethertoacceptornotwithin12workinghoursfromthetimeofBuyer’snominationadvice.

10.6.Buyershallforecastthevessel’sdailymovementstoSellerbyemailon7/6/5/4daysbasisbeforeexpectedtimeofarrivalatloadingport,andupdatebyemailtheexactETAtoSelleron3/2/1daysbasis.第十一條裝船數(shù)量/重量檢驗

11.1裝船重量由中華人民共和國出入境檢驗檢疫局（以下簡稱為“CIQ”）檢驗確定，相關(guān)費用由賣方承擔。11.2提單上面顯示的重量應以CIQ給出的檢驗結(jié)果為準。11.3裝船袋數(shù)以中國外輪理貨公司提供的數(shù)據(jù)為準，此結(jié)果是終局性的。

CLAUSE11.Inspectionofshippingquantityandweight

賣方應在每船貨物中均勻制取樣品，并將它們分成3份，每份8公斤。3份樣品應該在裝運港貨物生產(chǎn)過程中制成。每一樣品應由賣方以樣品桶或塑料袋密封保存并貼上注明裝船日期及船名的標簽，保存期限為裝船期后至少45天，以備查。

CLAUSE12.Samplingatloadingport

13.1.不論船艙是否清潔以及適合裝運袋裝水泥，在裝貨前，雙方均須同意指定裝運港的CIQ對船艙進行檢驗；

13.2.如果檢驗不合格，將立即通知船長、代理及賣方，船長必須立即安排船舶至指定錨地重新清艙直到合格，備妥通知書遞交無效,應重新遞交.

CLAUSE13.HoldsCleanlinessInspection

13.1.CIQattheloadingportshallbemutuallyappointedbySellerandBuyertoinspectthecleanlinessofvesselholdspriortoloadingcommencement,whethervesselholdsarecleananddryineveryrespectandsuitableforloadingbulkcementornot.

13.2.Ifthevesselholdsfailedtheinitialcleanlinessinspection,theMaster,AgentandSelleraretobenotifiedimmediatelyandtheMastershallarrangetocleantheholdsatanchorageasrequestedtoCIQ’Ssatisfaction,andtheNORshallbere-tenderedunlesspasstheholdsinspection. CLAUSE14.Demurrageanddispatchmoney

貨到目的港后，如買方經(jīng)檢驗發(fā)現(xiàn)貨物品質(zhì)與合同規(guī)格不符，買方須立即通知賣方。賣方應將仲裁樣品送交xxSGS。XxSGS將作為獨立的實驗室對樣品進行檢驗，且檢驗結(jié)果對于買賣雙方是終局性的。若檢驗結(jié)果與本購貨合同所述相符，則送樣及檢驗費用由買方承擔。若檢驗結(jié)果與本購貨合同所述不符合，則送樣及檢驗費用由賣方承擔。

CLAUSE15.Qualitydiscrepancy

IncasethequalityisfoundbyBuyerisnotinconformityasperstipulatedinthecontractattheportofdestination,BuyershallthennotifythesametotheSellerimmediately.SellershallsendtherefereesampletoSGSQingdaooffice.SGSwillanalyzethesampleastheindependentlaboratoryandthetestresultshallbetakenasfinalandbindinguponbothparties.IncasethatthetestresultsareinconformityasperstipulatedintheContract,thecostofdispatchingthesampleandtestingfeesshallbeatBuyer’saccount.IncasethatthetestresultsarenotinconformityasperstipulatedintheContract,,thecostshallbeatSeller’saccount.第十六條不可抗力

16.1.如有不可抗力情形發(fā)生，如火災、爆炸、地震、暴風、雨雪、洪災、干旱或禁運、罷工、戰(zhàn)爭、騷亂、叛亂、顛覆、敵對行為、海關(guān)禁令、政府行為等，賣方對延遲交貨或不交貨不負責任，但應該及時以郵件或傳真方式通知買方。16.2.如果買方要求，賣方應該以特快專遞的方式，向買方提供由中國國際貿(mào)易促進委員會/或出口商所在地的省級國際商會組織出具的不可抗力證明。上述證明應該在買方要求之后的30個工作日之內(nèi)出具。16.3.上述不可抗力的規(guī)定，也適用于買方。16.4.合同雙方應該在該不可抗力情形結(jié)束之后30天內(nèi)協(xié)商決定合同是否應該解除/或部分解除或繼續(xù)履行/或部分履行。CLAUSE16.ForceMajeure

16.1.IncaseofForceMajeurehappens,suchasfire,explosion,earthquake,storm,snowstorm,flood,drought,embargo,strike,warorhostilities,riot,insurrection,hostilities,sabotage,embargo,actofgovernmentalregulations,Sellershallnotbeheldresponsibleforlatedeliveryornon-deliveryoftheCARGO,butshallnotifytheBuyerbyemailorfaxintime.

16.2.TheSellershalldelivertotheBuyerbyregisteredmail,ifsorequestedbytheBuyer,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeortheprovincialChamberofCommercewheretheSellerlocatedat.Suchcertificateshallbeissuedwithin30workingdaysuponBuyer’srequest.

16.3.Theaforementionedforcemajeureshallbealsoapplicabletothebuyer.

16.4.ThetwopartiesoftheSellerandtheBuyershalldeterminewhetherthecontractshallbetotallyterminatedorpartiallyterminatedorcontinuedorpartiallycontinuedwithin30daysafterthepresentforcemajeureeventfinished.

17.1.因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，雙方應通過友好協(xié)商解決，如協(xié)商仍不能達成協(xié)議時，此爭議將被提交仲裁解決。

17.2.發(fā)生仲裁情況時，雙方同意將仲裁提交中國國際經(jīng)濟貿(mào)易仲裁委員會/或其xx分會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力17.3.仲裁費用由敗訴方負擔。

CLAUSE17.Arbitration

17.1.Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughamicablenegotiation.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationforsettlement.

本合同按《聯(lián)合國國際貨物銷售合同公約》（CISG）1980版和《國際貿(mào)易術(shù)語解釋通則》（INCOTERMS2000）2000年版本進行解釋，如二者出現(xiàn)不一致的情況，應遵循后者優(yōu)先的原則。
