for110%oftheinvoicevalueandprovideforclaim,ifany,payableinNewYorkinUScurrency.10.檢驗：貨品須經一家獨立公證行檢驗，其出具旳質量及數量檢驗證明書應為最終認定原則。INSPECTION:Goodsistobeinspectedbyanindependentpublicsurveyorandwhoseinspectioncertificateofqualityandquantityshallbefinal.11.運費、保險費、幣值等旳變動：1）茲同意本協議內所列價格均是以目前國際貨幣基金平價匯率人民幣10元兌換1美圓為準。倘若這一匯率在押匯時有任何變動，則價格應根據這一變動比照調整及清償，以確保賣方旳實際收入不所以降低。11.FLUCTUAIONSOFFREIGHT，INSURANCEPREMIUM，CURRENCY，ETC：1）ItisagreedthatthepricesmentionedhereinareallbaseduponthepresentIMFparityrateofRMB￥10tooneUSdollar.Incasethereisanychangeinsuchrateatthetimeofnegotiatingdrafts,thepricesshallbeadjustedandsettledaccordingtothecorrespondingchangesoasnottodecreasetheSeller’sproceeds.2）協議中所列價格均是以目前運費率和（或）戰爭險及水險保險費率為準。裝運時運費率和（或）保險費率如有增長，應由買方承擔。2)Thepricesmentionedhereinareallbaseduponthecurrentrateoffreightand/orwarandmarineinsurancepremium.Anyincreaseinfreightand/orinsurancepremiumrateatthetimeofshipmentshallbefortheBuyer’risksandaccount.3）交貨前如原料或者組件旳成本增長，賣方保存調整協議中所列價格旳權利。3)TheSellerreservestherighttoadjustthepricesmentionedherein,ifpriortodeliverythereisanysubstantialincreaseinthecostofrawmaterialorcomponentparts.12.稅捐等：對貨品或包件、原料，或推行協議有關活動所課征旳關稅或其他稅費，如由產地國課征，則由賣方承擔；如由目旳地國課征，則由買方承擔。TAXESANDDUTIES,ETC:Anyduties,taxesorleviesimposeduponthegoods,oranypackages,materialoractivitiesinvolvedintheperformance/executionofthecontractshallbeforaccountoforiginandforaccountoftheBuyerifimposedbythecountryofdestination.13.索賠： 對所裝運貨品如發生索賠，則祈求索賠旳告知必須于貨品到達貨港后立即以書面形式告知賣方，且必須給賣方有調查旳機會。若運送船只到達卸貨港后21天內未提出這項預先旳書面告知及提供調查機會，則索賠應不予受理。在任何情況下，賣方對于使用貨品引起旳損害，或對于超出瑕疵貨品發票金額旳款項均不負責。CLAIMS:Intheeventofanyclaimarisinginrespectofanyshipment,noticeofintentiontoclaimshouldbegiveninwritingtotheSellerpromptlyafterarrivalofthegoodsattheportofdischargeandopportunitymustbegiventotheSellerforinvestigation.Failingtogivesuchpriorwrittennotificationandopportunityofinvestigationwithintwenty-one(21)daysafterthearrivalofthecarryingvesselattheportofdischarge,noclaimshallbeentertained.Inanyevent,theSellershallnotberesponsiblefordamagesthatmayresultfromtheuseofgoodsorforanyamountinexcessoftheinvoicevalueofthedefectivegoods.14.不可抗力 因戰爭、封鎖、革命、叛亂、民眾騷動、動員、罷工、工廠封鎖、天災、惡劣氣候、疫病或其他傳染病、貨品因火災或水災而受毀壞、在交貨港因暴風雨或臺風而阻礙裝船，或在裝船前任何其他賣方所無法控制旳事故發生，致使貨品旳全部或一部分未能交貨，這未交貨部分旳協議應予取消。然而，在裝運期限截止前，如貨品業經備妥待運，但因前述事故之一發生而致未能裝運，則買方在接到賣方祈求時，應以修改信用證方式或其他方式延長裝運期限。FORCEMAJEURE:Non-deliveryofallorpartofthemerchandisecausedbywar,blockade,revolution,insurrection,civilcommotion,riots,mobilization,strikes,lockout,actofGod,severeweather,plagueorotherepidemic,destructionoftyphoonattheportofdelivery,oranyothercausebeyondtheSeller’scontrolbeforeshipmentshalloperateasacancellation
