15、smadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesina11respectswiththequalityandspecificationstipulatedinthisContract.Theguaranteeperiodforthetotalsystemshallbel2monthscountingfromtheequipmentshippingtothesite.12 .遲交貨及罰金LateDeliveryandPenalty:除不可抗力的因素外由賣方造成的未按期交貨買方有權要求遲交貨

16、罰金.罰金按每七天%十算，最多不超過合同價的5%為限。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeure,theBuyershavetherighttochargelatedeliverypenaltyat%foreverysevendays,thetotalpenaltywillnotexceed5%ofthetotalcontractvalue.13 .檢驗和索賠InspectionandClaim:(1)發貨前，制造廠應對貨物的質量，規格，性能和數量/重

17、量做精密全面的檢驗，出具檢驗證明書，并說明檢驗的技術數據和結論。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodsinregardtothequalityspecification,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.(2)貨到項目地后，買方將申請中國出入境檢驗檢疫局(以下簡稱商檢局)

18、對貨物的規格和數量/重量進行復檢，如發現貨物殘損或規格，或/和數量與合同規定不符，除保險公司或輪船公司的責任外，買方在貨物到達項目地后60日內憑商檢局出具的檢驗證明書向賣方索賠或拒收該貨物。AfterarrivalofthegoodsatthesitetheBuyersshallapplytotheChinaInspection&QuarantineBureau(hereinafterreferredtoasCIQ)forafurtherinspectioninrespectofthespecificationsandquantity/weightofthegoods.Ifdamage

19、softhegoodsarefound,orthespecificationand/orquantityarenotinconformitywiththestipulationsofthisContract,exceptwhentheresponsibilitiesliewithInsuranceCompanyorShippingCompany,theBuyersshallwithin90daysafterarrivalofthegodsatthesite,claimagainsttheSellers,orrejectthegoodsaccordingtotheinspectioncertif

20、icatesissuedbyCIQ.(3)在保證期限內，如貨物由于設計或制造上的缺陷而發生損壞或/和品質，性能與合同規定不符時，買方將委托中國出入境檢驗檢疫局進行檢驗，并憑其檢驗證明書向賣方提出索賠(包括換貨)，由此產生的全部費用應由賣方承擔。Incaseofdamagesofthegoodsincurredduetothedesignormanufacturedefectsand/orthequalityandperformancearenotinconformitywiththeContract,theBuyersshall,duringtheguaranteeperiod,request

21、CIQtomakeasurveyandshallmakeaclaimagainsttheSellers(includingreplacementofthegoods)andalltheexpensesincurred,therefromshallbebornebytheSellers.(4)若賣方收到上述索賠后三十天內未予答復，則認為賣方已接受上述索賠。TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyers

22、9;claim.14 .不可抗力ForceMajeure:由于人力不可抗拒事故，賣方交貨推遲或不能交貨時責任不在賣方。但賣方應將事故立即通知買方，并于事故發生后十四天內將事故發生地政府主管機關出具的證明書航空郵寄交給買方為憑，并取得買方認可。在上述情況下賣方仍有責任采取一切必要措施加快交貨。TheSellerswillnotbeheldresponsibleforanydelayindeliveryofthegoodsduetoforcemajeure.However,theSellersshalladvisetheBuyersimmediatelyofsuchoccurrenceandwit

23、hinfourteendaysthereafter，shallsendbyairmailtotheBuyersfortheiracceptanceacertificateissuedbythecompetentgovernmentauthoritiesoftheplacewheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryoftheequipment.15 .仲裁Arbitration:凡有關本合同或執行合同所發生的一切爭執，應通過友好協商解決，不能解決則應申請中國國際貿易促進委員會對外貿易仲裁委員會按照中國國際貿易促進委員會對外貿易仲裁委員會的仲裁程序進行仲裁。該委員會作出的裁決是最終的，仲裁費由敗訴方承擔.A11disputesinc
