2、friendly consultation between the Parties, Party A agrees to purchase from Party B the "xxxxxxxxxxxxx" service product as agreed in this Contract at the price and according to the terms as set forth in this Contract. Party B agrees to provide service product to Party A according to the con

3、ditions as agreed in this Contract. Based on the consensus, the Parties signed the following Contract in accordance with the Contract Law of the Peoples Republic of China and other laws and regulations:一、定義 Definition 1、“維護服務合同”：包括甲乙雙方簽署的本合同及合同附件，以及在本合同基礎上，雙方通過書面形式簽署的補充合同或補充約定，也稱“服務合同”；"Mainten

4、ance Service Contract": also referred to as "Service Contract", including this Contract and its Annex signed by the Parties together with the supplementary contract or agreement signed by the Parties in written form based on this Contract;2、“維護服務”：指本合同項下乙方向甲方提供的產品服務范疇，包括本合同第二條及合同附件中約定

5、的所有向甲方提供的服務工作內容；"Maintenance Service": service range of product provided to Party A by Party B under this Contract, including all service works provided to Party A as agreed in the Article 2 and the Annex herein; 3、“技術文檔”：指由向甲方提供服務過程中，使用或產生的技術資料、項目文檔，文檔的形式可以是紙面文件，也可以為電子文檔，技術文檔包括一般文檔和項目專用文檔

6、；"Technical Document": technical data or project document, whether paper based or electronic, used or produced during the provision of service to Party A. Technical document includes general document and project document.4、“服務現場”指本合同中約定的服務實施地（遠程服務下現場指接受服務的客戶端），本合同項下服務現場依據合同的約定可以為多個；"S

7、ervice Site": the place where the service is performed as agreed in this Contract (the service site in remote service refers to the client receiving the service). Several service sites may be agreed on under the Contract;5、“遠程支持”指通過電話、E-MAIL、網絡遠程登錄等方式為甲方提供的非現場服務；"Remote Support": non-

8、site services provided to Party A by telephone, email, remote logon, etc.;6、“服務驗收”：指甲方依據合同的約定對服務產品的運維服務進行考核驗收，可以體現為用戶方對服務響應及故障恢復等的滿意度評價；"Service Acceptance": examination and acceptance for the operation and maintenance services of service product by Party A as agreed in the Contract, which

The fee is included in the Contract Value, so Party A does not need to pay additional fee;3、 合同服務期內，若甲方需要乙方提供合同約定范圍外的相關服務或變更服務時，由甲方承擔費用，費用金額由甲乙雙方根據增加或變更的服務內容協商約定，乙方給予適當的優惠；During the Service Term, in case Pa

15、rty A requests Party B to offer relevant services beyond the range as agreed in the Contract or change the service, Party A shall be liable for the cost, the amount of which shall be agreed on by the Parties through consultation based on the additional or changed service contents. 16、r proper discount;4、 甲方變更系統環境和現場時，至少應提前一個月通知乙方，因此給甲方增加的服務支出由甲方額外承擔，因甲方變更系統環境或現場造成的產生的任何故障或損失不在本合同金額范圍內。In case Party A intends to change the system environment and the site, Party A shall inform Party B at least one month in advance and be liable for the service cost incurred thereof. Any damage or

17、loss caused by the change of system environment and the site by Party A is excluded from the Contract Value.四、維護服務費支付方式及服務生效 Payment of Maintenance Service Fee and Activation of Service1、付款方式：由本協議生效之日起，乙方向甲方開具付款通知書和同等金額增值稅專用發票，甲方在收到付款通知書及增值稅專用發票后15日內向乙方支付以下費用:合同總金額 (含增值稅): RMB：XXXXXXXX 人民幣XXXXXXXXX元

20、方于預檢合格即日啟動甲方所購買服務的交付流程。服務自預檢合格即日正式生效。乙方自到款7個工作日內向甲方提供等額增值稅專用發票。After receiving the total Contract Value, Party B shall provide Party A with the warehousing list of "Westpac Banking Corporation" service product. Party A may perform the warehousing management for the actual stock based on th

21、e detailed list. After entering the warehouse Party A may select from the product list to generate LICENSE according to the practical situation. After each LICENSE is qualified in the activation pre-check, Party B starts the delivery procedures for the service purchased by Party A on the day when th

22、e LICENSE is qualified. The service is officially activated on the qualification day. Party B shall issue the invoice of the same value to Party A within 7 working days from receiving the payment.5、預檢是乙方向甲方提供有效服務的前提條件。如果LICENSE激活預檢不合格，乙方不承擔甲方所購買服務的交付義務，甲方可選擇向乙方另行購買單次服務（單次服務的價格雙方另行協商）或者由甲方自行維修至設備合格后，

23、由乙方啟動甲方所購買服務的交付流程。Pre-check is the prerequisite for Party B to provide effective services to Party A. In case the LICENSE fails to qualify in the activation pre-check, Party B shall not deliver the service purchased by Party A. Party A may otherwise purchase single service from Party B (the price sh

24、all be separately consulted by the Parties) or Party B does not start the delivery procedures of the service purchased by Party A until Party A restores the equipment to the qualification status by its own.五、免責 Disclaimer由于甲方延誤LICENSE激活有效期，導致乙方不能提供服務的，乙方不承擔責任。由于甲方的設備預檢不合格導致乙方不能提供服務的，乙方不承擔責任，甲方交付的合同款

25、項乙方不予退還。Party B is not liable for the failure to provide the service due to delayed activation of LICENSE by Party A. Party B is not liable for the failure to provide the service due to the disqualification of Party A's equipment in pre-check. In such case, Party B does not refund the Contract V

26、alue contributed by Party A.六、違約責任 Breach of Contract1、除甲方原因或不可抗力影響外，如乙方未能按照合同約定的條件提供服務或遲延提供服務，經甲方催告后10天內乙方仍不能提供，則自第11日起，每遲延一天，乙方須向甲方支付遲延服務部分價款的千分之一作為違約金，最高不超過合同總金額的百分之百。Except for Party A's reason or force majeure, in case Party B fails to provide the service in accordance with the conditions a

27、s agreed in the Contract or delays the provision of the service, and still fails to provide the service within 10 days after Party A demands, Party B shall pay 0.1% of the contract value of the delayed potion as liquidated damages for each delayed day from the 11th day, up to 100% of the total Contr

28、act Value.2、除乙方原因或不可抗力影響外，如甲方未能按照合同約定支付訂單金額的，經乙方催告后10天內仍未支付合同款項，則自第11日起，乙方有權暫停服務，并要求甲方每天支付遲延付款部分金額的千分之一作為違約金，最高不超過合同總金額的百分之百。 Except for Party B's reason or force majeure, in case Party A fails to pay the order value as agreed in the Contract, and still fails to pay the Contract Value within 10

29、days after Party B demands, from the 11th day, Party B has right to suspend the service and requests Party A to pay 0.1% of the delayed potion as liquidated damages for each day, up to 100% of the total Contract Value. 3、除另有書面約定，甲乙雙方均不對可能產生的間接損失、可期待利益損失及第三方損失承擔賠償責任。Unless otherwise agreed, neither P

30、arty is liable for potential indirect loss, expected profit loss or loss of the third party.七、不可抗力 Force Majeure任何一方面臨不可抗力事件，包括但不限于火災、水災、地震、臺風、自然災害等不可預見、不可避免且無法控制的情況，致使合同履行遲延或履行不能，受不可抗力影響的一方應以電報或傳真的方式將該情況及時通知乙方，本合同約定履約期限應自動順延。如前述不可抗力致使合同履行遲延或履行不能的情況持續達一百二十日，且雙方未能就合同變更達成一致意見的，任何一方可單方終止合同。因不可抗力原因導致一方未

31、能履約造成對方損失的，不承擔違約及損害賠償責任。In case either Party delays the performance of the Contract or fails to perform the Contract due to force majeure, including but not limited to the unforeseen, inevitable and uncontrollable situations such as fire, flood, earthquake, typhoon， natural disasters, etc., the Part

32、y shall inform the other Party in time by telegram or fax. In such case, the agreed performance period will be automatically delayed. In case the aforesaid force majeure leads to the delay or failure of performance lasts 120 days and the Parties fail to reach consensus on the change of the Contract,

33、 either Party may terminate the Contract on its own discretion. Neither Party is liable for or shall compensate for the other Party's loss arising from the failure to perform the Contract due to force majeure.八、爭議解決 Dispute1、 基于本合同產生的或與本合同相關的任何爭議，甲乙雙方應友好協商解決，協商不成的，任何一方可以將爭議提交甲方住所地人民法院訴訟解決，訴訟費等司法

34、費用由法院的生效判決指定承擔方承擔；The Parties shall settle any dispute arising from or related to this Contract through friendly consultation. In case no agreement is reached through consultation, either Party may apply to the people's court in the place where Party A is located. The judicial expenses, includin

35、g the legal cost, shall be paid by the Party as designated in the effective judgment made by the court.2、 訴訟期間，雙方未涉訴內容應繼續按照合同的約定執行。During the period of litigation, the Parties shall continue to perform the obligations uninvolved as agreed in the Contract.九、合同生效、變更、轉讓及其他事項 Validity, Change, Transfer

36、and Miscellaneous 1、 合同書一式貳份，雙方各執壹份，自雙方法定代表人或授權代表簽字并加蓋雙方印章之日起生效，有效期至本合同項下服務期滿。This Contract is made into two duplicates with each party holding one. The Contract comes into effect from the day when the legal representatives of the Parties or the authorized representatives sign and affix the seal. Th

37、e Contract is valid until the Service Term expires. 2、 本合同的任何變更、修改、增補，需經雙方簽署書面補充協議方為有效。雙方項目經理審核項目變更申請，并做進一步的調查。調查將決定項目變更申請的實施對價格、日程表和其他合同條款所產生的影響。根據變更要求的范圍和復雜程度，甲、乙雙方可對實現變更要求所發生的費用進行磋商。經雙方授權代表對變更事項進行確認后，將簽署相應的補充協議或更改備忘錄。經雙方授權代表簽字蓋章后的補充協議或更改備忘錄將作為本合同的有效附件和執行變更的依據。Any change, modification and addition

The project manages of the Parties shall review the application for project change and make further investigation. The investigation will determine the impact on the price, schedule and other contract articles by the implementation of the project change application. The Parties may discuss about the cost incurred for the implementation of the change based on the scope and complexity of the change request
