1、外籍專家聘用合同EMPLOYMENT CONTRACT OF FOREIGN EXPERT一、 科技有限公司聘請德籍Wolfga ng Krautter(外文姓名)為技術總監,護照號碼:_ 。雙方本著友好合作精神,自愿簽訂本合同并保證認真履行合同中約定的各項 義務。Article 1 Tech no logy Co., Ltd. agrees to employ Wolfga ng Krautter, who is of Germa n n ation ality and whose passport nu mber is_, to serve as its ChiefTech no logy

The two parties, in the spirit of frie ndship and cooperati on, agree to enter into this Con tract and fulfill the liabilities and obligati ons agreed here in.二、 合同期共 12 個月,自 2012 年 7 月 10 日起至 2013 年 7 月 10 日止。受聘方的 試用期為60 天,在試用期內,聘方如發現受聘方健康狀況或專業水平等不能勝任本聘 用合同規定的工作任務,有權解除合同,且無須向其支付任何違約金或補償。A

3、rticle 2 The term of this Con tract shall be 12 mon ths, from July 10, 2012 to July 10, 2013.The probati on period for Employee is 60 days. Withi n the probati on period, in case Employerfinds Employee in compete nt to the tasks stipulated herein due to his health con diti on orprofessi onal capabil

4、ity, Employer shall be en titled to resci nd this Con tract without obligati onto give Employee any liquidated damages or compe nsati on.三、 受聘方的工作任務 Article 3 Tasks of Employee1)員工品質觀念的提升和技術培訓1) Promoti ng Employees aware ness on quality and tech ni cal trai ning;2)品質控管體系的建立,品質的提升,達到德國標準2) Establish

5、i ng quality con trol system and enhancing the quality to meet Germa n Stan dard;3)精密附件和雙層冠的技術指導3) Tech ni cal in struct ions on precise accessories and double den tal crow ns;4)過程技術難點的攻克4) Overco ming the challe nge of process tech no logy;5 ) 技術管理和技術仲裁 5) Technology management and technology arbit

6、ration;6)降低公司的重作率和過程返工返修率6) Lowering the remaking rate and back repair rate for the company;7)優化工藝流程,提高工作效率7) Improving the process flow and enhancing the work efficiency.四、受聘方的月薪為歐元 4500 元,月工作時數為 187 小時(不含用餐時間 ,以 30 天/ 月, 8.5小時*5 天*4 周+2 天*8.5 小時),每小時工資為 24 歐元。(受聘方應當按照 中華人民共和國個人所得稅法依法交納個人所得稅 )Artic

7、le 4 The monthly salary for Employee is 4500 Euros. The monthly working hoursshall be 187 hours (excluding the hours for meals, 30 days a month, 8.5 hours * 5days *4 weeks + 2 days *8.5 hours), and the wage for each working hour is 24Euros. Employee shall pay the individual income tax according to t

8、he IndividualIncome Tax Law of the People s Republic of China.五、受聘方每日工作時間為 9 小時,用餐時間為每次半小時,每周工作時間為五天, 月工作時數為 187 小時。Article 5 Employee shall work 9 hours a day, including half an hour for the meal.Employee shall work 5 days a week and 187 hours a month.六、聘方的義務: Article 6 Liabilities of Employer:1、向受

9、聘方介紹中國有關法律、法規和聘方有關工作制度以及有關外國專家的管理規定。6.1 shall introduce to Employee relevant laws and regulations of China, relevantworking systems of Employer and relevant management requirements on foreign experts.2、對受聘方的工作進行指導、檢查和評估。6.2 shall direct, inspect and assess Employee s work.3、工作期間,免費向受聘方提供吃住。若受聘方需在珠海租

10、房,費用自理。6.3 Shall provide free accommodation and food to Employee during the period in whichEmployee works for Employer. In case Employee needs to rent a house in Zhuhai, Employeeshall be responsible for fees and expenditures incurred therefrom.4 、配備合作共事人員。 6.4 shall assign partners to assist Employe

11、e.5、每月 15 日支付受聘方上月的工作報酬,以人民幣支付,按工資發放日的匯率進行 結算。6.5 shall pay the salary for the previous month on the 15th day of each month in RMBaccording to the exchange rate on the day.6 、受聘方享受中國下列節日休假: 元旦、春節、國際勞動節、國慶節以及法律、法 規規定的其他法定節假日。6.6 shall enable Employee to enjoy the following Chinese holidays and festiv

12、als: New Year sDay, The Spring Festival, International Labor Day, National Day and other statutory holidaysand festivals stipulated by applicable laws and regulations.七、受聘方的義務: Article 7 Obligations of Employee:1、遵守中國的法律、法規,不干預中國的內部事務。7.1 shall abide by the laws and regulations of China and shall no

13、t interfere with the internalaffairs of China.2、遵守聘方的工作制度和有關外國專家的管理規定,接受聘方的工作安排、業務指導、 檢查和評估。未經聘方同意 ,不得兼任與聘方無關的其他勞務。7.2 shall abide by Employer s working system and relevant management requirements onforeign experts; and shall accept work arrangement, operation direction, inspection andassessment mad

14、e by Employer. Without consent of Employer, Employee shall not engage inother labor service irrelevant to Employer.3、按期完成工作任務,保證工作質量7.3 shall complete the tasks on schedule and guarantee the work quality.4、尊重中國的宗教政策。不從事與專家身份不符的活動。7.4 shall respect China s policies on religion; shall not conduct any

15、activity incompatible withthe status of a foreign expert.5、尊重中國人民的道德規范和風俗習慣。7.5 shall respect the Chinese people s moral standards and customs.八、合同的變更、解除和終止:Article 8 Change, Rescission and Termination of the Contract:1、雙方應信守合同,未經雙方一致同意,任何一方不得擅自更改、解除和終止合同。8.1 The two parties hereto shall comply with

16、 this Contract and, without the prior consensusbetween the two, neither party may alter, rescind or terminate this Contract.2、經當事人雙方協商同意后,可以變更、解除和終止合同。在未達成一致意見前,仍 應當嚴格履行合同。8.2 Upon mutual agreement between the two parties through consultation, this Contract maybe changed, rescinded or terminated. Wi

17、thout mutual consensus, the two parties shall strictlycomply with this Contract.3、聘方在下述條件下,有權以書面形式通知受聘方解除合同:8.3 Employer shall have the right to notify Employee in written to rescind this Contract in caseof any of the following situations:1)受聘方不履行合同或者履行合同義務不符合約定條件,經聘方指出后仍不改正的;a. Employee fails to ex

18、ecute this Contract or fails to fulfill any obligations under this Contract incompliance with the agreed manner, and Employee takes no corrective action after Employeradvises Employee of the case;(2)根據醫生診斷,受聘方在病假連續30 天后不能恢復正常工作的;b. according to the diagnose of certain doctors, Employee fails to retu

19、rn to work after 30daysick leave;(3)受聘方嚴重違反聘方的工作制度的;c. Employee materially breaches the working regulations of Employer;(4)受聘方提供的個人信息與事實不符的;d. The personal information provided by Employee is proved untrue;(5)受聘方嚴重瀆職,給聘方造成損失的;e. Employee causes damagess or losses to Employer due to Employees gross m

20、isconduct;(6)受聘方違反中國法律、法規的。f. Employee violates any law or regulations of China.聘方在上述條件下提出解除合同的,無須向受聘方支付任何違約金或經濟補償。In case Employer proposes to rescind this Contract on the ground of any of the abovesituations, Employer shall have no obligation to pay any liquidated damages or economiccompensation t

21、o Employee.4、受聘方在下述情況下,有權以書面形式通知聘方解除合同:8.4 Employee shall have the right to give a written notice to Employer to rescind this Contractin case of any of the following situations: (1) 聘方未按合同約定提供受聘方必要的工作和生活條件; a. Employer fails to provide necessary working and living conditions specified herein toEmplo

22、yee;(2) 聘方未按時支付受聘方報酬。b. Employer fails to pay the compensation to Employee in full on time.5、雙方均不得無故提前終止合同。受聘方如無故提前終止合同,必須在提前一個月向 聘方提出書面申請,未經聘方書面同意,受聘方仍應照常進行工作。聘方書面同意的, 則自同意之日起的兩周后,停發工資,并停止提供受聘方有關生活待遇,回國的一切 費用自理。8.5 Neither party may terminate this Contract without proper reason. In case Employeeter

23、minates this Contract without proper reason, Employee shall apply for termination of thisContract in written at Employer one month in advance. Without Employer s written consent,Employee shall continue to work for Employer as usual. In case Employer agrees on thetermination, Employer will, two weeks

24、 after the consent granted, cease to pay any salary toEmployee and cease to offer any benefits for daily life to Employee. Employee shall be solelyresponsible for any and all costs and expenditures on leaving for his own country.九、違約金: Article 9 Liquidated Damages當事人一方不履行合同或者履行合同義務不符合約定條件,即違反合同時,應當向

25、另 一方支付5002000 美元 (或相當數額的人民幣 )的違約金。In case a party fails to perform this Contract or fails to fulfill any obligations under this Contractin compliance with agreed manner, it shall be deemed that the party breaches this Contractand the party shall pay a liquidated damages to the other at an amount of

26、USD 5002000 (or inRMB at corresponding amount).受聘方因不可抗力事件要求解除合同,需出具有關機構證明,經聘方同意后,離華的 費用自理;受聘方若無故解除合同,除離華費用自理外還應當向聘方支付違約金。In case of any force majeure event and Employee requests to terminate this Contract,Employee shall provide a certificate issued by relevant authority. Upon Employer sconsent, Empl

27、oyee may terminate this Contract and shall be solely responsible for costs andexpenditures on leaving China. In case Employee terminates this Contract without properreason, Employee shall be solely responsible for costs and expenditures on leaving China andalso pay a liquidated damages to Employer.聘

28、方因不可抗力事件要求解除合同,經受聘方同意后,離華費用由聘方負擔;聘方若 無故解除合同,除負擔受聘方離華費用外,還應當向受聘方支付違約金。In case of any force majeure eve nt and Employer requests to term in ate this Con tract,Employer may termi nate this Con tract upon Employee s consent and shall be resp on siblefor costs and expe nditures on leav ing China by Emplo

Employer shall, in additi on to the costs and expe nditures onleav ing China in curred by Employee, pay a liquidated damages to Employee.十、本合同附件為合同不可分割的部分,與合同具有同等效力。Article 10. Any and all attachme nts hereto shall be in alie n

30、able part of this Con tract and shallhave the same effect with this Con tract.十一、本合同自雙方簽字之日起生效。合同期滿,當事人任何一方要求延長聘用合同, 必須在本合同期滿 30 天前向另一方書面提出,經雙方協商同意后簽訂新合同。雙方均 未提出延長聘期或一方不同意延長聘期時,本合同期滿即失效。Article 11 This Con tract shall come into force as soon as it is sig ned by both parties. Uponexpiry date of this

31、Con tract, in case either party intends to exte nd this Con tract, the party shall,30 days prior to expiry date of this Con tract, no tify the other of his inten ti on in writte n and anew employme nt con tract may be en tered into by and between the two parties throughconsultation.
