1、房屋預租/租賃合同Tenancy Agreement單元UnitXXX豪華公寓 Service Apartments二零零三年三月房屋預租/租賃合同Tenancy Agreement一、出租人: (XXX豪華公寓) ( 甲方 )Lessor: ( Party A )二、承租人 ( 乙方 ) Tenant: (Party B ) 三、租賃范圍及用途:Tenancy:3.1甲方同意將其位于 路 號即XXX豪華公寓 室的房屋及其家私家具用品(見附件1列出)與其設施在良好及可租賃的狀態下租給乙方為居住使用,出租房屋的建筑面積為 平方米。Party A hereby agrees to lease Un

2、it No of Changning Road Belvedere Service Apartments, together with the furniture, furnishing and appliances (as referred to in Appendix I) and the related facilities in good and tenantable condition to Party B for residential use. The gross area of the leased property is approximately sq.m. 3.2乙方之雇

3、員及/或乙方之聯營或屬下公司之雇員只能將出租房屋用作住宅用房。The leased property shall be used by any of the employees of Party B and/or Party Bs associate or related companies for residential purpose only.四、租賃期:Term of Tenancy:4.1租賃期為 年,自 年 月 日起至 年 月 日止。租賃期內不得提前終止本合同,如乙方提前退租,甲方有權沒收乙方保證金,如保證金不足彌補甲方的損失,乙方還應承擔相應的賠償責任。合同終止時乙方須付清租金,

4、物業管理費,停車費,電話費及其它費用等,否則甲方將從保證金內扣除該部分費用,乙方仍須對不足部分承擔經濟賠償責任。The tenancy shall be for a term of ( ) year, commencing on and expiring on . 5、rges, meal charges, so on are in arrears up to time of such termination Otherwise, Party A will deduct the outstanding charges from the security deposit and Party B should still compensate the difference if there is any.4.2租賃期滿,如乙方不再根據此條款續約,甲方有權收回全部出租房屋,乙方應如期交還出租房屋予甲方。乙方如要求續租,須在本合同期滿 個月前向甲方提出書面申請,再由

6、雙方另行續租事宜。在同等租賃條件下,乙方有優先權租賃出租房屋。On expiry of the tenancy, if Party B has not exercised its option to renew this Agreement in accordance with this clause, Party A has the right to repossess the entire leased property, and Party B shall deliver the leased property to Party A provided always that Party

7、B shall have the option to renew this Agreement upon giving prior written notice to Party A of its intention to do so at least month before the expiration of this Agreement. Under similar terms of tenancy, Party B has the right of first priority.五、租金Rent:5.1雙方議定的租金為每月 美元,租金包含水,電,煤,一周三次屋內清潔及物業管理費但不包含

8、停車費,電話費,餐費和洗衣費及其它費用。The rent for the leased property as agreed to by both parties is US$ per month, which rent includes water, electricity, gas, management fee and housekeeping three times a week, excludes car parking fee,telephone charges,meal charges as well as laundry fee. 5.2甲方應在每月五日之前出付款通知給乙方。乙

9、方支付甲方每月的租金,應在每個月的十五日以前匯至甲方指定的銀行帳號(按附件2匯款指示),或向甲方支付現金或支票,支票付款期為每月的十日以前。匯款方式支付租金日期以乙方匯出日期為準?,F金與支票以甲方收訖日為準,支票如退票視乙方違約。甲方必須在乙方每次支付后十日內向乙方開具發票。如若拖欠有關發票,甲方視為違約。Party A shall issue a payment advise to Party B before the fifth day of each calendar month. Party B shall pay each months rent in advance, on or

10、before the fifteenth day of each calendar month, by cash or credit card or cheque or remitting the amount of such rent to a bank account designated by Party A ( see attachment 2 ). The date of remittances shall be the date of payment and the date of cash and credit and cheque shall be the date of re

11、ceipt. If the cheque is rejected by bank, Party B shall be treated as in breach of this Agreement. Party A shall provide to Party B the receipt within ten (10) days after Party B makes each payment. In case Party A fails to do so, Party A shall be treated as in breach of this Agreement。5.3如租金到期后七天仍未

12、支付,乙方須按日加付其租金0.5%的滯納金直至付清所有欠繳租金(租金期限參閱5.2)。如超過三十天未付(無論甲方是否提出要求乙方補繳應付租金),根據合同10.2條,本合同自動終止。If the rent is unpaid for seven (7) days after the same has become due and payable, Party B shall be liable to pay a late penalty fee equal to 0.5% of the overdue amount per day until the overdue amount is paid

13、 in full to Party A ( refer to point 5.2 on the dead line for payment). If the rent has not been paid for more than thirty (30) days after the due date (whether such overdue amount has been formally demanded or not), this Agreement shall be automatically determined in accordance with Clause 10.2 of

14、this Agreement.5.4所有租金及其他有關費用均以人民幣或美元支付至甲方指定的帳戶,匯價以付款當月一日中國銀行公布的中間匯價為準。保證金按美金兌人民幣1:8.3計算。All payments of rent and incidental charges, etc. hereunder shall be made in RMB or USD to Party As designated bank account. The exchange rate should be Bank of Chinas middle rate on the first date of the month

The exchange rate of security deposit is 1:8.3.六、保證金Security Deposit:6.1為確保出租房屋及其設施之安全并完好及租賃期內相關費用之如期結算,乙方同意于簽訂合同后、入住公寓前支付給甲方 個月租金的租賃押金計 ,作為乙方確保合同履行之保證金。若乙方以支票形式或匯款方式支付該保證金,則支票或匯款必須在乙方入住之前到帳,否則乙方必須支付現金或信用卡作押金。同時,甲方不接受空白支票作為押金。To ensure the protection and good condition of the leased prop

16、erty and the related facilities as well as the prompt payment and settlement of all related charges during the term of the tenancy, Party B agrees to pay to Party A before the execution of this Agreement a security deposit equivalent to months rental in the amount of US$ as security for Party Bs obl

17、igations hereunder. Should this deposit be paid by cheque or remittance before Party A check in. Otherwise, Party B should pay it by cash or credit card, then Party A will only allow Party B check-in to the apartment after the cheque or remittance is cleared by the bank. In addition, blank cheque wi

18、ll not be accepted.6.2除合同另有約定外,甲方應于租賃期滿或此合同提前終止之期且乙方所租賃房屋設施及家具用品(見附件1)完好無損、并付清所有應付費用后,一個月內將保證金金額無息退還乙方。Unless otherwise provided in this Agreement, Party A shall return to Party B the entire security deposit without interest within one month thereon upon expiration or sooner determination of this Ag

19、reement provided that Party B has vacated the leased property return all furniture and supplies according to attachment 1 in good condition and settled all related charges. 6.3甲方因乙方違反本合同的規定而受的損失,可在保證金中扣抵合理數目,在甲方作出該種扣抵前,需通知乙方將被扣抵的金額和理由,乙方有權拒絕不合理或不公正的抵扣,不足部分乙方必須在接到甲方付款通知后10天內補足。Party A may deduct a re

20、asonable amount from the security deposit towards payment of any actual damages Party A shall have incurred or suffered as a result of Party Bs breach of this Agreement. Prior to making such deductions, Party A shall inform Party B of the amount which it intends to deduct and the reason for making s

21、uch deductions. Party B shall be entitled to object to such deductions if Party B believes that such deductions are unreasonable or unjustified. If the security deposit is not sufficient to cover such amounts, Party B must pay the deficiency within ten (10) days of the receipt of a demand from Party

22、 A.6.4在租賃期頭三個月內,如由于甲方提供的出租房屋結構,裝修及其他設施等原因(在非乙方過失情況下)造成損害以至于影響乙方正常居住,經乙方發出書面通知后七天內甲方仍不改正的或改正無效,乙方有權以書面形式通知甲方終止本租賃合同,乙方已繳付的保證金將如數歸還乙方。During the first three (3) months of this tenancy, if the structure, decoration or other facilities of the leased property provided by Party A shall cause any damage (e

23、xcept for neglect or default of Party B) and thus disrupts the normal and quiet environment of Party B in the leased property, and Party A shall fail to comply with the written demand issued by Party B to rectify it within seven (7) days after receipt of such demand, Party B shall be entitled to iss

24、ue a written notice to Party A to terminate this Agreement, and the security deposit paid by Party B shall be returned in full to Party B. 七、其他費用Other Charges:乙方應承擔租賃期內實際使用而產生的電話費,停車費,餐費和洗衣費等,并按單自行如期交納所屬管理公司或有關機構。During the term of tenancy, Party B is responsible for paying the charges in relation t

25、o telephone charges, and car parking fee on the basis of the amount of such utilities Party B uses. Such charges shall be paid when due according to the invoice therefore received by Party B from the Management Company or relevant authority every month. 八、甲方的責任:Party As Obligations:8.1甲方須按時將出租房屋及其家私

26、家具用品與其設施以良好狀態交付乙方使用。Party A shall deliver on schedule to Party B vacant possession of the leased property including the furniture, furnishing and appliances and the related facilities for Party Bs use.8.2租賃期內甲方不得收回出租房屋(除非本合同另有規定),甲方保證乙方可不受干擾地享用該物業。Party A shall not repossess the leased property duri

27、ng the term of the tenancy (unless otherwise stipulated in this Agreement) nor shall Party A disturb or interfere with Party Bs quiet enjoyment of the leased property.8.3在乙方遵守本合同的條款及交付租金的前提下,乙方有權于租賃期內拒絕甲方或其他人騷擾而安靜享用該出租房屋。Provided that Party B pays the rent and performs and observes Party Bs terms an

28、d conditions in accordance with this Agreement, Party B shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by Party A or any other person.8.4甲方保證在租賃期內出租房屋的結構,進出物業的排水,上下管道,電路等處于良好的使用狀態。甲方對此負有維修及保養責任。所需費用由甲方承擔,乙方無需額外支付,由乙方過失造成的損壞除外。在本合同

29、期間,如因不合理出租房屋結構,進出物業的排水,上下管道,電路等或甲方提供的裝修質量原因造成乙方直接或間接損失,甲方應承擔賠償責任。甲方同意保證提供給乙方的家用電器良好,如果乙方通知甲方或其代理家用電器不能使用,甲方須負責修理或更換. 但對于乙方因使用不當或過失造成損壞的,乙方應承擔相應的賠償責任Party A agrees to repair and maintain the structure, drains, pipes and cables, etc. leading in to or from the leased property at all times in good and t

30、enantable repair during the term of this tenancy. All expenses of the above are to be borne by Party A, unless the damage is caused by Party Bs improper use, in which case Party B would bear the above costs. During the term of this Agreement, Party A shall be liable to compensate for any loss of Par

31、ty B cause directly or indirectly by the structure, drains, pipes and cables, etc. leading to damages of the decorations of the premise and all its furniture and fixtures and everything included in Appendix I.Party A agrees to ensure the proper function of the appliances supplied by Party A. includi

32、ng the repair or replacement of the appliances. Upon proper notification of malfunction by Party B to Party A or the Agent.8.5甲方謹在此聲明及保證甲方有合法地位出租此房屋于乙方。甲方于本合同所作出的聲明及保證,如有錯誤或違反者,甲方須就乙方因此而引致的任何損失、損害、支出及費用作出全部補償(包括但不限于法律費用)。Party A hereby represents and warrants that Party A has the necessary legal cap

33、acity to lease the property to Party B. Party A shall be liable to keep Party B fully indemnified against any costs, expenses, losses and damages incurred to and suffered by Party B as a result of any breach of Party As representations or warranties herein (including but not limited to legal costs).

34、8.6如在租賃期內,出租房屋發生所有權全部或部分的轉移、或其他影響乙方權益的事情時,甲方應保證所有權人或其他影響乙方權益的第三者,能繼續遵守本合同所有條款。縱使出租房屋已被轉移,如乙方于本合同下的權益受此等所有權人或第三所影響或損害,甲方須負責補償乙方的所有損失、損害、支出及費用。If during the term of this tenancy, all or part of the leased property is transferred to a third party by Party A, or Party Bs right to use the leased property

35、 is otherwise affected, Party A shall ensure that such transferee or third party having an effect on Party Bs right to use the leased property will continue to abide by the terms of this Agreement. Even if the leased property is transferred where a transferee or a third party affects Party Bs intere

36、sts under this Agreement, Party A shall continue to be liable to keep Party B fully indemnified against any costs, expenses, losses and damages suffered by Party B.九、乙方的責任:Party Bs Obligations:9.1乙方應按合同的規定, 按時支付租金、保證金及其他各項應付費用。Party B shall promptly pay rent, security deposit and other charges payab

37、le by it in accordance with the terms of this Agreement.9.2乙方經甲方事先書面同意,可在出租房屋內進行裝修及添置設備。租賃期滿必須恢復本合同簽署日的原狀(正常損耗除外),乙方必須承擔因乙方、乙方雇員及乙方訪客等有關人員造成的除正常損耗外的房屋設施,屋內用具和飾品等一切損壞費用,并承擔其費用,經甲方驗收認可后歸還甲方。Party B may, with the prior written consent of Party A, renovate and install additional facilities in the leased

38、 property. Upon expiry of this Agreement, the leased property shall, upon Party As inspection, be returned to Party A in the conditions as at the commencement of this Agreement (fair wear and tear excepted). All expenses arising from any damage to the leased property and the related facilities and a

39、ccessories caused by Party B, its employees, invitees or licensees to the leased property apart from fair wear and tear shall be borne by Party B. 9.3乙方應愛護使用出租房屋,如因乙方的過失或過錯致使房屋設施及屋內用具和飾品受到損壞(正常損耗除外),乙方應負賠償責任。Party B shall treat the leased property with care. If as a result of Party Bs negligence or

40、misconduct, the leased property and the related facilities and accessories suffer any damage (fair wear and tear excepted), Party B shall be responsible for compensating Party A for such damages.9.4乙方應按本合同約定合法使用出租房屋,不得擅自改變使用性質,不應存放中華人民共和國法律下所禁止的危險物品,如因此發生損害,乙方應承擔全部責任。Party B shall use the leased pro

41、perty legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the Peoples Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.9.5乙方不得將

42、出租房屋轉租或租給其他的第三者。Party B may not assign the tenancy or sublet the leased property to a third party.9.6在租賃期的最后 個月,乙方需允許甲方或甲方代理人在事先預約的情況下陪同有意向租客參觀或視察出租房屋。During the last months of the tenancy, Party B shall permit any prospective tenant as accompanied by Party A or its agents to inspect the leased prop

43、erty at reasonable hours by prior appointment.十、違約處理:Breach of Agreement:10.1甲、乙任何一方如未按本合同的條款履行,構成違約,應承擔相應的違約責任。雙方同意違約方應賠償守約方之直接損失(間接和結果性損失除外)。If either Party A or Party B fails to perform its obligations hereunder, it shall constitute a breach of this Agreement and the defaulting party shall be lia

44、ble for the liabilities resulting from such breach. The parties agree that the party in breach shall pay the other party compensation for the direct loss and damage (excluding indirect and consequential loss and damages) suffered by the other party as a result of such breach.10.2乙方有下列行為之一的,甲方有權終止本合同

45、,收回出租房屋,并且保證金不予發還:Party A shall have the right to terminate this Agreement, repossess the leased property and forfeit the security deposit if Party B commits one of the following:a) 未得甲方書面同意,將出租房屋擅自轉租;sublets the leased property without Party As written consent;b) 未得甲方同意將出租房屋擅自拆改結構或改變用途的;或alters the

46、 structure of the leased property or uses the leased property other than for the purpose stated herein without Party As consent; orc) 無故拖欠租金超過三十天(除雙方就本合同存在爭議除外)。fails to pay rent without any reason for more than thirty (30) days after the due date except where there is a dispute in respect of this A

47、greement.十一、適用法律:Applicable Law:本合同的成立,其有效性、解釋、簽署和解決與其有關的一切糾紛均應受中國法律的管轄并依據中國法律解釋。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the Peoples Republic of China.十

48、二、爭議的解決:Dispute Resolution:凡因執行本合同所產生的或與本合同有關的一切爭議,雙方應通過友好協商解決;協商不成,應提交中國國際經濟貿易仲裁委員會,按其仲裁規劃和中華人民共和國仲裁法進行仲裁。仲裁解決是終局的,對雙方都有約束力。In the case of disputes arising over this Agreement or any matters related hereto, the parties shall negotiate in good faith to resolve such disputes. If such negotiation fails, the parties shall submit the dispute to arbitration by the China International Economic and Trade Arbitration Commission in
