The exchange rate shall be at the spot exchange rate from USD to KYATon the day of payment by the handling bank of Party A. Unless otherwise specified by Party B and agreed byParty A, Party A

Alterations5.變更事宜5.1 Party A shall have the right to require increasing the work scope (hereinafter referred to as“Alterations ” ) on the basis of this Contract.5.1甲方有權在此合同的基礎上，要求增加工作范圍(以下稱之為“變更”)。5.2 All the requirements on

17、alteration shall be in the written form, clearly defining necessary alterations. Termination of Contract6. 合同終止6.1 If the termination of this Contract is caused by Party A, Party A shall pay reasonable fees to Party B for the Work (including preparatory work) completed by the date of termination of this Contract. Otherwise, if the terminati

19、on of this Contract is caused by the breach of Party B, Party A shall not pay for the expenses generated.6.1 在因甲方終止合同的情況下，甲方應支付乙方截止合同終止日時已完成的工作(含準備工作)及為此 項工作已發生的合理費用。若因乙方違約導致合同終止的，甲方對已經發生的費用不予支付。7. Responsibilities & Duties7. 責任與義務7.1 Party A and Party B shall guarantee each other that one party sha

20、ll provide support to and protect the other party from any loss, claim, or responsibility caused by or related to this Contract under the following conditions:7.1 甲方和乙方均應相互保證，保護和支持對方在發生以下情況時不受由于本合同或與之相關而產生的任 何形式的損失，索賠或責任：a) Injuries and deaths of any employee, representative or subcontractor s perso

23、he performance of the Contract that cannot be executive, the other party shall be notified immediately.7.3 如果合同雙方任意一方在合同履行過程已意識到任何有可能出現意外而導致合同無法執行的情況時， 應立即通知另一方。7.4Party B shall procure the insurances and bear the premiums in accordance with the provisions relating to insurance as specified in the l

24、aws of the Union of Myanmar. Party B shall ensure that the aforesaid insurances remain effective during the period of validity of this Contract. All the expenses arising from the aforesaid insurances shall be included in the service fees under this Contract and shall be borne by Party B.7.4乙方應根據緬甸聯邦

25、的相關保險法規的規定辦理各項保險并承擔各項保險費用。 乙方應確保上述保險 在本合同有效期間內持續有效。辦理上述保險所發生的所有費用應包含在本合同項下的總費中，由乙方自 行承擔。8. Force Majeure8.不可抗力8.1 Force Majeure refers to the events that cannot be predicted by either party of the Contract and their occurrence and consequences cannot be avoided, including but not limited to wars, un

26、rests, fires and natural disasters such as wind, rain and earthquake etc.8.1 不可抗力是指合同的任何一方不能預見，對其發生和后果不能避免.并無法控制的事件，包括但不限于戰爭、動亂、火災以及風、雨、地震等自然災害。8.2 Any party shall timely notify the other party when it is unable to perform the Contract due to Force Majeure. After gaining the certificate of related a

27、uthority, the performance of the Contract could be delayed or suspended temporarily. Each party shall notify the other party of actual conditions, and continue to 10perform the Contract after the end or disappearance of Force Majeure. Both Parties can be exempted from some parts or all of the liabil

28、ities for breach of the Contract according to the actual conditions.
