I.SubjectMatteroftheTraining

PartyAshallprovidetrainingservices(the"Training")toPartyBinthefollowingspecificareas:[Describeindetailthecontentofthetraining,suchasspecificskills,knowledge,orprofessionaldevelopmentareas].TheTrainingwillbedeliveredthroughabinationoftheoreticallectures,practicalexercises,casestudies,andonsitedemonstrationsasappropriate.

II.RightsandObligationsofPartyA

A.Obligations

1.TrainingDelivery

PartyAshallarrangequalifiedandexperiencedtrainerstoconducttheTraining.ThetrainersshallpossessthenecessaryprofessionalknowledgeandteachingskillsrelevanttotheTrainingcontent.

PartyAshallprepareadetailedtrainingplan,includingthetrainingschedule,curriculumoutline,andteachingmaterials.ThetrainingplanshallbesubmittedtoPartyBforreviewandapprovalatleast[numberofdays]daysbeforethestartoftheTraining.

PartyAshallensurethattheTrainingisconductedinaccordancewiththeapprovedtrainingplanandrelevantindustrystandards.

2.QualityAssurance

PartyAshallberesponsibleforthequalityoftheTraining.ItshallmonitortheprogressandeffectivenessoftheTrainingduringtheprocessandmaketimelyadjustmentsifnecessarytoensurethatPartyBcanachievetheexpectedtrainingobjectives.

PartyAshallprovidePartyBwithfeedbackontheperformanceofPartyB'straineesduringtheTraining,includingbutnotlimitedtolearningprogress,participation,andpracticalskillsimprovement.

3.Compliance

PartyAshallensurethattheTrainingservicesprovidedplywithallapplicablelaws,regulations,andindustrybestpractices.

B.Rights

1.PaymentCollection

PartyAhastherighttoreceivepaymentfromPartyBinaccordancewiththetermsandconditionsofthisAgreement.

2.TrainingAdjustment

IncaseofunforeseencircumstancesthataffectthenormalprogressoftheTraining,PartyAhastherighttomakereasonableadjustmentstothetrainingplan,providedthatsuchadjustmentsarenotifiedtoPartyBinatimelymanner.

III.RightsandObligationsofPartyB

A.Obligations

1.ParticipationandCooperation

PartyBshallensurethatitsdesignatedtrainees(the"Trainees")activelyparticipateintheTraining.TheTraineesshallabidebythetrainingrulesandregulationsestablishedbyPartyAduringtheTrainingperiod.

PartyBshallcooperatewithPartyAinprovidingnecessaryinformationandresourcesrelatedtotheTrainees,suchastrainees'backgroundinformation,learningneeds,etc.,tofacilitatethesmoothprogressoftheTraining.

2.Payment

PartyBshallpaythetrainingfeestoPartyAinaccordancewiththepaymenttermsspecifiedinthisAgreement.Thetotaltrainingfeesamountto[currencyandamount].

3.Confidentiality

PartyBshallkeepconfidentialallinformationobtainedduringtheTraining,includingbutnotlimitedtotrainingmaterials,teachingmethods,andbusinesssecretsofPartyA.PartyBshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

B.Rights

1.TrainingEvaluation

PartyBhastherighttoevaluatethequalityoftheTrainingprovidedbyPartyA.PartyBshallprovidewrittenfeedbacktoPartyAwithin[numberofdays]daysafterthepletionoftheTraining,indicatingareasofsatisfactionandareasforimprovement.

2.TraineeManagement

PartyBhastherighttomanagetheTrainees'attendanceandperformanceduringtheTraining.However,PartyBshallensurethattheTrainees'managementdoesnotinterferewiththenormalprogressoftheTrainingarrangedbyPartyA.

IV.TrainingFeesandPaymentTerms

A.TrainingFees

ThetotaltrainingfeesforthisTrainingserviceare[currencyandamount].

B.PaymentTerms

1.AdvancePayment

PartyBshallpayanadvancepaymentof[percentage]%ofthetotaltrainingfees,i.e.,[currencyandamount],toPartyAwithin[numberofdays]daysafterthesigningofthisAgreement.

2.InterimPayment

Afterthepletionof[specificstage]oftheTraining,PartyBshallpay[percentage]%ofthetotaltrainingfees,i.e.,[currencyandamount],toPartyAwithin[numberofdays]days.

3.FinalPayment

UponthesuccessfulpletionoftheentireTrainingandPartyB'ssatisfactionwiththeTrainingresults,PartyBshallpaytheremaining[percentage]%ofthetotaltrainingfees,i.e.,[currencyandamount],toPartyAwithin[numberofdays]days.

PartyAshallissueinvoicestoPartyBforeachpaymentreceived.

V.Confidentiality

1.DefinitionofConfidentialInformation

"ConfidentialInformation"shallincludeallinformationdisclosedbyonepartytotheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtotrainingmaterials,businessplans,financialinformation,andanyotherinformationmarkedasconfidential.

2.ObligationtoKeepConfidential

EachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

3.Exceptions

Thisconfidentialityobligationshallnotapplytoinformationthat:

isalreadyinthepublicdomainthroughnofaultofthereceivingparty;

isrequiredtobedisclosedbylaw;

isdisclosedtothereceivingparty'slegal,accounting,orotherprofessionaladvisorsonaneedtoknowbasis,providedthatsuchadvisorsarealsoboundbyconfidentialityobligations.

VI.IntellectualPropertyRights

1.OwnershipofTrainingMaterials

PartyAshallretaintheownershipofalltrainingmaterialsdevelopedorusedinconnectionwiththeTraining,includingbutnotlimitedtolecturenotes,slides,handouts,andonlinelearningresources.

2.UseofTrainingMaterials

PartyBshallhavetherighttousethetrainingmaterialssolelyforthepurposeoftheTrainees'participationintheTrainingunderthisAgreement.PartyBshallnotcopy,reproduce,distribute,ormodifythetrainingmaterialswithoutthepriorwrittenconsentofPartyA.

VII.Termination

1.TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementofPartyAandPartyB.

2.TerminationforBreach

IfeitherpartymateriallybreachesthisAgreement,thenonbreachingpartyhastherighttoterminatethisAgreementbygivingwrittennoticetothebreachingparty.Thebreachingpartyshallbeliableforanydamagescausedtothenonbreachingpartyasaresultofthebreach.

3.ConsequencesofTermination

UponterminationofthisAgreement,PartyBshallpayPartyAalloutstandingtrainingfeesuptothedateoftermination.PartyAshallreturntoPartyBanyunconsumedtrainingservicesorprepaidfees,ifapplicable,inaccordancewiththeprovisionsofthisAgreement.

VIII.Liability

1.LimitedLiability

Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,incidental,orconsequentialdamages,includingbutnotlimitedtolossofprofits,lossofbusinessopportunities,ordamagetoreputation,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

2.LiabilityforBreach

EachpartyshallbeliableforanydamagescausedtotheotherpartyasaresultofitsbreachofthisAgreement.Theliabilityshallbelimitedtotheactuallossessufferedbythenonbreachingparty,providedthatthenonbreachingpartyhastakenreasonablemeasurestomitigatesuchlosses.

Ix.DisputeResolution

1.Negotiation

AnydisputesarisingoutoforinconnectionwiththisAgreementshallfirstberesolvedthroughfriendlynegotiationbetweenPartyAandPartyB.

2.ArbitrationorLitigation

Ifthenegotiationfails,thepartiesshallchooseeitherarbitrationorlitigationtoresolvethedisputes:
