LICENSE:

OBLIGATIONS:

1.TheLicenseeshallpaytotheLicensortheLicenseFee(asdefinedbelow)inaccordancewiththepaymenttermssetforthinExhibitAattachedhereto.

2.TheLicenseeshallcomplywithallapplicablelawsandregulationsinconnectionwiththeuseofthePatentRights.

3.TheLicenseeshallprovidetheLicensorwithacopyofeachproductthatincorporatesthePatentRights,upontheLicensor'srequest.

TERMANDTERMINATION:

1.ThisAgreementshallcommenceontheEffectiveDate(asdefinedbelow)andshallcontinueforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.EitherpartymayterminatethisAgreementupon[NoticePeriod]days'writtennoticetotheotherparty,foranyreason.

CONFIDENTIALITY:
