鑒于,員工同意并且希望按本合同下述條款為公司提供服務、公司建立勞動關系;公司亦同意聘用員工作為正式雇員;

NOWTHEREFORE,theCompanyandtheEmployee,onthebasisoftheirequalandself—willingnegotiation,agreetoenterintothisAgreementandestablishtheemploymentrelationshipinaccordancewiththeEmploymentAgreementLawofthePeople’sRepublicofChinaandotherrelevantlawsandregulations。

因此,公司和員工本著協商一致的原則,根據《中華人民共和國勞動合同法》及其他相關法律法規同意簽署該勞動合同、建立勞動關系。

TermofAgreement合同期限ThepartiesagreethatthetermofthisAgreementwillbeanindefiniteperiodoftime,startingfrommacrobuttonnomacro[Fillinplease],withoutprobationperiod..本合同期限為無固定期限合同,從macrobuttonnomacro[請輸入勞動合同開始時間]開始。Position&JobDescription崗位與職責描述AccordingtotherequirementoftheCompany’soperationandbusiness,theCompanyherebyengagestheEmployeeasSeniorConsultantwithsuchduties,authorityandresponsibilitiesasarenormallyassociatedwithandappropriateforsuchpositions.TheEmployeeherebyagreestoacceptthisposition。TheEmployeewillreporttothepersonasdesignatedbytheCompany.

根據公司業務要求,公司聘任員工擔任高級咨詢顧問,員工同意接受公司的聘任。員工直接向公司指定人員匯報工作。TheCompanyhirestheEmployeetoperformworkinaccordancewiththejobdescriptioncontainedinExhibitAtothisAgreement。TheEmployeeshallperformtheworkasdescribedinExhibitA。

公司可根據本合同附件的職責描述安排員工工作,員工按照附件中的職責描述履行工作職責。Inaddition,orasanalternativetoEmployee’snormalduties,theEmployeemayatanytimeandfromtimetotimeberequiredtoundertakeonatemporaryorpermanentbasisotherdutieswithinanydepartmentoftheCompanythatarereasonablyconsistentwithEmployee’spositionandwithinEmployee'scapabilitiesastheneedsoftheCompany’sbusinessmayrequire。

除了員工的日常職責外,公司因為業務需要、在符合員工職位和能力的前提下,可隨時要求員工承擔公司其他部門的臨時性或長期性的工作.Notwithstandingtheforegoing,theCompanymayadjusttheEmployee’spositionorjobdescriptionbasedontheoperationandbusinessoftheCompanyandprofessionalabilities,performanceandphysicalconditionoftheEmployee.TheEmployeeshallaccepttheCompany’sadjustment(s)。

盡管有前述約定,但根據公司業務和運營情況,考慮員工的業務能力、工作表現和身體情況后,公司可對員工職位或工作職責進行調整.員工應接受公司的相應調整.TheEmployeeisnotauthorisedtobindtheCompanyoritsparentcompany,oranyofitsrelatedentities(“AssociatedCompany")orenterinto,onbehalfoftheCompanyoranyofitsAssociatedCompany,anycontracts,deeds,agreements,assignmentsorotherlegaldocumentsandpapersthatcreatelegalobligationsandliabilitiesonthepartoftheCompanyoranyAssociatedCompany,includingbutnotlimitedtoAgreementforthesaleorprovisionofservicesorproducts,leaseagreements,loansorotherformsofborrowingonbehalfoftheCompanyoranyAssociatedCompany。

員工無權代表公司、公司的母公司或關聯方簽訂任何有法律約束力的合同、契約、協議、委派書等法律文件。這些法律文件包括但不限于員工以公司或公司關聯方名義簽署的銷售協議、服務和貨物服務協議、租賃協議、貸款或其他形式的借款協議等.Remuneration工作薪酬及其他It'sagreedbybothpartiesthatthepre—tax,grossannualbasesalaryismacrobuttonnomacro[Fillinplease]whichshallpaidtothedesignatedbankaccountasinstructedbytheEmployer。Anyexchangerate(ifapplicable)shallbesubjecttothemiddlerateasannouncedbytheStateAdministrationofForeignExchange()onthedayforpaymentofthesalary.Incasethereareanyspecialarrangementswithregardtothecurrencyofpayment,wayofpayment,frequencyofpaymentanddesignatedpaymentaccount,etc,bothpartiesmayagreeseparatelyintheformofannex。

員工的稅前年工資為macrobuttonnomacro[請輸入工資數額及幣種],由公司發放至指定賬戶.如涉及到匯率問題,匯率以發放工資當天中國國家外管局公布的人民幣中間價(http://)為準。如雙方對于支付的幣種、方式、時間及指定支付的賬戶等有特別約定的,另行以附件方式確定。

heCompanymayalso,atitsolediscretiondecidewhethertopayabonustotheEmployeeinaccordancewiththeCompany'sbonuspolicy,asamendedfromtimetotime,andaccordingtothePRCregulationsortheCompany'sinternalprocedures。公司也可以根據其不時修訂之獎金制度、國家法規或公司的內部程序自行決定獎金發放事宜.

TheEmployeeshallpaytheindividualincometaxinaccordancewithapplicablelawsandregulations.TheCompanyshallbeobligedtowithholdtheindividualincometaxfortheEmployeeanddeclaretothecompetenttaxauthorityonhisbehalf。

員工應根據稅法規定繳納個人所得稅。公司負責從員工工資中扣除個人所得稅并予申報、繳納.

BothPartiesagreethatEmployeeshallchecktheaccuracyofthepaidremunerationincludingwithoutlimitationtobasesalary,bonus,overtimepaymentetc.bytheCompanyintimelymanner.ShouldthereisanydisputeovertheamountofremunerationpaidbytheCompany,theEmployeeshallnotifytheCompanywith3businessdaysinwrittenwithoutanydelay。Otherwiseitshallbedeemedthatallthedueandpayableremunerationhasbeensettledproperly.

雙方約定:員工對于公司支付的薪酬,包括工資、獎金、加班費等應當及時進行核查。員工對前述支付有異議時,應自收到該等支付后3個工作日內以書面方式向公司提出;逾期未提出異議的,視為應付薪酬已全部結清。

TheEmployeeagreestohonourtheCompany’spolicyandkeepstrictconfidentialofanysalaryinformation.

員工同意遵守公司實行的工資保密原則,對工資信息承擔嚴格的保密義務。

TheCompanyshallbeentitledtomakearateabledeductionfromEmployee'ssalaryforitemsincludingwithoutlimitationto,timelostthroughaccident,defaultorotherabsence,debttotheCompany,costofCompanypropertynotreturnedonterminationofemployment,economiclosscausedbytheEmployeetotheCompanyduetohis/hernegligenceofjoborviolationoftheAgreement,andotherswhereauthorisedbyanylawsandregulations.

對于因乙方事假缺勤、欠付公司款項、未歸還公司物品、因失職或違約給公司造成損失,以及其他法定事項,公司有權從員工的工資報酬中做相應的扣除。

TheCompanyshallcontributethemandatorysocialsecurity&housingfundtotheEmployeeinaccordancewithapplicablelawsandregulations。

公司應根據相關法律為員工繳納社會保險和住房公積金等法定福利。

TheEmployeeshallnotreceiveanycompensation,benefitsorpaymentsfromtheCompanyinadditiontothecompensation,benefitsorpaymentsdescribedinthisAgreement(includingitsexhibit)unlessotherwisespecifiedinrelevantnationalandlocallawsandregulations,ordeterminedbytheCompany,initssolediscretion。

除本合同(含其附件)所述的報酬、福利和付款以外,員工無權從公司獲得其它補償、福利和付款,除非根據國家和地區相關法律法規的另行規定,或公司自行決定。Workinghours工作時間Thestandardofficehoursarefrom9:00a。m。to6:00p.m。withonehouroffforlunchbetween1:00p。m.and2:00p。m.MondaystoFridays,orsuchothertimesastheCompanymayfromtimetotimestipulate。

標準工作期間為每周一至周五自早9點至晚6:00點,其中1:00p.m。至2:00p。m。為午餐時間Notwithstandingtheforegoing,thebothPartiesagreethat,whenthelocalgovernmentauthoritiesadoptsmeasurestoavoidtrafficjamsduringpeakhoursorspecialevent,orwheretheCompanydeemsnecessaryduetoproductionandoperation,theCompanymaytemporarilychangetheworkinghoursatitssolediscretion。

在當地政府采取避峰措施或有特殊事件安排、或公司因生產經營需要時,公司均可自行決定臨時性、階段性地調整工作時間。Ifrequiredbytheoperationandbusiness,theCompanymayarrangetheEmployeetoworkovertime。TheEmployeeshallobservetheCompany’srequirementandfulfiltherelevantapprovalproceduresforworkingovertimeinaccordancewiththeCompany’srelevantpolicy.FortheEmployeewhoworksovertimeandfollowstherelevantapprovalproceduresforworkingovertime,theCompanyshallpaycorrespondingremunerationorprovidecompensatoryleaveinaccordancewiththeapplicablelaws。

如因業務需要,公司可安排員工加班。員工應按照公司的要求履行加班審批手續后方可進行加班.加班的員工應按照加班小時數獲得公司依法律規定標準支付的加班費或安排倒休。TheEmployeeundertakestousereasonableendeavourstoensurethatheisavailableatsuchtimesoutsidenormalbusinesshoursonreasonablenoticetoprovidesuchadditionalworkastheCompanymayrequire.

員工承諾盡最大努力、確保在正常的工作時間之外,經公司合理提前通知后可以履行公司要求的加班職責.However,notwithstandingtheforegoing,theEmployeemay,onvoluntarybasis,workoutsidethesenormalhoursonSaturday,Sundayorholidayaswellasworkonnightshiftwithoutadditionremunerationinordertomeettherequirementsforbusinessandfortheproperperformanceofhisduties。

盡管有前述約定,但員工可以在正常的工作時間之外自愿加班,即在周末、假期以及夜間輪班工作,以符合業務需要或完成個人業績.公司不為自愿加班支付薪酬。WorkingLocation工作地點TheEmployee'splaceofworkwillinitiallybemacrobuttonnomacro[Fillinplease]。員工的工作地點在macrobuttonnomacro[請輸入工作地點].PaidLeaveentitlement帶薪休假TheEmployeeisentitledtodaysoffonChinesePublicHolidaysasstipulatedintheRegulationonPublicHolidaysforNationalAnnualFestivalsandMemorialDayswhichtakesintoeffecton1stJan.2008。

員工有權按照2008年1月1日生效的《全國年節及紀念日放假辦法》享受法定假日休假權利。TheEmployeeisentitledtopaidleaveperannuminaccordancewiththeRegulationsofPaidAnnualLeaveofEmployeeswhichtakesintoeffecton1stJan。2008andotherrelevantregulations。SuchleaveistobetakenatsuchtimesastheCompanyconsidersmostconvenienthavingregardtotherequirementoftheCompany'sbusiness。Notwithstandingtheforegoing,it’sacknowledgedandagreedbybothPartiesthatthepaidleaveoftheEmployeeunderthisAgreementis5daysperyear。

員工有權按照2008年1月1日生效的《職工帶薪年休假條例》及相關法規的規定享受帶薪年假。年假應由公司根據其業務需求,在方便、可行的時間安排進行.盡管有前述約定,雙方一致知悉并同意,就員工在本合同有效期內的帶薪年假可按照與公司另行達成的書面協議加以確定(該等帶薪年假天數不應低于法律規定的最低天數).Forpaidleave,thepaymentshallbebasedontheEmployee’scurrentbasicrateofsalary.Leaveentitlementforthefirstandlastcalendaryearmaybetakenonaproratabasisdependingonthenumberofdaysworked。

帶薪年假期間的報酬應按照員工當前的基本工資標準支付.在員工入職及離職的當年度可享受的帶薪年假天數應按根據員工當年工作天數、按比例計算得出.TheEmployeeisentitledtoaccumulateuptooneyearofhis/heruntakenleavetothefollowingyear。Otherthanthat,alluntakenleaveshallberegardedasfromtheEmployee’sapplication(s)forpersonalreasonsunlessevidencedbytheCompany’spriorwrittenconfirmation。Furthermore,theEmployeeherebyapplies,andtheCompanyherebyapprovesthat,theEmployeeneedsnottosubmitwrittenletter(s)totheCompanyintermsofaboveapplication(s)。Uponterminationoftheemploymentrelationship,alluntakenleaveshallbepaidbycashinamountoftheproductofEmployee’scurrentbasicsalaryratewiththeduemultiplierorbeoffsetbyarrangementofdefactouse。

員工當年未休之年假僅可以累積至下一年度。除此之外,所有未經公司事先書面確認的未休年假應被認為是由于員工個人原因而申請不予安排。即,對于超出累積年度仍未書面提出休年假,視為員工已事先書面通知公司因個人原因放棄休假而無須再另行提起書面申請。員工離職時,所有未休年假均應依法律規定由公司按照員工當前的工資標準的法定倍數支付現金或實際安排休假予以補足.companyproperty公司財物OnrequestandinanyeventonterminationofEmployee’semploymentforanyreasontheEmployeeisrequiredtoreturntotheCompanyallcompanypropertyincluding,ifapplicable,anycompanycar,companycreditorchargecards,Employee'ssecuritypass,allkeys,computerhardwareandrelatedequipment,Blackberry(orcompanyprovidedcellphone),andsoftwareincludingdiscsandalldocumentsinwhateverform(includingnotesandminutesofmeetings,customerlists,diariesandaddressbooks,computerprintouts,plans,emails,projections)togetherwithallcopies(irrespectiveofbywhomandinwhatcircumstancessuchcopiesweremade)whichareinEmployee'spossession,underEmployee’scontrolorwhichweremadebyEmployee。

勞動合同不論以何種原因終止,員工均應按照公司要求返還所有公司財物,包括但不限于下述(如有):公司汽車、公司信用卡或借記卡、員工通行證、鑰匙、電腦硬件、軟件(磁盤等)、以及不論以何種形式存儲的、由員工占用、占有或由其制作的文件(包括記錄、會議紀要、客戶名單、日記、地址簿、電腦打印件、計劃、郵件、項目書)以及他們的副本、復印件(不論副本、復印件是何人所制,所制何用)。IftheEmployeehasanyinformationrelatingtotheCompanyoranyAssociatedCompanyorworktheEmployeehascarriedoutfortheCompanyoranyAssociatedCompanywhichisstoredonacomputerorlaptopcomputerwhichcomputerorlaptopdoesnotbelongtotheCompany,thismustbedisclosedtotheCompanyandtheCompanyshallbeentitledtodownloadtheinformationand/orsuperviseitsdeletionfromthecomputerorlaptopconcerned。

如果員工在非公司所有的臺式電腦、手提電腦中存儲了與公司、公司關聯方、或工作相關的信息,員工必須向公司披露該情形。公司有權下載該信息或監督員工從臺式電腦、手提電腦中將該等信息刪除。AfterthereturnofpropertytotheCompanypursuanttothisClause,theEmployeeshallnotretainanycopiesofmaterialsorinformation(includinghardandsoftcopiesthereof)relatingtothebusinessoraffairsofanyAssociatedCompany。TheEmployeeshallattherequestoftheCompanydelivertotheVicePresidentofHumanResourcesorhis/herdesigneeasignedstatementconfirminghis/hercompliancewiththeprovisionsofthisClause。

員工根據本條規定歸還公司財物之后,不應再留有與公司或公司關聯方業務有關的材料或信息的副本、復印件(包括硬件和軟件存儲).員工應按照公司的要求,向公司人力資源副總載或其指定人員遞交書面聲明確認已經達到本條款的要求。RepresentationandWarrantyofTheEmployee員工陳述與保證TheEmployeerepresentsandwarrantstotheCompanythattheperformanceofEmployee’sdutiespursuanttotheEmployee'sengagementwillnotviolateanyagreementswithortradesecretsofanyotherpersonorentity。

員工向公司保證其履行本勞動合同項下的工作職責不會與其他個人或機構的協議發生沖突、亦不會泄露其他方商業秘密.TheEmployeefurtherwarrantsthatanynoticeperiodtheEmployeeisrequiredtogiveortoservewithapreviousemployerhasexpiredandthatbyenteringintothisAgreementorperforminganyofEmployee’sdutiesfortheCompany,theEmployeedoesnotviolateandwillnotviolateanycontractoragreementtowhichtheEmployeeisapartyanddoesnotorwillnotresultinabreachbytheEmployeeofanycovenantofnon-disclosureornon—competitionoranyothercovenantoragreementsowedbytheEmployeetoanypersonorentityotherthantheCompany.TheEmployeeshallindemnifyandholdtheCompanyharmlessfromanyandallclaims,suitsorcausesofactionarisingfromanycontract,agreementorcovenantdescribedhereintowhichtheEmployeeisaparty。

員工進一步保證其與前任雇主的雇傭關系已經結束且不在任何通知期內.員工簽署本協議,以及在本公司履行工作職責目前和將來都不會違反其本人涉及的合同或協議,不會因此違反其向非本公司的個人或實體所作的承諾,如披露禁止、競業禁止或其它合約之承諾.員工應保證公司不受上述合同、協議或合約的索賠要求和起訴,若發生此類索賠要求和起訴,員工應進行賠償.

TheEmployeefurtherrepresentsandwarrantstotheCompanythatallthepre—employmentpersonalinformationhe/shesubmittedtotheCompany,includingwithoutlimitationto,educationbackground,employmenthistory,creditrecordandnon—criminalrecordcertificationassetforthonhis/herCVorjobapplicationdocumentistrueandaccurate。TheEmployeefurtherauthorizestheCompanytoconductbackgroundinvestigationand/orreferencechecksbeforethisAgreementbecomeseffectiveandfromtimetotimeduringthevalidtermoftheAgreement。

員工保證,其向公司提交的聘用前的個人資料,包括在其簡歷或工作申請上記錄的學歷和工作經歷信息、或其他背景、信用、無犯罪記錄證明等都是真實的,并同意公司有權在本合同生效前以及本合同有效期內不時進行背景調查。ExclusiveEmployment全職工作WhileemployedbytheCompany,theEmployeeshalldevotethewholeofhis/hertime,attentionandabilityasisappropriatetothediligentdischargeofEmployee’sduties(includingifnecessary,workingovertime)andasshallbeinaccordancewiththepoliciesoftheCompany.Forthisreason,theEmployeeisnotpermittedtoundertakeanyadditionalworkwhetherprivateorpublic,paidorunpaid,directlyorindirectly.

根據公司規章制度以及勤勉履行職責所需,員工在任職期間,應付出全部的時間、注意力和能力,如有需要還應加班工作。因此,公司不允許員工有任何兼職工作行為,無論該等工作行為是私下的還是公開的、計酬的還是免費的、直接的還是間接的.Confidentiality保密條款TheEmployeeshallnotduringorafterhis/heremploymentdiscloseconfidentialinformationbelongingtotheCompany.TheEmployeehasapersonalresponsibilitytoprotectandmaintainconfidentialityofboththeCompany'sandclients’information。TheEmployeemustnot,exceptasauthorisedorrequiredbylawortheEmployee’sduties,revealanyconfidentialinformationrelatingtotheCompany,itssubsidiaries,itsparentorassociates。ThisobligationwillcontinueaftertheterminationoftheEmployee'semploymentunlessanduntilanysuchinformationcomesintothepublicdomainotherthanthroughanybreachofthisprovisionbytheEmployee。

員工不得披露屬于公司的保密信息,無論是在受雇期間還是終止雇傭之后。員工對保護和維護公司和客戶信息的保密性負有個人義務。員工不得不透露任何有關的公司,其附屬公司,其母公司或聯營公司的保密信息,除非得到授權或法律或員工的職責要求。員工雇傭終止之后,仍然負有該義務,直至任何此類信息進入公有領域,并且不是由于員工違反本條規定而造成的.NoinformationmaybegiventotheLocal,NationalorArchitecturalPress,unlessalldetailshavepreviouslybeenagreedbytheCompanyinwriting.AlltelephoneenquiriesfromthePressshouldbereferredtothelinemanager,aPartner,Director,AssociateDirector,AssociateortheMarketingManagerfromtheCompany;ortotheclientifthetopicistheclient。

除非得到公司事先書面同意,員工不得向任何地方、國家或建筑類的新聞界披露任何信息。所有記者的電話詢問,應提交公司的直接上級經理、合伙人、董事,副董事,負責人或營銷經理,雖然有上述規定,但是如果該等問題是指向客戶端的則應交由客戶端的相關人員處理。ToprotecttheconfidentialityofthisinformationtheEmployeeagrees:為了保護保密信息,員工同意:todelivertotheCompany,beforetheendoftheEmployee’semployment,orifthatemploymentendswithoutnoticeimmediatelyafteritsend,ALLdocumentsandrecordsbelongingtotheCompanywhichareintheEmployee’spossession,includingalldocumentsandrecordsmadebytheEmployeeinthecourseoftheEmployee’semploymentandrelatingtotheaffairsoftheCompany,includingcomputerlists,disksorprograms,diaries,clientrecords,cards,telephonelists,pricinglistsandtechnicaldataandallothertangibleitemsintheEmployee’spossessionorcontrolbelongingtoorcontaininganyconfidentialinformationoftheCompany;and

在員工雇傭終止前,如果雇傭在無需通知時終止,在雇傭結束時立即向本公司歸還員工持有的在雇傭期間產生的及與公司相關的所有屬于公司文檔、記錄,包括員工所擁有或控制的屬于或含有任何本公司的保密信息的計算機列表,磁盤或方案,日記,客戶記錄,卡片,電話清單,價格表和技術數據和所有其他有形物品,和notatanytimetomakeanycopy,abstract,summaryorthewholeoranypartofanydocument,computerprogramorrecordbelongingtotheCompany,exceptwhenspecificallyauthorisedbyaPartnerorrequiredtodosointhecourseoftheEmployee’semployment,inwhicheventthedisk,program,copy,abstract,summaryshallbelongtotheCompanyandshalllikewisebedeliveredupimmediatelyuponterminationoftheEmployee'semployment。

不得在任何時間,制作任何屬于公司的任何文件、計算機程序或者記錄的任何副本的,摘錄的,摘要或全文或任何部分,除非經過合伙人特別授權或在雇傭過程中被要求這么做,在此情況下,任何磁盤,程序,復制,摘錄,摘要應屬于公司,并應終止雇傭后應立即被交回.

COVENANTNOTTOCOMPETE競業禁止

TheEmployeeagreestorefrainfromengaginginanycompetitionduringthetermofemployment.TheEmployeeshallrefrainfromestablishingortakingoverorparticipatingin,directlyorindirectly,acompetingenterprise。Furthermore,theEmployeeshallrefrainfromanycontractorsupportforacompetingenterprise。WithinthescopeofthebusinessoftheCompany,theEmployeeshallrefrainfromengaginginanybusinessforhis/herownorotherperson’saccount。

員工同意在其任職期間不與公司進行任何形式的競爭。員工承諾不直接或間接地參與競爭對手公司的設立、接管、不直接或間接參與競爭對手企業.員工進一步承諾:不接觸、不支持競爭對手企業。員工不得為自己或他人從事與公司有競爭的業務。Non—solicitationOfNominumemployees不勸誘員工TheEmployeeherebycovenantsandagreesthat,foraperiodofone(1)yearfollowingtheterminationorexpirationofthisAgreement,heshallnot,directlyorindirectly,solicitforemployment,orotherwiseenticethedepartureofanyemployeeworkingfortheCompany。

員工同意在勞動合同終止后的一年內不得以直接或間接的方式勸誘或慫恿公司其他員工從公司離職。NoBribery禁止行賄TheEmployeemaynot,withoutpriorwrittenconsentoftheCompany,giveoracceptanyfavoursofwhateverkind(includingwithoutlimitation,gifts,cash,loan,entertainmentandadvantage)toorfromanyactualorpotentialcustomersorsuppliersorregulatory/government/otheragencies。

未經公司書面同意,員工不得向現有或潛在客戶、供應商或管理/政府/其它機構提供任何形式的好處(包括但不限于,禮品、現金、借款、娛樂和有利條件),也不得從現有或潛在客戶、供應商或管理/政府/其它機構獲得任何形式的好處.IntellectualProperty知識產權TheEmployeewillpromptlydisclosetotheCompanyandkeepconfidentialalldiscoveries,inventions,processes,improvementstoanexistinginventionorprocess,systems,formulas,programs,copyrightworks,designsortechnicalknowhowconceivedormadebytheEmployeealoneorwithothersinthecourseoftheEmployee’semployment。TheEmployeewillholdallsuchintellectualpropertyintrustfortheCompanyandwilldoeverythingnecessaryordesirableatourexpensetovesttheintellectualpropertyfullyintheCompanyand/ortosecureanyappropriateformsofprotectionfortheintellectualproperty.DecisionsastotheprotectionorexploitationofanyintellectualpropertyshallbeintheabsolutediscretionoftheCompany。員工應及時向公司披露其在履行雇傭職責中形成或制作的,無論是單獨形成的還是在雇傭過程中隨附形成的所有發現,發明,工藝,改進現有的發明或者過程,系統,配方,程式,版權作品,設計或技術,并且對該等信息進行保密。員工受公司的信托持有該等信息,并盡一切必要的或適宜的措施以使公司成為該等知識產權的所有人,及/或為該等知識產權提供任何適當形式的保護,費用由公司承擔.公司有絕對的自主權決定任何知識產權的保護或開發。TheEmployeemusttoconfidentialitywhatduringworkingaccesstointellectualpropertyandconfidentialinformationrelated,,withouttheCompanyand/orthecustomer’swrittenpermission,otherwiseemployeesshallnotdisclosetoanythirdpartyintellectualpropertyrightsandconfidentialityofsuchinformation.員工應就其在工作過程中接觸到的客戶端相關的知識產權及保密信息進行保密,未經公司及/或客戶的書面許可,員工不得向任何第三方透露該等知識產權及保密信息。

LaboUrDiscipline勞動紀律TheEmployeeshallstrictlycomplywiththePRClawsandregulations.

員工應嚴格遵守中國法律法規.TheEmployeehasreadthroughandclearlyunderstandsalltherules,policies,codeofconductguidelinesandsafetyoperationregulations(hereinaftercollectivelyas“CompanyRules”)formulatedbytheCompanyasatthedateofthisAgreementbeforehis/hercommencement;heacknowledgesthatthePoliciesareenactedfollowingCompanydemocraticproceduresandhasnoobjectiontowardabovePolicies。

員工在勞動合同生效之日,正式就職之前就已通讀并清楚了解公司制定的所有規則、政策、行為準則以及安全生產規定(以下統稱“公司規章”).員工認可該政策系經公司民主程序產生且對其沒有異議。TheEmployeeshallstrictlyadheretothePoliciesthatareissuedorupdatedfromtimetotime,andshallberequiredtosigntheCompany’sformalundertakingstoabidebysuchCompanyRules.IftheEmployeemateriallyandseverelyviolatessuchCompanyRules,theCompanyshallbeentitledtosuspendorimmediatelyterminatethisAgreementwithoutanyseverancepayment.

員工應嚴格遵守公司隨時發布或更新的公司規章,并應按公司要求簽署正式承諾書以便遵守.如果員工嚴重違反上述公司規章,公司有權中止或終止勞動合同,并且不給予任何經濟補償。TheEmployeeshallfullyobeythelabourdisciplineandworkarrangement.ProvidedthattheEmployeefailstomeettheaboverequirementandleadstolabourinjuryand/orlabouraccidenttohim,theCompanymayreservetherightnottocompensate;ifthefailureofperformanceleadstodamagetootherparties,theEmployeeshallundertakeallcorrespondinglegalliabilitiesinaccordancewithlawsandregulations。

員工應當服從公司的勞動紀律與工作安排。如果因為未能遵守工作指令而致發生工傷及勞動事故的,公司有權不予賠償;如因此給其他方造成損害的,員工個人應依法承擔賠償責任.LaboUrProtectionandWorkingConditions勞動保護和工作條件TheCompanyshallabidebytherelevantlawsandregulations,andprovidetheEmployeewithaproperworkenvironment,andtakeprotectivemeasurestopreventoccupationalhazardssoastosecuretheEmployee’ssafetyandhealthintheworkplace.

公司應遵守相關法律和法規,為員工提供適當的工作環境,采取保護措施防止職業危害,以保證員工在工作場所的安全和健康.TheCompanyshallprovidetheEmployeewithnecessarylabourprotectionequipmentaccordingtotheactualrequirementsofEmployee’spositionandrelevantPRClaw。

公司應根據員工崗位的實際需要和相關國家法律,提供員工必要的勞動保護設施。PursuanttoPRClaw,theCompanyshallprovidespeciallabourprotectionforemployeesemployedinpositionsexposedtooccupationalhazards,andtofemaleemployees.

根據中國法律,公司應為處在有職業危害的崗位的職工和婦女職工提供特殊勞動保護。TheCompanyisresponsibleforprovidingtheEmployeewitheducationandtrainingonprofessionalethics,vocationaltechniques,andrulesandregulationsonworksafetyandoccupationalhygiene.

公司有義務向員工提供有關職業道德、職業技術、有關工作安全和職業衛生的規章法規的教育和培訓。BasedontheactualphysicalrequirementsofthepositionoftheEmployee,theCompanymayannuallyarrangearegularphysicalexaminationfortheEmployee。

根據員工崗位對身體健康的實際要求,公司可每年安排員工定期檢查身體。Termination合同終止TheCompanymayterminatethisAgreementwithoutpriornoticeunderanyofthefollowingcircumstanceswhentheEmployee,(i)isfoundguiltyonacriminalliabilitysuit;(ii)commitsaseriousmalpracticeornegligencewhichresultsinasignificanteconomiclossoftheCompany。

公司下列情況下無需提前通知員工即可與員工終止勞動合同:(1)員工被判決承擔刑事責任;(2)員工有重大過失或失職行為,營私舞弊、使公司蒙受顯著經濟利益損失.TheCompanymayterminatethisAgreementaftergivingathirty(30)daypriorwrittennoticeorbypayingonemonthsalaryinlieuofnoticeunderanyofthefollowingcircumstanceswhen:

在下列情況下,公司有權經提前30天通知、或無需提前30日而支付一個月工資取代提前通知期,通知員工解除本協議。

(i)duetoillnessornon-work-relatedinjuries,theEmployeeisunabletoperformhis/heroriginalworkorisunabletoperformalternativedutiesasarrangedbytheCompany,whenthemedicaltreatmentperiodends;

由于疾病或非因工受傷,醫療期結束后,員工仍無法繼續履行本職工作也無法履行公司調崗后的工作.

(ii)theEmployeeisunabletoperformhis/herdutiestoanacceptablestandard,evenaftertraininghasbeenprovidedoradjustmentshavebeenmadetohis/herposition;

員工無法勝任本職工作,在接受培訓和崗位調整后仍無法勝任的。

(iii)aforcemajeureeventoccursandthepartiesareunabletonegotiateandagreeuponanyamendmentstothisAgreementinordertoallowitsperformance。

由于不可抗力致使雙方無法協商同意對履行合同進行修改。IftheEmployeewishestoterminatethisAgreement,he/sheshallgiveathirty(30)daypriorwrittennotice.TheEmployeeagreesthattheCompanyshallbeentitled,atitssolediscretion,towaivethereferencedtheEmployeeNoticePeriodandtoacceptandtreattheEmployee'snoticeofterminationasanimmediateterminationoftheAgreementbytheEmployee;providedthatifsuchwaiveroccurs,theEmployeeshallbeentitledtoreceivehis/herSalaryfortheEmployeeNoticePeriod.

員工可提前30天通知公司終止本合同。員工同意公司有權決定放棄員工通知期,在接受員工終止合同通知時,視為合同立即終止。該情形下,員工有權獲通知期內應得的工資。UpontheterminationorexpirationofthisAgreement,theEmployeeshall,withinfive(5)workingdays,completetheproceduresrequiredforhis/herdeparturefromtheCompanyasrequiredbytheCompany,includingwithoutlimitation,totransferhis/herworkandreturnanyCompany’spropertyinhis/herpossessionorcontrol.

當合同終止或到期時,員工應按公司要求、在5個工作日內完成離職手續,包括但不限于歸還公司物品,交接工作等。Notwithstandingtheaforesaid,oncenoticeofterminationhasbeengivenbyeithertheEmployeeortheCompany,theCompanymay,atitssolediscretion,choosetosuspendtheEmployeefromtheperformanceofhis/herdutiesand/orexcludehim/herfromanypremisesoftheCompanyortheAssociatedCompany.Remunerationandotheragreedbenefitsshallcontinuetobepaidorprovidedinaccord
