article4:representationsandwarranties

4.1transferor'srepresentationsandwarranties

thetransferorrepresentsandwarrantstothetransfereethat:

(a)ithasgoodandmarketabletitletotheparkland,freeandclearofanyliens,encumbrances,orclaims;

(b)ithastherighttotransfertheparklandtothetransferee;

(c)theparklandissuitableforthepurposesdescribedintheattachmenthereto;

(d)therearenooutstandingviolationsofanylaws,regulations,orordinancesaffectingtheparkland;

(e)theparklandisnotsubjecttoanycondemnation,eminentdomain,orsimilarproceedings.

4.2transferee'srepresentationsandwarranties

thetransfereerepresentsandwarrantstothetransferorthat:

(a)ithastherighttopurchaseandacquiretheparkland;

(b)ithasthefinancialresourcestofulfillitsobligationsunderthiscontract;

(c)itwillusetheparklandforthepurposesdescribedintheattachmenthereto;

(d)itwillcomplywithallapplicablelaws,regulations,andordinancesaffectingtheparkland.

article5:indemnification

5.1indemnificationbytransferor

thetransferorshallindemnifyandholdharmlessthetransfereeagainstanyandallclaims,demands,losses,damages,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwith:

(a)anybreachofthetransferor'srepresentationsandwarrantiessetforthinarticle4.1;

(b)anyclaimbyathirdpartyassertingthatthetransferordoesnothavegoodandmarketabletitletotheparklandortherighttotransfertheparklandtothetransferee;

(c)anyenvironmentalcontaminationorpollutionoftheparkland;

(d)anydamagetoordestructionoftheparkland.

5.2indemnificationbytransferee

thetransfereeshallindemnifyandholdharmlessthetransferoragainstanyandallclaims,demands,losses,damages,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwith:

(a)anybreachofthetransferee'srepresentationsandwarrantiessetforthinarticle4.2;

(b)anyuseoftheparklandinviolationofapplicablelaws,regulations,orordinances;

(c)anydamagetoordestructionoftheparklandcausedbythetransferee'sactsoromissions.

article6:terminationandbreach

6.1termination

thiscontractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthiscontractandfailstocuresuchbreachwithinareasonableperiodoftimeafterreceiptofwrittennoticethereoffromtheotherparty.

6.2breach

ifeitherpartybreachesanymaterialprovisionofthiscontract,theotherpartymayseekspecificperformanceorinjunctiverelief,ormayrecoverdamages,includingreasonableattorney'sfees,fromthebreachingparty.

article7:miscellaneous

7.1notices

allnoticesandothercommunicationshereundershallbeinwritingandshallbegivenbyemail,courier,orregisteredmail,addressedtotheotherpartyattheaddresssetforthintheattachmenthereto,ortosuchotheraddressassuchpartymayfromtimetotimespecifybywrittennoticetotheotherparty.

7.2amendmentandmodification

thiscontractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

7.3assignment

neitherpartymayassignthiscontractoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty,exceptthateitherpartymayassignthiscontracttoaaffiliateorsubsidiarywithoutsuchconsent.

7.4governinglawandvenue

thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthestatespecifiedintheattachmenthereto,andanydisputesarisingoutoforinconnectionwiththiscontractshallbebroughtinthestateandfederalcourtslocatedinsuchstate.

7.5attachment

5.2transferee'srepresentationsandwarranties

(a)ithastherighttopurchaseandacquiretheparkland;

(b)ithasthefinancialresourcestofulfillitsobligationsunderthiscontract;

5.3thirdparty'srepresentationsandwarranties

thethirdpartyrepresentsandwarrantstothetransferorandthetransfereethat:

(a)ithastherighttoparticipateinthetransferoftheparkland;

(b)itwillperformitsobligationsunderthiscontractinatimelyandsatisfactorymanner;

(c)ithastheauthoritytoenterintothiscontractandbinditselftoitsobligations.

article6:rightsofthetransferor

6.1priorityrights

thetransferorshallhavethefollowingpriorityrights:

(a)therighttoreceivethepurchasepricefromthetransfereeinaccordancewiththetermsandconditionssetforthinthiscontract;

(b)therighttorequirethethirdpartytoperformitsobligationsunderthiscontract;

(c)therighttoindemnificationandholdharmlessfromthethirdpartyforanybreachofitsobligationsunderthiscontract.

6.2additionalrights

thetransferorshallalsohavethefollowingadditionalrights:

(a)therighttoterminatethiscontractifthethirdpartybreachesitsobligationsunderthiscontract;

(b)therighttoseekdamagesfromthethirdpartyforanybreachofitsobligationsunderthiscontract;

(c)therighttorequirethethirdpartytoassumeliabilityforanylossesordamagessufferedbythetransferororthetransfereeasaresultofthethirdparty'sbreachofitsobligationsunderthiscontract.

article7:obligationsofthetransferee

7.1paymentobligations

7.2complianceobligations

thetransfereeshallcomplywithallapplicablelaws,regulations,andordinancesaffectingtheparklandandshallperformitsobligationsunderthiscontractinatimelyandsatisfactorymanner.

8.1breach

ifeitherpartybreachesanymaterialprovisionofthiscontract,theotherpartymayseekspecificperformanceorinjunctiverelief,ormayrecoverdamages,includingreasonableattorney'sfees,fromthebreachingparty.

8.2termination

thiscontractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthiscontractandfailstocuresuchbreachwithinareasonableperiodoftimeafterreceiptofwrittennoticethereoffromtheotherparty.

9.1notices

allnoticesandothercommunicationshereundershallbeinwritingandshallbegivenbyemail,courier,orregisteredmail,addressedtotheotherpartyattheaddresssetforthintheattachmenthereto,ortosuchotheraddressassuchpartymayfromtimetotimespecifybywrittennoticetotheotherparty.

9.2amendmentandmodification

thiscontractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

9.3assignment

neitherpartymayassignthiscontractoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty,exceptthateitherpartymayassignthiscontracttoaaffiliateorsubsidiarywithoutsuchconsent.

9.4governinglawandvenue

thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthestatespecifiedintheattachmenthereto,andanydisputesarisingoutoforinconnectionwiththiscontractshallbebroughtinthestateandfederalcourtslocatedinsuchstate.

9.5attachment

6.1priorityrights

8.2termination
