a.PartyA'sneedforareliablesupplierthatcanmanufactureproductsconformingtoitsqualitystandardsandspecifications.

b.PartyB'sreputationandcapabilityinproducingelectronicproductsthatmeetinternationalqualitystandards.

c.ThestrategicalignmentbetweentheParties,withPartyA'smarketinganddistributionnetworkandPartyB'smanufacturingexpertise.

d.Thepotentialforlong-termbusinesscollaborationandgrowth,withbothPartiessharingacommongoalofdeliveringhigh-qualityproductstothemarket.

ByenteringintothisContract,thePartiesmtoestablishaclearframeworkfortheircooperation,definingtherightsandobligationsofeachParty,thepricingandpaymentterms,theperformancetimelines,theconsequencesofbreach,theforcemajeureprovisions,thedisputeresolutionmechanism,andotherrelevanttermsandconditions.

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedbelow:

-"OEM"referstotheoriginalequipmentmanufacturingprocessbywhichPartyBwillproducetheProductsforPartyA.

-"QualityStandards"referstothecriteriaandspecificationsestablishedbyPartyAthattheProductsmustmeet.

-"DeliverySchedule"referstotheagreed-upontimelineforthesupplyoftheProductsbyPartyBtoPartyA.

第三條雙方權利與義務

1.PartyA'sRightsandObligations:

-PartyAhastherighttorequestPartyBtomanufacturetheProductsaccordingtotheprovidedspecificationsandqualitystandards.

-PartyAshallprovidePartyBwiththenecessarytechnicalanddesignspecifications,aswellasanyotherrelevantinformationrequiredforthemanufacturingprocess.

-PartyAisresponsibleformarketingandsellingtheProductsunderitsownbrandandshallbearallassociatedcosts,suchaspackaging,branding,anddistribution.

-PartyAshallmaketimelypaymentstoPartyBaspertheagreed-uponpricingandpaymentterms.

-PartyAhastheobligationtoinspecttheProductsupondeliveryandnotifyPartyBofanydefectsornon-conformitieswithinaspecifiedperiod.

2.PartyB'sRightsandObligations:

-PartyBhastherighttoreceivepaymentfromPartyAforthemanufactureandsupplyoftheProductsinaccordancewiththeContract.

-PartyBshallmntntheconfidentialityofanyproprietaryinformationordesignsprovidedbyPartyAandshallnotusethemforanypurposeotherthantheperformanceofthisContract.

-PartyBhastheobligationtoinformPartyApromptlyofanypotentialdelaysorissuesthatmayaffectthemanufacturingordeliveryoftheProducts.

-PartyBshallensurethattheProductscomplywithallapplicablelawsandregulations,includingbutnotlimitedto,productsafetyandintellectualpropertylaws.

TheaboverightsandobligationsareessentialtotheproperfunctioningoftheParties'relationshipandaretobeadheredtostrictlybybothParties.AnymodificationsoradditionstotheserightsandobligationsshallbemadeinwritingandagreeduponbybothParties.

ThepricesfortheProductsshallbemutuallyagreeduponbythePartiesandspecifiedintheAppendicesattachedtothisContract.PaymentfortheProductsshallbemadebyPartyAtoPartyBaccordingtothefollowingconditions:

-Paymentshallbeonehundredpercent(100%)upfrontupontheissuanceofthepurchaseorderbyPartyA.

-PartyBshallprovideavalidinvoicetoPartyAupondeliveryoftheProducts.

-PaymentshallbemadebywiretransfertoPartyB'sdesignatedbankaccountwithinthirty(30)daysoftheinvoicedate.

-PartyAshallnotbeentitledtoanydiscounts,rebates,orrefundsunlessotherwiseagreedinwritingbytheParties.

第五條履行期限

ThisContractshallbeeffectivefromthedateofsigningandshallcontinueuntilthecompletionofallobligationsasoutlinedherein.Thekeytimelinesandmilestonesareasfollows:

-PartyBshallcommencemanufacturingtheProductswithinten(10)businessdaysofthereceiptofthepurchaseorderfromPartyA.

-PartyBshallensuredeliveryoftheProductstoPartyAwithintheagreeddeliveryschedule,asspecifiedintheContract.

-PartyAshallcompletethepaymentfortheProductswithinthepaymenttermsmentionedabove.

-BothPartiesshallcomplywithallothertime-sensitiveobligationsasdetledintheContract.

第六條違約責任

IntheeventofabreachofthisContractbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

-IfPartyBflstodelivertheProductswithintheagreedtimeframe,PartyAshallhavetherighttoclmapenaltyof[specifiedpercentage]ofthetotalordervalueforeachweekofdelay,uptoamaximumof[specifiedpercentage]ofthetotalordervalue.

-IfPartyAflstomaketimelypayment,PartyBshallhavetherighttochargeinterestontheoutstandingamountatarateof[specifiedpercentage]perannumfromtheduedateuntilthepaymentisreceived.

-IntheeventofafundamentalbreachbyeitherParty,thenon-breachingPartyshallhavetherighttoterminatethisContractandseekdamagesforanylossessuffered,includingbutnotlimitedto,directcosts,indirectcosts,andlossofprofits.

-ThePartiesagreethatanybreachofintellectualpropertyrightsorconfidentialityobligationsshallbeconsideredamaterialbreach,andthebreachingPartyshallbeliableforalllegalconsequencesanddamagesresultingfromsuchbreach.

-ThePartiesshallusetheirbesteffortstomitigateanylossesintheeventofabreachandshallprovidenecessarysupportandcooperationtoeachothertoresolveanybreachpromptlyandamicably.

第七條不可抗力

"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,strikes,lockouts,riots,actsofwar,terrorism,governmentactions,anddisruptionstotransportationorsupplychns.Intheeventofaforcemajeureoccurrence,theaffectedPartyshallbeexcusedfromperformanceordelayedinperformanceofitsobligationsunderthisContract,subjecttothefollowingconditions:

-ThePartyaffectedbytheforcemajeureeventmustpromptlynotifytheotherPartyinwritingofthenatureandextentoftheforcemajeureevent.

-TheaffectedPartymustprovidereasonableevidencetosupporttheclmofforcemajeure.

-TheaffectedPartymustuseitsbesteffortstomitigatetheeffectsoftheforcemajeureeventandtoresumeperformanceofitsobligationsassoonasisreasonablypractical.

-Theforcemajeureeventmustbeunforeseeable,unavoidable,andbeyondthecontroloftheaffectedParty.

Duringtheperiodofforcemajeure,thenon-affectedPartymay,atitsoption,suspendperformanceofitscorrespondingobligationswithoutbeinginbreachofthisContract.NeitherPartyshallbeliableforanyflureordelayintheperformanceofitsobligationsduetoforcemajeure;however,thisshallnotrelieveanyPartyfromitsobligationtomakepaymentsthataredueandpayableunderthisContract.

第八條爭議解決

IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thePartiesagreetoresolvesuchdisputethroughthefollowingmechanism:

-ThePartiesshallfirstattempttoresolvethedisputethroughgoodfthnegotiationsandconsultations.

-Ifthedisputecannotberesolvedamicablywithinthirty(30)daysoftheinitialnotificationofthedispute,thePartiesmayagreetosubmitthedisputetomediationbyamutuallyagreedmediator.

-Ifthemediationdoesnotresultinasettlementwithinsixty(60)daysofitscommencement,orifeitherPartydecidesnottoproceedwithmediation,thePartiesmayagreetosubmitthedisputetoarbitrationinaccordancewiththerulesofanarbitrationinstitutionmutuallyagreeduponbytheParties.

-IfthePartiesfltoagreeonanarbitrationinstitution,thedisputeshallberesolvedbythecourtsof[specifiedjurisdiction],andthePartiesherebysubmittothejurisdictionofsuchcourts.

-ThePartiesagreethatthearbitrationproceedingsandanycourtproceedingsinconnectionwiththisContractshallbeconductedinEnglish.

-ThePartiesfurtheragreethatthedecisionofthearbitrator(s)orthecourt(s)shallbefinalandbindingupontheParties,andthatthePartiesshallexecuteanyordersorjudgmentsrenderedbythearbitrator(s)orthecourt(s)inconnectionwiththedispute.
