ARTICLE6:PENALTY

IncaseofPartyBdoesnotkeeptheshippingdate,PartyAshalldeduct0.15%/day(Zeropointonefivepercentperday)oftotalamountofdelayeditems.Themaximumpenaltyis10%ofthetotalcontractvalue.

ARTICLE7:INSPECTION

Incasethequalityand/orquantity/weightarefoundbytheBuyertobenotinconformitywiththecontractafterarrivalofthegoodsattheportofdestination,theBuyerathiscosthastherighttoinviteanInspectionCompanytoinspectthegoodsattheportofdestination.ThecertificateofquantityandconditionissuedbyInspectionCompanyshallbelegaldocumentasevidenceforBuyertomakeclaimtotheSeller.

Incaseofanyshortweightorqualityclaim,theBuyershallnotifytheSellerbytelexorfax/mailassoonaspossibleaftercompletionofreceivinggoodsatdischargingport.Theoriginalinspectionreportwithfulldetailsshallbepresentedwithin30daysforweightclaimandqualityclaimafterthedateofgoodsreceivedatdischargingport.TheSellerhastosettletheclaimwithin30daysafterreceivingit.

ARTICLE8:FORCEMAJEURE

Forcemajeuremeansuncontrollableorunpredictableevents,whichmaypreventrelatedpartiesfromcarryingouttheirobligationsinthecontract,suchaswar,naturaldisaster,fire,petroleumcrisis,etc.whichhasoccurredbeyondthecontrolofaPARTY,thatPARTYshallbeconfirmedbytheStateauthorityandhandledaccordingtothecurrentregulations.

ARTICLE9:GENERALPROVISION

ThepartiesagreetoallArticlesofthiscontract.Duringcontractperiod,ifanydisagreementsarise,bothPartiesdiscusstosolveinthespiritofcooperation.Incaseofthatnegotiationisin-effective,bothPartiesagreetobringthecasetoInternationalArbitrationCenteroftheChamberofCommerceandIndustryofVietnamforfinalsettlementundertherulesofconciliationandArbitrationwillbefinalandallthefeesandexpensesincurredinthearbitrationshallbebornebylosingparty.

Anyamendmentto,ormodificationof,orsupplementofthiscontractshallbemadeinwritingandshallbesignedbyauthorizedrepresentativeofeachparty.IfaPartyviolatesthecontractandmakesdamages,thatPartyshallsuffercompensationtoanotherPartyaccordingtotheStatecurrentregulations.OthermattersarenotmentionedinthecontractarecarriedoutproperlyaccordingtotheStatecurrentregulations.

IncasePartyBdoesnotperforminaccordancewitharticlesofthiscontract,PartyAhasrighttoterminatethecontractimmediately.

InthecaseofthePartyAsupplementsomeitems,bothpartiesshalladjustandsigntheadditionalcontract.

ARTICLE10:CONFIDENTIALITY

DuringthetermandaftertheexpirationofthetermorterminationofthisAgreement,(PartyB)(i)shallkeepConfidentialInformationconfidential,exercisingatleastthesamedegreeofcareas(PartyB)exerciseswithregardtoitsownconfidentialandproprietaryinformation,and(ii)shallnotdiscloseormakeaccessibleConfidentialInformationtoanythirdpartywithoutthepriorapprovalof(PartyA).

ForthepurposeofthisAgreement,“ConfidentialInformation”shallmeananyandallinformationfurnishedby(PartyA)to(PartyB)pursuanttothisAgreementregardlessofwhetheritistangibleorintangibleform,whichshallinclude,amongothers,documents,materialsorelectronicfiles;provided,thatConfidentialInformationshallnotincludeanyofthefollowing:(a)suchinformationinthepublicdomainatthetimeofdisclosure,or(b)suchinformationwhichwasinthelegitimatepossessionof(PartyB)atthetimeofdisclosure.

(PartyB)maydiscloseConfidentialInformationreceivedfrom(PartyA)underthisAgreementtoitsofficersandemployeeswhohaveaneedtoknowsuchConfidentialInformationinconnectionwiththeperformanceofitsobligationsunderthisAgreement.

Intheeventthat(PartyB)subcontractstoasubcontractorthewholeorpartofitsworkstobeperformedhereunder,(PartyB)shallensurethatthesubcontractorshallcomplywithandbeboundbythedutyofconfidentialitysetforthherein.

Intheeventthattheemployeesof(PartyB)orthoseofitssubcontractorsundertaketocarryouttheworksunderthisAgreementwithintheplaceofbusinessof(PartyA),(PartyB)shallensurethattheemployeesof(PartyB)orthoseofitssubcontractorshallcomplywith(PartyA)’srulesandproceduresrelatingtothemaintenanceofConfidentialInformationinconfidence.

(PartyB)shallconducteducationsessionsfortheemployeesof(PartyB)orthoseofitssubcontractorswithrespecttothemaintenanceofconfidentialityofConfidentialInformationinordertokeepConfidentialInformationinconfidenceusingmaterialsprovidedby(PartyA)forsucheducationsessions.

Anyandallinventions,ideas,discoveries,works,creationsorknow-howarisingfrom(PartyB)’sperformanceofthisAgreementorbasedonorderivedfromallorpartofConfidentialInformation(collectively,the“Inventions”)shallbethesoleandexclusivepropertyof(PartyA).

(PartyB)shallmaintaintheInventionsinstrictconfidence,andshallnotusesuchInventionsforanyotherpurposeotherthanthepurposeoftheperformanceofthisAgreementwithoutthepriorwrittenapprovalof(PartyA).

Withoutthepriorwrittenapprovalof(PartyA),(PartyB)(i)shallnotcopy,reproduce,translate,makeknown,andpublishConfidentialInformationforanypurposeotherthanthepurposehereinnorshallengageinanyotheractivitieswhichmayresultinthedisclosureoftheConfidentialInformationnotincompliancewiththisAgreement,and(ii)shallnottake(PartyA)’sinternaldocumentsoutof(PartyA)’sofficeregardlessofitsformorstoragemediumbeingused.

Intheeventthat(PartyB)isrequestedorrequiredtodiscloseanyConfidentialInformationpursuanttoanyapplicablelaw,regulationordirectiveofanygovernmentauthority,(PartyB),priortosuchdisclosure,shallprovide(PartyA)withawrittennoticeof
