1、按照GB/T11836-20xxⅡ級管質量標準要求。

3、運輸方式：乙方負責運輸及費用，甲方負責卸車及費用。

4、標的物所有權自交付起轉移，但甲方未履行支付價款義務的，標的物屬于乙方所有。

四、隨附義務

1、隨機備品、配件工具數量級供應辦法：每節管配備一個橡膠圈。

2、乙方應提供有關供貨產品的標準圖紙、產品檢驗報告、技術手冊、產品出廠檢驗合格證等證件。

3、甲方應按照乙方提供的技術手冊規范安裝管道。

4、雙方應對本合同所涉及內容予以保密，不得私自泄露給他人，否則，應賠償守約方損失。

五、結算方式及期限

1、每批管材供應到現場，甲方驗收合格收貨后，7日內支付該批管材的80%;每批供貨數量金額，雙方應及時進行對賬認可。余下15%的貨款在竣工后2月內付清，質保金為總貨款的5%，如在保修期內未出現質量問題，則將質保金返還乙方。

2、貨款可以支票、電匯或雙方同意的其他方式結算，貨款支付到乙方(或帳戶)方為有效支付。

六、違約責任

1、乙方供貨產品質量不合格的，經乙方確認后予以退換，造成甲方損失的，甲方有權追究乙方責任。保修期一年，質保金為總貨款的5%，如因產品質量導致的損失，甲方有權追究乙方責任并保留追究連帶責任的"權利。但因甲方保管、設計、安裝使用不當等自身原因造成供貨產品質量問題的，乙方不承擔責任。

2、甲方逾期付款的，乙方有權追究甲方責任，且乙方有權暫停供貨。

3、一方違約，情況嚴重，導致本合同無法正常履行的，另一方有權解除本合同，并要求對方賠償因此造成的損失。

七、爭議解決

甲、乙雙方在履行本合同的過程中發生糾紛，應積極友好協商解決，協商不成需要訴訟的，可依法向違約方對方所在地人民法院起訴。

八、本合同一式叁份，甲、乙、丙雙方各執壹份。本合同自雙方簽訂蓋章之日起生效，未盡事宜，由雙方協商解決。
