建設工程委托監理合同(中英文)SUPERVISIONCONTRACTFORCONSTRUCTIONPROJECTPartIAgreement第一部分建設工程委托監理合同ThisAgreementissignedbetween(hereinafterreferredtoas"theClient")andShanghaiTongjiProjectManagementandConsultingCo.Ltd.(hereinafterreferredtoasthe"Supervisor")throughmutualconsultation.

委托人與監理人經過雙方協商一致,簽訂本合同.

I.BriefinformationoftheprojectforwhichtheClientdesiresthosesupervisionservicesshouldbeperformedbytheSupervisor(hereinafterreferredtoas"theProject")isasfollows:

II.InthisAgreementwordsshallhavethesamemeaningsasareassignedtotheminPartIIofthisSupervisionContract(hereinafterreferredtoas“theContract”)-StandardConditions.

本合同的有關詞語含義與本合同第二部分<<標準條件>>中賦予它們的定義相同.

III.ThefollowingdocumentsshallbedeemedtoformpartofthisAgreement:

下列文件均為本合同的組成部分:

(1)ThisAgreement;

此協議書;

(2)StandardConditionsoftheContract;

本合同標準條件;(3)ConditionsofParticularApplication;

本合同專用條件;

(4)SupplementarydocumentsandamendmentsjointlysignedbythetwopartiesduringtheexecutionoftheContract.

在實施過程中雙方共同簽署的補充與修正文件.

監理人在報價時確定的的擬派現場監理人員名單和現場監理人員進場計劃作為本合同附件。

IV.InconsiderationofthepaymenttobemadebytheClienttotheSupervisorashereinaftermentioned,theSupervisorherebycovenantswiththeClienttoperformsupervisionservicesinthescopeasstatedintheConditionsofParticularApplicationinconformitywiththeprovisionsoftheContract.

考慮到以下提到的委托人向監理人的付款，監理人向委托人承諾,按照本合同的規定,承擔本合同專用條件中議定范圍內的監理業務.

V.TheClientherebycovenantstopaytheSupervisor,inconsiderationoftheperformanceofthesupervisionservices,suchamountasmaybecomepayableundertheprovisionsoftheContractatthetimesandinthemannerandcurrencytypeprescribedbytheContract.

考慮到監理人提供的監理服務，委托人向監理人承諾按照本合同注明的期限,方式,幣種,向監理人支付報酬.

InwitnesswhereofthepartiesheretohavecausedthisAgreementtobeexecutedfromApril,2007toOctober,2008.Ifforanyreasonstheprojectstopsformorethanonemonthuninterrupted,theendingdatewillbepostponedwithsameperiods.

本合同自施工單位進場時開始,至整個工程竣工驗收止完成.如果項目進行中，被停止連續時間超過一個月，完成時間應該被順延。

PartIIStandardConditions第二部分標準條件Article1(3)"Supervisor"meansthepartywhoisemployedbytheClienttoperformsupervisionservicesandassumesupervisionliabilities,andlegalsuccessorstotheSupervisor.

Article5TheSupervisorshallexercisereasonablecareanddiligence,provideadviceatanappropriatelevelintheperformanceoftheobligationsundertheContracttotheClientandindemnifythelawfulrightsandinterestsofvariousparties.

Article6Article7DuringthecontractperiodoraftertheContractisterminated,withouttheconsentoftheClient,theSupervisorshallnotdisclosetheconfidentialinformationinrelationtotheProjectandtheContract.

ObligationsoftheClient委托人的義務Article8TheClientshallpayanadvancepaymenttotheSupervisorpriortothecommencementoftheservicesoftheSupervisor,ifsuchadvanceArticle9TheClientshallberesponsibleforallcoordinationofexternalrelationshipsinrelationtotheconstructionoftheProject.IftheClientassignspartorallofsuchcoordinationworkstotheSupervisorasisnecessary,thentheworktobeassignedandrelevanttermsofremunerationshallbespecifiedintheSupplementalClauses.Article10Article12TheClientshallappointaClient'sRepresentative(tobespecifiedintheConditionsofParticularApplication)whoisfamiliarwiththeProjectandabletomakedecisionwithinspecifiedtimeforthepurposeofcontactingtheSupervisor.ShouldtheClient'sRepresentativebereplaced,theClientshallnotifytheSupervisorinadvance.

Article13TheClientshalltimelynotifytheawardedContractor,inwriting,ofthepoweroftheSupervisor,rolesandauthoritiesofmainstaffoftheSupervisor.SuchinformationshallbemadeclearinthecontractsignedbytheClientandanythirdparty.

Article14TheClientshallnotifytoContractortoprovidethefollowinginformationtotheSupervisorwithinsuchatimethattheSupervisor'sworkwillnotbehampered:

(1)Listofsuppliers&manufacturersoftherawmaterials,componentsandparts,mechanicalequipmentetc.tobeusedintheProject;

與將用于本工程的原材料，構配件，機械設備等的供應和生產廠家名錄；

(2)Listofcoordinators,cooperatorsinrelationtothedevelopmentoftheProject.

與本工程有關的協作人，配合人的名錄。

Article15TheClientshallfurnishfreeofcharge(includingutilityfees)totheSupervisorthesiteoffice,telecommunicationconnection,accommodationandotherfacilitiesspecifiedintheConditionsofParticularApplication.

Article16Givencertaincircumstances,ifthetwopartiesagreethatRightsoftheSupervisor監理人的權利Article17TheSupervisorshouldhavethefollowingrightswithinhisscopeofwork.ItisherebyunderstoodthatanyandallofthefollowingactivitiesshallalsobeconsideredastheobligationoftheSupervisor,whoshallperformthefollowingactivitieswheneveritisneededinordertoensurecompletionoftheProjectinthebestpossiblemannerandaccordingtotherelevantcontractualdocumentsandapplicablelaws:

(1)TherightandobligationtomakerecommendationsontheselectionoftheGeneralcontractor

(1)選擇工程總承包人的建議權和義務；

(2)TherightandobligationtomakerecommendationsontheselectionoftheSub-contractor

(2)選擇工程分包人的建議權和義務；

(3)TherightandobligationtomakerecommendationstotheClientintherespectsoftheprojectincludingprojectsize,designstandard,planningdesign,technologicaldesignandperformancerequirements.

(3)對工程建設有關事項包括工程規模、設計標準、規劃設計、生產工藝設計和使用功能要求，向委托人的建議權和義務；

(4)Therightandobligationtoadvise,intheprinciplesofsafetyandoptimum,theClientonthetechnicalproblemsinthedesign.IfthedesignisfoundtobenotinconformitywiththeQualityStandardspromulgatedbytheStateorspecifiedintheDesignContract,theSupervisorshallreporttotheClientinwriting.

(4)對工程設計中的技術問題,按照安全和最優化的原則,有權利和義務向委托人提出建議.當發現工程設計不符合國家頒布的建設工程質量標準或設計合同約定的質量標準時,監理人應當書面報告委托人.并提供處理方案

(5)TherightandobligationtoreviewtheconstructionmanagementplanandthetechnicalproposalandtomakerecommendationtotheClientforchangesthattheContractorcouldimplementtoensurequality,on-timecompletionandcostreduction.

(5)對審查工程施工組織和技術方案,按照保質量、保工期和降低成本的原則,并就承包人有可能采取的變化監理人有權利和義務向委托人提出建議并提供處理意見.

(6)Conductappropriatearrangementandco-ordinationwithrelevantorganisations,whichcanexertbeneficialinfluencetothedevelopmentoftheProject.ForallsuchmatterstheSupervisorshallfirstreporttotheClientinadvanceandseektheauthorityoftheClienttomakesucharrangementsandco-ordination.

(6)主持工程建設有關協作單位的組織協調,對于所有協調項應當事先向委托人報告,并要求委托人授權以進行組織協調工作.

(7)HavingobtainedtheconsentoftheClient,theSupervisorhastherighttogivecommandwithregardstocommencement,suspensionandresumptionoftheworks.Butbeforedoingso,heshallreporttotheClient.TheClient’sRepresentativewillbeavailableforcontactinginphonetodiscussemergencyandothermatters.

(7)征得委托人同意,監理人有權發布開工令,停工令,復工令,但應當事先向委托人作出書面報告.委托人代表將可以隨時電話聯系到以就緊急情況和其他事宜與監理人進行研究.

(8)RightandobligationtocheckandinspectthematerialstobeusedintheProjectandqualityofconstructionandtoadvisetheContractorimmediatelyofanynon-conformities.ShouldtheContractorcontinuetousethematerialsafterthenon-conformityhasbeenidentified,thentheSupervisormustadvisetheClientthattheContractorshouldstopusingthem.Formaterials,componentsandparts,equipmentthatarenotinconformitywiththedesignrequirements,provisionsoftheConstructionContractandnationalqualitystandards,theSupervisorhastherighttonotifytheClientthattheContractorshouldstopusingthem;forworkingsequence,divisionalandsub-divisionalworksthatarenotinconformitywithrelevantcodesandqualitystandards,andconstructionoperationsthatposesafetyconcerns,theSupervisorhastherighttonotifytheClientthattheContractorshouldstopandmakecorrectionsorredotheworks.TheContractorcanresumeconstructiononlyafterhehasreceivedtheworkresumptioncommandfromtheSupervisionTeamviatheClient..

(8)工程上使用的材料和施工質量的檢驗權和義務.發現不合格材料應通知承包方，如果承包人在接到通知后仍繼續使用該不合格材料,監理人必須及時通知委托人,讓承包人不得繼續使用.對于不符合設計要求和合同約定及國家質量標準的材料,構配件,設備,監理人有義務通知委托人讓承包人停止使用;對于不符合規范和質量標準的工序,分部分項工程和不安全的施工作業,監理人有義務及時通知委托人，監理人有權讓承包人停工整改,返工.承包人只有通過委托人收到監理機構發出復工令后才能復工.

(9)Rightsandobligationtocheck,supervisetheprogressoftheconstruction.RighttoratifythattheactualcompletionisaheadorbehindthecompletiondatespecifiedintheConstructionContract.

(9)工程施工進度的檢查、監督權和義務，以及工程實際竣工日期提前或超過工程施工合同規定的竣工期限的簽認權和義務；

(10)RightandobligationtocheckandcertifybysignaturethatthepaymenttotheconstructioncontractoriswithinthescopeoftheConstructionContract,torecheck,confirm,andnegatetothesettlementoftheaccounts.WithoutthesignatureandconfirmationfromtheChiefSupervisionEngineer,theclientwillnotmakepaymenttotheconstructioncontractor.

(10)在工程施工合同約定的工程價格范圍內，工程款支付的審核和簽認權和義務，以及工程結算的復核確認權與否定權。未經總監理工程師簽字確認，委托人不支付工程款。

Article18Duringsupervision,iftheemployee(s)oftheContractorisfoundtobeincapableofhisjob,theSupervisionTeamshallnotifytheClientoftheviewsoftheSupervisionTeamonthismatter.

第十八條在監理過程中如發現工程承包人員工作不力,監理機構應將其對此事的觀點告知委托人.

Article19Withinthescopeofwork,iftheClientandtheContractorhaveanydissentandrequirement(includingclaim)toeachother,andwheresuchdisputeisbeingmediatedbyanadministrativedepartmentinchargeofconstructionorbeingarbitratedbyarbitrationbody(ChinaInternationalEconomicandTradeArbitrationCommission,Shanghai),theSupervisorshallproviderelevantproof.

第十九條在委托的工程范圍內，當委托人和承包人對對方有任何意見和要求(包括索賠要求),雙方爭議由政府建設行政主管部門調解或仲裁機關（中國國際經濟貿易仲裁委員會－上海[H1]）仲裁時，監理人應當提供相關證明。RightsoftheClient委托人的權利Article20TheClienthastherighttoappointtheContractorandenterintoacontractwiththatcontractor.

第二十條委托人有選定工程承包人，以及與其簽訂合同的權利。

Article21TheClienthastherighttodecidetheprojectsizeandagreethedesignstandard,planningdesign,technologicaldesignanddesignedperformancerequirements;andtherighttoapproveconstructioncost,programmeanddesignvariation.

第二十一條委托人享有對工程規模、設計標準，規劃設計、生產工藝設計和設計使用功能要求的認定權，以及對工程造價、進度計劃和設計變更的審批權。

Article22IntheeventthattheSupervisorwanttoreplacetheChiefSupervisionEngineer,heshallobtaintheClient’sconsentinadvanceduringtheContractconductingperiod.

第二十二條在履行本合同期間,監理人調換總監理工程師須事先經委托人同意。

Article23TheClienthastherighttorequiretheSupervisortosubmitsupervisionreportandspecificreportineachdisciplinewithintheSupervisor’sscopeofwork..

第二十三條委托人有權要求監理人提交監理工作報告及監理人業務范圍內的專項報告。

Article24IntheeventthattheClientfindtheSupervisor’sstafffailstoperformdutiesundertheContract,orcauseanylosstotheProjectortheClientthroughcollusionwiththeContractor,theClientshallbeentitledtorequirethatsuchstaffbereplacedbytheSupervisororeventerminatetheContractanddemandtheSupervisortoassumeresponsibilitiesorcontiguousresponsibilitiesinpayingcompensation.

第二十四條當委托人發現監理人的職員不按本合同履行監理職責，或與承包人串通給本工程或委托人造成任何損失的，委托人有權要求監理人更換該職員，直到終止合同并要求監理人承擔相應的賠償責任或連帶賠償責任。

LiabilitiesoftheSupervisor監理人的責任Article25TheSupervisor’sliabilityperiodisthevalidperiodoftheContract(ContractPeriod),includingthemaintenanceperiod.IntheeventthattheprojectprogrammeispostponedordelaywhichresultsintheContractPeriodtobeextended,thetwopartiesshallmakefurthernegotiationtoagreeanextensionoftheContractPeriod.監理人的責任期即本合同有效期（合同期），包括維護期。如果因工程進度的推遲或延誤而導致合同期將要延長，雙方應進一步協商約定的延長合同期。

Article26TheSupervisorshallperformhisdutiesduringtheContractPeriod.ShouldanyfinanciallossbecausedbythefaultoftheSupervisor,heshallpaycompensationtotheClient.Accumulatedamountofcompensation(exceptforthecompensationspecifiedinArticle24)shallnotexceedthetotalpaymentbytheClienttotheSupervisor(excludingincometax).

監理人在合同期內，應當履行約定的責任。如果因監理人過失而造成了委托人的任何經濟損失，其應當向委托人賠償。累計賠償總額（除第二十四條規定的賠償以外）不應超過委托人向監理人支付的報酬總數（除去稅金）。賠償按相關法律執行[H2]Article27TheSupervisorshallbenotresponsibleforanyContractor’snonconformityinqualityrequirementsandcompletiontime(forsubmittingdrawingsordeliveryofgoods).IntheeventofanyforcemajeurewhichcausepartoralloftheexecutionoftheContracttobeimpossible,theSupervisorshallnotbeheldresponsible.ButforanyinfringementtoArticle5,theSupervisorshallpaycompensationtotheClient.

第二十七條監理人對承包人違反施工合同規定的質量要求和完工(交圖、交貨)時限，因監理人失責應承擔相應的責任，因不可抗力導致本合同不能全部或部分履行，監理人不承擔責任。但對違反第五條規定引起的與之有關的事宜，應向委托人承擔賠償責任。

Article28IftheclaimmadebytheSupervisortotheClientcannotbejustified,theSupervisorshallberesponsibleforanycostincurredbytheClientinrelationtotheclaim.

第二十八條監理人向委托人提出賠償要求不能成立時，監理人應當補償由于該索賠所導致委托人的任何費用支出。

委托人的責任LiabilitiesoftheClientArticle29TheClientshallcarryouthisdutiesasstatedintheContract.第二十九條委托人應當履行本合同約定的義務，如有違反則應當承擔違約責任，賠償給監理人造成的直接經濟損失。

Article30IftheclaimmadebytheClienttotheSupervisorcannotbejustified,theClientshallberesponsibleforanycostincurredbytheSupervisorinrelationtotheclaim.第三十條委托人如果向監理人提出賠償的要求不能成立，則應當補償由該索賠所引起的監理人的各種費用支出。

本合同的開始、變更與終止

Commencement,AlternationandTerminationoftheContractArticle31IfArticle32If如實際情況發生變化，使得監理人由于法律原因或實際原因不能根據本合同全部或部分執行監理業務時，監理人應當立即通知委托人。經委托人認可，該監理業務的完成時間應予延長。當恢復執行監理業務時，應當增加不超過42日的時間用于恢復執行監理業務，并按雙方約定的數量支付監理報酬。

監理人向委托人辦理完竣工驗收或工程移交手續，承包人和委托人已簽訂工程保修責任書，監理人收到所有監理報酬，本合同即終止，除了有關雙方的責任的條款，其應可按照相關法律的時效期限用以索賠。保修期間的責任，雙方在專用條件中約定。

[H3]第三十五條監理人在應當獲得監理報酬之日起30日內仍未收到支付單據，而委托人又未對監理人提出任何書面解釋時，或根據第三十三條及三十四條已暫停執行監理業務時限超過六個月的，監理人可向委托人發出終止合同的通知，發出通知后14日內仍未得到委托人答復，可進一步發出終止合同的通知，如果第二份通知發出后42日內仍未得到委托人答復，可終止合同或自行暫?；蚶^續暫停執行全部或部分監理業務。委托人承擔違約責任。

Article36Ifthesupervisionservicesaresuspendedorterminatedduetocausesnot第三十六條監理人由于非自己的原因而暫?；蚪K止執行監理業務，不可抗力除外，其善后工作以及恢復執行監理業務的工作致使監理工期延長，經委托人認可，應當視為額外工作，有權得到額外的報酬。

Article37IfintheopinionoftheClientthattheSupervisorisnotdischarginghisrightswithoutjustifiablereasons,hecaninformtheSupervisorofsuchopinion.第三十七條當委托人認為監理人無正當理由而又未履行監理義務時，可向監理人發出指明其未履行義務的通知。若委托人發出通知后21日內沒有收到答復，可在第一個通知發出后35日內發出終止委托監理合同的通知，合同即行終止。監理人承擔違約責任。

Article38Termination第三十八條合同協議的終止并不影響各方應有的權利和應當承擔的責任。

監理報酬PaymentArticle39第三十九條正常工作、附加工作和額外工作的報酬，按照監理合同專用條件中第九條的方法計算，并按約定的時間和數額支付。

Article40第四十條如果委托人在規定的支付期限內未支付監理報酬，自規定之日起，還應向監理人支付滯納金。滯納金從規定支付期限最后一日起計算。

Article41第四十一條本合同適用的貨幣幣種、匯率在專用條件中陳述。

Article42第四十二條如果委托人對監理人提交的支付通知中報酬或部分報酬項目提出異議，應當在收到支付通知書24內向監理人發出表示異議理由的通知，但委托人不得拖延其他無異議報酬項目的支付。

其他OtherArticle43UndertheconsentoftheClient,costnecessarilyincurredbytheSupervisorforvisitstocitiesotherthanShanghaioninvestigationpurpose,testingofmaterialsandequipmentcanbereimbursedbytheClient,withinthebudgetscope,asitactuallyhappens.

委托人根據建設工程需要邀請的建設工程監理所必要的監理人員出外考察、材料設備復試，其費用支出經委托人同意的，在預算范圍內向委托人實報實銷。

Article44Withinthescopeofsupervisionservices,ifexpertisneededtobeemployedforconsultingorassistancepurposes,theSupervisorshallbearsuchcostwhentheexpertisemployedbyhim,theClientshallbearsuchcostwhentheexpertisemployedbyhim.

第四十四條在監理業務范圍內，如需聘用專家咨詢或協助，由監理人聘用的，其費用由監理人承擔；在監理業務范圍外由委托人聘用的，其費用由委托人承擔。

Article45IfprofitisgeneratedfortheClientasaresultofrecommendationsmadebytheSupervisor,theClientmaygivebonustotheSupervisor.

第四十五條監理人在監理工作過程中提出的合理化建議，使委托人得到了經濟效益，委托人在可以給予監理人經濟獎勵。

Article46Theon-siteSupervisionTeamoritsstaffshallnotacceptanyremunerationormoneyprovidedbytheContractor.

第四十六條監理人駐地監理機構及其職員不得接受監理工程項目施工承包人的任何報酬或者經濟利益。

TheSupervisorshallnottakepartinanyactivitythatmayhaveconflictwiththeinterestsoftheClientandwiththeworktobeperformedaccordingtothiscontract.

監理人不得參與可能與合同規定的與委托人的利益相沖突的任何活動。

TheSupervisorshallnotdiscloseanyinformationthatisdeclaredbytheClienttobeconfidential.TheSupervisorshallnotdiscloseanyinformationprovidedanddeclaredtobeconfidentialbytheDesignerortheContractoreither.

第四十七條監理人不得泄露委托人申明的秘密，監理人亦不得泄露設計人、承包人等提供并申明的秘密。第四十八條監理人對于由其編制的所有文件擁有版權，委托人僅有權為本工程使用或復制此類文件。

爭議的解決

SettlementofDisputers第四十九條因違反或終止合同而引起的對對方損失和損害的賠償，雙方應當協商解決，如未能達成一致，可提交主管部門協調，如仍未能達成一致時，根據雙方約定提交仲裁機關仲裁，或向人民法院起訴。

Article2Thescopeofsupervision

第二條監理工作內容

Tosupervisetheconstructionquality,progress,contract,andprojectinformation,tocoordinatebetweentheClientandtheGeneralContractor,andtourgetheGeneralContractortoconstructinasafetyandcivilizedmanner.ThedetailoftheSupervisionServiceisthefollows,

負責本項目的建筑質量、進度、合同、項目信息管理，協調委托人與總承包方的關系，督促并檢查施工單位安全文明施工,監理工作具體有：

1.Toassisttheclienttosigntheconstructioncontract

1.協助委托人簽訂施工承包合同；

2.ToassisttheclientandthecontractortodrawuptheConstructionCommencementReport

2.協助委托人與施工單位編寫開工報告；

3.ToorganizethemeetingontheConstructionDrawingExplanationandCheck

3.組織設計交底與圖紙會審；

4.ToreviewtheConstructionPlan,SchemeandtheMasterScheduleoftheContractor

4.審核承建單位提出的施工組織設計,施工技術方案和施工進度計劃；

5.ToSupervisethecontractortoexecutetheConstructionContractandtheNationalTechnicalandConstructionCode,aswellasthedocumentsreferredtoatarticle1hereof,todealwiththecontractor’sviolationagainsttheregulationorthecode;

5.對承建單位執行工程承包合同和國家工程技術規范標準，以及第一條所規定的文件的情況進行督促,檢查,參與承包方違約事件的處理；

6.Tocheckthelistofthematerialandequipmentofthecontractor’s;toinspecttherawmaterial,semi-product,andpartswhichwillbeusedintheproject;torejectthedisqualifiedmaterial,partsandequipmentagainsttheconstructioncontractandstandard.

6.審查承建單位提出的材料和設備清單,對工程使用的原材料、半成品、構件、設備進行檢查,有權拒絕使用不符合合同要求和標準規定的材料,構件,設備；

7.Toinspecttheconstructionprogressandquality;toinspectandacceptthedivisional,sub-divisionalandconcealedworks;toevaluatetheconstructionprogress

7.檢查工程進度和施工質量,驗收分部分項工程和各項隱蔽工程,對工程進度進行評估。每周書面向委托人報告工程進度，每周組織召開施工例會。

8.ToorganizetheClient,theDesignerandtheContractortohandlethequalityaccident;tosupervisetheexecutionofthetechnicalschemeforthequalityaccident;toinspect,acceptandissuethecertificateafterthequalityaccidentissettled.

8.組織委托人、設計、施工單位處理工程質量事故并提供處理方案和責任劃分方案,監督質量事故技術處理方案的實施,并對事故處理進行驗收和簽證；

9.TocompiletheSupervisionDocumentsandSpecificationsforfiling

9.整理監理文件和技術檔案資料；

10.ToorganizetheDesignerandtheConstructionContractortopre-inspectandpre-acceptfortheconstructioncompletion

10.組織設計單位和施工單位進行工程竣工初步驗收；

11.ToassisttheClienttoexecutetheCompletionAcceptance.

11.協助委托人進行竣工驗收工作;

12.TosubmittheSupervisionEvaluationReportfortheprojecttotheClient.

12.向委托人提交項目監理評估總結報告；

13.ToorganizeHSEsiteservice:Safetystrategy,sitesafetysupervision,healthcontrol,securityofsiteoffice.

13.負責提供安全策略，現場安全監督，現場健康控制，以及現場辦公室安全。

Article3Externalconditionsinclude:theClientisresponsibleforallthepublicrelationsandcoordinationfortheprojectincludingthelocalgovernmentandauthorities第三條外部條件包括：委托人負責本工程建設的所有包括政府等在內的外部關系的協調；

Article4ProjectinformationrequestedbytheSupervisorshouldbeprovidedbytheClient,whereitisavailable,shallbeissuedbeforehand.

第四條對于監理人讓委托人提供的工程資料，如果有，應事先提供。

Article5Onreferred第五條委托人應在5天內對監理人適當地書面提交并要求其作出決定的事宜作出書面答復。

Article6TheClient'sRepresentativesare。第六條委托人的常駐代表為。

Article7DuringtheContractPeriod,第七條在合同期間，委托人應自費提供或安排其他方提供人員組成委托人的現場工作組。監理機構應與委托人的現場工作組合作，但不對他們及其行為負責，也不依靠他們及他們的行為來開展監理人負責的工作。

第八條監理人派駐現場的監理人員數量和人員資質，必須符合雙方商定的人員表和分階段專業人員進場計劃表的規定。根據各階段實際施工需要，監理人有義務根據委托人要求，在人員表人員的范圍內調整和增加人員。委托人有權根據專業人員進場計劃表進行人員資質檢查和出勤考核。如發現有不符資質及缺員情況，將斟情扣發監理人報酬。
