(以下合稱 “單據”)，以使本公司能夠提取下述質押給貴行的貨物。InconsiderationofyourreleasingtoustheDocuments,weagreewithandundertaketoyouasfollows:鑒于貴行向本公司釋放單據，本公司同意并向貴行承諾如下：(i)TheDocumentsandthegoodsand/orproductstowhichtheyrelate(the“Goods”)arenowandshallremaininpledgetoyouassecurityforthedueperformanceofourobligationstoyoufreeofanysecurityinterestinfavorofanyotherpersonandweshallreceiveandholdtheDocumentsandtakedeliveryofanddealwiththeGoodsexclusivelyforobtainingdeliveryofand/ormakingdeliverytopurchasersoftheGoodsorthirdpartiesforthepurposeofprocessingandsellingtheGoodsunlessyoushalldirectoragreeotherwise.本公司現在和今后將繼續把單據以及與單據相關的貨物和 /或產品（“貨物”）質押給貴行，以作為本公司完全履行義務的擔保，該擔保不受以任何其他人為受益人的任何擔保權益的影響。除非貴行另行同意或指示，本公司將僅為接收貨物和 /或為銷售或加工而向買方或第三方交付貨物之目的接收并持有單據。TheDocuments,theGoodsandtheproceedsofsaleareandwillbeheldbyusontrustforyouandsolelytoyourorderbutweshallbearallrisksandexpenses.WeshallpayallproceedsofsaleoftheGoods(inwhateverformtheymaytake),andanysumsreceivedinrespectofinsurancesrelatingtotheGoods,toyouimmediatelyonreceiptwithoutanyset-offordeduction.WeshallkeeprecordswhichproperlyrecordyourinterestintheGoods.PendingpaymentofthesaleproceedsoftheGoodstoyou,weshallholdthemontrustforyouandsolelytoyourorder,andshallkeeptheminaseparatebankaccountsegregatedfromallotherfundsunderourcontrol.本公司現在和將來均作為貴行的受托人持有單據、貨物和銷售收益并完全憑貴行指示行事，但是本公司應承擔全部風險和費用。本公司一旦收到貨物的銷售收益 (無論以何種形式)以及與貨物保險相關的任何金額，應立即向貴行全額支付，不得作任何抵消或扣減。本公司應就貴行對貨物享有的利益進行正確記錄。在將貨物的銷售收益支付給貴行之前，本公司應當作為貴行的受托人持有該款項并憑貴行指示行事，并且應當將該款項存放在與本公司控制的其他款項相分隔的單獨銀行賬戶中。Youareherebyauthorisedtodemandand/orreceivethesaleproceedsoftheGoodsdirectlyfromanybuyerorotherperson,andtoexerciseallotherrights(ifany)ofusastheseller.本公司在此授權貴行直接向任何買方或其他人請求支付和 /或接收貨物的銷售收益，并行使本公司作為賣方所享有的全部其他權利（如有）。TheGoodsshallbestoredinyournameandanywarrantsfortheGoodsshallbedeliveredtoyou.PendingsaleoftheGoods,weundertaketowarehousetheGoodsasyoumayfromtimetotimedirect.YouareauthorisedtoenteranypremisessoastoinspectorsecurepossessionoftheGoodsandtheDocuments,toremoveanddisposeoftheGoods(oranyofthem)bysaleorotherwiseasyoumaythinkfitandotherwisetodealwiththeGoodsasyoumayconsiderexpedient.本公司應當以貴行名義存儲貨物并將收據提交給貴行。在貨物銷售之前，本公司承諾將按貴行不時發出的指示對貨物進行倉儲。本公司在此授權貴行進入任何地點，以檢查或確保貨物和單據的占有情況，并授權貴行以銷售或貴行認為適當的其他方式轉移和處置貨物（或其任何部分），以及以貴行認為有利的其他方式處置貨物。Weshallpayallwarehousing,freight,dockandotherchargesrelatingtotheGoodsandDocuments.本公司應支付與貨物和單據有關的全部倉儲費、運費、碼頭費和其他費用。WeshalladviseyouofthewhereaboutsoftheGoodsatalltimesandkeepthistransaction,theDocuments,theGoodsandallsaleproceedsseparatefromanyothersandshallnotpermittheGoodstobeprocessedoralteredwithoutyourpriorwrittenconsent.IftheGoodsshallbeheldinpremisesbelongingtousorotherwisestoredwithotherassetsbelongingtous,weshallensurethattheGoodsarephysicallysegregatedandeasilyidentifiableasbeingheldontrustforyou.本公司應當隨時告知貴行貨物的所在地點，并保持本交易、單據、貨物和全部銷售收益的獨立性。在得到貴行的書面同意之前，不得允許對貨物進行加工或變更。如果貨物存放在本公司的場地或者與本公司的其他財產一起存放，本公司應確保本公司作為貴行受托人所持有的貨物在物理上具有獨立性并且容易與其他財產相區分。WeshallkeeptheGoodsfullyinsuredagainstallinsurablerisksasyoumayrequireatourexpensewithsuchinsurersasyoumayapproveandshallholdthepoliciesandanyinsuranceinstrumentsandproceedsontrustforyouandsolelytoyourorder.Weshallnotifyyouforthwithofanycircumstanceslikelytogiverisetoaninsuranceclaimundersuchinsurances.Intheeventoflossordamage,weshallaccounttoyouimmediatelyforanymoneysreceivedfromtheinsurersandshallmakegoodanydeficiency.本公司應當根據貴行的要求，自負費用向貴行批準的保險公司就全部可保風險對貨物進行投保，并應當作為貴行的受托人持有保險單、其他保險憑證和保險收益，憑貴行指示行事。本公司將及時通知貴行在相關保險項下可能發生保險金索賠請求的任何情況。如發生損失或損害，本公司將把自保險公司收到的任何款項立即支付給貴行，并就任何差額對貴行作出補償。WeshallnotsellorotherwisedisposeofanyoftheGoods,exceptbyasaleorotherdisposalastrusteeforyouinaccordancewiththetermsandconditionsofthisTrustReceipt.本公司不得出售或者以其他方式處置貨物，但依照本信托收據的條款和條件并作為貴行受托人進行的出售或其他處置除外。Youmay,atanytime,terminatethisTrustReceiptandtakepossessionoftheGoodsand/ortheDocumentsand/ortheproceedsofsale,whereverandinwhateverformthesamemaybe.WeundertaketoreturntoyouforthwithuponyourrequestatanytimetheDocumentsand/oranyotherdocumentsreceivedbyusinexchangeorsubstitutionforthemandtocomplypromptlyandfullywithanyinstructionswhichyoumaygiveastothemannerofprocessinganddealingwiththeGoods(oranyofthem)ortheremovalofthemto,orstorageofthemat,anyplace.貴行可隨時終止本信托收據并占有貨物和 /或單據和/或銷售收益，無論其處于何地或何種形式。本公司承諾，一經貴行要求，本公司即向貴行返還單據和 /或本公司作為單據的交換品或替代品而收到的其他文件，并立即完全遵照貴行就貨物（或其任何部分）的加工和處置方式所發出的，或將貨物（或其任何部分）從某地轉出或儲存于某地的任何指示。IfthecredittermarrangedwithyouonthisTrustReceiptexpires,youareherebyauthorisedtodebitourcurrentaccountinfull/partialrepaymentoftheloanagainstimportand/orretirementoftherelevantbillwithoutreferencetous.如本信托收據的授信期間到期，本公司授權貴行在無需通知本公司的情況下，借記本公司的往來賬戶以償還全部／部分進口押匯款項及／或結清相關單據款項。WeacknowledgethatincasetheGoodsaretakendeliverybymeansofaletterorlettersofguaranteetotheshippingcompany,thevalueappearingaboveisanapproximatevalueonlyestimatedbyusintheabsenceoftheexporter ‘sinvoicerelatingtotheGoodswhichhasnotyetbeenreceivedbyeitherusoryourselvesandweaccordinglyacknowledgeandagreethatweshallabidebyandacceptastheactualvalueoftheGoodssuchtotalsumasshallberevealedbyyourbooksasrelatingtothecommercialcreditorloanagainstimportasthecasemaybewhichshallbeestablishedpursuanttothedocument(s)relatingtotradefinancingtransactionsexecutedbyusandonfilewithyoufromtimetotime(assuchdocument(s)maybeamendedfromtimetotime)andafteryouhavedischargedyourliabilitytoyourcorrespondentinrelationtotheGoodsandthesameshallbefinal.本公司確認，如果貨物是以向船公司交付銀行保函的形式提取，由于本公司或貴行還沒收到出口商出具的與貨物相關的發票，此時上述的金額是由本公司估計的近似的金額。本公司確認并且同意，當貴行履行了與上述貨物有關的責任后，接受上述貨物的實際價格，其總額應與貴行根據本公司與貴行隨時簽署并在貴行存檔的有關貿易融資交易文件（該等文件可不時進行修訂）所開立的信用證或進口押匯的賬面總額相一致。Weshallnotpledge,chargeorotherwiseencumbertheGoodsforanypurpose,norallowanyperson(otherthanyou)toacquireanysecurityinterestinthem,norpartwithcontrolofthemexcepttopurchasersthereofintheordinarycourseofourbusiness.本公司不得為任何目的在貨物上設立質押、擔保或其他負擔，亦不得允許任何人（貴行除外）在貨物上取得任何擔保利益，并且除了正常經營過程中的買方外，不得放棄對貨物的控制。WeshallnotwithoutyourpriorwrittenconsentselltheGoods(oranyofthem)oncredittermsorforlessthanthebillamount(ifany)asshownabove.NorshallweselltheGoodstopurchaserstowhomweareindebtedorunderanyliability.未經貴行書面同意，本公司不得賒銷貨物（或其任何部分），或者以低于上述票據金額（如有）的價格出售貨物，并不得向本公司對其欠付債務或負有任何責任的買方出售貨物。Yourknowledgeofanybreach,failureoromissioninrespectofanyofourobligationsunderthisTrustReceiptshallnotoperateasawaiveroforotherwiseprecludeyoufromexercisinganyofyourrightsunderthisTrustReceipt.貴行知悉本公司在信托收據項下的義務被違反，或者未能履行或疏于履行義務，不得視作貴行放棄本信托收據項下的任何權利，也不得以其他方式阻礙貴行行使相關權利。(xv)Youshallhavenoresponsibilitywhatsoeverforthecorrectness,validityorsufficiencyoftheDocumentshandedtousorfortheexistence,character,quality,quantity,condition,packing,valueordeliveryoftheGoods.貴行無需就貴行提交給本公司的單據的正確性、有效性或充分性承擔責任，也無需就貨物的存在、性質、質量、數量、狀況、包裝、價值或交付承擔責任。Weherebyagreetopromptlyandfullyindemnifyyou,yourcorrespondentsandagentsondemandagainstallliabilities,claims,demands,losses,damages,taxes,costs,chargesandexpensesofanykind(including,withoutlimitation,legalfeesonafullindemnitybasis)whichmaybesufferedorincurredbyyouoranyofyourcorrespondentsoragentsandallactionsorproceedingswhichmaybebroughtbyoragainstyouoranyofyourcorrespondentsoragentswhetherincontract,tortorotherwisearisingfromorinconnectionwithyourreleasetousoftheDocumentsorotherwiseinrelationtotheGoodsintheabsenceofanynegligenceorwillfuldefaultonyourpart.本公司在此同意，如果貴行、貴行的往來行和代理行因向本公司釋放單據或與貨物有關的其他事項遭致或發生任何責任、索賠、請求、損失、損害、稅賦、成本、費用和任何形式的支出（包括但不限于全部法律費用），或貴行提起或被提起合同、侵權或其他任何訴訟或程序，只要貴行不存在疏忽或故意的違約行為，本公司一經請求，將立即對貴行、貴行的往來行和代理行做出充分補償。ThisTrustReceiptisofcontinuingeffectnotwithstandingthedeath,bankruptcy,liquidation,incapacityoranychangeintheconstitutionofusoranysettlementofaccountorothermatterwhatsoeverandisinadditiontoandshallnotmergewithorotherwiseprejudiceoraffectanycontractualorotherrightorremedyoranyguarantee,pledge,bill,note,mortgage,(ifpermittedbylaw)lienorothersecurity(whethercreatedbythedepositofdocumentsorotherwise)noworhereafterheldbyoravailabletoyouandshallnotbeinanywayprejudicedoraffectedtherebyorbytheinvaliditythereoforbyyounoworhereafterdealingwithexchanging,releasing,varyingorabstainingfromperfectingorenforcinganyofthesameoranyrightswhichyoumaynoworhereafterhaveorgivingtimeforpaymentorindulgenceorcompoundingwithanyotherpersonliable.無論本公司發生死亡、破產、清算、喪失行為能力，或者本公司的組織機構、賬戶結算或其他任何事項發生任何變更，本信托收據將繼續有效，并作為貴行當前和今后持有或可獲得的合同或其他權利、補償或任何擔保、質押、單據、票據、抵押、（如法律允許）留置或其他擔保（無論以質押單據的方式或其他方式創設）的補充，不得與其混同，并且不得以任何方式受到上述合同或其他權利、補償或任何擔保、質押、單據、票據、抵押、（如法律允許）留置或其他擔保的損害或影響，或因其無效，或因貴行現在和將來交換、釋放、變更、放棄完善或強制執行上述合同或其他權利、補償或任何擔保、質押、單據、票據、抵押、（如法律允許）留置或其他擔保或貴行當前和將來擁有的任何其他權利，或因貴行給予付款延展期，寬限或與其他責任人達成妥協而受到損害或影響。Ifsignedbyafirm,thisTrustReceiptshallbebindingjointlyandseverallyonallpersonsfromtimetotimecarryingonbusinessinthenameofsuchfirmorunderthenameinwhichthebusinessofsuchfirmmayfromtimetotimebecontinuednotwithstandingtheretirementordeathofanypartnerortheintroductionofanyfurtherpartner.如果本信托收據由合伙簽署，則不時以該合伙名義或以該合伙存續的業務在當時所使用的名義從事經營的全部人士均應受其約束并承擔連帶責任，無論該合伙的任何合伙人發生退休，死亡或其引入任何新合伙人。(xix)ThisTrustReceipt(
