14fob/fasterms

14.1theshippingspaceforthecontractedgoodsshallbebookedbythebuyerorthebuyer'sshippingagent__________.

14.2underfobterms,thesellershallundertaketoloadthecontractedgoodsonboardthevesselnominatedbythebuyeronanydatenotifiedbythebuyer,withinthetimeofshipmentasstipulatedinclause8ofthiscontract.

14.3underfasterms,thesellershallundertaketodeliverthecontractedgoodsunderthetackleofthevesselnominatedbythebuyeronanydatenotifiedbythebuyer,withinthetimeofshipmentasstipulatedinclause8ofthiscontract.

14.410-15dayspriortothedateofshipment,thebuyershallinformthesellerbycableortelexofthecontractnumber,nameofvessel,etaofvessel,quantitytobeloadedandthenameofshippingagent,soastoenablethesellertocontacttheshippingagentdirectandarrangetheshipmentofthegoods.thesellershalladvisebycableortelexintimethebuyeroftheresultthereof.should,forcertainreasons,itbecomenecessaryforthebuyertoreplacethenamedvesselwithanotherone,orshouldthenamedvesselarriveattheportofshipmentearlierorlaterthanthedateofarrivalaspreviouslynotifiedtotheseller,thebuyeroritsshippingagentshalladvisethesellertothiseffectinduetime.thesellershallalsokeepinclosecontactwiththeagentorthebuyer.

14.5shouldthesellerfailtoloadthegoodsonboardortodeliverthegoodsunderthetackleofthevesselbookedbythebuyer.withinthetimeasnotifiedbythebuyer,afteritsarrivalattheportofshipmentthesellershallbefullyliabletothebuyerandresponsibleforalllossesandexpensessuchasdeadfreight,demurrage.consequentiallossesincurreduponand/orsufferedbythebuyer.

14.6shouldthevesselbewithdrawnorreplacedordelayedeventuallyorthecargobeshutoutetc.,andthesellerbenotinformedingoodtimetostopdeliveryofthecargo,thecalculationofthelossinstorageexpensesandinsurancepremiumthussustainedattheloadingportshallbebasedontheloadingdatenotifiedbytheagenttotheseller(orbasedonthedateofthearrivalofthecargoattheloadingportincasethecargoshouldarrivetherelaterthanthenotifiedloadingdate).theabovementionedlosstobecalculatedfromthe16thdayafterexpiryofthefreestoragetimeattheportshouldbebornebythebuyerwiththeexceptionofforcemajeure.however,thesellershallstillundertaketoloadthecargoimmediatelyuponthecarryingvessel'sarrivalattheloadingportatitsownriskandexpenses.thepaymentoftheafore-saidexpensesshallbeeffectedagainstpresentationoftheoriginalvouchersafterthebuyer'sverification.

15c&fterms

15.1thesellershallshipthegoodswithinthetimeasstipulatedinclause8ofthiscontractbyadirectvesselsailingfromtheportofloadingtochinaport.transhipmentonrouteisnotallowedwithoutthebuyer'spriorconsent.thegoodsshallnotbecarriedbyvesselsflyingflagsofcountriesnotacceptabletotheportauthoritiesofchina.

15.2thecarryingvesselcharteredbythesellershallbeseaworthyandcargoworthy.thesellershallbeobligedtoactprudentlyandconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.thebuyerisjustifiedinnotacceptingvesselscharteredbythesellerthatarenotmembersofthepiclub.

15.3thecarryingvesselcharteredbythesellershallsailandarriveattheportofdestinationwithinthenormalandreasonableperiodoftime.anyunreasonableaviationordelayisnotallowed.

15.4theageofthecarryingvesselcharteredbythesellershallnotexceed15years.incaseherageexceeds15years,theextraaverageinsurancepremiumthusincurredshallbebornebytheseller.vesselover20yearsofageshallinnoeventbeacceptabletothebuyer.

15.5forcargolotsover1,000m/teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbythebuyer,thesellershall,atleast10dayspriortothedateofshipment,informthebuyerbytelexorcableofthefollowinginformation:thecontractnumber,thenameofcommodity,quantity,thenameofthecarryingvessel,theage,nationality,andparticularsofthecarryingvessel,theexpecteddateofloading,theexpectedtimeofarrivalattheportofdestination,thename,telexandcableaddressofthecarrier.

15.6forcargolotsover1,000m/teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbythebuyer,themasterofthecarryingvesselshallnotifythebuyerrespectively7(seven)daysand24(twenty-four)hourspriortothearrivalofthevesselattheportofdestination,bytelexorcableaboutitseta(expectedtimeofarrival),contractnumber,thenameofcommodity,andquantity.

15.7ifgoodsaretobeshippedperlinervesselunderlinerbilloflading,thecarryingvesselmustbeclassifiedasthehighest____________orequivalentclassaspertheinstituteclassificationclauseandshallbesomaintainedthroughoutthedurationoftherelevantbilloflading.

15.8forbreakbulkcargoes,ifgoodsareshippedincontainersbythesellerwithoutpriorconsentofthebuyer,acompensationofacertainamounttobeagreeduponbybothpartiesshallbepayabletothebuyerbytheseller.

15.9thesellershallmaintainclosecontactwiththecarryingvesselandshallnotifythebuyerbyfastestmeansofcommunicationaboutanyandallaccidentsthatmayoccurwhilethecarryingvesselisonroute.thesellershallassumefullresponsibilityandshallcompensatethebuyerforalllossesincurredforitsfailuretogivetimelyadviceornotificationtothebuyer.

16cifterms:

17adviceofshipment:

18shippingdocuments

18.athesellershallpresentthefollowingdocumentstothepayingbankfornegotiationofpayment:

18.a.1fullsetofcleanonboard,"freightprepaid"forc&f/ciftermsor"freighttocollect"forfob/fasterms,oceanbillsoflading,madeouttoorderandblankendorsed,notifying___________attheportofdestination.

18.a.2fivecopiesofsignedinvoice,indicatingcontractnumber,l/cnumber,nameofcommodity,fullspecifications,andshippingmark,signedandissuedbythebeneficiaryofletterofcredit.

18.a.3twocopiesofpackinglistand/orweightmemowithindicationofgrossandnetweightofeachpackageand/ormeasurementsissuedbybeneficiaryofletterofcredit.

21inspection&claims:

incasethequality,quantityorweightofthegoodsbefoundnotinconformitywiththoseasstipulatedinthiscontractuponre-inspectionbythechinacommodityimportandexportinspectionbureauwithin60daysaftercompletionofthedischargeofthegoodsattheportofdestinationor,ifgoodsareshippedincontainers,60daysaftertheopeningofsuchcontainers,thebuyershallhavetherighttorequestthesellertotakebackthegoodsorlodgeclaimsagainstthesellerforcompensationforlossesuponthestrengthoftheinspectioncertificateissuedbythesaidbureau,withtheexceptionofthoseclaimsforwhichtheinsurersorownersofthecarryingvesselareliable,allexpensesincludingbutnotlimitedtoinspectionfees,interest,lossesarisingfromthereturnofthegoodsorclaimsshallbebornebytheseller.insuchacase,thebuyermay,ifsorequested,sendasampleofthegoodsinquestiontotheseller,providedthatsamplingandsendingofsuchsampleisfeasible.

22damages:

withtheexceptionoflatedeliveryornon-deliverydueto"forcemajeure"causes,ifthesellerfailstomakedeliveryofthegoodsinaccordancewiththetermsandconditions,jointlyorseverally,ofthiscontract,thesellershallbeliabletothebuyerandindemnifythebuyerforalllosses,damages,includingbutnotlimitedto,purchasepriceand/orpurchasepricedifferentials,deadfreight,demurrage,andallconsequentialdirectorindirectlosses.thebuyershallneverthelesshavetherighttocancelinpartorinwholeofthecontractwithoutprejudicetothebuyer'srighttoclaimcompensations.

23forcemajeure:

neitherthesellerorthebuyershallbeheldresponsibleforlatedeliveryornon-deliveryowingtogenerallyrecognized"forcemajeure"causes.howeverinsuchacase,thesellershallimmediatelyadvisebycableortelexthebuyeroftheaccidentandairmailtothebuyerwithin15daysaftertheaccident,acertificateoftheaccidentissuedbythecompetentgovernmentauthorityorthechamberofcommercewhichislocatedattheplacewheretheaccidentoccursasevidencethereof.ifthesaid"forcemajeure"causelastsover60days,thebuyershallhavetherighttocancelthewholeortheundeliveredpartoftheorderforthegoodsasstipulatedincontract.

24arbitration:

3．2借據或貸款憑證是本合同不可分割的組成部分。借款的實際放款日和還款日以借款

如與本合同不一致的，以本合同為準。

3.2acertificateofindebtednessoraloanvoucherisanintegralpartofthiscontract.thedateofadvanceandpaymentduedateshallfollowthedatespecifiedonthecertificateofindebtednessorloanvoucher.wherethereisanyinconsistencybetweenthestipulationsonthecertificateofindebtednessorloanvoucherandthetermsandconditionsonthiscontractexceptdate,thelattershallprevail.

第四條借款劃付。在借款人辦妥借款手續后5個營業日內將全部款項劃至借款人指定的賬戶，劃付次數、時間、金額見36．4。

第五條借款利率和計息。

5．1借款利率。本合同項下借款利率根據國家有關規定，確定利率見—36—．5。遇利率調整時，借款期限在1年(含)以下的，執行合同利率，不分段計息；借款期限在1年以上的，實行分段計息，從利率調整的次年1月1日開始，按相應利率的檔次執行新的利率；如借款人未按約定時間歸還借款本息或未按合同約定用途使用借款，貸款人將按國家規定對借款人計收罰息，罰息率見36．6。

5．2遇利率調整時，實行分段計息的，貸款人有權根據國家有關規定自行調整，不另行通知借款人。

6．1借款人應在貸款人開設帳戶，戶名和帳號見36．7，并保證在每次還款日前足額存入當期應還款項的存款。借款人在此授權貸款人從借款人該帳戶中扣收借款本金、利息和可能發生的復利、罰息、違約金、保費、損害賠償金及實現債權的費用(含律師費和訴訟費)。如該帳戶資產不足以歸還到期的貸款本息，貸款人有權從借款人在中國工商銀行任何分支機構開立的任何帳戶劃收。

6.1theborrowershouldopenanaccountwiththelender(theaccountnameandaccountnumberarespecifiedin36.7.)andpromisetodepositsufficientmoneyforrepaymentbeforeeachduedate.theborrowerherebyauthorizesthelendertocollect,ifany,compoundinterest,defaultinterest,liquidateddamage,premium,compensationandexpensesarisingfromtherealizationofcreditor’sright(includinglawyer’sfeeandcourtexpense)inadditiontodueprincipalandinterestofloan.incasetheassetinthisaccountisnotenoughforrepaymentofdueprincipalandinterest,thelendershallbeentitledtocollectfromanyaccountopenedbytheborrowerwithanybranchoficbc.

6．2貸款人與借款人雙方商定，自貸款發放次月起，借款人按月歸還貸款本息(一次性還本付息除外)，還款期數及還款方式見36．8。

6．4借款人提前歸還貸款須經貸款人書面同意，，提前歸還部分的利息仍按本合同約定的利率和該部分實際使用天數計算。

本合同由(以下簡稱甲方)同(以下簡稱乙方)本著互惠互利、平等自愿的原則，共同協商簽署。

經甲乙雙方同意，甲方租用乙方和其所有權的buickgl8轎車(第二輛，車號0220)。租用期自某某年5月9日起，至某某年5月8日止。租用期間甲方將在收到乙方提供的正式稅務發票之后按每月人民幣壹萬叁仟元的租金支付給乙方。

乙方的司機在合同期內的工作時間為每周一至周五，早八點至晚五點中午午休一小時;周六、周日用車提前與司機聯系。甲方根據甲方人員確認的簽以月為單位支付給司機30元/小時的加班費，法定節假日加班費為40元/小時.乙方根據甲方確認好的加班明細向甲方開具正式發票，甲方在收到發票后30天內付款;
