The purpose of this MOU is to provide a framework of cooperation

7、and facilitate collaboration among the Parties, on a non-exclusive (or exclusive)basis in the Projects. 本MOU的目的為各方在此項目上非排他性（或排他性的，兩者選一個）的提供合作框架和促進合作。 Article II Areas of Cooperation合作領域 2.1 The Parties agree to cooperate in the following areas of activity: 各方同意在以下領域進行合作： a. The Parties that will und

8、ertake to explore and develop the market and construction of the Projects in the scope of cooperation with terms to be agreed (including but not limited to any forms of procurement contract for equipment, service or turn-key projects). 雙方將在合作范圍內的共同開發市場和進行工程建設（包括但不限于任何形式的設備、服務或總包項目的采購合同） b. Create pa

9、rtnership with state owned and/or private the scope of cooperation companies in other strategic sector/s with potential for job creation, poverty reduction and other developmental objectives; 與合作范圍內的國有或私營企業在其它戰略領域，如創造就業，減少貧困，和其他發展性的目的而合作。 c. Establishing business contacts with interested and potenti

10、al Chinese and other international companies who are committed to contribute to sustainable development in the scope of cooperation. 與有意向的有潛力的在合作范圍內的促進可持續發展的中國和其他國際公司建立商業聯系。 2.2 The Parties agree that this present cooperation is built on mutual trust among the Parties and that none of the Parties sh

11、all do any acts that undermine the interests of the other Party 3 at all times. Honest and frank disclosures of information of the Projects are required throughout the term of cooperation which is formed of and in relation to this MOU among the Parties. 各方同意目前的合作是基于各方之間的相互信任，各方任何時候都不得做出有損其它方利益的行為.各方

12、在本MOU相關的合作過程中都要誠實坦誠交換信息。 Article III Consultation and Exchange of Information 咨詢與信息交換 3.1 The Parties shall, on a regular basis, keep each other informed of and consult during the progress and share information of and relating to the Projects truly and accurately. 各方應定期就與有關項目有關的信息真實且準確地進行通知、商討和信息共享。

13、 3.2 Consultation and exchange of information and documents under this Article III shall be without prejudice to arrangements according to which certain information and documents may be required to be maintained confidential and being of restricted character. 本條款下的對信息和文件的商討和交換均不影響任何關于保密和限制性信息和文件的保密要

14、求。 3.3 Each of the Parties shall at any time that deemed appropriate to request and convene meetings for reporting and/or reviewing the progress of activities being carried out under this present MOU and for planning and implementing future activities. 各方應在任何被認為恰當的時候，要求召開會議，匯報和/或回顧根據本MOU所開展活動的進展，并計劃

15、和實施未來的活動。 3.4 The Parties may invite technical teams to attend meetings with the scope of cooperation government officials for negotiations of the Projects and implementation. Invitations shall be made in reasonable time (with one month prior notice) and take into account of the work schedules of th

16、e Parties. 各方可以邀請技術團隊參加與合作范圍內的政府的會議來商討項目和實施。邀請應提前做好（提前一個月）并要考慮工作日程。 Article IV Implementation of the MOU 本MOU的實施 4.1 In order to implement the specific activities envisioned hereunder, the Parties shall 4 conclude transaction agreements, cost-sharing agreements etc. which shall specify the scope of

17、work and costs or expenses, sales revenue or profit relating to the activity and how they will to be shared and/or borne by the Parties. The cost-sharing agreements shall specify in detail the expenses need to be invested during the whole process of the Projects, including but not limited to the pre

18、paration, operation and finalization of the Projects. 為了實施下文約定的具體行動，各方應簽訂交易協議、費用共擔協議等，明確與上述具體行動有關的工作范圍、成本、銷售收入或利潤及其如何分配和承擔。成本共擔協議應明確項目全程所投入的詳細成本，包括但不限于準備、運營直至終止。 4.2 The costs of public relations activities relating to this MOU, that are not otherwise addressed by a specific cost-sharing agreement c

19、oncluded hereunder, will be the responsibility of each party independently. 本MOU下公共關系活動的費用，如果沒有簽署的協議規定明確哪方承擔，應由各方獨自承擔。 4.3 The Parties have no intention to form any partnership, agency or authorized representative relationship among them and no such relationships are to be formed by virtue of this M

20、OU. None of the Parties shall enter into any contract or commitment on behalf of the other Party(ies) The Parties shall be solely responsible for making all payments to and on behalf of its own account, as provided under this MOU and/or cost-sharing agreements concluded hereunder. 各方之間無意設立任何合伙、代理或授權

21、代表關系，本MOU不設立上述關系。任何一方均不應代表其他方簽署任何合同或作出承諾，只能代表自身支付本MOU項下或成本共擔協議項下的款項。 4.4 Each Party shall be responsible for its own acts and omissions in connection with this MOU and its implementation. 各方應對本MOU和實施中自己的行為或義務負責。 Article V Use of Name and Logo etc. 名字或商標等的使用 5.1 None of the Parties shall use the name

22、, logo, trade names or trademarks of the other Parties or its subsidiaries, and/or affiliates, or any abbreviation of the aforesaid, for whatever purposes and in whatever manners, whether or not it is in connection with its business or otherwise, unless express prior written approval of the other Pa

24、、商號或商標，不論該使用行為是否與其自身業務有關。 5.2 Both parties acknowledge that they are familiar with dynamic political environment in the scope of cooperation and that none of the Parties shall be associated, whether directly or indirectly and in whatever manner, with any political or sectarian causes in the scope of

25、 cooperation. If any Party did have any such association and/or causes in the scope of cooperation, that Party shall inform the other Parties immediately without delay. The Parties hereby agree that when one Party has any political association and/or causes in the scope of cooperation, this shall be

26、 a legitimate reason for early termination, without compensation, by the other Parties of this MOU and of all other transaction agreements, cost-sharing agreements etc. 雙方都熟悉合作范圍內的國家的動態政治環境，各方都沒有直接或間接或以任何形式，與合作范圍內的的政治或宗派事件相關聯。如果任何一方有關聯，該方應立即通知其他方。各方同意當其中一方與合作范圍內的的政治或宗派事件相關聯，本MOU的其他方可視為提前終止本MOU、其他貿易協

27、議或成本共擔協議等的正當理由，并無賠償責任。 Article VI Duration, Termination, Modification 有效期，終止與修改 6.1 The proposed cooperation under this MOU is exclusive and shall have duration of an initial period of one (1) year, commencing _(dates) unless early termination according to clause 5.2 above or by either Party upon at

28、 least two (2) months prior notice in writing to the other Parties. The Parties may agree to extend the term of this MOU for a subsequent period(s) up to three (3) years, unless otherwise mutually agreed in writing. 本MOU項下預期的合作應是排他的，最初期限應為1年，自_起，除非根據第5.2條提前終止或任何一方提前至少兩個月書面通知終止本MOU。各方可以同意本MOU到期后繼續順延，

29、最多順延3年，除非各方另行書面約定。 6.2 In the event of termination of this MOU, the cost-sharing agreements and project documents concluded pursuant to this MOU shall also be terminated in accordance with the termination provision contained in such agreements. In such case, the Parties shall take all necessary step

30、s to ensure that the activities carried out under the MOU, the cost-sharing agreements and project documents will be promptly and orderly terminated. 如果本MOU終止，根據本MOU簽訂的成本共擔協議和項目文件應同時按照該等協6 議和文件約定的條款予以終止。在此情形下，各方應采取各種必要措施來確保根據本MOU、成本共擔協議和項目文件開展的活動迅速且有序地予以終止。 6.3 This MOU shall be amended by mutual ag

31、reement in writing and duly executed by the Parties. 本MOU應由各方合意以書面形式作出修改并依約履行。 Article VII Notices and Addresses 通知與地址 7.1 All notices or other communications required or permitted to be given pursuant to or in reference to this MOU shall be in writing and shall be valid and sufficient if delivered

32、or dispatched by registered mail, courier, personal delivery or fax (email NOT accepted) as the case may be, to the Party at the address set forth below in this MOU or as from time to time updated by each Party. Notice given as herein provided shall be deemed to have been served (i) in the case of p

33、ersonal delivery at the time when the notice is left at the addressees address as stated herein below or its last known address; or (ii) in the case of delivery by registered mail or courier on the seventh (7th) day after posting; or (iii) upon confirmation (as generated by the fax machine) of corre

34、ct transmission to the recipients fax machine. 根據或與本MOU有關的所需要或允許作出的所有通知和其他通訊均應當以書面形式作出，且應當合法且有效地以掛號信、郵寄、私人遞送或傳真（不接受電子郵件）形式遞送至本MOU下文約定的各方地址，或者各方不時更新的其他地址。在下列情形下遞送的通知應視為已送達：（1）如果以私人遞送的方式，通知到達被送達人的下述地址或其他的最新已知地址；或（2）掛號信或郵件寄出后第7天；或（3）收件人傳真機發出發送成功的確認。 For _(填寫我方公司通訊地址): _ Attention: Mr._ For (“company na

35、me ”): Attention: Mr._ Article VIII Governing Laws and Jurisdiction and Settlement of Disputes 7 8.1 This MOU is legally binding to the Parties. 本MOU對各方有法律約束力。 8.2 This MOU shall be governed and construed in accordance to the laws of Peoples Republic of China. 本MOU受中華人民共和國法律管轄。 8.3 The Parties shall

36、 use their best efforts to enter into friendly negotiation and settlement amicably of any dispute, controversy or claim arising out of this MOU (the “Dispute”) within Sixty (60) days from the date that one Party sending requests for such a negotiation. If the Parties amicably settled the Dispute by

37、themselves, they shall enter into a settlement agreement in writing and to be duly executed by the Parties. If the Parties genuinely attempted negotiation but failed to reach any settlement terms, either Party may submit the Dispute for arbitration as stated herein below. 各方應在一方發出要求協商的請求之日起60日內，盡各方最

38、大努力進行友好協商和解決因本MOU引起的任何糾紛、異議或索賠（“爭議”）。如各方自行友善解決爭議，各方應簽訂書面的解決協議并依約履行。如果各方確實已盡力協商但未達成任何解決方案，任何一方可以就爭議按照下述方式提起仲裁。 8.4 Any dispute, controversy or claim among the Parties arising out of this MOU which is not settled amicably in accordance with the foregoing paragraph shall be referred to arbitration unde

39、r the UNCITRAL Arbitration Rules then in force. The arbitral tribunal shall have no authority to award punitive damages. The Parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute. The Parties furth

40、er agree the followings: 各方之間未能按照前述方式友好解決的任何糾紛、異議或索賠，應當根據彼時有效的聯合國國際貿易法委員會仲裁規則進行仲裁。仲裁庭無權判處懲罰性賠償。各方應受經上述仲裁所作出的任何仲裁裁決的約束，視其為任何糾紛、異議或索賠的終局裁決。各方進一步同意： (a) The place of arbitration shall be at Beijing. (b) The language to be used in the arbitral proceedings shall be in English language. 仲裁中使用的語言應為英語。 8.5 This MOU is prepared in English and Chinese.
