2、ess :T el :E ach of S eller and B uyer is indi*idually referred to herein as a“P arty ” and collecti*ely referred to herein as the“P arties ”。RECITALSWHEREAS, S eller is the uilding 3, P ark V iew T ower;and B uyer desires to acquire from the property and its associated as defined more specifically
3、in NOW, THEREFORE, consideration of the P ropertyowner of the property of 14D, BS eller desires to sellto B uyer,S eller , the entire ownership ofgranted land use right (the “P roperty ”,A rticle 2 of thisafter friendlyand the mutualS ale C ontract);negotiations and inco*enants containedherein , the
4、 P arties hereby agree as followsA rticle I R epresentations ,Warranties andC o*enantsS eller is the duly1.1 S eller hereby represents and warrants thatregistered owner of the P roperty and possesses the complete beneficiary ownership rights to theP roperty. T he P roperty is freefrom any encumbranc
5、e , including but not limited to mortgages and any other third partys interest and/or other debt disputes.1.2 S eller shall transfer theP roperty and its title deeds toB uyerin accorda nee with the terms of thisC on tract.A rticle II T he P roperty1.1 The P roperty is located at ,B eijing. T he P ro

7、ase fromS eller the P roperty at an aggregate price ofRMB ( “P urchase P rice ”)A rticle IV P ayment M ethod and T itle T ransfer P rocedureC ontract shall1.1 Any payment of the P urchase P rice under thisbe made in RMB by B uyer in accordance with thisC ontract. A nybank fees or charges incurred du
8、e to the payment should be borne byBuyer; any bank fees or charges incurred due to the receipt of the payment imposed by the S eller s B ank should be borne by S eller. S eller 's designated B ank A ccount is described below :B ank name:Account name:A ccount N o: 2040099781.2 B oth S eller and B
9、 uyer appoint and fully authorizeXXXX Law F irm (the “L awyer”) to apply for the transfer of the title deeds of the P roperty and pay rele*ant taxes and fees and to take any other action and sign any document necessary to complete the abo*e transfers promptly.1.3 Within three (3) working days after
10、the execution of this Con tract , B uyer shall pay to S eller , as an ad*a nee payme nt , fifty percent (50%) of theP urehase P rice , i.e. RMB (the“A d*anee P ayment” )1.4 B uyer shall pay, as the remaining payment, the other fiftypercent (50%) of the P urchase P rice , i.e. RMB (the“R emaining P a
11、yment” ), by applying for the second hand property mortgage loan from theB ank (the “B ank” ) T he B ank sould directlypay all mortgage loan to S eller s bank account as described abo*e.1.4.1 W ithin ten (10) working days after the execution of this C ontract , B uyer shall sign the mortgage loan ag
12、reement and other rele*ant documents with the B ank, and get appro*al from the bank withR emaining P ayment.respect to the mortgage loan application for theB uyer shall hand o*er the photocopies of the abo*e-mentioned documents to the L awyer.1.4.2 W ithin ten (10) working days after the execution o
13、f this Contract , both P arties and the B ank shall sign a tri-party agreement (the “ T ri-party A greement” ) in which the B ank agrees to release the loan (equi*alent to theR emaining P ayment) to S eller s accountdirectly. B uyer shall hand o*er the photocopy of theTri-party Agreement to the L aw
14、yer.1.4.3 After S eller confirms the receipt of theAd*ance P ayment,and upon receipt by the L awyer of all of the documents and taxes and fees from both P arties as described in A rticle 6 and A rticle 7 ofthis C ontract , and within three (3) working days after the documents mentioned in Article 4.
15、4 abo*e are pro*ided to theL awyer,L awyer shall submit the transfer application (with all necessary supportingdocuments) of the P roperty O wnership C ertificate to B eijing C onstruction C ommittee R eal E state E xchange C enter (the “C enter ”) W ithin three (3) working days after the transfer o
16、f theP roperty Ownership C ertificate is completed , L awyer shall submit the transfer application (with all necessary supporting documents) of theL and Use R ight C ertificate to B eijing L and & R esource B ureau.1.4.4 A fter the P roperty O wnership C ertificate and the L and U seR ight C ert
17、ificate are transferred to B uyer , and after L awyer recei*es all the original certificates, L awyer shall pro*ide to theB ank with these certificates in accordanee with the terms of theTri-party A greement. T he bank, who will apply for the mortgage registration of the P roperty , shall release th
18、e loan ( Remaining P ayment) directly toS eller once the mortgage registration is completed.1.4.5 I n case that the B ank has not appro*ed the drawdown of theloan or the loan paid toS eller is less than theR emaining P aymentwithin two (2) months afterL awyer pro*ides the P ropertyO wnershipC ertificate and the L and U se R ight C ertificate to theB ank, Buyer agrees to make full payment of the R emaining P ayment within fi*e (5) working days after the abo*e-mentioned two (2) months pe
