合同簽訂保密協議英文版?ThisConfidentialityAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[CompanyName1],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyA"),and[CompanyName2],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyB").1.Recitals1.PartyAandPartyBrecognizetheimportanceofprotectingconfidentialinformationinconnectionwiththeirbusinessrelationship.2.PartyAandPartyBdesiretoenterintothisAgreementtodefinethetermsandconditionsregardingtheconfidentialityofcertaininformationdisclosedbetweenthem.2.DefinitionofConfidentialInformation2.1"ConfidentialInformation"shallmeananyandallinformation,whetherinwritten,oral,electronic,orothertangibleorintangibleform,thatisdisclosedbyoneParty(the"DisclosingParty")totheotherParty(the"ReceivingParty")inconnectionwiththesubjectmatterofthisAgreement,includingbutnotlimitedto:Businessplans,strategies,andforecasts;Financialinformation,includingbudgets,financialstatements,andtaxreturns;Customerlists,customerinformation,andbusinessrelationships;Productdesigns,prototypes,andtechnicalspecifications;Marketingandsalesmaterials;Proprietarysoftware,algorithms,andcode;Tradesecrets,knowhow,andprocesses;Anyotherinformationthatismarkedasconfidentialorthat,underthecircumstances,shouldreasonablybeconsideredconfidential.2.2ConfidentialInformationshallnotincludeinformationthat:IsorbespubliclyavailablethroughnofaultoftheReceivingParty;IsalreadyinthepossessionoftheReceivingPartypriortothedisclosurebytheDisclosingParty,asevidencedbywrittenrecords;IsindependentlydevelopedbytheReceivingPartywithoutreferencetotheConfidentialInformation;IsdisclosedtotheReceivingPartybyathirdpartywhohastherighttodisclosesuchinformationwithoutrestriction;orIsrequiredtobedisclosedbylaw,regulation,orcourtorder,providedthattheReceivingPartygivestheDisclosingPartypriorwrittennoticeofsuchrequirementandmakesreasonableeffortstolimitthescopeofthedisclosure.3.ObligationsoftheReceivingParty3.1TheReceivingPartyshallkeeptheConfidentialInformationconfidentialandshallnotdisclose,use,orpermittheuseofsuchConfidentialInformationforanypurposeotherthaninconnectionwiththesubjectmatterofthisAgreement.3.2TheReceivingPartyshalltakereasonableprecautionstoprotecttheconfidentialityoftheConfidentialInformation,atleastasmuchcareasittakestoprotectitsownconfidentialinformationofasimilarnature,butinnoeventlessthanareasonabledegreeofcare.3.3TheReceivingPartyshallonlydisclosetheConfidentialInformationtoitsemployees,agents,andcontractorswhohaveaneedtoknowsuchinformationinconnectionwiththesubjectmatterofthisAgreementandwhoareboundbywrittenconfidentialityagreementsatleastasrestrictiveasthisAgreement.3.4TheReceivingPartyshallpromptlynotifytheDisclosingPartyifitbesawareofanyunauthorizeddisclosure,use,ormisappropriationoftheConfidentialInformation.4.PermittedUseofConfidentialInformation4.1TheReceivingPartymayusetheConfidentialInformationsolelyforthepurposeofevaluating,negotiating,andperformingthisAgreement.4.2TheReceivingPartymaydisclosetheConfidentialInformationtoitslegalcounsel,accountants,andotherprofessionaladvisorswhoareboundbyconfidentialityagreementsatleastasrestrictiveasthisAgreementandwhohaveaneedtoknowsuchinformationinconnectionwiththeevaluation,negotiation,orperformanceofthisAgreement.5.OwnershipofConfidentialInformation5.1TheDisclosingPartyshallretainallright,title,andinterestinandtotheConfidentialInformation.5.2TheReceivingPartyacknowledgesthattheConfidentialInformationisthepropertyoftheDisclosingPartyandthatithasnoright,title,orinterestinortotheConfidentialInformationotherthanaspermittedunderthisAgreement.6.TermoftheAgreement6.1ThisAgreementshallbeeffectiveasofthedateofexecutionandshallremaininforceforaperiodof[numberofyears]yearsfromthedateofexecution(the"Term").6.2UpontheexpirationorterminationofthisAgreement,theReceivingPartyshallpromptlyreturnordestroyallConfidentialInformationinitspossessionorcontrolandshallcertifytotheDisclosingPartythatithasdoneso.7.TerminationoftheAgreement7.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherPartyiftheotherPartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceiptofwrittennoticethereof.7.2IntheeventofterminationofthisAgreementforanyreason,theobligationsoftheReceivingPartyunderSections3,4,5,and6shallsurvivesuchtermination.8.Remedies8.1IntheeventofabreachofthisAgreementbytheReceivingParty,theDisclosingPartyshallbeentitledtoseekallavailableremediesatlaworinequity,includingbutnotlimitedtoinjunctiverelief,damages,andrestitution.8.2TheReceivingPartyagreestoindemnifyandholdharmlesstheDisclosingPartyfromandagainstanyandalllosses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeReceivingParty'sbreachofthisAgreement.9.GoverningLawandJurisdiction9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[jurisdiction].10.EntireAgreement10.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.10.2Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothParties.11.Severability11.1IfanyprovisionofthisAgreementisheldtobeinva
