車輛掛靠協議書英語?ThisVehicle掛靠Agreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[Company/IndividualName]Address:[Address]ContactPerson:[Name]ContactNumber:[PhoneNumber]ID/CompanyRegistrationNumber:[Number]PartyB:Name:[Company/IndividualName]Address:[Address]ContactPerson:[Name]ContactNumber:[PhoneNumber]ID/CompanyRegistrationNumber:[Number]I.SubjectMatter1.PartyBownsavehicle(s)describedasfollows:Make:[VehicleMake]Model:[VehicleModel]LicensePlateNumber:[LicensePlateNumber]VehicleIdentificationNumber(VIN):[VINNumber]2.PartyBwishesto掛靠thevehicle(s)withPartyAforthepurposeofengagingincertainbusinessoperationsrelatedtothetransportationindustry.PartyAagreestoprovidethenecessary掛靠servicesinaccordancewiththetermsandconditionsofthisAgreement.II.RightsandObligationsofPartyAA.Rights1.PartyAshallhavetherighttouseitsbusinessname,licenses,andoperatingpermitsinconnectionwiththeoperationofthe掛靠vehicle(s)totheextentpermittedbylaw.2.PartyAshallhavetherighttochargereasonablefeesforthe掛靠servicesprovided,assetforthinSectionVofthisAgreement.B.Obligations1.PartyAshallensurethatthe掛靠vehicle(s)plywithallapplicablelaws,regulations,andsafetystandardsduringthe掛靠period.Thisincludesbutisnotlimitedtomaintainingvalidvehicleregistration,insurance,andensuringthatthevehicleisinaroadworthycondition.2.PartyAshallprovidenecessaryadministrativeandoperationalsupporttoPartyB,suchasassistingwiththerenewaloflicenses,permits,andhandlingofadministrativeformalitiesrelatedtotheoperationofthe掛靠vehicle(s).3.PartyAshallnotengageinanyactivitiesthatwouldcausedamagetothereputationorinterestsofPartyBinrelationtothe掛靠vehicle(s).III.RightsandObligationsofPartyBA.Rights1.PartyBshallretaintheownershipofthe掛靠vehicle(s)throughoutthetermofthisAgreement.2.PartyBshallhavetherighttoreceiveanyiegeneratedfromtheoperationofthe掛靠vehicle(s)afterdeductingthefeespayabletoPartyAasperthisAgreement.B.Obligations1.PartyBshallberesponsibleforthemaintenance,repair,andupkeepofthe掛靠vehicle(s)atitsownexpense,ensuringthatthevehicleremainsingoodworkingcondition.2.PartyBshallprovideaccurateandpleteinformationregardingthe掛靠vehicle(s)toPartyA,includingbutnotlimitedtovehiclecondition,mileage,andanyrelevantoperationaldetails.3.PartyBshallplywithalllaws,regulations,andsafetystandardsapplicabletotheoperationofthe掛靠vehicle(s)andshallindemnifyandholdPartyAharmlessfromanylosses,damages,orliabilitiesarisingoutofPartyB'snonpliance.4.PartyBshallpayallfeesandchargesduetoPartyAinatimelymannerasperthetermsofthisAgreement.IV.FeesandPayment1.PartyBshallpayPartyAa掛靠feeof[amount]permonth/year(specifythetimeperiod).ThefirstpaymentshallbemadeupontheexecutionofthisAgreement,andsubsequentpaymentsshallbemadeona[paymentfrequency,e.g.,monthly/quarterly]basisinadvance.2.Inadditiontothe掛靠fee,PartyBshallberesponsibleforanyadditionalcostsorexpensesrelatedtotheoperationofthe掛靠vehicle(s)asrequiredbylaworarisingfromnormalbusinessoperations,suchasfuelcosts,driversalaries(ifapplicable),andmaintenanceexpenses.3.PartyAreservestherighttoadjustthe掛靠feeupongivingPartyBwrittennotice[numberofdays]inadvance,providedthatsuchadjustmentisreasonableandbasedonchangesinmarketconditions,regulatoryrequirements,orotherrelevantfactors.V.DurationofAgreement1.ThisAgreementshallmenceon[startdate]andshallcontinueforaperiodof[duration,e.g.,1year/3years],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.EitherpartymayterminatethisAgreementupongivingtheotherpartywrittennoticeof[numberofdays]inadvance.Intheeventofearlytermination,PartyBshallberesponsibleforensuringthatthe掛靠vehicle(s)areremovedfromPartyA's掛靠systemandallnecessaryformalitiesarepleted.VI.Confidentiality1.EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,financialinformation,andcustomerdata.2.BothpartiesshallkeepconfidentialandshallnotdisclosetoanythirdpartyanyconfidentialinformationobtainedfromtheotherpartyduringthetermofthisAgreement,exceptasrequiredbylaworwiththepriorwrittenconsentoftheotherparty.VII.Insurance1.PartyBshallmaintainprehensiveinsurancecoverageforthe掛靠vehicle(s)withreputableinsurancepanies.TheinsurancepolicyshallnamePartyAasanadditionalinsuredtotheextentpermittedbylaw.2.PartyBshallprovidePartyAwithcopiesoftheinsurancepoliciesandrenewalnoticesinatimelymanner.Intheeventofanyinsuranceclaim,PartyBshallcooperatefullywithPartyAandtheinsurancepanytoensuretheproperhandlingoftheclaim.VIII.Indemnification1.PartyBshallindemnify,defend,andholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:PartyB'sownership,operation,ormaintenanceofthe掛靠vehicle(s);PartyB'sbreachofanyprovisionofthisAgreement;AnyactoromissionofPartyBoritsagents,employees,ordriversinrelationtothe掛靠vehicle(s).2.PartyAshallindemnify,defend,andholdPartyBharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arising
