I.SubjectMatterorServiceDescription

1.DescriptionoftheSubjectMatterorService

Thepartiesherebyagreetosupplementandclarifythetermsandconditionsregardingthe[subjectmatter/service]originallydescribedinthe[originalcontractname](the"OriginalContract").Thespecificdetailsofthe[subjectmatter/service]areasfollows:

II.RightsandObligationsoftheParties

A.RightsofPartyA

1.PartyAshallhavetherighttoreceivethe[subjectmatter/service]inaccordancewiththetermsandconditionsofthisAgreementandtheOriginalContract.

2.PartyAshallhavetherighttoinspectthe[subjectmatter/service]upondeliverytoensurethatitmeetstheagreeduponspecificationsandqualitystandards.

3.PartyAshallhavetherighttorequestPartyBtomakeanynecessarycorrectionsorimprovementstothe[subjectmatter/service]ifitfailstomeettherequirements.

B.ObligationsofPartyA

1.PartyAshallpaytheagreeduponconsiderationforthe[subjectmatter/service]inatimelymannerinaccordancewiththepaymenttermsspecifiedinthisAgreementandtheOriginalContract.

2.PartyAshallprovidePartyBwithanynecessaryinformation,documents,orcooperationrequiredfortheperformanceofthe[subjectmatter/service],asreasonablyrequestedbyPartyB.

3.PartyAshallusethe[subjectmatter/service]solelyforthepurposeintendedandshallnotmisuse,sublicense,ortransferittoanythirdpartywithoutthepriorwrittenconsentofPartyB,exceptaspermittedbylaw.

C.RightsofPartyB

1.PartyBshallhavetherighttoreceivepaymentfromPartyAforthe[subjectmatter/service]providedinaccordancewiththetermsofthisAgreementandtheOriginalContract.

2.PartyBshallhavetherighttorelyontheinformationandcooperationprovidedbyPartyAinperformingthe[subjectmatter/service].

3.PartyBshallhavetherighttoenforcethetermsofthisAgreementandseekremediesincaseofanybreachbyPartyA.

D.ObligationsofPartyB

1.PartyBshalldeliverthe[subjectmatter/service]toPartyAinaccordancewiththeagreedupondeliveryschedule,qualitystandards,andspecifications.

2.PartyBshallprovidePartyAwithanynecessarydocumentation,suchasinvoices,certificatesofpliance,etc.,inconnectionwiththe[subjectmatter/service].

3.PartyBshallensurethatthe[subjectmatter/service]isfreefromanydefects,liens,orencumbrancesandshallindemnifyandholdPartyAharmlessfromanyclaimsorlossesarisingtherefrom.

4.PartyBshallperformallnecessarymaintenance,repairs,oraftersalesservicesforthe[subjectmatter/service]asrequiredbythisAgreementandtheOriginalContract.

III.PaymentTerms

1.PaymentAmountandSchedule

PartyAshallpayPartyBatotalamountof[currencyamount]forthe[subjectmatter/service]providedunderthisAgreement.Thepaymentscheduleisasfollows:

IV.DeliveryandAcceptance

1.Delivery

PartyBshalldeliverthe[subjectmatter/service]tothefollowingaddress:[DeliveryAddress]

Thedeliveryshallbemadeinaccordancewiththeagreedupondeliveryschedule.PartyBshallberesponsibleforallcostsassociatedwiththedelivery,includingtransportation,packaging,andinsurance,unlessotherwisespecifiedinthisAgreement.

2.Acceptance

Upondelivery,PartyAshallinspectthe[subjectmatter/service]within[numberofdays]days.IfPartyAfindsanydefectsornonpliancewiththespecifications,itshallnotifyPartyBinwritingwithinthisperiod.PartyBshallthenhave[numberofdays]daystocorrectthedefectsortakeothernecessaryactions.

If,afterinspectionandanynecessaryrectification,PartyAissatisfiedthatthe[subjectmatter/service]meetstherequirements,PartyAshallissueawrittenacceptancecertificatetoPartyB.TheacceptanceshallnotrelievePartyBofitswarrantyobligationsunderthisAgreement.

V.WarrantyandLiability

1.Warranty

PartyBwarrantsthatthe[subjectmatter/service]providedshallbeofmerchantablequality,freefromdefects,andshallconformtothespecificationsandqualitystandardsagreeduponinthisAgreementandtheOriginalContract.Thewarrantyperiodshallbe[numberofmonths/years]fromthedateofdeliveryoracceptance,whicheverislater.

Duringthewarrantyperiod,PartyBshall,atitsownexpense,repairorreplaceanydefectivepartsorperformanynecessaryservicestomakethe[subjectmatter/service]conformtothewarrantyrequirements.

2.Liability

IncaseofanybreachofthisAgreementbyPartyB,PartyBshallbeliableforalldirectandindirectlossessufferedbyPartyAasaresultofsuchbreach,includingbutnotlimitedtodamages,lossesofprofit,andlegalfees.

IncaseofanybreachofthisAgreementbyPartyA,PartyAshallbeliableforanylossessufferedbyPartyBasaresultofsuchbreach,subjecttothelimitationsprovidedbylaw.

Neitherpartyshallbeliableforanylossesordamagescausedbyeventsbeyonditsreasonablecontrol,suchasactsofGod,naturaldisasters,war,orgovernmentregulations,providedthatthepartyaffectedshallnotifytheotherpartypromptlyofsucheventsandtakeallreasonablemeasurestomitigatethelosses.

VI.Confidentiality

1.ConfidentialInformationDefined

ForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyinformation,whetherinwritten,oral,orelectronicform,disclosedbyonepartytotheotherpartyinconnectionwiththe[subjectmatter/service]underthisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerlists,andpricinginformation.

2.ObligationtoKeepConfidential

EachpartyshallkeeptheConfidentialInformationoftheotherpartyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.Exceptions

Theobligationofconfidentialityshallnotapplytoinformationthat:

Isalreadyinthepublicdomainatthetimeofdisclosure;

Bespubliclyavailablethroughnofaultofthereceivingparty;

Islawfullyobtainedbythereceivingpartyfromathirdpartywithoutanobligationofconfidentiality;or

Isrequiredtobedisclosedbylaw.

VII.IntellectualPropertyRights

1.OwnershipofIntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,arisingoutoforinconnectionwiththe[subjectmatter/service]providedunderthisAgreementshallbeownedbythepartythatcreatedordevelopedsuchintellectualproperty,unlessotherwiseagreedinwriting.

2.LicensetoUse

Eachpartyherebygrantstotheotherpartyanonexclusive,nontransferablelicensetousetheintellectualpropertyrightsnecessaryfortheperformanceofthisAgreementandtheOriginalContract,solelyforthepurposeofreceivingandusingthe[subjectmatter/service].

VIII.TerminationandTerminationRights

1.TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementofthepartiesatanytime.

2.TerminationforBreach

IfeitherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyshallhavetherighttoterminatethisAgreementbywrittennoticetothebreachingparty.

Incaseofterminationforbreach,thebreachingpartyshallbeliableforanylossessufferedbythenonbreachingpartyasaresultofsuchbreach,inaccordancewiththeprovisionsofthisAgreement.

3.EffectofTermination

UponterminationofthisAgreement,thepartiesshallceasetohaveanyfurtherobligationstoeachotherunderthisAgreement,exceptforthoseobligationsthatsurvivetermination,suchaspaymentobligations,confidentialityobligations,andliabilityforpastbreaches.

Ix.DisputeResolution

1.Negotiation

IncaseofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysafteronepartynotifiestheotherpartyoftheexistenceofthedispute.

2.ArbitrationorLitigation

Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallberesolvedasfollows:

x.MiscellaneousProvisions

1.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

3.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

4.Assignment

NeitherpartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptinthecaseofamerger,acquisition,orsaleofallorsubstantiallyallofitsassets,inwhichcasetheassigneeshallassumealloftheassignor'srightsandobligationsunderthisAgreement.
