AgreementBetween[HerName]and[President'sName]

ThisAgreementismadeandenteredintothis[Day]dayof[Month],[Year](the"EffectiveDate"),byandbetween[HerFullName](hereinafterreferredtoas"Ms.[HerLastName]"),withanaddressat[HerAddress],and[President'sFullName](hereinafterreferredtoas"Mr.[President'sLastName]"),inhiscapacityasPresidentof[CompanyName],witharegisteredofficeat[CompanyAddress].

WHEREAS,Ms.[HerLastName]isahighlyskilledandexperiencedprofessionalinthefieldof[HerFieldofExpertise];

ANDWHEREAS,Mr.[President'sLastName],asPresidentof[CompanyName],seekstheservicesofMs.[HerLastName]to[BriefDescriptionofServices];

ANDWHEREAS,thepartiesdesiretosetforththetermsandconditionsoftheirprofessionalrelationshipinaclearandbindingmanner.

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

Article1:Services

1.1Ms.[HerLastName]agreestoprovide[DescriptionofServices]toMr.[President'sLastName]and[CompanyName]duringthetermofthisAgreement.

1.2Ms.[HerLastName]shallperformtheservicesinaprofessionalandworkmanlikemannerconsistentwithindustrystandardsandpractices.

Article2:Term

2.1ThetermofthisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodof[Duration],unlessearlierterminatedasprovidedherein.

Article3:Compensation

3.1InconsiderationfortheservicesprovidedbyMs.[HerLastName],Mr.[President'sLastName]shallpaytoMs.[HerLastName]afeeof[Amount]per[TimeFrame],payableinaccordancewiththepaymentschedulesetforthinExhibitAattachedhereto.

Article4:Confidentiality

4.1Ms.[HerLastName]acknowledgesthatduringthecourseofherservices,shemaybeexposedtoconfidentialinformationof[CompanyName].Ms.[HerLastName]agreestomaintaintheconfidentialityofsuchinformationandtouseitsolelyforthebenefitof[CompanyName]duringthetermofthisAgreementandthereafter.

Article5:IntellectualProperty

5.1AllintellectualpropertyrightsarisingfromtheservicesprovidedbyMs.[HerLastName]underthisAgreementshallbethesoleandexclusivepropertyof[CompanyName].

Article6:Termination

6.1ThisAgreementmaybeterminatedbyeitherpartyupon[NoticePeriod]writtennoticetotheotherparty.

Article7:Indemnification

7.1Mr.[President'sLastName]agreestoindemnify,defend,andholdharmlessMs.[HerLastName]fromandagainstanyandallclaims,liabilities,damages,losses,orexpensesarisingoutoforinconnectionwiththeservicesprovidedhereunder,excepttotheextentresultingfromMs.[HerLastName]'sgrossnegligenceorwillfulmisconduct.

Article8:GeneralProvisions

8.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,withrespecttothesubjectmatterhereof.

8.2ThisAgreementmaybeamendedonlybyawritteninstrumentsignedbybothparties.

8.3ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotconstituteorbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovision.

8.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.5Thepartiesherebysubmittotheexclusivejurisdictionofthecourtsof[Jurisdiction]fortheresolutionofanydisputesarisingoutoforrelatingtothisAgreement.
