Article1:GeneralProvisions

Article2:Definitions

ForthepurposesofthisContract,unlessotherwiseexpresslystatedorcontextuallyrequired,thefollowingtermsshallhavethemeaningsascribedtothembelow:

2.1"EffectiveDate"meansthedateonwhichthisContractissignedbybothParties.

2.2"Goods"meanstheproducts,materials,orequipmentdescribedinArticle3ofthisContract.

2.3"Order"meansthePurchaser'swrittenrequesttotheSupplierforthesupplyofGoodsinaccordancewiththetermsandconditionsofthisContract.

2.4"Price"meansthepricefortheGoodsasspecifiedinArticle4ofthisContract.

2.5"DeliveryDate"meansthedateordatesonwhichtheGoodsaretobedeliveredbytheSuppliertothePurchaser,asspecifiedinArticle5ofthisContract.

Article3:Goods

3.1TheSuppliershallsupplytheGoodstothePurchaserinaccordancewiththespecifications,quantities,andqualitystandardssetforthintheattachmentshereto.

3.2ThePurchaseracknowledgesthattheattachmentstothisContract,whichincludedetaileddescriptions,drawings,andspecificationsoftheGoods,formanintegralpartofthisContract.

Article4:PriceandPayment

4.1ThePricefortheGoodsshallbeasagreeduponbetweenthePartiesandspecifiedintheattachmentstothisContract.

4.2ThePurchasershallmakepaymenttotheSupplierfortheGoodsinaccordancewiththepaymenttermssetforthintheattachmentstothisContract.

4.3AllpaymentsshallbemadeinthecurrencyandthroughthepaymentmethodspecifiedintheattachmentstothisContract.

Article5:Delivery

5.1TheSuppliershalldelivertheGoodstothePurchaserattheaddressspecifiedintheattachmentstothisContractonorbeforetheDeliveryDate.

5.2TheSuppliershallensurethattheGoodsareproperlypacked,marked,andtransportedinaccordancewiththeapplicablelawsandregulations.

Article6:Warranties

6.1TheSupplierwarrantsthattheGoodssuppliedunderthisContractshallconformtothespecifications,qualitystandards,anddescriptionsprovidedbytheSupplierandshallbefreefromanydefectsinmaterials,workmanship,anddesign.

6.2TheSupplierfurtherwarrantsthattheGoodsshallbefitfortheirintendedpurposeandshallbefreefromanyintellectualpropertyinfringementclaims.

Article7:ForceMajeure

7.1NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanyforcemajeureevent,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,labordisputes,oranyotherunforeseeableandirresistibleevents.

Article8:DisputeResolution

8.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedamicablythroughnegotiationsbetweentheParties.

8.2IfthePartiesfailtoresolvethedisputeamicably,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthearbitrationinstitutionspecifiedintheattachmentstothisContract.

Article9:GoverningLawandJurisdiction

9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

9.2ThePartiesagreethatanylegalactionorproceedingsarisingoutoforinconnectionwiththisContractshallbebroughtexclusivelyinthecompetentcourts/tribunalsof[Country].

3.2ThirdPartyshallactinthebestinterestsofPartyAandshallprioritizePartyA'srightsandinterestsintheperformanceofitsobligationsunderthisContract.

3.3ThirdPartyshallberesponsibleforanydelays,defects,ornon-compliancewiththeContractthatarisefromitsperformanceorfailuretoperformitsobligations.

Article4:GoodsandServices

4.1PartyBagreestosupplytheGoodsandprovidetheServicestoPartyAinaccordancewiththespecifications,quantities,andqualitystandardssetforthinAttachment1:GoodsandServicesSpecifications.

4.2ThirdPartyshallassistandsupportPartyBinfulfillingitsobligationstoPartyA,ensuringthattheGoodsandServicesmeetPartyA'srequirementsandexpectations.

Article5:Pricing,Payment,andPenalties

5.1ThepricefortheGoodsandServicesshallbeasagreeduponbetweenPartyAandPartyB,andspecifiedinAttachment2:PricingandPaymentTerms.

5.2PartyAshallmakepaymenttoPartyBandThirdPartyinaccordancewiththepaymenttermsoutlinedinAttachment2,withprioritygiventoPartyA'sfinancialinterests.

5.3IntheeventofPartyB'sbreachofcontract,PartyAhastherighttoimposepenalties,claimdamages,orseekotherremediesasprovidedforinthisContract.

Article6:DefaultsandLimitations

6.1PartyBandThirdPartyshallbeliableforanydelays,defects,ornon-compliancewiththeContract.PartyAreservestherighttoclaimcompensationforanylossesordamagessufferedasaresultofsuchdefaults.

6.2PartyBandThirdPartyshallnot,withoutPartyA'spriorwrittenconsent,assign,transfer,orsubcontractanyoftheirrightsorobligationsunderthisContract.

7.2ThirdParty'sroleistoactasanindependententity,ensuringthatPartyA'sinterestsareprotectedandthattheGoodsandServicesmeettheagreed-uponstandards.

7.3ThePartiesacknowledgethatThirdParty'sinvolvementisaimedatfacilitatingthesuccessfulcompletionofthetransactionandachievingPartyA'sobjectives.

Article8:DisputeResolutionandGoverningLaw

4.2PartyAacknowledgesthatThirdParty'sinvolvementisaimedatsupportingPartyBindeliveringtheGoodsandServicesandthatPartyB'sinterestsinthequalityandefficiencyofthedeliveryareparamount.

Article5:Pricing,Payment,andPenalties

5.1ThepricingfortheGoodsandServicesshallbedeterminedbyPartyBandshallbesetoutinAttachment2:PricingStructure.

5.2PartyAshallmakepaymenttoPartyBinaccordancewiththepaymenttermsspecifiedinAttachment2.PartyB'srighttoreceivetimelypaymentshallbeprotectedandprioritized.

5.3IntheeventofPartyA'sbreachofcontract,PartyBhastherighttoclaimdamages,imposepenalties,orseekotherremediesasprovidedforinthisContract.

Article6:PartyA'sDefaultsandLimitations

6.1PartyAshallbeliableforanydelays,cancellations,ormodificationstotheOrdersthatarenotagreeduponbyPartyB.

6.2PartyAshallnot,withoutPartyB'spriorwrittenconsent,assign,transfer,orsubcontractanyofitsrightsorobligationsunderthisContract.

Article7:PartyB'sDominanceandPurpose

7.1ThestructureofthisContractisdesignedtoprioritizePartyB'sinterestsandensurethatPartyBmaintainscontrolovertheprovisionofGoodsandServices.

7.2PartyB'sdominanceinthisContractservestoprotectitsbusinessinterests,secureitsrevenuestreams,andmaintainitsreputationinthemarket.

7.3TheinclusionofThirdPartyisintendedtosupportPartyB'soperationsandenhanceitsabilitytofulfillitscontractualobligationstoPartyA.

Article8:DisputeResolutionandGoverningLaw
