onthsafterthearrivalofthegoodsattheportofdestination,andduringtheperiodthesellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.18.檢查(inspection)(下列兩項任選一項)：(1)賣方須在裝運前______日委托_________檢查機構對本合同之貨品進行檢查并出具檢查證書，貨到目的港后，由買方委托____________檢查機構進行檢查。thesellershallhavethegoodsinspectedby______daysbeforetheshipmentandhavetheinspectioncertificateissuedby____.thebuyermayhavethegoodsreinspectedby________afterthegoods,rrivalatthedestination.(2)發貨前，制造廠應對貨品的質量、規格、性能和數量/重量作精密全方面的檢查，出具檢查證明書，并闡明檢查的技術數據和結論。貨到目的港后，買方將申請中國商品檢查局(下列簡稱商檢局)對貨品的規格和數量/重量進行檢查，如發現貨品殘損或規格、數量與合同規定不符，除保險公司或輪船公司的責任外，買方得在貨品達成目的港后__日內憑商檢局出具的檢查證書向賣方索賠或拒收該貨。在確保期內，如貨品由于設計或制造上的缺點而發生損壞或品質和性能與合同規定不符時，買方將委托中國商檢局進行檢查。themanufacturersshall,beforedelivery,makeapreciseandprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.afterarrivalofthegoodsattheportofdestination,thebuyershallapplytochinamodityinspectionbureau(hereinafterreferredtoasccib)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthiscontract,exceptwhentheresponsibilitieslieswithinsurancepanyorshippingpany,thebuyershall,within_____daysafterarrivalofthegoodsattheportofdestination,claimagainsttheseller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyccib.incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththecontract,thebuyershall,duringtheguaranteeperiod,requestccibtomakeasurvey.19.索賠(claim)：買方憑其委托的檢查機構出具的檢查證明書向賣方提出索賠(涉及換貨)，由此引發的全部費用應由賣方負擔。若賣方收到上述索賠后______天未予回復，則認為賣方已接受買方索賠。thebuyershallmakeaclaimagainsttheseller(includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheseller.theclaimsmentionedaboveshallberegardedasbeingacceptedifthesellerfailtoreplywithin______daysafterthesellerreceivedthebuyer’sclaim.20.遲交貨與罰款(latedeliveryandpenalty):除合同第21條不可抗力因素外，如賣方不能按合同規定的時間交貨，買方應同旨在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每__天收__%，局限性__天時以__天計算。但罰款不得超出遲交貨品總價的____%。如賣方延期交貨超出合同規定__天時，買方有權撤銷合同，此時，賣方仍應不遲延地按上述規定向買方支付罰款。買方有權對因此遭受的其它損失向賣方提出索賠。shouldthesellerfailtomakedeliveryontimeasstipulatedinthecontract,withtheexceptionofforcemajeurecausesspecifiedinclause21ofthiscontract,thebuyershallagreetopostponethedeliveryontheconditionthattheselleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.therateofpenaltyischargedat______%forevery______days,odddayslessthan_____daysshouldbecountedas______days.butthepenalty,however,shallnotexceed_______%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.incasethesellerfailtomakedelivery______dayslaterthanthetimeofshipmentstipulatedinthecontract,thebuyershallhavetherighttocancelthecontractandtheseller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytothebuyerwithoutdelay.thebuyershallhavetherighttolodgeaclaimagainstthesellerforthelossessustainedifany.21.不可抗力(forcemajeure)：凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發生上述狀況時，賣方應立刻告知買方，并在__天內，給買方特快專遞一份由本地民間商會簽發的事故證明書。在此狀況下，賣方仍有責任采用一切必要方法加緊交貨。如事故延續__天以上，買方有權撤銷合同。thesellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoforcemajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellershalladvisethebuyerimmediatelyoftheoccurrencementionedaboveandwithin_____daysthereafterthesellershallsendanoticebycouriertothebuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofmerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.incasetheaccidentlastsformorethan_____daysthebuyershallhavetherighttocancelthecontract.22.爭議的解決(arbitration):凡因本合同引發的或與本合同有關的任何爭議應協商解決。若協商不成，應提交中國國際經濟貿易仲裁委員會深圳分會，按照申請時該會當時施行的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方都有約束力。anydisputearisingfromorinconnectionwiththecontractshallbesettledthroughfriendlynegotiation.incasenosettlementisreached,thedisputeshallbesubmittedtochinainternationaleconomicandtradearbitrationmission(cietac),shenzhenmission,forarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.thearbitralawardisfinalandbindinguponbothparties.23.告知(notices):全部告知用______文寫成，并按照以下用傳真/電子郵件/快件送達給各方。如果有變更，一方應在變更后______日內書面告知另一方。allnoticeshallbewrittenin_____andservedtobothpartiesbyfax/courieraccordingtothefollowingaddresses.ifanychan
