商品房買賣協議說明ExplanationofCommodityHousePurchaseandSalesContract

1.本協議文本為示范文本,也可作為簽約使用文本。簽約之前,買受人應當仔細閱讀本協議內容,對協議條款及專業用詞理解不一致的,可向本地房地產開發主管部門征詢。1.Thetextofthiscontractisthedemonstratedtext,alsocanbeusedasthetextforsigningacontract.Beforethesigningofthecontract,thebuyershallreadthecontentscarefully.Ifhehasanydifferentopinionsontheclausesorthespecializedwords,hecanseekadvicefromthelocalrealestatedevelopmentcompetentdepartment.2.本協議所稱商品房是指由房地產開發公司開發建設并出售的房屋。2.Thecommodityhousesmentionedinthecontractarethehouseswhicharedeveloped,constructedandsoldbytherealestatedevelopmententerprise.3.為體現協議雙方的自愿原則,本協議文本中相關條款后都有空白行,供雙方自行約定或補充約定。雙方當事人可以對文本條款的內容進行修改、增補或刪減。協議簽訂生效后,未被修改的文本印刷文字視為雙方批準內容。3.Inordertoshowthewillingnessprincipleofbothpartiesofthiscontract,thereisblankspaceaftertherelevantclausesinthetextforbothpartiestoagreethemselvesorsupplementtheagreement.Bothpartiescanamend,subjoinordeletethecontentsoftheclause.Afterthecontractcomesintoeffect,theunchangedpartsshallbedeemedastheagreedcontentsofbothparties.4.本協議文本中涉及到的選擇、填寫內容以手寫項為優先。4.Thetextconcerningchoiceandfillingshallsubjecttothewritingcontents.5.對協議文本【】中選擇內容、空格部分填寫及其他需要刪除或添加的內容,雙方應當協商擬定。【】中選擇內容,以√方式選定;對于實際情況未發生或買賣雙方不作約定期,應在空格部分打×,以示刪除。5.Bothpartiesshouldnegotiateandconfirmthechosencontent,thefillingofblankandothercontentsneededtodeleteoraddinthe【】ofthetextofthiscontract.Intheblank,√meansthatthecontentsarechosenand×meansthatthecontentsaredeleted.6.在簽訂協議前,出賣人應當向買受人出示應當由出賣人提供的有關證書、證明文獻。6.Beforethesigningofthecontract,thesellershalloffertherelevantcertificateanddocumentswhichshallbeprovidedbythesellertothebuyer.7.本協議條款由中華人民共和國建設部和國家工商行政管理局負責解釋。7.TheConstructionMinistryofthePeople’sRepublicofChinaandtheStateAdministrationforIndustryandCommerceshallbeliabletoexplaintheclausesofthecontract.

買受人所購商品房的基本情況Article3Fundamentalstateofvendee’scommodityhouse.買受人購買的商品房(以下簡稱該商品房,其房屋平面圖見本協議附件一,房號以附件一上表達為準)為本協議第一條規定的項目中的:Vendee’scommercialresidentialbuilding(hereinafterreferredtoasthecommoditybuilding,thehouseplanisspecifiedinappendix1tothecontract,housenumberisbasesontheappendix1details)whichstipulatedinthefirstarticleofthecontractis:第【幢】【座】【單元】【層】號房。【tents】(buildingnumber)specifichousenumberis,【unit】【layer】housenumber.該商品房的用途為,屬結構,層高為,建筑層數上層,地下層。Commercialbuilding’susewhichisapprovedbyplanningdepartmentis,belongstostructure,layerheightis.thetotalnumberofresidentialpliesareundergroundlayerare.該商品房陽臺是【封閉式】【非封閉式】。Thebalconyofthisapartmentis[sealed][notsealed].該商品房【協議約定】【產權登記】建筑面積共平方米,其中,套內建筑面積平方米,公共部位與公用房屋分攤建筑面積平方米(有關公共部位與公用房屋分攤建筑面積構成說明見附件二)。Thetotalbuildingareaofthisapartmentis㎡as[stipulatedoncontract][propertyregistration].TheUsableAreais㎡,withPublicareatobeshared㎡(refertotheattachment2forPublicareatobesharedconstructionexplanation)

計價方式與價款。Article4ValuationMode&price出賣人與買受人約定按下述第種方式計算該商品房價款:Venderandvendeecalculatethepriceofthisapartmentasstipulatedinmodebelow:1.按建筑面積計算,該商品房單價為(幣)每平方米元,總金額(幣)千百拾萬千百拾元整。1.Accordingtothebuildingarea,theunitpriceofthisapartmentis()/㎡,totally()2.按套內建筑面積計算,該商品房單價為(幣)每平方米元,總金額(幣)千百拾萬千百拾元整。2.AccordingtotheUsablearea,theunitpriceofthisapartmentis()/㎡,totally()3.按套(單元)計算,該商品房總價款為(幣)千百拾萬千百拾元整。3.AccordingtotheSet,theunitpriceofthisapartmentistotally()4.。

面積確認及面積差異解決。Article5Areaconfirmationanddifferencetreatment根據當事人選擇的計價方式,本條規定以【建筑面積】【套內建筑面積】(本條款中均簡稱面積)為依據進行面積確認及面積差異解決。Accordingtothevaluationmodewhichinterestedpartieschoosed,thisarticlestipulatestheareaconfirmationanddifferencetreatmentaccordingto[buildingarea][usablearea](hereinaftercalledareaforshort).當事人選擇按套計價的,不合用本條約定。PartiesselectedpriceaccordingtoSet,thisclauseshallnotapply.協議約定面積與產權登記面積有差異的,以產權登記面積為準。Foranydifferencesincontractedareaandregistrationarea,theregistrationareawillbetakenasthestandard.商品房交附后,產權登記面積與協議約定面積發生差異,雙方批準按第種方式進行解決;Aftertheapartmentistransferredtothebuyer,foranydifferencesincontractedareaandregistrationarea,bothpartieswillagreetomanageaccordingtothefollowing

term:1.雙方自行約定:1.Specialagreementbybothparties(1);(2);(3);(4)。2.雙方批準按以下原則解決:2.Bothpartieswillagreetomanageaccordingtothefollowingprinciple:(1)面積誤差比絕對值在3﹪以內(含3﹪)的,據實結算房價款:(1)Iftheabsolutevaluedifferenceiswithin3%(include3%),thechargewillbeaccordingtoactualamount.(2)面積誤差比絕對值超過3﹪時,買受人有權退房。(2)Iftheabsolutevaluedifferenceisexceeds3%(include3%),thebuyerhasrightstocanceltheorder.買受人退房的,出賣人在買受人提出退房之日起30天內將買受人已付款退還給買受人,并按利率付給利息。Forthebuyerwhocancelstheorder,thesellermustreturnthemoneytobuyerwithin30daysafterbuyermaketheordercancelapplication,andpaytheinterestsratesaccordingto%.買受人不退房的,產權登記面積大于協議約定面積時,面積誤差比在3﹪以內(含3﹪)部分的房價款由買受人補足;超過3﹪部分的房價款由出賣人承擔,產權歸買受人。產權登記面積小于協議約定面積時,面積誤差比絕對值在3﹪以內(含3﹪)部分的房價款由出賣人返還買受人;絕對值超過3﹪部分的房價款由出賣人雙倍返還買受人。Forthebuyerwhochoicenotcanceltheorder,iftheregistrationareasiswithin3%(including3%)biggerthancontractedarea,theexceededamountshouldbesupplementedbythebuyer;forthecasewhichismorethan3%,theexceededamountshouldbebornbytheseller,thepropertyrightsbelongstothebuyer.Iftheregistrationareasissmallerthancontractedarea,thearearatioiswithin3%(including3%),theexceededamountmustbereturnedtothebuyer;theamountwhicharemorethan3%mustbedoubledandreturntothebuyer.

產權登記面積-協議約定面積Registrationareas-Contractedarea面積誤差比= ————————————————————————————×100﹪協議約定面積Areatoleranceratio=————————————————————————————×100﹪ contractedarea因設計變更導致面積差異,雙方不解除協議的,應當簽署補充協議。Thedifferencecausedbythedesignmodification,whichbothpartiesdoesnotterminatethecontract,buyerandsellershouldsigncomplementaryagreementofcontract.

付款方式及期限。Article6PaymentandDeadline買受人按下列第種方式按期付款:Thebuyermustmakethepaymentaccordingtothemode一次性付款1.FullPaymentinonce。分期付款2.InstallmentPayment。其他方式3.Others。

買受人逾期付款的違約責任。Article7Breachofcontractresponsibilityforoverduepayment買受人如未按協議規定的時間付款,按下列第種方式解決:Ifthebuyercannoteffectthepaymentinthestipulatedtime,heorshewillbetreatedinthemode:1.按逾期時間,分別解決(不作累加)1.Accordingtothelatepaytime,processrespectively(notcumulative)(1)逾期在日之內,自本協議規定的應付款期限之第二天起至實際全額支付應付款之日止,買受人按日向出賣人支付逾期應付款萬分之的違約金,協議繼續履行;(1)Iftheoverduedateiswithin__days,fromthe2ndduepaymentdatetotheactualpaymentdate,thebuyershouldpaytotheseller%defaultfineaccordingtotheoverduedate,thecontractwillcontinuetobeperformed.(2)逾期超過日后,出賣人有權解除協議。出賣人解除協議的,買受人按累計應付款﹪向出賣人支付違約金。買受人樂意繼續履行協議的,經出賣人批準,協議繼續履行,自本協議規定的應付款期限之第二天起至實際全額支付應付款之日止,買受人按日向出賣人支付逾期應付款萬分之(該比率應不小于第(1)項中的比率)的違約金。(2)Iftheoverduedateisexceeds__days,thebuyerhastherightstoterminatethecontract.thebuyershouldpaytotheseller%defaultfineaccordingtotheoverduedate,Ifbuyerstillwillingtocontinuethecontract,afterselleragrees,thecontractwillcontinuetobeperformed,fromthe2ndduepaymentdatetotheactualpaymentdate,thebuyershouldpaytotheseller%(thisratiocannotlessthantheratesin(1))defaultfineaccordingtotheoverduedate.本條中的逾期應付款指依照本協議第六條規定的到期應付款與該期實際已付款的差額;采用分期付款的,按相應的分期應付款與該期的實際已付款的差額擬定。Theoverduepaymentinthisarticlereferstothebalancebetween6tharticleduepaymentandactualeffectedpayment;forinstallmentpayment,itshouldbedecidedbythebalancebetweendueinstallmentandactualpayment.2.。

交付期限。Article8Deliverydeadline出買人應當在年月日前,依照國家和地方人民政府的有關規定,將具有下列第種條件,并符合本協議約定的商品房交付買受人使用:Accordingtothestate’sandlocalgovernmentregulations,thesellershouldhandoverthecommercialresidentialbuilding,whichpossessthebelowconditions,asstipulatedbythecontract,tothebuyerbefore1.該商品房經驗收合格。1.Thiscommodityresidentialbuildingisinspectedtobequalified.2.該商品房經綜合驗收合格。2.Thiscommodityresidentialbuildingiscomprehensivelyinspectedtobequalified.3.該商品房經分期綜合驗收合格。3.Thiscommodityresidentialbuildingisinstallmentinspectedtobequalified.4.該商品房取得商品住宅交付使用批準文獻。4.Thiscommodityresidentialbuildingobtainedtheapprovaldocumentsofcommercialresidentialhandoverforusage.5.。但如遇下列特殊因素,除雙方協商批準解除協議或變更協議外,出賣人可據實予以延期:Butincaseofthefollowingexceptionalreasons,exceptforbothpartiesagreetheterminationoralternationofcontract,thesellercanprolongthedeadlineasperactualfact.1.遭遇不可抗力,且出賣人在發生之日起日內告知買受人的;1.Encounteredwithmajeure,andsellerinformedthebuyerwithindaysafterthemajeureoccurs;

出賣人逾期交房的違約責任。Article9Responsibilityofdelayinhandoverapartment除本協議第八條規定的特殊情況外,出賣人如未按本協議規定的期限將該商品房交付買受人使用,按下列第種方式解決:Exceptforthespecialcasesstipulatedinarticle8,ifthesellercannothandovertheapartmenttobuyerinthestipulatedscheduleinthiscontract,thebuyershouldbetreatedinthefollowingmode:1.按逾期時間,分別解決(不作累加)1.Accordingtotheoverduetime,thesellershouldbetreatedseparately(notbeaccumulated)(1)逾期不超過日,自本協議第八條規定的最后交付期限的第二天起至實際交付之日止,出賣人按日向買受人支付已交付房價款萬分之的違約金,協議繼續履行;(1)Foroverduedatelessthandays,fromthe2nddayofdeadlinestipulatedinarticle8totheactualdeliverday,thesellershouldpay_____%defaultfineofthealreadyeffectedpayment,thiscontractwillbeperformedcontinuously.(2)逾期超過日后,買受人有權解除協議。買受人解除協議的,出賣人應當自買受人解除協議告知到達之日起天內退還所有已付款,并按買受人累計已付款的﹪向買受人支付違約金。買受人規定繼續履行協議的,協議繼續履行,自本協議第八條規定的最后交付期限的第二天起至實際交付之日止,出賣人按日向買受人支付已交付房價款萬分之(該比率應不小于第(1)項中的比率)的違約金。(2)Foroverduedatemorethandays,thebuyercanterminatethecontract.Inthiscase,thesellershouldreturnallthepaymentwithindaysafterthedateoftermination,andpay__%defaultfineofthealreadyeffectedpayment.Ifthebuyerrequestscontinuouslyperformthecontract,thiscontractwillbeperformedcontinuously.Fromthe2nddayofdeadlinestipulatedinarticle8totheactualdeliverday,thesellershouldpaythebuyer%(thisratiocannotbelessthantheratesin1)ofthealreadyeffectedpayment2.。規劃、設計變更的約定Article10Agreementontheplanninganddesigningvariation經規劃部門批準的規劃變更、設計單位批準的設計變更導致下列影響到買受人所購商品房質量或使用功能的,出賣人應當在有關部門批準批準之日起10日內,書面告知買受人:Theplanninganddesigningvariationagreedbygovernmentordesigningorganization,whichaffectsthecommodityresidentialqualityandusageofbuyer,thesellershouldsendwrittennotificationtothebuyerwithin10daysaftertheapprovalupontherelatedauthority:(1)該商品房結構形式、戶型、空間尺寸、朝向;(1)Theconstruction,layout,spacedimension,orientation;(2);(3);(4);(5);(6);(7)。買受人有權在告知到達之日起15日內做出是否退房的書面答復。買受人在告知到達之日起15日內未作書面答復的,視同接受變更。出賣人未在規定期限內告知買受人的,買受人有權退房。Thebuyerhastherightstoreplyinwrittenwordsregardingwhethertocanceltheorderwithin15daysafterreceivingthenotice.Ifthebuyerdidn’tcanceltheorderwithin15daysafterreceivingthenotice,itwillberegardedasacceptancetothevariation.Ifthesellerhasn’tnoticedthebuyerwithinstipulatedtime,thebuyerhasrightstocanceltheorder.買受人退房的,出賣人須在買受人提出退房規定之日起天內將買受人已付款退還給買還人,并按利率付給利息。買受人不退房的,應當與出賣人另行簽訂補充協議。Ifthebuyercanceltheorder,thesellermustreturntheeffectedpaymentwithin_daysaftertherequestismade,andalsopaytheinterestsaccordingto%.Ifthebuyerdon’tcanceltheorder,heorsheshouldsignsupplementaryagreementwiththeseller.。第十一條交接。Article11Handover商品房達成交付使用條件后,出賣人應當書面告知買受人辦理交付手續。雙方進行驗收交接時,出賣人應當出示本協議第八條規定的證明文獻,并簽署房屋交接單。所購商品房為住宅的,出賣人還需提供《住宅質量保證書》和《住宅使用說明書》。出賣人不出示證明文獻或出示證明文獻不齊全,買受人有權拒絕交接,由此產生的延期交房責任由出賣人承擔。Whenthecommodityresidentialmeettheusagecondition,thesellershouldsendwrittennotificationtothebuyertomakehandoverprocedure.Duringthehandover,thesellermustissuetheproofdocumentsstipulatedinarticle8,andsigntheresidentialhandoversheet.Fortheresidentialwhichbelongstohabitation,theselleralsoneedtoprovidethe[habitationqualityguarantee]and[habitationusageinstructions].Ifsellerfailstoissuetheabovedocumentsorissueincompletedocuments,thebuyerhasrightstorefuseacceptingthehandover;delaycausedbythiscasewillshallbebearwiththeseller.由于買受人因素,未能按期交付的,雙方批準按以下方式解決:Forthedelayhandovercausedbythebuyer,bothpartiesagreedtomanageasbelow:。

第十二條出賣人保證銷售的商品房沒有產權糾紛和債權債務糾紛。因出賣人因素,導致該商品房不能辦理產權登記或發生債權債務糾紛的,由出賣人承擔所有責任。Article12sellermustensuretheresidentialsoldwithoutpropertyrightsandcreditor'srightdisputes.Unabletomakepropertyrightsregistrationoroccurrenceindisputes,theresponsibilitymustbebornbytheseller.。

第十三條出賣人關于裝飾、設備標準承諾的違約責任。Article13SellerbreachofDecorativeequipmentstandardspromise出賣人交付使用的商品房的裝飾、設備標準應符合雙方約定(附件三)的標準。達不到約定標準的,買受人有權規定出賣人按照下述第種方式解決:Thedecorativeequipmentstandardshandoverbythesellershouldmeetthestandardagreedbybothparties(Appendix3).Ifnotachievethestandard,thebuyerhastherightstomanageaccordingtothefollowing___mode.1.出賣人補償雙倍的裝飾、設備差價。1.Thesellercompensatesthedecorativeequipmentindoublebalanceofthedifferent.2.3.。

第十四條出賣人關于基礎設施、公共配套建筑正常運營的承諾。Article14Promiseofselleronthenormalusageofinfrastructure,publicaffiliatedequipments出賣人承諾與該商品房正常使用直接關聯的下列基礎設施、公共配套建筑按以下日期達成使用條件:Thesellerpromisethefollowinginfrastructure,affiliatedequipmentsdirectlyrelateswiththenormalusageofthisresidentialachievetheusageconditionaccordingtothebelowdate:1.;2.;3.;4.;5.。假如在規定日期內未達成使用條件,雙方批準按以下方式解決:Ifonthestipulateddatedoesnotmeettheconditionsofuse,thepartiesagreeasfollows:1.;2.;3.。

第十五條關于產權登記的約定。Article15Agreementsonthepropertyrightsregistration出賣人應當在商品房交付使用后日內,將辦理權屬登記需由出賣人提供的資料報產權登記機關備案。如因出賣人的責任。買受人不能在規定期限內取得房地產權屬證書的,雙方批準按下列第項解決:Thesellershouldsubmittherelateddocumentsrequestedformakingpropertyrightsregistrationtotheresidentialadministrationdeptandmaketheprocedureindaysafterhandover.Ifthebuyercannotgettheregistrationproprietarycertificateintimecausedbytheseller,bothpartiesagreetotreatinthefollowingmode:1.買受人退房,出賣人在買受人提出退房規定之日起日內將買受人已付房價款退還給買受人,并按已付房價款的﹪補償買受人損失。1.Thebuyercancelstheorder,thesellermustreturntheeffectedpaymentwithinxxdaysafterbuyerraisedtherequirement,andcompensatethebuyerwith%oftheeffectedpayment.2.買受人不退房,出賣人按已付房價款的﹪向買受人支付違約金。2.Thebuyerdoesnotcanceltheorder,thesellershouldpaythedefaultfinewith%oftheeffectedpayment.3.。

第十六條保修責任。Article16Repairguaranteeresponsibility買受人購買的商品房為商品住宅的,《住宅質量保證書》作為本協議的附件。出賣人自商品住宅交付使用之日起,按照《住宅質量保證書》承諾的內容承擔相應的保修責任。Forthebuyerwhobuycommodityresidential,the[residentialqualityguarantee]willbeaffixedtothiscontract.Thesellerwillstandtherepairresponsibilityaccordingto[residentialqualityguarantee]fromthehandoverday.買受人購買的商品房為非商品住宅的,雙方應當以協議附件的形式具體約定保修范圍、保修期限和保修責任等內容。Forthebuyerwhobuycommoditypropertyidnon-residential,bothpartiesshouldmakesupplementalagreementasappendixofthiscontractwhichstipulatestherepairscope,deadline,andresponsibility.在商品房保修范圍和保修期限內發生質量問題,出賣人應當履行保修義務。因不可抗力或者非出賣人因素導致的損壞,出賣人不承擔責任,但可協助維修,維修費用由購買人承擔。Fortheproblemshappenedwithintherepairscope,deadline,thesellershouldperformtherepair.Forthemajeureordamagednotcausedbytheseller,thesellerwillnotstandtheresponsibility,butcanassistfortherepairing,thebuyershallbeartherepairfee.。
