PAGEPAGE27裝修裝飾工程施工合同CONTRACTOFDECORATIONENGINEERING簽署日期Dateof工程名稱：ProjectName:工程地址：ProjectPlace:發包方(甲方)：Owner(HereinafterreferredtoaspartyA)承包方(乙方)：Contractor:(hereinaftercalledpartyB)鑒于甲方擬對辦公樓進行裝修裝飾，通過招投標程序，將該工程授予乙方施工并完成；鑒于乙方具備裝修裝飾施工的資質，并愿意接受招投標規定的條件，同意承擔該工程的施工并完成；鑒于雙方同意遵照《中華人民共和國合同法》、《建筑裝飾裝修管理規定》、《住宅室內裝飾裝修管理辦法》及有關法律、法規規定履行本合同；基于本合同之合意、聲明、約定及其它約因，雙方當事人茲就下列各事項達成協議：WHEREASpartyAintendstomakedecorationofofficebuilding,throughbiddingprocedure,awardthisprojectherebytopartyBforconstructionandcompletionthereof.WHEREASpartyBiswiththequalificationofdecorationengineering,intendstoacceptbiddingconditionsandconsenttoundertaketheprojectconstructionandcomplete.WHEREASpartiesheretoagreetoexecutethiscontractinaccordancewithLAWOFCONTRACT,REGULATIONSOFCONSTRUCTIONDECORATIONMANAGEMENT,ADMINISTRATIONRULESFORINDOORHOMEDECORATIONandconcernedlawsandregulations.NOWTHEREFOREinconsiderationofthemutualpromises,assertionsandcovenantshereinandothergoodandvaluableconsiderations,thereceiptsofwhichisacknowledgedhereby,thepartiesherebyagreeasfollows:第一條工程概況WorkOverview1、 工程名稱：ProjectName2、工程地址：ProjectPlace:3、承包方式：總承包（包工包料，包質量，包安全，包工期）ContractingMeans:Generalcontracting,includingcontractingofmaterialsandlabor,liabilitiesofquality,work’ssafetyandwork’sschedule.4、承包內容：包括所有的拆除及改造工程，以附件《工程報價單》為準。Contractingcontentsincludeallworksofdemolishmentandmodification,whichshouldbesubjecttoConstructionQuotation.第二條合同工期ProjectPeriod本合同的工期自年月日開工至年月日竣工。Projectperiodhereofisfromthedateofcommencementoftothedateofcompletionof.第三條裝修審批和資質ApprovalofProjectandQualificationofConstruction1、除本合同另有規定外，乙方同意依法辦理與裝修有關的所有審批、登記及驗收手續，包括消防手續。UnlessotherwiseprovidedhereinpartyBagreetoprocessallformalities,whicharerelatedtothisdecoration,oftheapproval,registrationandacceptanceinadditiontofireprotection.2、乙方保證，其具備符合本工程要求的施工資質。本合同項下甲方發包給乙方的所有裝修工程均沒有超出乙方資質證書規定的范圍。PartyBherebywarrantythatitsexecutionqualificationconformtothisprojectrequirementsandnoneofdecorationworkshereunder,whichareawardedbypartyA,arebeyondthescopeofpartyB’sCertificationofQualification.第四條工程價款及付款方式ProjectCostandPayment1、本工程合同價款為人民幣：元整。ThecostofthisprojectisYuanRMBonly.2、付款方式：Paymentby（1）在乙方如期完成全部的裝修施工工程并經甲方根據第八條驗收合格后，甲方將于收到乙方正式發票后30天內按實際完成的工作量及投標單價一次性結算支付全部工程款項。UponandafterpartyB’scompletionofalldecorationworksonscheduleandmakingacceptancebypartyApursuanttothestipulationofArticle8,partyAwill,within30daysofreceiptofformalinvoicefrompartyB,effectpaymentinalumpsumofallprojectamountinaccordancewithactualcompletionofworksandbiddingunitprice.（2）由于設計變更及甲方要求修改等而引起的工程量較大的增減時，須由乙方編制增減工程預算書，經甲方審核確認后，在相應的工程進度款付款時予以結算支付。Providedthatlargerincreaseordecreaseofquantityduetodesignmodificationand/orpartyA’srequirementthereof,shouldbesubjecttopartyB’spreparationofengineeringbudgetfortheincreaseordecreaseofquantity,whichshouldbereviewedandexaminedbypartyAbeforepaymentofprojectprogressbesettledanpaidcorrespondently.3、乙方向甲方提供正式稅務發票前，甲方沒有付款義務。PartyAwillnoteffectpaymentuntilandunlesspartyBhaveprovidetheformalinvoicetopartyA.第五條工程質量要求RequirementsofProjectQuality1、乙方嚴格按照經甲方確認的施工圖紙進行施工，隨時接受甲方代表或委派人員的檢查檢驗，為檢查檢驗提供便利條件。同時施工嚴格按照國家規范進行，施工滿足設計要求，質量達到工程建設強制性標準、其他技術標準以及本合同的規定。否則，甲方有權要求乙方拆除重建，由此產生的一切費用和損失，包括工期延誤的損失，由乙方承擔。PartyBshould,pursuanttoinstrictthedrawingswhichconfirmedbypartyA,carryoutexecutionandacceptinanytimetheinspection/checkingbypartyA’srepresentativeordesignatedpersonnel,forwhichprovidethefacilitateconditions.ConstructionshouldbecarriedoutinaccordancestrictlywithState’snorms,satisfydesignrequirements,thequalitythereofreachthecompulsorystandardsofconstruction,otherstandardsconcernedandregulationshereof.OtherwisepartyAisentitletorequirepartyBtodismantleandreconstructtheworkfromwhichanyandallexpenseandlossshouldbeundertakenbypartyB.2、工程以包工包料的方式進行，材料按甲方指定采購，并應當符合國家標準及環保要求。禁止使用國家明令淘汰的建筑裝修裝飾材料和設備。Thisprojectisprocessedbythemeansofcontractingmaterialsandlabor,respectingtomaterialwhichshouldbepurchasedunderpartyAnamedandconformtotherequirementsofState’sstandardsandenvironmentalprotection.Thematerialsofdecorationandequipments,whichhavebeeneliminatedexpresslybyStateisprohibitedtoused.3、乙方對設計方案的可實施性和安全性承擔全部責任，任何因設計方案無法實施，修改方案導致的費用增加,以及不能通過消防等相關驗收而引起的損失或費用增加均由乙方承擔。PartyBshouldbetakefullresponsibilityforthefeasibilityandsecurityofdesignscheme,ifany,alladdedexpenseduetotheunfeasibilityandalterationofdesign,inadditiontothelossorincreaseexpenseduetofailureofacceptanceoffireprotectionshallbeundertakenbypartyB.6、乙方應當按照圖紙施工，不得擅自改變設計圖紙。PartyBshouldconducttheconstructionpursuanttodrawingsandcannotmake,atitsowninitiative,modificationoramendmentofdesigndrawings.7、裝修工程竣工后，室內空氣質量應當符合國家有關標準，包括《室內空氣質量標準》(GB/T18883-2002)和《民用建筑工程室內環境污染控制規范》（GB50325-2001）。Theatmospherequalityindoorshould,aftercompletionofdecorationengineering,conformtotheconcernedstandardsissuedbyStateincludingSTANDARDSOFAIRQUALITYINDOORandNORMALOFINDOORENVIRONMENTPOLLUTIONOFCIVILCONSTRUCTION.8、施工中，甲方如有特殊施工項目或特殊質量要求，雙方應確認，增加的費用應另簽訂補充合同。Whereanyparticularprojectorspecialrequirementforquality,duringworks,beingraisedbypartyA,shouldbesubjecttotheconfirmationbypartiesheretoandsupplementaryagreementontheaddedcost.第六條雙方權利義務Rights&ObligationsofParties1、甲方權利義務：Rights&ObligationsofPartyA:（1）配合辦理施工報批相關手續；Tomakecooperationofprocessingallnecessarywork’permission.（2）在收到乙方提供的裝修圖紙后合理時間內作出確認或提出修改意見；Togiveconformationormodificationpinionwithinareasonableperiod,uponreceiptofdecorationdrawingssubmittedbypartyB.（3）按時支付工程款項；TopaythecontractamounttoPartyBonscheduleasagreed.（4）協助乙方與甲方指定分包商的施工配合TomakecooperationwithothersubcontractorwhichisnominatedbypartyA.（5）組織工程竣工驗收工作。Toorganizetheacceptanceofproject’scompletion.2、乙方權利義務：Rights&ObligationsofPartyB（1）乙方應當在合同生效后10日內按設計要求提供詳細施工報批圖紙，以便甲方和業主審核，并在甲方和業主對裝修圖紙提出修改意見后3日內提供修改后的報批圖紙。乙方應按經甲方和業主同意的施工圖紙施工。施工圖紙確認后，施工過程中的變更也應經過甲方和業主事先同意。由于乙方的施工方案沒經過業主及甲方同意，而造成的經濟損失，及對業主的賠償責任由乙方承擔。賠償將從合同的款項中扣除,如不足以支付賠償金額,乙方還應補足余額。如果乙方未能在本條款定期限內提供詳細施工報批圖紙，則按第七條承擔責任。PartyBshould,withintendaysafterthiscontractcomeintoeffectpursuanttothedesignrequirement,submitthedetailexecutiondrawingforpartyAandownerforexamandapproval,andwithinthreedaysuponpartyAandowner‘ssubmissionofamendmentopinionsprovidethealtereddrawingsforre-exam/approval.PartyBshouldconducttheexecutioninaccordancewiththedrawingwhichhavebeenapprovedbypartyAandowner.AnyalterationduringtheexecutionshouldbesubjecttothepriorconsentofpartyAandowner,incaseoffailureoftheconsenttopartyB’sconstructionprogram,anyeconomiclossarisingtherefromandcompensationtoownershallbeundertakenbypartyB.Thecompensationwillbededucteddirectlyfromthecontractpayment,whereinsufficiencyofcontractpayment,partyBshouldmakeupthebalanceofcompensation.ProvidedthatpartyB‘sfailuretoprovidedetaildrawingforapprovalwithinthelimitedperiodherein,willassumethecorrespondingresponsibilitiesunderArticleSevenhereof.（2）開工前，乙方應在與甲方協商后指派一名合格人員作為乙方工地代表，負責與甲方聯絡，監督合同履行。PartyBshould,priortocommencementthroughthenegotiationwithpartyA,designaqualifiedpersonaspartyB’srepresentativeforliaisonwithpartyAandmakesupervisionofcontractperformance.（3）配備合格的施工人員。甲方代表有權要求乙方更換不具備相應資格的施工人員，乙方應在收到甲方代表的要求后日內做出更換。Deploywithqualifiedconstructionpersonnel.PartyAisentitletorequestpartyBtoreplacethedisqualifiedpersonnelandpartyBshouldwithindaysreplacesuchpersonneluponreceiptoftherequestofpartyA’srepresentative.（4）做好施工組織管理，精心施工，保證工程質量，定期向甲方匯報施工進度情況，按時完工。做好施工安全防范措施，確保施工安全并承擔施工造成人身和財產損失的直接賠償責任。Conductthemanagementofexecutionorganization,carefulconstructionsoastoensureprojectquality,submittheprogresstopartyAatregularandhavecompletionofprojectonschedule.Conducttheprecautionofsafetyonsiteandensuresafeexecutionandundertaketheresponsibilityofdirectcompensationforanyperson’scasualtyandpropertylossduetoitsexecution.（5）已竣工工程未交付甲方驗收之前，負責成品保護，保護期間發生損壞，乙方自費予以修復。甲方在竣工驗收前使用，發生損壞的修理費用，由甲方承擔。由于乙方不履行上述義務，造成工期延誤和經濟損失，責任由乙方承擔。ToberesponsiblefortheprotectionoffinishedproductswhichhavebeencompletedpriortopartyA’sacceptance,if,anydamageduringtheprotectionpartyBshouldrepairthesameonitsownaccount.ProvidedthatpartyAusethefinishedproductpriortoacceptancetherepaircostofdamagewillbeonpartyA’saccount.Howeverthedelayofwork’speriodandeconomiclossduetopartyB‘sfailureofperformanceofaforementionedliabilitiesshallberesponsibilityofpartyB.（9）組織參加工程竣工驗收工作。Toorganizeandtakeparkintheacceptanceofcompletion.（10）文明施工，保證在施工過程中不在施工場地周圍亂放建材及廢物，并保證在工程竣工后負責清理并承擔相應費用。Conductorderlyexecutionandguarantythatnoconstructionmaterialsanddebriswillbeplacedoutoforderaroundthesite,inadditiontoclearandcleanthesiteaftercompletionandbearthecostthereon.第七條工期延誤Work’sDelay以下原因造成竣工日期拖延，經甲方代表確認后，工期才可相應順延：Work’speriodmaybepostponedprovidedthatifthecompletiondayisdelayedduetofollowingreasonswhichhavebeenconfirmedbypartyA’srepresentative.甲方要求的設計及工程量重大變更；Thedesignandwork’squantity,whicharerequestedbypartyAhavebeenmaterialalteration.非乙方原因，一周內累計停水、停電八小時以上的；DisruptiontimeofwaterandcurrencysupplyismoreeighthourswithinoneweekduetononpartyB’sreason.（3）不可抗力，系指戰爭和自然災害；Forcemajeureshallrefertowaranddisasters.除上述因素外，因乙方原因造成工程未按合同工期竣工的，由乙方承擔違約責任，工期每延誤一天,乙方支付違約金人民幣元。Excepttoaforesaidreasons,providedthatiffailureofcompletionasthescheduleundercontractduetopartyB’sreason,theresponsibilitythereofshallbeonpartyBandpartyBshouldeffectthepaymentofliquidateddamagesonRMBforeachdelayeddayofworkperiod.第八條工程驗收ProjectAcceptance1、工程具備覆蓋、掩蓋條件以及進行隱蔽工程之前，乙方應提前1天通知甲方檢查，甲方在驗收記錄上簽字后，方可進行隱蔽和繼續施工。否則甲方應當有權要求乙方拆除重建或者另行聘請第三方拆除重建，由此產生的一切費用和損失，包括工期延誤的損失，由乙方承擔。PartyBshould,priortotheprojectwiththeconditionsofcoverandcarryingoutconcealedwork,giveonedayadvancenotificationtopartyAforinspection,andcannotconducttheconcealedworkorcontinueexecutionuntilpartyAhavesignedontheacceptancerecord.OtherwisepartyAisentitletorequirepartyBtodismantleandreconstructorretainathirdpartytodothesame,allexpensesandlossesconsequentthereonorincidentalthereto,includingthelossofperioddelay,shallbeassumedbypartyB.2、甲方有權要求對工程進行分階段驗收，具體階段性驗收時間由甲方確定。PartyAhasrighttoconductthephasedacceptanceofproject,respecttothetimeofparticularacceptance,shallbesubjecttopartyA’sdetermination.3、工程具備竣工驗收條件，乙方應當向甲方提供完整竣工資料和竣工驗收報告，甲方應在收到全部材料后5日內組織驗收，逾期視為甲方自動放棄權利并視為驗收合格。如果工程符合第五條規定的質量標準，甲方應當簽署驗收報告。如果工程不符合上述質量標準，乙方應當在甲方指出不符之處后立即組織修理或重建，并重新提供竣工資料和竣工驗收報告。由此產生的延誤和損失，由乙方承擔。PartyBshould,uponproject’ssatisfactionoftheacceptanceconditions,submitthefullsetofcompletionmaterialsandreportofacceptance;andpartyAshould,withinfivedaysuponreceiptofallmaterialssubmittedbypartyB,organizetheacceptancethereof,if,overduetimethereof,shalldeemedaspartyA’swaiverofsuchrightanddeemedasqualificationofacceptance.WhereandtotheextentthatprojectsatisfythequalitystandardsstipulatedinArticleFivehereofpartyAshouldmakesignatureontheAcceptanceReport;wherefailtoconformtoaforesaidstandards,partyBshould,afterpartyA‘sindicationofunconformities,forthwithconductrectificationorreconstructionandthereafterresubmitthecompletionmaterialsandacceptancereport,anydelayandlossoccurredtherefromshallbeundertakenbypartyB.第九條保修期限及范圍WarrantyPeriodandWarrantyScope保修期限WarrantyPeriod乙方對裝修工程中的防水工程承擔5年保修責任，粉刷承擔2年的保修責任，其它部分按國家有關建筑工程保修的規定辦理。從甲方簽署驗收報告后起算。PartyB’swarrantyresponsibilityofthewaterproofengineeringwillbefiveyearsinadditiontotwoyearswarrantyforwallpaintings,andotherwarrantieswillbesubjecttoState’sregulationsonconstructionwarranty.ThewarrantyperiodcommencefromthedateonwhichpartyAsignReportofAcceptance.2、保修范圍：WarrantyScope在保修期內，屬乙方施工范圍的工程項目，因施工質量及材料使用問題造成損壞損失的，乙方應免費維修和更換；若因甲方使用不當，造成的損壞，乙方只收取材料及人工成本費用。如果保修期內裝修工程出現任何質量問題，乙方應當自甲方提出修理要求后及時維修，維修費用由乙方承擔。兩年之后，乙方繼續為甲方服務可根據市場價格收取費用。IntheWarrantyPeriodinspecttotheprojectitemwhichisbelongtopartyB’sworkscope,wherewhateverdamageorlossoccurredduetotheexecutionqualityand/ormaterialuse,partyBshouldmakerepairandreplacethereof;wheresuchdamageduetopartyA’simproperuseofproject,partyBonlyrecoverthefeesofmaterialsandlabor.PartyBshould,whereanyqualitydefectofdecorationintheWarrantyPeriod,makerepairintimeonpartyA’srequestthereofandundertakenthecosttherewithandpartyBshall,onandfromtwoyearsthereafter,providethecontinueserviceofrepairandrecoverthecostonthemarketprice.第十條違約責任BreachLiability如果甲方代表不能及時給出必要指令、確認、批準，不按合同約定履行各項義務、支付工程款項及發生其它使合同無法履行的行為，甲方應承擔違約責任，相應順延工期。ProvidedthatthefailureofpartyA’srepresentativetogivethenecessarydirection,conformationandapproval,toperformitsvariousliabilitiesasperthestipulationshereofandfailuretoeffectthepaymentofprojectcost,and/orconductotheractswhicharemakethiscontractunabletobefulfilled,partyAshouldassumethebreachliabilityconsequentthereonorincidentaltheretoinadditiontothecorrespondingpostponementofworkperiod.乙方不能按合同工期竣工，施工質量達不到設計和規范的要求，或發生其它使合同無法履行的行為，乙方應承擔違約責任，并按協議條款約定支付違約金，并賠償因其違約給甲方造成的損失。如果由于乙方的原因（包括但不限于設計缺陷及施工質量不符合本合同的要求）導致甲方的財產損失或人員傷亡，乙方將承擔賠償責任。ProvidedthatpartyBfailstomakecompletionassetincontractoritsWork’squalityfailtosatisfytherequirementsofdesignandnorms,oritsotheractswhichmakecontractunabletobeperformed,partyBshouldassumebreachliabilitytherefrom,andeffectpaymentofliquidateddamagespursuanttocontractprovision,inadditiontothelossarisingoutofitsbreach.ProvidedthatifpartyA’spropertylossorpersonneldead/injuryduetopartyB’sreasonswhichareincludedbutnotlimiteddesigndefectandfailureofWork’squalitytosatisfytherequirementshereof,partyBshouldundertaketheresponsibilityofcompensationthereof.第十一條爭議解決DisputesSettlement在執行本合同和與履行合同有關的協議中的任何分歧或爭議,雙方應友好協商解決,如果協商無果,任何一方可將爭議提交中國國際經濟貿易仲裁委員會仲裁，裁決是終局的，對雙方具有約束力。Anydivergenceordisputearisingoutoforinconnectionwiththiscontractshouldbetriedtosettlementbytheamicablenegotiationofpartieshereto.IffailureofnegotiationanypartycansubmitthedisputetoChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationwhicharefinalandbindingtopartieshereto.第十二條合同的生效與份數EntryIntoForceandCopies合同自雙方簽字蓋章后生效。本合同未盡事項，甲、乙雙方協商解決。本合同正本一式兩份，甲、乙雙方各持一份，具同等法律效力。TheContractwillbecomeeffectiveuponthesignature/sealofpartieshereto,anyoutstandingissuehereofwillbesettledbynegotiationofpartieshereto.Twocopiesoforiginalcontractforeachpartyholdonecopywithequallyauthentic.第十三條附件Annex附件一：預算書ApprovedQuotation附件二：外墻花崗巖、石膏板和鋁合金吊頂的施工要求REQUIREMENTSOFWALL’SGRANITE,GYPSUMBOARDANDCEILING發包方（蓋章）：Owner(Seal):甲方代表（簽字）：RepresentativeofPartyA(Signature):承包方（蓋章）：Contractor(Seal):乙方代表（簽字）：RepresentativeofPartyB(Signature):附件二：外墻花崗巖、石膏板和鋁合金吊頂的施工要求REQUIREMENTSOFWALL’SGRANITE,GYPSUMBOARDANDCEILING1外墻花崗巖主要施工措施Mainconstructionmeasureforouterwall’sgranite1.1做好施工大樣圖Dothedetailmasterdrawingofconstructionwell飾面板材安裝前，首先應根據建筑設計圖紙要求，認真核實飾面板安裝部位的結構尺寸及偏差情況，如墻面基體的垂直度、平整度以及由于糾正偏差所增減的尺寸，繪出修正圖。超出允許偏差的，則應在保證基體與飾面板表面距離不小于50MM的前提下，重新排列分塊。Beforethepanelofveneer’sinstallation,shouldfollowtherequirementsofthebuildingdesigndrawing,verifiedthephysicaldimensionofinstallingpositionofthedecorationspanelanddeviationsituationconscientiouslyatfirst.Forexample,verticaldegree,roughnessandthematricesofwallthesizethatisincreasedanddecreased.Thenworkouttheamendeddrawing.Thereshouldreconfiguretheboardifthedifferencegobeyondthealloweddeviation.Andthisreconfigurationshouldbaseonthepremisethatmatricesanddistanceofsurfaceofdecorationspanelarenotsmallerthan50MM.1.2基層處理Dealingwiththebasiclayer花崗巖板面的接縫寬度應為1MM。Theseamwidthforthegraniteboardshouldbe1MM.1.3測量放線Surveyingandputtingtheline應根據建筑設計圖紙在墻面彈出擬安裝線，并且保證尺寸正確。Followthebuildingdesigndrawingtomarktheinstalledlineonthewall,andguaranteethesizetobecorrect.1.4花崗巖板進場檢修Checkthegraniteonsite花崗巖板進場拆包后，首先應逐塊進行檢查，將破碎、變色、局部污染和缺棱掉角的全部挑檢出來，另行堆放；另外，對合乎要求的飾面板，應進行邊角垂直測量、平整度檢驗、裂縫檢驗、棱角缺陷檢驗，確保安裝后的尺寸寬、高一致。Aftergraniteboardenterintothesite,firstofall,checkeverypieceifhavebrokenorchangingcolororpartpollutedandlackarrisandthenpickoutallthesepiecestoshedcorner;Ontheotherhand,forthedecorationspanelwhichmeettherequirements,shouldmeasurethecornervertically,theroughness,andthecrack,andshouldguaranteethesizeafterinstalling.破裂的花崗巖板，可用環氧樹脂膠粘劑粘貼。修補時應將粘結面清潔并干燥，兩個粘合面涂厚度≤0.5mm粘結膜層，在≥15℃環境中粘貼，在相同溫度的室內養護。Thebrokengraniteboard,wecanpasteitwithepoxyresinadhesive.Whilemending,thesurfaceshouldbecleananddry.Thetwoconglutinationsurfacescribblethicknessshould≤0.5mmglueconjunctivalayer,pastein≥15℃environment,andinthesametemperaturetomaintain.1.5選板、預拼、排號Selecttheboard,Piecetogetherinadvance,Dispatchnumber對照排板圖編號檢查復核所需板的幾何尺寸，并按誤差大小歸類。Checkthegeometricsizeaccordingtotheboardwhichhaveserialnumber,andsortoutaccordingtotheerrorsize.在選板的基礎上進行預拼工作。Piecetogethertheboardinadvancebaseontheselectedboards.預拼好的石材應編號，然后分類豎向堆放待用。Theboarrdswhhichhhavebbeenppieceddtogeethershoulldbemarkeednummber,an
