1、海外代理協(xié)議SALES AGENCY AGREEMENT編號(hào)/No： 日期/Date：此協(xié)議是雙方在平等互利基礎(chǔ)上建立的，共同遵守下列條款：This Agreement is made among the parties concerned on the basis of equality and mutual benefits to develop business on terms and conditions mutually agreed upon as follows:1. 協(xié)議相關(guān)各方當(dāng)事人The parties concerned生產(chǎn)商：鴻安企業(yè)(香港)子公司宜昌瑞英機(jī)電有限公司

2、(以下簡(jiǎn)稱(chēng)“甲方”)Manufacturer: Subsidiary of Hanover Enterprises Ltd.Yichang Union Inc. (hereinafter referred to as Party A)代理商： (以下簡(jiǎn)稱(chēng)“乙方”)Agent： (hereinafter referred to as Party B)2.獨(dú)家代理權(quán)的授予Appointment of Exclusive Agent甲方授權(quán)乙方為其單頭電磁爐產(chǎn)品在日區(qū)域特約總經(jīng)銷(xiāo)商，全權(quán)負(fù)責(zé)甲方生產(chǎn)的產(chǎn)品在日本 市場(chǎng)的推廣，銷(xiāo)售和售后服務(wù)事宜。Party A hereby appoints Part

3、y B as its sole agency in the Japan market to engage in the promotio n, sales and after sales service of its single-hob induction cooker.產(chǎn)品：由甲方生產(chǎn)的單頭電磁爐。Commodity: Single-hob induction cookers produced by Party A.代理區(qū)域：僅限日本區(qū)域內(nèi)。Territory: In Japan only.3.訂單的確認(rèn) Confirmation on Orders關(guān)于協(xié)議所規(guī)定的上述商品的每筆交易， 其

4、數(shù)量、 價(jià)格及裝運(yùn)條件等以甲乙雙方另行簽定的 銷(xiāo)售合同為準(zhǔn)。The quantities, prices and shipment of the commodities stated in this Agreement shall be confirm ed for each transaction, the particulars of which are to be specified in the Sales Contracts signed by the two parties hereto.4. 付款 Payment Terms訂單確認(rèn)后，乙方須通過(guò)T/T 先向甲方支付 30%定金，

5、在出貨前須將余款通過(guò)T/T 的方式付 清，或者按照有關(guān)銷(xiāo)售合同所規(guī)定的時(shí)間開(kāi)立以甲方為受益人的保兌的、不可撤消的即期信 用證。乙方開(kāi)出信用證后，應(yīng)立即通知甲方，以便甲方準(zhǔn)備交貨。After confirmation of the order, Party B should pay 30% for deposit by T/T to Party A, the balance should be paid before shipping by T/T, or the Party B shall arrange to open a confirmed, irrevocab le L/C availa

7、before shipment.5. 價(jià)格條款 Price Terms價(jià)格： 為了保證長(zhǎng)期的合作，促進(jìn)共同的發(fā)展，甲方提供產(chǎn)品價(jià)格表給乙方，各款報(bào)價(jià)詳見(jiàn) 其他附件。Price: Party A provide quotation list of products to Party B so as to ensure the long term cooperation and joint development. Detailed quotation is as additional attachment.注 1，如甲方推出新款產(chǎn)品，甲方將通過(guò)電郵通知乙方;注 2 ，甲方保證報(bào)給乙方的價(jià)格為在日

8、本區(qū)域內(nèi)最低的價(jià)格。注 3，乙方不得擅自將價(jià)格表內(nèi)容透漏給任何第三方，乙方必須嚴(yán)格執(zhí)行和遵守甲方的價(jià)格 體系。Remarks:1, Once Party A promote new products, will inform Party B by email.2, Party A make sure offered the lowest price for Party B within Japan area.3, Party B should not let out the quotations to any third parties but must execute strictly an

9、d adh ere to the price system of Party A.6. 甲乙雙方責(zé)任 Liability of Two Parties6.1 產(chǎn)品質(zhì)量 Quality of Product:甲方保證向乙方提供優(yōu)質(zhì)產(chǎn)品 (甲方生產(chǎn)的電磁爐等一系列產(chǎn)品)，保證供貨穩(wěn)定; 當(dāng)產(chǎn)品出 現(xiàn)重大的質(zhì)量問(wèn)題，引起相關(guān)的投訴和法律糾紛時(shí)，甲方需要承擔(dān)相應(yīng)的責(zé)任。Party A guarantee all products (series of induction cookers) provided with high quality and stable supply. If there oc

10、curs big problems on quality and caused complaints or legal disputes, Party A should afford the related responsibility.6.2 產(chǎn)品配置 Product Configuration如乙方?jīng)]有特殊要求， 則按照甲方公司提供的產(chǎn)品標(biāo)準(zhǔn)機(jī)型配置(如有特殊要求需要重新報(bào) 價(jià))。Without special request from Party B, all products are just as Party A offered, or will be needed torenew

11、the quotation.6.3 產(chǎn)品包裝及交貨時(shí)間 Packaging and Delivery Time甲方發(fā)貨要保證貨物的安全及包裝適合長(zhǎng)距離運(yùn)輸。 產(chǎn)品的顏色， 商標(biāo)， 包裝由乙方指定或 中性包裝。一般貨物的交貨期為 30 個(gè)工作日，特殊機(jī)種雙方另行約定交貨時(shí)間。Party A shall guarantee the security and suitable package for long-distance of shipment. Party B could appoint the color, brand and package of products or neutral

Normally the deliverytime is 30 working days except some special products which need to be agreed separately.6.4 產(chǎn)品認(rèn)證 Certification of Products甲方現(xiàn)有產(chǎn)品及以后由甲方單獨(dú)開(kāi)發(fā)或者委托第三方生產(chǎn)的產(chǎn)品，由甲方提供出口日本所需 的相關(guān)產(chǎn)品認(rèn)證證書(shū)。Party A should provide the necessary certification for all products(now available and developed l

13、onely in the future or produced by the appointed third party ) exporting to Japan.6.5 乙方需嚴(yán)格保密甲方的產(chǎn)品報(bào)價(jià)，技術(shù)資料，合作方式等商業(yè)機(jī)密。經(jīng)營(yíng)活動(dòng)不得損壞甲方的聲譽(yù)。Party B should keep the quotation, technical data, business information of Party A strictly confidential. Operating activities cannot damage the reputation of Party A.6.6

14、 乙方應(yīng)盡力在日本區(qū)域市場(chǎng)推廣銷(xiāo)售產(chǎn)品，未經(jīng)甲方許可，嚴(yán)禁跨區(qū)域銷(xiāo)售甲方產(chǎn)品。 Party B should do best promoting products in Japan, cannot sell products in other area without permission of Party A.6.7 乙方無(wú)論任何情況下，不得銷(xiāo)售假冒偽劣或者未經(jīng)授權(quán)許可產(chǎn)品，若因此引發(fā)第三方法 律責(zé)任，則由乙方負(fù)責(zé)，一概與甲方無(wú)關(guān)，甲方將保留日后法律追究權(quán)利。In any case, Party B cannot sell counterfeit and shoddy products or

15、 other unauthorized products. If it caused loss for third party, Party B shall take all responsibility. No any matter with Party A butwill reserve the rights to pursue legal action in future.7. 業(yè)績(jī)考核 Performance Evaluation在本協(xié)議期限內(nèi)， 乙方應(yīng)當(dāng)銷(xiāo)售甲方的產(chǎn)品到達(dá)金額。 如乙方在本協(xié)議期限內(nèi)未完成前述銷(xiāo) 售金額，則甲方可另行選擇第三方作為日本區(qū)域的總代理商。Within th

16、e agreed period, Party B shall achieve the sales goal of PartyAs product:_. In c ase Party B cant achieve the goal within the agreed period, Party A shall choose the third partyto be the general agent in Japan.8.知識(shí)產(chǎn)權(quán)保護(hù) Intellectual Property Protection乙方應(yīng)當(dāng)承擔(dān)起協(xié)助保護(hù)該產(chǎn)品在其銷(xiāo)售區(qū)域的專(zhuān)利保護(hù)責(zé)任，如協(xié)助在日本區(qū)域申請(qǐng)專(zhuān)利 保護(hù)、申請(qǐng)注冊(cè)商

17、標(biāo)及制止他人的侵權(quán)等，另外，甲方應(yīng)申請(qǐng)注冊(cè)商標(biāo)。Party B shall undertake the responsibility of assisting with patent protection in the sales area, suc h as to apply for regional patent protection, registered trademarks and stop the infringement of others in Japan. In addition, Party A shall apply for registered trademark.9.

18、 協(xié)議終止的情形 Termination of Agreement9.1 協(xié)議期限屆滿(mǎn)或甲乙雙方當(dāng)事人協(xié)商一致終止本協(xié)議止等情況應(yīng)當(dāng)自動(dòng)終止； The agreement shall be terminated automatically once in the end of agreed period or both parties involved agreed to end the agreement9.2 如乙方在協(xié)議期限內(nèi)無(wú)法完成本協(xié)議第 7 條的業(yè)績(jī)金額，則甲方有權(quán)單方提前終止本協(xié) 議；In case Party B couldnt achieve the sales goal a

19、s Article 7 stated, Party A shall have the right toend the agreement in advance.9.3 在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違反本協(xié)議條款，另一方有權(quán)終止本協(xié)議。Within the agreed period, in case one party was found against the agreement, the other party shall have the right to end the agreement.10. 違約責(zé)任 Liability of Default若乙方每逾期一天支付貨款，則乙方每

20、天按照應(yīng)付金額的千分之一向甲方支付違約金。 In case Party B overdue the payment for one day, Party B shall pay penalty(milli of sum payable)to Party A each day.11. 技術(shù)支持 Technical support甲方會(huì)提供完整的產(chǎn)品信息資料及必要的售后服務(wù)技術(shù)培訓(xùn)給乙方。注：甲方免收培訓(xùn)費(fèi)用，乙方需自行承擔(dān)相關(guān)住宿往返交通費(fèi)用。The Party A will offer the fully-formed products data to the Party B,as well

21、as the necessary techn ical training for after-sales service.Remarks: Free charge on training, but Party B will have to afford the relative charges on accommodation and transportation by itself.12. 協(xié)議有效期 Validity of Agreement為 年 月 日開(kāi)始至 年 月 日有效，雙方須嚴(yán)格按照本協(xié)議執(zhí)行，若發(fā)現(xiàn)任何 一方違背協(xié)議規(guī)定，雙方均有權(quán)終止本協(xié)議，違約方造成的損失法律責(zé)任由違約一方

22、承擔(dān)。 本協(xié)議未盡事項(xiàng)及需變更事項(xiàng)， 經(jīng)甲乙雙方協(xié)商后以補(bǔ)充協(xié)議形式確定， 補(bǔ)充協(xié)議與本協(xié)議 具有同等效力。The validity of this Agreement is from to , each party shall executes strictly in accordance with the agreement, if any party violates this agreement, both parties have the right to termina te this agreement, the defaulting party has to assume th

24、he performance of the agreement shall be governed by Chinese Law.14. 仲裁 Arbitration在履行協(xié)議過(guò)程中， 如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。 若通過(guò)友好協(xié)商未能達(dá)成協(xié)議，則 提交華南國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(原中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)華南分會(huì))，根據(jù)該會(huì) 仲裁程序進(jìn)行仲裁。 該委員會(huì)決定是終局的， 對(duì)雙方均有約束力。 仲裁費(fèi)用、律師費(fèi)及擔(dān)保 公司擔(dān)保費(fèi)，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。All disputes arising from the execution of this agreement shall be s

In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the Southern China Council for the Promotion of Interna tional Trade(SCIA) for Arbitration in accordance with its Provisional Rules of Procedure.
