1、孔子學院總部與外方國名外方學校名關于合作建設外方學校名孔子課堂的協議為進一步加強中國與 外方國名在教育領域的合 作，支持弁促進外方國名漢語教學的發展，增進兩國 人民的相互理解和友誼，孔子學院總部（以下簡稱總部）與外方學校名就合作建設外方學校名孔子課堂達成 如下協議：第一條宗旨本協議的宗旨在于規定在合作成立和運作 外方 學校名孔子課堂過程中總部和 外方學校名的權利和 義務。第二條孔子課堂的性質外方學校名孔子課堂系非營利教育機構，通過教 授漢語和中國文化增進中 外方國名兩國人民的相互 了解和友誼。第三條執行機構經總部授權和委托， 中方機構名將作為具體執 行機構與外方機構名合作建設孔子課堂，合作雙方

2、可就該協議未盡事宜另行簽訂補充協議。補充協議簽署前，須報總部審核。課堂須在本協議簽署后的一年內啟動運營。第四條業務范圍根據當地實際情況，外方學校名孔子課堂可開展 以下項目：1、開展漢語教學、文化活動和其他與漢語及中國文化有關的競賽；2、培訓當地漢語教師；3、組織當地師生來華夏（冬）令營；4、編寫漢語和中國文化教材；5、其他與漢語教學及中國文化相關的活動。第五條組織和管理雙方執行機構將推薦人選組成理事會對孔子課堂進行管理。課堂開展活動須符合孔子學院章程。參與孔子課堂活動 的中國公民應遵守外國國家名和所在學校的法律和政策。參與 孔子課堂在中國舉辦活動的外國國家名公民應遵守中國法律和 政策。第六條雙

3、方義務總部義務：1、授權使用孔子課堂名稱，提供孔子課堂標識；2、提供必要的啟動經費,用于裝修孔子課堂教學辦公場地,購買中華文化體驗設備和物品、 中國語言文化圖書與教材以及舉行揭牌儀式等；3、提供圖書、音像及多媒體教學資料、課件，授權使用網上課程；4、根據需要提供一定數量的漢語教師、志愿者，弁負擔其 國際旅費、工資等；5、為孔子課堂的優秀學生提供獎學金，支持其參加訪華夏 令營或來華研修。 外方學校名義務：1、提供適合的辦公場所，配備必備的辦公設備弁負責安裝、 管理和維護；2、為孔子課堂配備必要的行政人員 （可由相關人員兼職）提供相關費用，弁為孔子課堂開設專門帳戶 ，每3年向總部提交 孔子課堂財務

4、審計報告；3、為中方派遣人員提供必要的生活和工作條件；4、協助辦理中方人員進入該國境內從事教學活動所需的手續；5、同意就孔子課堂的其他需求與總部進行協商。第七條經費 外方學校名孔子課堂的運營經費由雙方共同籌措。第八條知識產權“孔子課堂”及相關標識和徽章的知識產權為總部獨家擁 有。本協議終止后， 外方學校名不得以任何形式繼續 直接或間接使用和轉讓。外方學校名孔子課堂開展的有知識產權的具體 項目，其知識產權由提供方擁有， 合作開發的項目由雙方協商確 定知識產權。若雙方在知識產權方面產生爭議，應進行友好協商。 協商不成的，按照相關法律規定及國際慣例提交有管轄權的機構 裁定。第九條協議的修改經雙方同意

5、，本著合作和友好的精神， 本協議可以在談判和 商討過程中進行修改，所有的修改均以中 外文兩種語言書面 做出，應經雙方授權代表簽字。第十條 協議的有效期本協議經雙方簽字生效。本協議有效期為五年，如在本協議 有效期截止前九十天內，雙方均未書面通知對方不延長本協議的 有效期，則本協議有效期自動延長五年。第十一條不可抗力協議方在以下不可抗力情況下可免除履行本協議規定義務： 國家突發事件、戰爭、政府禁令或其他超出協議方控制范圍的使 協議方不能繼續履行協議規定義務的事件。如發生此類事件，協議當事方須通知另一方，將項目延期或取消，將協議另一方的損 失降至最低。第十二條協議終止有下列情況之一的，本協議終止：1

6、、協議一方在至少提前六個月書面通知對方后，可以終止本協議；2、協議期限屆滿，雙方無繼續合作的意愿；3、履行該協議的條件已喪失，協議無法履行或繼續履行無 法達到預期目的；4、協議一方有嚴重損害孔子課堂聲譽與形象的行為的，一 經發現，另一方可立即解除本協議弁追究對方的違約責任；5、因不可抗力致使該協議無法履行的。本協議的解除不影響雙方正在執行的單獨協議、合同或項 目；本協議解除時， 外方學校名應妥善安排孔子課堂 學生及相關工作。第十三條爭議的解決雙方在協議履行過程中若發生糾紛及爭議，應本著友好的態度協商解決。協商未果的，向協議簽訂地法院提起訴訟。第十四條協議語言本協議一式兩份，分別以中、 外文書就

9、arters ( "thHeadquarters and school name hereby agree as follows:Article 1 PurposeThe purpose of this agreement is to identify the rights and responsibilities of the Headquarters and school name in the establishment of the Confucius Classroom at school name.Article 2 CharacterThe Confucius Clas

10、sroom at school name shall be a non-profit institution with the purpose of enhancing understanding and friendshipbetween the people of China and country name by sponsoring courses of Chinese language and culture.Article 3 Executive InstitutionThe Headquarters will authorize and appointChinese school

11、 name to construct the Confucius Classroom with The foreign school name as the Chinese executive institution. The two parties of cooperation can sign the supplementary agreement on matters not settled by this Agreement. The supplementary agreementshould be audited by the Headquarters before signing.

12、The Classroom must be launched in one year after this agreement signed.Article 4 Scope of ActivitiesThe Confucius Classroom at school name can serve the following Chinese teaching courses and programs according to the local instance: 1. Teach Chinese, take cultural activities and competitions about

13、both Chinese language and culture;2. Train local Chinese language teachers;3. Organize summer and winter camp to China for local teachers and students;4. Compile teaching materials;5. Take other Chinese language and culture activities.Article 5 OrganizationThe Confucius Classroom shall have a Board

14、of Advisors and the two parties nominate members of the Board of Advisors. The Board ofAdvisors shall have the responsibility for the operation of the Confucius Classroom.The Classroom activities must be in accordance with Constitution and By-laws of the Confucius Institutes. Chinese citizens involv

15、ed in activities of the Confucius Classroom shall be subject to the laws and policies of school name and country name. country name citizens involved in activities of the Confucius Classroom in China shall be subject to the laws and policies of China.Article 6 ObligationsThe obligations of the Headq

16、uarters:1. To authorize the use of the title“ Confucius Classroom ” , and prlogos and Classroom emblems.2. To provide necessary start-up fund that primarily used for refurbishing offices and teaching venues of the Confucius Classroom, purchasing articles and equipments for Chinese culture experience

17、, Chinese language and culture reading materials and textbooks, as well as holding an inauguration ceremony, etc.3. To provide books, audio-visual, multimedia materials and coursewares, and to authorize the use of online courses.4. To send Chinese instructors or volunteers according to needs and pay

18、 for their air fares and salaries.5. To provide scholarships to outstanding students of the Confucius Classroom, support them in taking part in the summer camps or study in China.The obligations of school name:1. To provide an appropriate site for the Confucius Classroom to carry out its activities;

19、 to provide the necessary conditions and facilities management to establish the Confucius Classroom and take charge setting, management and maintenance.2. To provide necessary administrative personnel (full time or part-time) the related payment and open the special account for the Confucius Classro

20、om in the local Bank of China. To submit financial audit report of Confucius Classroom to Headquarters every 3 years.3. To provide necessary working conditions for the Chinese instructors.4. Assist the Chinese party at the Classroom with all immigration procedures.5. Agree to discuss with the Headqu

21、arters any further requirements of the Confucius Classroom.Article 7 Financial SupportThe Confucius Classroom will be jointly funded by school name and the Headquarters.Article 8 Intellectual PropertyThe Headquarters exclusively owns the title of “The Confucius Classroom “its related logo, and plaqu

22、e (or badge) as its exclusive intellectual property. school name cannot continue applying or transfer the title, logo, and plaque (or badge) in any form, either directly or indirectly, after this agreement has been terminated. The provider owns intellectual property of the certain program. The two p

23、arties can consultthe owner of the co-operated programs. In the events of any dispute, the two parties should consult with each other friendly or submit to the jurisdictional organ according to the related laws and regulations.Article 9 RevisionWith the consent of both parties, this Agreement may fr

24、om time to time be revised through a process of negotiation and discussion in a spirit of cooperation and good will and any revisions will be made in writing, in both English and Chinese, and signed by authorized representatives of the parties.Article 10 TermThe Agreement shall be effective on the d

25、ate when the two parties sign below. The Agreement shall have a period of validity of 5 years. If, during the 90 days before the end of the Agreement, neither party notifies the other in writing that it wishes to terminate the Agreement, then it will automatically be extended for another 5 years.Art

26、icle 11 Force MajeureParties hereto will be released from their obligations under this agreement in the event of a national emergency, war, prohibitive government regulation or any other cause beyond the control of the parties hereto that renders the performance of this agreement impossible. In the

27、event of such circumstance, the party under the situation shall inform the other party so the program may be delayed or terminated in order to mitigate the loss of the other party.Article 12 TerminationThis Agreement shall be terminated in one of the following cases:1. Either party may terminate thi

28、s Agreement upon giving written notice at least six months in advance of their intention to terminate.2. The two parties have no aspiration of cooperation at the expiration of the term.3. The Agreement can not go through or can not achieve the anticipated aim because of comedown of the condition.4.

29、If the act of one party of the Agreement severely harms the image and reputation of the Confucius Classroom, the other party will terminate the Agreement immediately and reserve the right of claiming.5. The Agreement can not go through because of force majeure.The termination of the Agreement can not affect some other agreement, contract and program between the two parties.Before the Agreement is terminated, school name should make appropriate arrangements on the enrolled students and other works.Article 13 Dispute SettlementIn the events
