13、ngEastAsiaSugarGroupCo.Ltd.only2、履行期限Termofperformance雙方決定乙方顧問入駐日期為2005年4月6日，預計項目完成時間為4個月。咨詢項目自乙方顧問入駐甲方開始至項目完成經甲方驗收合格止。ThetwoPartiesagreetostartupthisprojectsince6May,2005,anditsexpectedthatitwilllastfourmonthsuntiltheprojectsolutionsarecheckedandacceptedbyPartyA.3、雙方責任ResponsibilitiesofEachParty3.1

14、 甲方責任ResponsibilitiesofPartyA3.1.1 甲方應高度重視公司管理改善項目的實施，對乙方的工作提供支持，負責協調內部各部門及各工廠的關系，調動相關的資源，提供相關數據資料及方案文字處理等工作。被雙方認可的工作或方案，在甲方組織中的貫徹、推動，由甲方負責。PartyAshouldtakespecialemphasisonthismanagementimprovementproject,andofferPartyBallnecessaryassistanceincoordinatingcross-sectionrelations,deployingrelatedresou

15、rcesand,providingrelevantdatainformationandwordprocessingservice.ProjectsolutionsthathavebeenapprovedbythetwopartiesshallbepromotedandimplementedbyPartyA.3.1.2 甲方負責與該項目有關的第三方進行協調，以保證項目的順利進行。PartyAshallberesponsibleforcoordinatingwiththethirdpartyrelatingtothisprojectsoastoensureitinrightprogress.3.1

16、.3 甲方應按合同要求支付咨詢費用。PartyAshouldpayPartyBconsultationchargeinaccordancewiththeprovisionsofthecontract.3.1.4 甲方向乙方顧問提供在甲方工作時必要的辦公條件(如辦公室、市話)，并為乙方顧問提供簡便的午餐。PartyAshouldassistPartyBsconsultantsinprovidingfundamentalfacilitiessuchasofficeandtelephoneandstaffmeal(lunch)aswell.3.1.5 甲方應確保項目運作期間組織人員的穩定。Party

17、Ashouldassureastablecoordinationteamduringtheprojectinprogress.3.1.6 乙方提交的階段性方案甲方應在5個工作日內予以回復，最終方案應在10個工作日內回復；如甲方在5個工作日后未予階段性方案明確答復，乙方將視為甲方默許，可以開展下一階段的工作；如甲方在10個工作日內未予最終方案明確回復，乙方將視為甲方接受。PartyAshouldrespondintimetoPartyBonitssolutionssubmitted,say,offeringtheiropinionsaboutthephasesolutionswithinfive

19、dbyParty.3.2乙方責任ResponsibilitiesofPartyB3.2.1 乙方應按合同第1.2條規定的內容為甲方提供咨詢服務。ProvidingconsultationserviceinaccordancewiththeprovisionsofArticle.2 乙方負責咨詢計劃的制定、方法的傳授、工具的提供及方案設計。Responsibleforestablishingaconsultationplan,tutoringPartyAadvancedmanagementmeansandtools,anddesigningtheprojectsolutions.3

20、.2.3 乙方應按照合同規定的時間、進度保質保量完成工作。Fulfillingthespecifictasksandonscheduleandingoodqualityandquantity.3.2.4 乙方應確保項目組的穩定性，保證進場顧問的專業水平。Insuringastableconsultingteamaswelltheprofessionallevelofitsconsultants.3.2.5 乙方應盡力協助甲方與項目有關的第三方進行協調。AssistingPartyAincoordinatingwiththethirdpartyrelevanttothisproject.3.2.

21、6 負責對甲方相關管理人員的培訓，使甲方人員具備管理體系運作能力。ResponsiblefortrainingthemanagersofPartyAsothattheycanbecapableofrunningthisnewmanagementsystem.3.2.7 乙方完成工作后，應向甲方提供不少于一套的文字材料和電子文檔。乙方提供的服務成果應盡可能做到通俗易懂。ProvidingPartyAwithatleastasetofconsultationdocumentsbothinwrittenandelectronicformwhenthewholeprojectisdone.Trying

22、tomakethesolutionssimple,understandableandfeasible.4、文件的傳達Deliveringofdocuments4.1在本合同執行期內(含跟蹤服務期)，甲方與乙方之間所有的正式通知及文件均采用書面形式傳達給對方。Withinthevalidityofthecontract(theserviceperiodincluded),alltheformalnoticesandfilestoandfromthetwopartiesshallbedeliveredinwrittenpaper.5、工作的開展Theoperationofconsultingpro

23、ject5.1 項目正式啟動后，甲方和乙方共同組建一個咨詢項目委員會，由雙方的高層管理人士負責。Whentheprojectisstartup,PartyAandPartyBshalljointlyestablishaConsultationCommitteeconsistingofthetopmanagersofthetwoparties.5.2 為確保咨詢服務的質量和進度，乙方委托深圳市東方大成管理咨詢有限公司作為合作伙伴，共同組成咨詢項目小組開展對甲方的咨詢服務工作。小組成員構成如下：乙方項目經理1人(彭榮模先生)，管理顧問1-2人(陳耀忠先生、黃道銀先生)。乙方在經過甲方同意，確保項目

24、經理不變的情況下可增加、調配顧問組成員。Toguaranteethequalityandprogressoftheconsultationproject,PartyBconsignsShenzhenOrientalWisdomManagementConsultationCo.,Ltd.asitsbusinesspartner.TheywilljointlysetupaconsultingteamtoserveforPartyB.Theteammembersconsistofoneprojectmanager(PengRongMo,Mr.)andtwoorthreeconsultants(Che

25、nYaoZhong,Mr.;HuangDaoYin,Mr.).WiththeagreeingofPartyA,PartyBcanincreaseoradjustconsultants.5.3 甲方有權對乙方配備的服務咨詢人員提出建議，并可要求乙方更換咨詢人員。PartyAhastherighttogivesuggestionstoPartyBconsultants,andtoaskPartyBtoreplaceitsconsultants.5.4 甲方應按照乙方的提議成立項目配合小組，負責聯系及協調工作，配合項目執行。PartyAwillsetupacoordinationteamasperP

26、artyBssuggestiontoworkincontactandcooperationbetweenthetwopartiesandwithinPartyAsdepartmentsandfactories,andberesponsibleforbringingtheprojectsolutionsintoeffect.5.5 甲方管理層應該提供的相關信息，安排管理人員及員工與咨詢顧問相互合作、共同遵照咨詢服務項目管理程序。乙方將全程培訓甲方相關員工，做到知識轉移。ThemanagersofPartyAshouldprovidePartyBwithrelevantdatainformatio

27、nandaskitsmanagementstaffsandemployeestocooperatewithPartyBconsultantssothattheycanjointlyabidebythespecifiedconsultationmanagementprocesses.PartyBshalloffertherelevantemployeesofPartyAaseriesoftrainingcourses.6、乙方的承諾CommitmentofPartyB6.1 乙方保證為甲方培訓出能熟練實施運作該項目所設計的實施方案的管理干部。AssuringtohelpPartyAtrainin

28、gthedesignatedmanagerstobecapableofusingtheprojectsolutions.6.2 乙方保證對甲方的經營管理資料進行保密。KeepingPartyAsbusinessdatainformationasecret.7、后續服務Succeedingservice咨詢服務基礎工作完成后半年內，乙方的管理顧問根據甲方項目推行的需要定期到甲方解決相關問題，進行免費跟蹤服務，平時以電話、電郵形式交流。Withinsixmonthssincethefundamentalconsultationworkhasbeenfulfilled,PartyBconsultan

29、tswillperiodicallyvisitPartyAandresolveproblemsrelatingtotheimplementationoftheproject.Thisservicewilldependuponthefactualnecessityandbefreeofcharge.TheconsultantswillalsocommunicatewiththedesignatedpeopleofPartyAbytelephoneoremail.8、其它責任Otherresponsibilities8.1 甲方任何人員不得以任何方式向與本合同無關的第三方泄露乙方為甲方服務的收費情

30、況。為此，甲方須于內部控制收費知情范圍。AnypersonfromPartyAisnotallowedtoreleasetheinformationonconsultationchargetoanyirrelevantthirdPartyinanyway.TherebyPartyAshouldcontroltheinformationfrominside.8.2 乙方任何人員不得以任何方式向任何第三方泄露甲方的商業機密。甲方的經營情況不允許在乙方項目組以外傳播。AnypersonfromPartyBisnotallowedtoleakPartyAsbusinesssecretstoanythi

31、rdPartyinanyway.PartyAsbusinessinformationanddocumentsarenotpermittedtospreadoutsidetheconsultingteamofPartyB.8.3 甲方對乙方完成服務工作后交付的服務成果(含建議書、方案及其相關文字資料等)有所有權，并對后繼改進的成果有所有權。PartyAholdsownershipovertheconsultationresultssubmittedbyPartyB(posal,solutions,andanyrelevantwrittendocuments,etc.),andov

32、erthesucceedingimprovedresultsaswell.9、工作成果的確認與驗收Approvalandacceptanceofthesolutions1.1 由甲方與乙方共同成立的咨詢項目委員會負責驗收，咨詢項目小組與項目配合小組協助驗收；TheConsultationCommitteewillberesponsibleforapprovingtheprojectsolutions,withthehelpofthePartyBsconsultingteamandPartyAscoordinatingteam.1.2 驗收標準由甲方與乙方共同商定(滿足甲方的需求)。Theapp

33、rovalandacceptancecriteriawillbedecidedbythetwopartiesthroughconsultation,satisfyingPartyAsrequirements.10 、咨詢費用及付款方式ConsultationchargesandPayment10.1 甲方支付乙方的工作咨詢服務費為人民幣壹佰貳拾捌萬伍仟元整(RMB1,285,000)；PartyAshallpaytoPartyBatotalconsultationservicechargeofRMB1,285,000.00.10.2 在項目服務實施過程中，如出現超出或少于本合同第1.2款規定的

34、內容，則服務費用將作相應的增加或減少調整；Duringtheperiodofconsultationservice,iftheprovidedcontentsofserviceinArticle1.2areincreasedorreduced,thenthepaymentwillbealsoincreasedorreducedaccordingly.10.3 全部咨詢費用分三期支付：Paymentfortheconsultationserviceshallbemadebythreetimes:(1)2005年4月12日前甲方向乙方支付總咨詢費用的35%，即人民幣肆拾肆萬玖仟柒佰伍拾元整(RMB

35、449,750)；PartyAshouldpaytoPartyB35%(RMB449,750)ofthetotalconsultationchargebefore12May,2005.(2)在乙方完成了工作標準設計與培訓、職業規范手冊及輔導、績效管理體系設計、薪酬福利體系設計、全面激勵體系設計與培訓體系設計，并經甲方審批后支付總咨詢費用的40%，即人民幣伍拾伍萬肆仟元整(RMB514,000)AfterPartyBhascompletedthefollowingfiveitemsofjob(tandardsdesignandrelevanttraining,vocational

36、behaviorscriteriadesignandvocationaltraining,andthedesigningofperformancemanagementsystem,payandbenefitssystem,comprehensivemotivationsystemandtrainingsystem)whichareapprovedbyPartyA,thenPartyAshouldpaytoPartyBanother40%(RMB514,000)ofthetotalconsultationcharge.(3)在項目結束審批后的三天內支付總咨詢費用的25%，即人民幣叁拾貳萬壹仟貳佰

37、伍拾元整(RMB321,250)；Withinthreedayssincethesolutionshavebeenapproved,PartyAshouldpaytoPartyBanother25%(RMB321,250)ofthetotalconsultationcharge.11 、合同的終止與解除TerminationandrescissionofContract11.1 本合同至雙方責任義務履行完畢后終止。Thecontractwillbeterminatedwhenthetwopartieshavefulfilledtheirrespectiveresponsibilitiesand

38、obligations.11.2 乙方的階段性工作成果如多次不能得到咨詢項目委員會的認可，甲方可單獨解除合同。PartyAmayunilaterallyrescindthecontractprovidedthatPartyBsphaseresultscouldntbeapprovedbytheConsultationCommittee.11.3 甲方如逾期十天未支付服務費，乙方可單方終止合同。PartyBmayunilaterallyrescindthecontractprovidedPartyAfailstopaytoPartyBexceedingthetimelimitoftendays.12 、違約責任LiabilityforBreach12.1 合同雙方在合同期內如無法定的或本合同約定的情形不得解除合同，任何一方單方終止合同應向對方人民幣伍萬元(RMB50,000)作為違約金。Nopartyshallrescindthecontractduringits
