I.SubjectMatterorServiceDescription

II.RightsandObligationsoftheParties

PartyAhastherighttoterminatethisAgreementunderthecircumstancespermittedbylaw.

2.Obligations

PartyAshallprovidethe[service/goods]toPartyBinaccordancewiththequalitystandards,quantity,anddeliverytimespecifiedinthisAgreement.

PartyAshallberesponsibleforanydefectsorissueswiththe[service/goods]duringthewarrantyperiodandshalltakeappropriatemeasurestorectifythem.

B.PartyB'sRightsandObligations

III.PaymentTerms

A.Price

IV.DeliveryandAcceptance

A.Delivery

2.PartyAshallberesponsibleforarrangingtransportationandbearingthetransportationcosts,unlessotherwisespecifiedinthisAgreement.

B.Acceptance

1.PartyBshallinspectthe[service/goods]upondelivery.IfPartyBdiscoversanydefectsornonpliancewiththetermsofthisAgreement,PartyBshallnotifyPartyAinwritingwithin[numberofdays]daysafterdelivery.

2.IfPartyBfailstonotifyPartyAwithinthespecifiedtime,the[service/goods]shallbedeemedtohavebeenacceptedbyPartyB.

V.WarrantyandLiability

A.Warranty

1.PartyAwarrantsthatthe[service/goods]providedshallmeetthequalitystandardsandspecificationsspecifiedinthisAgreementandshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]months/yearsfromthedateofdelivery.

2.Duringthewarrantyperiod,ifthe[service/goods]failtomeetthewarrantyrequirements,PartyAshall,atitsownexpense,repair,replace,orotherwiseremedythedefectsornonpliance.

B.Liability

1.IntheeventthatPartyAfailstoperformitsobligationsunderthisAgreement,PartyAshallbeliableforanylossessufferedbyPartyBasaresultthereof,includingbutnotlimitedtodirectlosses,indirectlosses,andlostprofits.

2.IntheeventthatPartyBfailstoperformitsobligationsunderthisAgreement,PartyBshallbeliableforanylossessufferedbyPartyAasaresultthereof,includingbutnotlimitedtodirectlosses,indirectlosses,andadditionalcostsincurredbyPartyAinfulfillingitsobligationstothirdparties.

VI.Confidentiality

A.DefinitionofConfidentialInformation

1."ConfidentialInformation"referstoanyinformationdisclosedbyonepartytotheotherpartyduringtheperformanceofthisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerlists,andanyotherinformationthatisnotpubliclyavailable.

B.ObligationsofConfidentiality

1.BothpartiesshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

2.EachpartyshalltakereasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,includingbutnotlimitedtoimplementingsecuritypolicies,restrictingaccesstotheinformation,andusingappropriatephysicalandtechnologicalsafeguards.

VII.IntellectualPropertyRights

A.OwnershipofIntellectualPropertyRights

1.AnyintellectualpropertyrightsarisingfromtheperformanceofthisAgreement,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallbeownedbythepartythatcreatesordevelopsthem,unlessotherwiseagreeduponinwritingbybothparties.

B.LicenseandUse

1.IfeitherpartywishestousetheintellectualpropertyrightsoftheotherpartyforpurposesotherthanthosecontemplatedbythisAgreement,suchpartyshallobtainthepriorwrittenconsentoftheotherpartyandshallenterintoaseparatelicenseagreementifnecessary.

VIII.TerminationandTerminationRights

A.TermoftheAgreement

ThisAgreementshallbeeffectiveasofthedateofsigningandshallremaininforcefor[term]months/years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

B.TerminationbyAgreement

1.BothpartiesmayterminatethisAgreementbymutualwrittenagreementatanytime.

C.TerminationforBreach

1.IfeitherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyshallhavetherighttoterminatethisAgreement.

2.Intheeventofterminationforbreach,thebreachingpartyshallbeliableforanylossessufferedbythenonbreachingpartyasaresultofthebreach.

D.ConsequencesofTermination

1.UponterminationofthisAgreement,bothpartiesshallceasetoperformtheirobligationsunderthisAgreement,exceptasrequiredbylaworforthepurposeofwindingupanyoutstandingmatters.

2.PartyBshallreturnany[service/goods]receivedfromPartyAthathavenotbeenconsumedorused,andPartyAshallrefundanypaymentsreceivedfromPartyBforsuch[service/goods]thathavenotbeenprovidedordelivered.

IX.DisputeResolution

A.Negotiation

1.IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

B.ArbitrationorLitigation

1.Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[numberofdays]days,thedisputeshallberesolvedeitherbyarbitrationorbylitigationinaccordancewiththefollowingprovisions:
