逾期利率]perannumontheoverdueamount.PartyBshallalsopayliquidateddamagesof[違約金金額]toPartyAforeachdayofdelayinpayment.IfPartyBfailstocooperatewithPartyAduringthedeliveryandinstallationprocessorfailstoprovidenecessaryassistanceandinformation,resultingindelaysordifficultiesintheperformanceofthisAgreement,PartyBshallberesponsibleforanylossessufferedbyPartyAasaresult.八、不可抗力1."ForceMajeure"shallmeananyeventthatisbeyondthereasonablecontrolofaparty,includingbutnotlimitedtonaturaldisasters,wars,strikes,riots,governmentactions,andactsofGod,whichpreventapartyfromperformingitsobligationsunderthisAgreement.2.IfapartyisunabletoperformitsobligationsunderthisAgreementduetoForceMajeure,itshallnotifytheotherpartyinwritingassoonaspossibleandprovidedetailedinformationabouttheForceMajeureevent.TheaffectedpartyshallbeexcusedfromliabilityfornonperformanceduringtheperiodofForceMajeure,providedthatittakesallreasonablemeasurestominimizetheimpactoftheeventandresumesperformanceassoonastheForceMajeureeventceases.九、爭議解決1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweenthetwoparties.Ifthenegotiationfails,eitherpartymaysubmitthedisputeto[具體仲裁機構名稱]forarbitrationinaccordancewiththearbitrationrulesofthatinstitution.2.Thearbitrationshallbeconductedin[仲裁地點],andthelanguageofthearbitrationshallbe[仲裁語言].Thearbitralawardshallbefinalandbindingonbothparties.3.Incaseofanydisputes,duringtheprocessofnegotiation,arbitration,orlitigation,thepartiesshallcontinuetoperformtheirrespectiveobligationsunderthisAgreementthatarenotindispute.十、協議變更與解除1.ThisAgreementmaybeamendedorsupplementedonlybyawrittenagreementsignedbybothparties.2.EitherpartymayterminatethisAgreementunderthefollowingcircumstances:IftheotherpartymateriallybreachesthisAgreementandfailstocurethebreachwithin[違約整改期限]
