I.Introduction

ThisFrameworkAgreement(the"Agreement")ismadeandenteredintoasofthedateabovebyandbetweenPartyAandPartyB(collectivelyreferredtoasthe"Parties").ThepurposeofthisAgreementistoestablishtheframeworkfortheParties'cooperationinrelationtotheprovisionof[InsertDescriptionofSubjectMatterorServices](the"SubjectMatter").

II.SubjectMatter

1.DescriptionofSubjectMatter

PartyAagreestoprovidePartyBwith[InsertDetailedDescriptionoftheSubjectMatterorServicestobeprovidedbyPartyA].ThespecificdetailsoftheSubjectMattershallbefurtherdefinedintheindividualcontracts(the"IndividualContracts")tobeenteredintobetweenthePartiesfromtimetotimeinaccordancewiththisAgreement.

2.ScopeofServices

ThescopeofservicestobeprovidedbyPartyAunderthisAgreementshallinclude,butnotbelimitedto,[InsertListofServicestobeProvidedbyPartyA].PartyBshallcooperatewithPartyAandprovideallnecessaryassistanceandinformationtoenablePartyAtoperformitsobligationsunderthisAgreement.

III.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

1.ProvidetheSubjectMatter

PartyAshallprovidetheSubjectMattertoPartyBinaccordancewiththetermsandconditionsofthisAgreementandtheIndividualContracts.PartyAshallensurethattheSubjectMatterprovidedisofgoodqualityandmeetstherequirementsandspecificationsagreeduponbytheParties.

2.ComplywithLawsandRegulations

PartyAshallplywithallapplicablelaws,regulations,andregulatoryrequirementsintheperformanceofitsobligationsunderthisAgreement.PartyAshallobtainallnecessarylicenses,permits,andapprovalsrequiredfortheprovisionoftheSubjectMatterandshallindemnifyandholdPartyBharmlessfromanyclaims,losses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyA'sfailuretoplywithanysuchlaws,regulations,orregulatoryrequirements.

3.Confidentiality

PartyAshallkeepconfidentialallinformationreceivedfromPartyBinconnectionwiththisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,andcustomerdata.PartyAshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyB,exceptasrequiredbylaw.

4.Insurance

PartyAshallmaintaininforceduringthetermofthisAgreementinsurancecoverageofatypeandamountreasonablysatisfactorytoPartyBagainstallrisksandliabilitiesarisingoutoforinconnectionwiththeperformanceofitsobligationsunderthisAgreement.PartyAshallprovidePartyBwithevidenceofsuchinsurancecoverageuponrequest.

B.RightsandObligationsofPartyB

1.AccepttheSubjectMatter

PartyBshallaccepttheSubjectMatterprovidedbyPartyAinaccordancewiththetermsandconditionsofthisAgreementandtheIndividualContracts.PartyBshallinspecttheSubjectMatteruponreceiptandshallnotifyPartyAinwritingofanydefectsordeficiencieswithin[InsertNumberofDays]daysofreceipt.

2.PaytheConsideration

PartyBshallpaytheconsiderationfortheSubjectMatterprovidedbyPartyAinaccordancewiththetermsandconditionsofthisAgreementandtheIndividualContracts.Theconsiderationshallbepaidwithin[InsertNumberofDays]daysoftheinvoicedate.PartyBshallberesponsibleforalltaxesanddutiespayableinconnectionwiththepaymentoftheconsideration.

3.ComplywithLawsandRegulations

PartyBshallplywithallapplicablelaws,regulations,andregulatoryrequirementsintheperformanceofitsobligationsunderthisAgreement.PartyBshallobtainallnecessarylicenses,permits,andapprovalsrequiredforthereceiptanduseoftheSubjectMatterandshallindemnifyandholdPartyAharmlessfromanyclaims,losses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyB'sfailuretoplywithanysuchlaws,regulations,orregulatoryrequirements.

4.Confidentiality

PartyBshallkeepconfidentialallinformationreceivedfromPartyAinconnectionwiththisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,andcustomerdata.PartyBshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA,exceptasrequiredbylaw.

5.Cooperation

PartyBshallcooperatewithPartyAandprovideallnecessaryassistanceandinformationtoenablePartyAtoperformitsobligationsunderthisAgreement.PartyBshallpromptlyrespondtoPartyA'srequestsforinformationandassistanceandshalltakeallreasonablestepstoensurethesmoothperformanceofthisAgreement.

IV.PricingandPayment

1.Pricing

ThepricefortheSubjectMattershallbedeterminedinaccordancewiththetermsandconditionsoftheIndividualContracts.ThepriceshallbebasedonthecostofprovidingtheSubjectMatter,includingbutnotlimitedtorawmaterials,labor,overheads,andprofitmargin.ThePartiesshallreviewandadjustthepricefromtimetotimeinaccordancewithmarketconditionsandchangesinthecostofprovidingtheSubjectMatter.

2.PaymentTerms

ThepaymenttermsfortheSubjectMattershallbespecifiedintheIndividualContracts.Ingeneral,PartyBshallpaytheconsiderationfortheSubjectMatterwithin[InsertNumberofDays]daysoftheinvoicedate.PartyBshallberesponsibleforalltaxesanddutiespayableinconnectionwiththepaymentoftheconsideration.

V.TermandTermination

1.Term

ThisAgreementshallbeeffectiveasofthedateofexecutionbythePartiesandshallremaininforceforaperiodof[InsertNumberofYears/Months](the"InitialTerm").TheAgreementshallbeautomaticallyrenewedforsuccessiveperiodsof[InsertNumberofYears/Months]unlesseitherPartygiveswrittennoticetotheotherPartyofitsintentionnottorenewatleast[InsertNumberofDays]dayspriortotheexpirationoftheInitialTermoranyrenewalperiod.

2.Termination

EitherPartymayterminatethisAgreementupon[InsertNumberofDays]days'writtennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherPartythatremainsuncuredafter[InsertNumberofDays]days'writtennoticeofthebreach.Inaddition,eitherPartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherPartyintheeventoftheinsolvency,bankruptcy,dissolution,orliquidationoftheotherParty.

3.EffectofTermination

UponterminationofthisAgreement,thePartiesshallimmediatelyceaseallactivitiesunderthisAgreement,exceptasmaybenecessarytowinduptheirrespectiveaffairs.PartyBshallpaytoPartyAallamountsoutstandingandpayableunderthisAgreementandtheIndividualContractsasofthedateoftermination.PartyAshallreturntoPartyBanydepositsoradvancepaymentsmadebyPartyBunderthisAgreementtotheextentnotalreadyearnedorutilizedbyPartyA.

VI.IntellectualPropertyRights

1.Ownership

AllintellectualpropertyrightsarisingoutoforinconnectionwiththeSubjectMatterprovidedbyPartyAunderthisAgreementshallbelongtoPartyA,exceptasotherwiseagreedinwritingbytheParties.PartyBshallnotclaimanyownershiporotherrightsinsuchintellectualpropertyrights.

2.UseandLicensing

PartyBshallhavetherighttousetheSubjectMatterprovidedbyPartyAunderthisAgreementsolelyforthepurposescontemplatedbythisAgreementandtheIndividualContracts.PartyBshallnotsublicense,assign,orotherwisetransferitsrightstousetheSubjectMattertoanythirdpartywithoutthepriorwrittenconsentofPartyA.

3.Infringement

PartyAshallindemnifyandholdPartyBharmlessfromanyclaims,losses,damages,liabilities,orexpensesarisingoutoforinconnectionwithanyinfringementofintellectualpropertyrightsbytheSubjectMatterprovidedbyPartyAunderthisAgreement.PartyBshallnotifyPartyApromptlyofanysuchclaimandshallcooperatewithPartyAinthedefenseandsettlementofsuchclaim.

VII.Confidentiality

1.ConfidentialInformationDefined

ForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyinformationdisclosedbyeitherPartytotheotherPartyinconnectionwiththisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerdata,andanyotherinformationthatismarkedoridentifiedasconfidentialatthetimeofdisclosure.

2.ObligationtoKeepConfidential

EachPartyshallkeepconfidentialallConfidentialInformationreceivedfromtheotherPartyandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaw.EachPartyshalltakeallreasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,includingbutnotlimitedtoimplementingsecurityproceduresandsafeguardssimilartothoseitusestoprotectitsownconfidentialinformation.

3.Exceptions

TheobligationtokeepConfidentialInformationconfidentialshallnotapplytoinformationthat(i)isorbespubliclyavailablethroughnofaultofthereceivingParty;(ii)isalreadyinthepossessionofthereceivingPartypriortothedisclosurebythedisclosingParty;(iii)isindependentlydevelopedbythereceivingPartywithoutreferencetotheConfidentialInformation;or(iv)isrequiredtobedisclosedbylaworbyacourtorothergovernmentalauthority.

VIII.WarrantyandLiability

1.Warranty

PartyAwarrantsthattheSubjectMatterprovidedbyitunderthisAgreementshallbefreefromdefectsinmaterialsandworkmanshipandshallconformtotherequirementsandspecificationsagreeduponbytheParties.PartyAshallprovideawarrantyperiodof[InsertNumberofMonths/Years]fromthedateofdeliveryoftheSubjectMatter.Duringthewarrantyperiod,PartyAshallrepairorreplaceanydefectiveSubjectMatteratnocosttoPartyB.

2.Liability

InnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,consequential,orpunitivedamages,includingbutnotlimitedtolostprofits,lossofbusiness,orlossofdata,arisingoutoforinconnectionwiththisAgreement,evenifsuchPartyhasbeenadvisedofthepossibilityofsuchdamages.EachParty'sliabilitytotheotherPartyforanydirectdamagesshallbelimitedtotheamountoftheconsiderationactuallypaidorpayablebyPartyBunderthisAgreement.

Ix.Indemnification

1.IndemnificationbyPartyA

PartyAshallindemnifyandholdPartyBharmlessfromanyclaims,losses,damages,liabilities,orexpensesarisingoutoforinconnectionwith(i)PartyA'sbreachofthisAgreement;(ii)anyclaimofinfringementofintellectualpropertyrightsbytheSubjectMatterprovidedbyPartyA;(iii)PartyA'sfailuretoplywithanyapplicablelaws,regulations,orregulatoryrequirementsintheperformanceofitsobligationsunderthisAgreement;or(iv)anyotheractoromissionofPartyAinconnectionwiththisAgreement.

2.IndemnificationbyPartyB

PartyBshallindemnifyandholdPartyAharmlessfromanyclaims,losses,damages,liabilities,orexpensesarisingoutoforinconnectionwith(i)PartyB'sbreachofthisAgreement;(ii)PartyB'sfailuretoplywithanyapplicablelaws,regulations,orregulatoryrequirementsintheperformanceofitsobligationsunderthisAgreement;or(iii)anyotheractoromissionofPartyBinconnectionwiththisAgreement.

x.DisputeResolution

1.Negotiation

IntheeventofanydisputeordisagreementbetweenthePartiesarisingoutoforinconnectionwiththisAgreement,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.ThePartiesshallappointarepresentativetomeetanddiscussthematterwithin[InsertNumberofDays]daysofthenoticeofdisputebeinggivenbyeitherParty.

2.Arbitration

IfthePartiesareunabletoresolvethedisputethroughnegotiationwithin[InsertNumberofDays]days,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[InsertNameofArbitrationInstitution].Thearbitrationshallbeconductedin[InsertLocationofArbitration].ThearbitrationawardshallbefinalandbindingonbothParties.

3.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].

xI.Miscellaneous

1.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothParties.

3.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

4.Assignment

NeitherPartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherPart
