2025商務合同英語詞匯寶典2025BusinessContractTemplatePartiesThisContract(the"Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(the"PartyA")and(the"PartyB"),whoseprincipalplacesofbusinessarelocatedatand,respectively.PartyAandPartyBmaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."RecitalsWHEREAS,PartyAisengagedinthebusinessofanddesirestocollaboratewithPartyBfor;andWHEREAS,PartyBpossessesthenecessaryexpertise,skills,andresourcestoprovidetoPartyA;NOW,THEREFORE,thePartiesheretoagreeasfollows:1.ScopeofWork1.1PartyBshallprovideservicestoPartyAinaccordancewiththespecificationsoutlinedinExhibitAattachedhereto.1.2PartyAshallcooperatewithPartyBandprovideallnecessarysupport,includingbutnotlimitedto,toensurethesuccessfulcompletionoftheservices.2.TermandTermination2.1ThisAgreementshallcommenceon(the"CommencementDate")andcontinueuntil(the"ExpirationDate"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.2EitherPartymayterminatethisAgreementwithdayswrittennoticeiftheotherPartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithindaysofreceivingwrittennoticethereof.3.Compensation3.1PartyBshallbecompensatedatarateofperasdetailedinExhibitB.3.2PartyAshallpayPartyBwithindaysofreceiptofaninvoice,whichshallincludedetailsoftheservicesrenderedandexpensesincurred.Latepaymentsshallbesubjecttoalatefee.4.IntellectualProperty4.1Allrights,title,andinterestinanyintellectualpropertydevelopedbyPartyBinthecourseofperformingservicesunderthisAgreementshallbeownedexclusivelybyPartyA.4.2PartyBagreesnottouseanyintellectualpropertycreatedduringthetermofthisAgreementforanypurposeotherthanasrequiredbytheAgreement.5.Confidentiality5.1EachPartyagreestokeepconfidentialallnon-public,proprietary,orsensitiveinformationdisclosedbytheotherParty,includingbutnotlimitedtobusinessplans,financialdata,andcustomerinformation.5.2TheobligationsunderthisSection5shallsurvivetheterminationofthisAgreement.6.WarrantiesandRepresentations6.1PartyBrepresentsandwarrantsthatithastheauthoritytoenterintothisAgreementandperformitsobligationshereunder.6.2NeitherPartyshallmakeanyrepresentationsorwarrantiesregardingtheservicesorproductsprovidedunderthisAgreementexceptasspecificallysetforthinthisAgreement.7.Indemnification7.1PartyBagreestoindemnifyandholdharmlessPartyA,itsofficers,directors,employees,andagents,fromanylosses,claims,damages,orliabilitiesarisingoutofPartyB'snegligence,willfulmisconduct,orviolationofanyapplicablelawinconnectionwiththisAgreement.7.2PartyAagreestoindemnifyandholdharmlessPartyB,itsofficers,directors,employees,andagents,fromanylosses,claims,damages,orliabilitiesarisingoutofPartyA'snegligence,willfulmisconduct,orviolationofanyapplicablelawinconnectionwiththisAgreement.8.ForceMajeure8.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,strikes,orgovernmentalactions.8.2TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaforcemajeureeventandmakereasonableeffortstomitigatetheeffectsthereof.9.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesof.10.Miscellaneous10.1AmendmentstothisAgreementmustbeinwritingandsignedbybothParties.10.2NowaiverofanyprovisionofthisAgreementshallbedeemedasawaiverofanyotherprovisionorasawaiverofsuchprovisiononanyotheroccasion.10.3IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasoftheEffectiveDate.PartyA:Name:Tit
