2025商務(wù)合同英文合同結(jié)構(gòu)與格式指南2025BusinessContractEnglishStructureandFormatGuideThiscontract(the"Agreement")isenteredintoasofDate,byandbetweenPartyA,aTypeofEntityincorporatedunderthelawsofJurisdiction,withitsprincipalplaceofbusinessatAddress("PartyA"),andPartyB,aTypeofEntityincorporatedunderthelawsofJurisdiction,withitsprincipalplaceofbusinessatAddress("PartyB").PartyAandPartyBmaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."1.RecitalsThePartiesacknowledgeandagreethat:1.1ThepurposeofthisAgreementistoestablishthetermsandconditionsunderwhichPartyAwillprovideGoods/Services(the"Services")toPartyB.1.2ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofJurisdiction,withoutregardtoitsconflictoflawsprinciples.2.DefinitionsandInterpretationsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:2.1"Affiliate"meansanyentitythatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwithaParty.2.2"ConfidentialInformation"referstoallnon-public,proprietaryinformationdisclosedbyonePartytotheother,includingbutnotlimitedtobusinessstrategies,technicaldata,financialinformation,andcustomerlists.2.3"Term"shallmeantheperiodduringwhichthisAgreementisineffect,asspecifiedinSection4.2.4"Services"shallmeanthegoodsorservicestobeprovidedbyPartyAunderthisAgreement,asdescribedinExhibitA.3.ScopeofServices3.1PartyAagreestoprovidetheServicestoPartyBonthetermsandconditionssetforthherein.3.2ThespecificdetailsoftheServices,includingbutnotlimitedtodeliverables,timelines,andqualitystandards,areoutlinedinExhibitAattachedhereto.3.3PartyAshallusereasonableeffortstomeetalldeadlinesandspecificationsagreeduponbytheParties.4.TermandTermination4.1ThisAgreementshallcommenceonStartDateandcontinueforaninitialtermofDuration,unlessterminatedearlierpursuanttothisSection(the"Term").4.2EitherPartymayterminatethisAgreementuponNoticePerioddays'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithinsuchperiod.4.3Upontermination,PartyAshallpromptlyreturnordestroyallConfidentialInformationinitspossession,exceptasrequiredbylaw.5.PaymentTerms5.1PartyBagreestopayPartyAfortheServicesrenderedunderthisAgreementinaccordancewiththepaymentscheduleoutlinedinExhibitB.5.2AllpaymentsdueunderthisAgreementshallbemadewithoutset-offordeductionofanykind,unlessotherwiseagreedinwritingbybothParties.5.3PartyAshallissueinvoicestoPartyBonaFrequencybasis.PartyBshallpayeachinvoicewithinNumberdaysofreceipt.6.IntellectualProperty6.1Allright,title,andinterestinandtoanyintellectualpropertycreatedordevelopedbyPartyAinthecourseofprovidingtheServices(the"IPRights")shallvestsolelyinPartyB.6.2PartyAagreesnottouseanyIPRightsforitsownpurposesorallowanythirdpartytodosowithoutthepriorwrittenconsentofPartyB.7.Confidentiality7.1EachPartyagreestomaintaintheconfidentialityofallConfidentialInformationreceivedfromtheotherPartyandnotdiscloseittoanythirdpartywithoutpriorwrittenconsent.7.2TheobligationsunderthisSectionshallsurvivetheterminationorexpirationofthisAgreement.8.WarrantiesandIndemnification8.1PartyAwarrantsthatithasthenecessaryauthorityandcapacitytoenterintoandperformitsobligationsunderthisAgreement.8.2PartyBagreestoindemnifyandholdharmlessPartyAfromanyclaims,damages,orexpensesarisingoutofPartyB'suseoftheServices,excepttotheextentcausedbyPartyA'sgrossnegligenceorwillfulmisconduct.9.GoverningLawandDisputeResolution9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofJurisdiction.9.2AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthroughDisputeResolutionMethod,assetforthinExhibitC.10.Miscellaneous10.1AmendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.10.2ThisAgreementconstitutestheentireunderstandingbetweenthePartiesregardingitssubjectmatter,andsupersedesallprioragreementsorunderstandings,whetherwrittenororal.10.3NeitherPartyshallassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasofthedatefirstabovewritt
